oromissionofPartyB.乙方应就因乙方违反本协议而产生或与之相关的任何及所有索赔、损失、损害、责任、成本和费用（包括但不限于律师费和诉讼费）向甲方和丙方进行赔偿并使其免受损害，包括但不限于任何错误或未经授权的付款指令、资金不足或乙方的任何其他作为或不作为。2.PartyAshallindemnifyandholdharmlessPartyBandPartyCfromandagainstanyandallclaims,losses,damages,liabilities,costs,andexpensesarisingoutoforinconnectionwithanybreachofthisAgreementbyPartyA,includingbutnotlimitedtoanymisrepresentationorwarrantyregardingthepaymentdetailsoritsaccount,oranyotheractoromissionofPartyA.甲方应就因甲方违反本协议而产生或与之相关的任何及所有索赔、损失、损害、责任、成本和费用向乙方和丙方进行赔偿并使其免受损害，包括但不限于任何关于付款细节或其账户的虚假陈述或保证，或甲方的任何其他作为或不作为。3.PartyCshallindemnifyandholdharmlessPartyAandPartyBfromandagainstanyandallclaims,losses,damages,liabilities,costs,andexpensesarisingoutoforinconnectionwithanybreachofthisAgreementbyPartyC,includingbutnotlimitedtoanyfailuretoperformitspaymentservicesinaccordancewiththisAgreement,anysecuritybreachorlossofpaymentdata,oranyotheractoromissionofPartyC.丙方应就因丙方违反本协议而产生或与之相关的任何及所有索赔、损失、损害、责任、成本和费用向甲方和乙方进行赔偿并使其免受损害，包括但不限于任何未能按照本协议履行其支付服务、任何安全漏洞或支付数据丢失，或丙方的任何其他作为或不作为。Article6:Termination第六条：协议终止1.ThisAgreementmaybeterminatedbymutualwrittenagreementoftheparties.本协议可经双方书面协议终止。2.Inaddition,eitherPartyAorPartyBmayterminatethisAgreementuponwrittennoticetotheotherpartiesiftheotherpartymateriallybreachesthisAgreementandfailstocuresuchbreachwithin[X]daysafterreceivingwrittennoticethereof.此外，如果另一方严重违反本协议且在收到书面通知后[X]天内未能补救该违约行为，甲方或乙方均可书面通知其他各方终止本协议。3.UponterminationofthisAgreement,thepartiesshallcooperateingoodfaithtocompleteanyoutstandingpaymentobligationsandtoreturnordestroyanyconfidentialinformationintheirpossession.本协议终止后，双方应真诚合作完成任何未履行的付款义务，并返还或销毁其持有的任何保密信息。Article7:GoverningLawandDisputeResolution第七条：适用法律和争议解决1.ThisAgreementshallbegovernedbyandconstruedinaccordancewiththelawsof[Jurisdiction].本协议应受[司法管辖区]法律管辖并依其解释。2.Anydispute,controversy,orclaimarisingoutoforinconnectionwiththisAgreementshallbefirstsubmittedtoamicablenegotiationbetweentheparties.Ifthenegotiationfailstoresolvethedisputewithin[X]days,thedisputeshallbefinallyresolvedbyarbitrationinaccordancewiththearbitrationrulesof[ArbitrationInstitution].Thearbitrationshalltakeplacein[ArbitrationLocation],andthelanguageofthearbitrationshallbe[Language].Thearbitralawardshallbefinalandbindingupontheparties.因本协议产生或与之相关的任何争议、纠纷或索赔应首先提交双方友好协商。如果协商在[X]天内未能解决争议，则争议应最终按照[仲裁机构]仲裁规则通过仲裁解决。仲裁应在[仲裁地点]进行，仲裁语言为[语言]。仲裁裁决应为终局性的，对双方具有约束力。Article8:Miscellaneous第八条：其他条款1.ThisAgreementconstitutestheentireagreementbetweenthepartieswithrespecttothesubjectmatterhereofandsupersedesallpriorandcontemporaneousagreements,understandings,negotiations,anddiscussions,whetheroralorwritten.本协议构成双方关于本协议主题事项的完整协议，并取代所有先前及同期的协议、谅解、谈判和讨论，无论是口头还是书面的。2.AnyamendmentormodificationtothisAgreement
