六、双方权利与义务

a.甲方权利：

七、保密条款

a.双方均同意对项目涉及的所有敏感信息或商业秘密进行保密。

b.未经对方书面同意，任何一方不得向任何第三方泄露项目信息。

c.保密期限自项目结束之日起至少持续五年。

八、违约责任

a.若任何一方违反本合同约定，应承担相应的违约责任。

b.违约方应承担由此给对方造成的直接经济损失。

c.违约方还应承担由此给对方造成的间接经济损失。

九、争议解决

a.双方在履行本合同时发生争议，应友好协商解决。

b.协商不成的，任何一方均可向合同签订地人民法院提起诉讼。

十、合同生效与终止

a.本合同自双方代表签字之日起生效。

b.本合同有效期限为____年，自合同生效之日起计算。

c.合同到期后，如双方同意续签，应另行签订补充协议。

c.若甲方未按时支付费用，乙方有权暂停工作，并要求甲方支付滞纳金。
