2025年度郑州地铁小型机维修保养协议书PartiestotheAgreementThisAgreementisenteredintoandeffectiveasof[Date],byandbetween:PartyA(TheClient):ZhengzhouMetroGroupCo.,Ltd.[Oritsdesignatedsubsidiary/operatingunitresponsibleforthesubwaysystem],havingitsprincipalplaceofbusinessat[AddressofPartyA],hereinafterreferredtoas"PartyA".PartyB(TheServiceProvider):[FullNameofServiceProviderCompany],havingitsprincipalplaceofbusinessat[AddressofPartyB],hereinafterreferredtoas"PartyB".RecitalsWHEREAS,PartyAoperatesthesubwaysysteminZhengzhou,China,whichutilizesvarioussmall-scalecomputermachines(hereinafterreferredtoas"SmallMachines")forcriticaloperationalfunctions;WHEREAS,PartyBisequippedandexperiencedinprovidingmaintenanceandrepairservicesforsmall-scalecomputermachines,particularlythoseusedinpublictransportationsystems;WHEREAS,PartyAdesirestoengagePartyBtoprovideannualmaintenanceandrepairservicesfortheSmallMachineswithinitsZhengzhouMetrosystemduringthecalendaryear2025;WHEREAS,PartyBdesirestoprovidesuchmaintenanceandrepairservicestoPartyA;NOW,THEREFORE,inconsiderationofthemutualcovenantsandpromiseshereincontained,thePartiesagreeasfollows:1.ScopeofServices1.1PartyBshallprovideannualmaintenanceandrepairservicesfortheSmallMachinesspecifiedinAppendixI("theEquipment")locatedwithintheZhengzhouMetrosystem,includingbutnotlimitedto[Specifygeneraltypesofequipment,e.g.,ticketingmachines,informationdisplaysystems,controlunits].1.2TheServicesshallencompassbothpreventivemaintenanceandcorrectivemaintenance:a)PreventiveMaintenance:Routineinspections,cleaning,performancetesting,softwareupdatesandpatchesinstallation,lubrication,andotheractionsaimedatpreventingequipmentmalfunction,shallbeperformedasoutlinedinAppendixII("PreventiveMaintenanceSchedule").Thisscheduleshalldetailthespecificequipment,frequency(e.g.,monthly,quarterly,annually),andtasksforeachmaintenancecycle.b)CorrectiveMaintenance:PartyBshallrespondto故障reportsormalfunctionsaffectingtheEquipment,diagnoseissues,andperformnecessaryrepairstorestoretheEquipmenttoitsnormaloperatingcondition.Thisincludesthereplacementoffailedpartswithqualifiedsparepartsasspecifiedherein.c)EmergencyMaintenance:Incaseofcriticalfailuresthatimpactoperationalsafetyoravailability,PartyBshallprovideemergencysupportwithatargetresponsetimeof[Specifyhours,e.g.,2hours]foron-sitearrivalfromthetimeofnotification,aimingtorestoreservicewithin[Specifyhours,e.g.,4hours]fornon-safetycriticalsystems,andasquicklyasreasonablypossibleforsafety-criticalsystems,subjecttositeaccessandconditions.d)TechnicalSupport:PartyBshallprovidetechnicalconsultationandguidanceviaremoteoron-sitesupportuponrequest.e)SpareParts:[Specifypolicy:e.g.,PartyBshallmaintainaninventoryofcommoncriticalsparepartsnecessaryforthecorrectivemaintenanceoftheEquipment.ThecostofgenuinesparepartsusedundercorrectivemaintenanceshallbeincludedwithintheannualfeechargedtoPartyA,unlessotherwisespecifiedinAppendixIII("SparePartsListandPricing")wherespecificpartsmaybechargedseparately.PartyAshallberesponsibleforprovidingorprocuringsparepartsspecifiedbyPartyBifnotincludedintheagreement.]f)ServiceReports:PartyBshallsubmitmonthlymaintenanceservicereportstoPartyA,detailingtheworkperformed,equipmentstatus,andanyissuesencounteredduringthereportingperiod.ReportsshallfollowtheformatspecifiedinAppendixII.2.ServiceLocationandTime2.1TheServicesshallbeprovidedatalllocationswithintheZhengzhouMetrosystemwheretheEquipmentisinstalled,includingbutnotlimitedtosubwaystations,tunnels,depots,andcontrolcenters.2.2StandardServiceHoursforpreventivemaintenanceandscheduledcorrectiveactionsshallbefrom[Specifyhours,e.g.,8:00AMto5:00PM]duringnormalbusinessdays.EmergencyServices(asdefinedinSection1.2.c)shallbeavailable24hoursaday,7daysaweek,365daysayear.2.3PartyBshallprioritizeandarrangemaintenanceactivitiesduringnon-operationalhours(non-metroservicehours)uponrequestfromPartyA,providedsuchrequestsaremadeatleast[Specifynoticeperiod,e.g.,24hours]inadvance.Anyadditionalcostsincurredduetonon-operationalhourworkshallbechargedtoPartyAatanagreed-uponrate,tobemutuallyconfirmedinwriting.3.RightsandObligations3.1PartyA'sRightsandObligations:a)HavetherighttorequirePartyBtoprovidetheServicesinaccordancewiththisAgreement.b)HavetherighttosupervisethequalityandefficiencyoftheServicesprovided.c)HavetherighttoreceiveandreviewServiceReports.d)HavetherighttoclaimcompensationfordirectlossescausedbyPartyB'sfailuretomeettheservicestandardsorresultinginequipmentdamageoroperationaldisruption.e)HavetherighttoterminatethisAgreementinaccordancewiththeprovisionsherein.f)ShallprovidePartyBwithnecessaryaccesstotheEquipment,operationalpermissions,andasafeworkingenvironmentfortechnicians.PartyAshallnotifyPartyBofanyplanneddowntimeormaintenanceactivitiesthatmightimpactPartyB'sserviceschedulewithreasonableadvancenotice.g)ShallprovidePartyBwithallrelevanttechnicaldocumentation,manuals,andschematicsoftheEquipmentpriortothestartofservices.h)ShallpayPartyBtheServiceFeesasagreeduponinthisAgreementinatimelymanner.3.2PartyB'sRightsandObligations:a)HavetherighttochargePartyAtheagreedServiceFeesfortheServicesrendered.b)HavetherighttorequestnecessaryinformationandaccessfromPartyAtoperformtheServices.c)ShallassigntechnicallyqualifiedandtrainedpersonneltoperformtheServices.d)ShalluseoriginalorequivalentqualitysparepartsandtoolsforrepairsunlessotherwiseapprovedinwritingbyPartyA.e)Shallstrictlycomplywithalloperationalrules,safetyregulations,andsecurityprotocolsoftheZhengzhouMetrosystemwhileperformingServicesonsite.f)ShalltakeallreasonablemeasurestorestorethenormaloperationoftheEquipmentasquicklyaspossibleduringcorrectivemaintenance.g)ShallberesponsibleforthequalityandoutcomesofitsServices.h)ShallsubmitServiceReportstoPartyAasrequired.i)ShallkeepalltechnicalinformationanddatarelatedtotheEquipmentandServicesprovidedconfidential,exceptasrequiredbylaworasdisclosedwiththepriorwrittenconsentofPartyA.4.ServiceStandardsandAcceptance4.1PartyBshallperformallServicesinaprofessional,efficient,andcompetentmanner,aimingtomeetthereliabilityandavailabilitystandardsexpectedforcriticalsubwayequipment.4.2ThespecificServiceStandards,includingresponsetimes,resolutionobjectives,andmaintenancecompletionrates,aredetailedinthePreventiveMaintenanceSchedule(AppendixII)andoutlinedinSection1.2.4.3PartyBshallnotifyPartyApromptlyuponcompletionofcorrectivemaintenance.PartyAshallhavetherighttoinspecttheservicedEquipmentandreviewtheworkperformed.AcceptanceshallbedeemedeffectiveunlessPartyAraisesformalobjectionswithin[Specifyperiod,e.g.,48hours]afternotificationofcompletion.Disputesregardingservicequalityshallberesolvedthrough协商betweentheresponsibletechnicalpersonnelofbothParties.5.ServiceFeesandPayment5.1ThetotalServiceFeefortheServicesprovidedbyPartyBduringthecalendaryear2025isagreeduponas[SpecifyTotalAnnualFeeAmount](RMBYuan).Thisfee[Chooseone:shallinclude/shallexclude]applicabletaxesandduties.5.2PaymentshallbemadebyPartyAtoPartyBinaccordancewiththefollowingterms:a)Thetotalannualfeeshallbepaidin[Specifynumber,e.g.,two]installments.Thefirstinstallmentof50%shallbepaidwithin[Specifynumber,e.g.,15]daysaftertheEffectiveDateofthisAgreement.Thesecondinstallmentof50%shallbepaidwithin[Specifynumber,e.g.,15]daysafterPartyBsubmitsthefinalServiceReportforthefirsthalfoftheyear(orspecifyadifferenttriggeringevent,e.g.,endofyear).b)AllpaymentsshallbemadetothebankaccountofPartyBasfollows:BankName:[BankNameofPartyB]AccountName:[AccountNameofPartyB]AccountNumber:[AccountNumberofPartyB]BankAddress:[BankAddressofPartyB]BankCode:[BankCode/IBAN]5.3PartyBshallissueaninvoiceinaccordancewiththerequirementsofPartyAandrelevanttaxregulationsuponreceivingeachpayment.PartyAshallbeliableforanybankchargesincurredduetoinsufficientfundsorincorrectaccountinformation.6.Confidentiality6.1EachPartyacknowledgesthatduringthetermofthisAgreementandforaperiodof[Specifynumber,e.g.,three]yearsthereafter,itmayobtainconfidentialinformation("ConfidentialInformation")belongingtotheotherParty,includingbutnotlimitedtotechnicaldata,operationalinformation,pricing,customerlists,andbusinessstrategies.6.2EachPartyagreestoholdtheConfidentialInformationinstrictconfidenceandnottodisclose,use,orpermittheuseofsuchConfidentialInformationforanypurposewhatsoever,exceptasrequiredbylaw,regulation,orcourtorder,orwiththepriorwrittenconsentofthedisclosingParty.ThisobligationshallsurvivetheterminationorexpirationofthisAgreement.7.Liability7.1PartyBshallbeliableforanydirectdamagesresultingfromitsnegligenceorbreachoftheobligationssetforthinthisAgreement,providedsuchdamagesarecauseddirectlybythefailureoftheServicesprovidedunderthisAgreement.PartyB'stotalliabilitytoPartyAunderthisAgreementforanyyearshallnotexceedtheannualServiceFeepaidbyPartyAforthatyear.7.2PartyAshallnotbeliableforanyindirect,incidental,consequential,special,orpunitivedamagesarisingoutoforinconnectionwiththisAgreement,regardlessofwhetherPartyAhadbeenadvisedofthepossibilityofsuchdamages.7.3NeitherPartyshallbeliableforanydelayorfailureinperformingitsobligationsunderthisAgreementifsuchdelayorfailureiscausedbyaneventbeyonditsreasonablecontrol(asdefinedinSection9).8.ForceMajeure8.1NeitherPartyshallbeliableforanyfailureordelayinperformingitsobligationsunderthisAgreementifsuchfailureordelayiscausedbyForceMajeure,definedasaneventorseriesofevents,beyonditsreasonablecontrol,whichcouldnothavebeenreasonablyforeseenorprevented,including,butnotlimitedto,actsofGod(suchasearthquake,flood,typhoon),war,terrorism,insurrection,civilcommotion,strikes,lockouts,actsoromissionsofanygovernmentalauthority,fire,explosion,orothersimilarcauses.8.2UpontheoccurrenceofForceMajeure,theaffectedPartyshallpromptlynotifytheotherPartyinwriting,providingdetailedinformationabouttheeventanditsexpectedduration.ThePartiesshallusereasonableeffortstomitigatetheeffectsofForceMajeure.NeitherPartyshallbeliablefordamagesresultingfromitsinabilitytoperformitsobligationsduetoForceMajeure.ThisprovisionshallbeineffectforadurationdeterminedbytheaffectedParty,butnotexceeding[Specifymaximumduration,e.g.,90]days.IftheForceMajeureconditionpersistsbeyondsuchperiod,eitherPartymayterminatethisAgreementwithoutliability.9.DisputeResolution9.1Anydispute,controversy,orclaimarisingoutoforrelatingtothisAgreement,includingitsbreach,termination,orinvalidity,shallfirstbeattemptedtobesettledamicablythrough友好协商betweentheauthorizedrepresentativesoftheParties.9.2Ifthedisputecannotbesettledthrough协商within[Specifynumber,e.g.,thirty]daysfromthedateeitherPartyproposessettlement,thedisputeshallbesubmittedto[Chooseone:thePeople'sCourtofZhengzhouCity,HenanProvinceforlitigation/theChinaInternationalEconomicandTradeArbitrationCommission(CIETAC)forarbitration.Ifarbitration,specifythelocation:Zhengzhou,Henan.Addrules:pursuanttotheArbitrationRulesofCIETACineffectatthetimeofthesubmission.TheTribunalshallconsistof[one/three]arbitrator(s).ThelanguageofarbitrationshallbeChinese.TheawardshallbefinalandbindinguponbothPartiesandshallbeenforceableinaccordancewiththerelevantlawsofthePeople'sRepublicofChina.].10.TermandTermination10.1ThisAgreementshallcommenceontheEffectiveDateandshallcontinueinfullforceandeffectforthecalendaryear2025("theTerm").10.2UpontheexpirationoftheTerm,thisAgreementshallautomaticallyrenewforsuccessiveone-yearperiods(eacha"RenewalTerm"),unlesseitherPartyprovideswrittennoticeofnon-renewaltotheotherPartyatleast[Specifynumber,e.g.,ninety]dayspriortotheendofthecurrentTerm.ThetermsandconditionsforeachRenewalTermshallbethesameasthoseoftheinitialTerm,unlessotherwiseagreedinwritingbybothParties.10.3EitherPartymayterminatethisAgreementatanytimeduringtheTermuponwrittennoticetotheotherPartyiftheotherPartycommitsamaterialbreachofthisAgreementandfailstocuresuchbreachwithin[Specifynumber,e.g.,thirty]daysafterreceivingawrittennoticedemandingcure.TheterminatingPartyshallbeentitledtoclaimallamountsduebutunpaidfromtheotherPartyuptothedateoftermination.10.4UponterminationorexpirationofthisAgreement,PartyBshall:a)Completeallongoingmaintenancetasksandhandoveranyrecords,logs,orreportsgeneratedduringthetermoftheAgreementtoPartyA.b)ReturntoPartyAallproprietarymaterials,documentation,andequipmentownedorcontrolledbyPartyA,ifany.c)ContinuetoprovideemergencymaintenanceservicesfortheEquipmentforaperiodof[Specifynumber,e.g.,thirty]daysfollowingterminationdate,atnoadditionalcharge,toensuresmoothtransition.11.Miscellaneous11.1Notices:Allnotices,requests,demands,andothercommunicationsrequiredorpermittedunderthisAgreementshallbeinwritingandshallbedeemedtohavebeendulygivenwhendeliveredpersonally,sentbyregisteredmail(returnreceiptrequested),sentbycertifiedorexpresscourierservice,orsentbyemailtotheaddressesspecifiedinSection2andonthecoverpageofthisAgreement.IfanyPartychangesitsaddress,itshallpromptlynotifytheotherPartyinwriting.11.2EntireAgreement:ThisAgreement,includingtheAppendices,constitutestheentireagreementbetweenthePartieswithrespecttothesubjectmatterhereofandsuperse
