融合区块链技术与数字货币协议PartiesThisAgreement(“Agreement”)isenteredintoasof[InsertDate],byandbetween:[FullLegalNameofIssuer],withitsprincipalplaceofbusinessat[InsertAddress](“Issuer”),and[FullLegalNameofTechnologyProvider],withitsprincipalplaceofbusinessat[InsertAddress](“TechnologyProvider”),and[FullLegalNameofUser],withitsprincipalplaceofbusinessat[InsertAddress,ifapplicable](“User”).Whereas,Issuerdesirestoissue,manage,andcirculateDigitalCurrency(“DC”)onablockchainplatform,andWhereas,TechnologyProviderpossessesexpertiseandinfrastructureforprovidingblockchaintechnologyandrelatedservices,andWhereas,UserdesirestoparticipateinthesystemandutilizetheDigitalCurrency.NOW,THEREFORE,inconsiderationofthemutualcovenantsandagreementssetforthherein,thePartiesagreeasfollows:DefinitionsandInterpretations1.1“Blockchain”referstothedistributedledgertechnologyuponwhichtheDigitalCurrencySystemoperates,characterizedbydecentralization,immutability,transparency,andconsensusmechanisms.1.2“DigitalCurrencySystem”referstotheentireinfrastructure,platform,andprotocols,includingtheblockchainnetwork,smartcontracts,wallets,andrelatedservices,operatedbyIssuerandTechnologyProviderforissuing,managing,andcirculatingtheDigitalCurrency.1.3“DigitalCurrency(“DC”)”refersto[SpecifyName,e.g.,“MyCoin”],[SpecifyType,e.g.,“acryptographicassetrepresentingvalueontheDigitalCurrencySystem”],havingatotalsupplyof[SpecifyTotalSupply,ifany],andidentifiedbythetickersymbol[SpecifyTickerSymbol,ifany].1.4“BlockchainPlatform”referstothespecificblockchaintechnologystackusedfortheDigitalCurrencySystem,includingtheunderlyingprotocolversion,consensusmechanism[Specify,e.g.,“ProofofStake”],andnetworkparameters.1.5“SmartContract”referstoself-executingcontractswiththetermsoftheagreementdirectlywrittenintolinesofcodeontheblockchainplatform.1.6“Wallet”referstothedigitalinterfaceorapplicationprovidedwithintheDigitalCurrencySystemthatallowsaUsertostore,send,andreceiveDigitalCurrency,representedbyapublickeyandcorrespondingprivatekey(s)orrecoveryphrase.1.7“Transaction”referstoarecordedactionontheblockchainplatforminvolvingthetransferormanipulationofDigitalCurrency,confirmedbythenetworkconsensus.1.8“ConsensusMechanism”referstotheprocessbywhichthenodesintheBlockchainPlatformagreeonthevalidityoftransactionsandthestateoftheledger.1.9“HashFunction”referstoafunctionthattakesaninputandproducesafixed-sizestringofbytes,typicallyacryptographichash.1.10“PrivateKey”referstoasecretpieceofcryptographicinformationthatallowstheownertosigntransactionsandaccessfundsassociatedwithaspecificpublickey.1.11“PublicKey”referstoacryptographickeygeneratedfromaprivatekey,usedtoreceiveDigitalCurrencyandverifysignatures.1.12“Node”referstoaparticipantcomputerconnectedtotheBlockchainPlatform,maintainingacopyoftheblockchainledger.1.13“SystemMaintenance”referstotheroutineupdates,patches,andoperationalactivitiesperformedontheDigitalCurrencySystemtoensureitssecurity,stability,andfunctionality.1.14“ForceMajeure”referstoeventsbeyondthereasonablecontrolofaParty,includingbutnotlimitedtoactsofGod,war,terrorism,naturaldisasters,governmentactions,oractsofcyberattacks,whichpreventordelayperformanceunderthisAgreement.1.15“Notices”shallmeananynotice,request,demand,orothercommunicationthatwouldbeappropriateunderthecircumstances,whetheroralorwritten,andwhetherelectronicorphysical,senttotheaddressspecifiedinSection[SectionNumber]forsuchpurpose.ScopeandPurpose1.16ThepurposeofthisAgreementistoestablishthetermsandconditionsgoverningtheparticipationofUserintheDigitalCurrencySystem,theissuanceandmanagementoftheDigitalCurrencybyIssuer,andtheprovisionoftechnologyinfrastructurebyTechnologyProvider.TechnicalFrameworkandInfrastructure2.1TheDigitalCurrencySystemshallbeoperatedontheBlockchainPlatformspecifiedinSection1.6,utilizingtheconsensusmechanismandtechnicalstandardsthereof.2.2Issuerisresponsiblefordeployingandmanagingthesmartcontractsnecessaryfortheissuance,transfer,andrecordingofDigitalCurrencyontheBlockchainPlatform.2.3TechnologyProviderisresponsibleforproviding,maintaining,andsupportingtheunderlyingblockchaininfrastructure,includingnodeoperation,networkconnectivity,andsystemsecuritymeasures,subjecttothespecificationsandrequirementsagreeduponbytheParties[orspecifyifprovidermerelylicensestechnology].2.4TheDigitalCurrencySystemmayinclude[Specifyfeatures,e.g.,walletservices,exchangeAPIs,transactionmonitoringtools],subjecttothecapabilitiesoftheBlockchainPlatformandtheoperationalpoliciesofIssuerandTechnologyProvider.2.5AccesstotheDigitalCurrencySystemandtheuseofWalletsshallbesubjecttothetermsandconditionssetforthinaseparateUserAgreement,whichUseragreestobeboundby,orasmaybesubsequentlyupdatedbyIssuer[orspecifygoverningtermswithinthismainAgreement].DigitalCurrencyIssuanceandManagement3.1IssuershallbesolelyresponsiblefortheissuanceandmanagementoftheDigitalCurrencyinaccordancewiththepoliciesandrulesestablishedbyIssuerandcompliantwithapplicablelawsandregulations.3.2IssuershallhavetherighttoadjusttheparametersrelatedtoDigitalCurrencyissuance,supply,andminting/burningmechanisms,providedsuchadjustmentsaremadeingoodfaith,complywithapplicablelaws,andarecommunicatedtoUserswithreasonablenotice[Specifynoticeperiod,ifany].3.3TheissuanceandtransferofDigitalCurrencyshallberecordedontheBlockchainPlatforminatransparentandimmutablemanner,subjecttotheconsensusrulesofthenetwork.3.4[Ifapplicable,specifyanyvalueanchoringmechanism,e.g.,“Issuershallmaintainreservesof[SpecifyAsset]correspondingtotheissuedDigitalCurrencyinaratioof1:1,andshallprovideperiodicauditsoraccesstoverificationasrequiredbylaworpolicy.”]RightsandObligations4.1Issuer’sRightsandObligations:a.Havetherighttoissue,manage,andregulatetheDigitalCurrencyaccordingtoestablishedpoliciesandlegalrequirements.b.Maintaintheintegrity,security,andoperationalstabilityoftheDigitalCurrencySystem.c.ImplementreasonablesecuritymeasurestoprotecttheDigitalCurrencyheldwithintheSystemandUserWallets.d.Complywithallapplicablelaws,regulations,andreportingobligationsrelatedtotheissuanceandcirculationofDigitalCurrency.e.DiscloseinformationregardingtheDigitalCurrencySystem,itsoperations,risks,andlegalstatustoUsersinatimelyandaccuratemanner.f.HavetherighttosuspendorterminateUseraccesstotheSystemincaseofUserbreachofthisAgreement,securitythreats,orlegalrequirements.g.[IncludeanyotherspecificrightsorobligationsofIssuer].4.2TechnologyProvider’sRightsandObligations:a.Havetherighttoprovidethespecifiedblockchaintechnologyinfrastructureandrelatedservicesasagreed.b.MaintainandoperatetheTechnologyinfrastructurewithduecareandaccordingtoindustrystandards.c.CooperatereasonablywithIssuerinmaintainingtheoverallsecurityandstabilityoftheDigitalCurrencySystem.d.ProvidenecessarytechnicalsupportandmaintenancefortheTechnologyinfrastructure.e.Complywithapplicablelawsandregulationsrelatedtoitsprovisionoftechnologyservices.f.[IncludeanyotherspecificrightsorobligationsofTechnologyProvider].4.3User’sRightsandObligations:a.HavetherighttoparticipateintheDigitalCurrencySystemandutilizetheDigitalCurrency,subjecttothetermsofthisAgreementandapplicablelaws.b.Maintaintheconfidentialityandsecurityoftheirprivatekeys,recoveryphrases,andotheraccountcredentials.Userissolelyresponsibleforanyactionstakenusingtheirprivatekeys.c.UsetheDigitalCurrencySystemandDigitalCurrencysolelyforlegalpurposes.d.Complywithallapplicablelawsandregulationsinrelationtotheiracquisition,holding,use,anddisposalofDigitalCurrency.e.Accepttherisksassociatedwiththeuseofblockchaintechnologyanddigitalcurrencies,includingbutnotlimitedtopricevolatility,technologicalfailures,andsecuritybreaches.f.NotattempttointerferewiththeoperationoftheDigitalCurrencySystem,compromiseitssecurity,orengageinanyfraudulentorillegalactivities.g.CooperatewithIssuerandTechnologyProviderintheeventofasecurityincidentorinvestigation.h.[IncludeanyotherspecificrightsorobligationsofUser,e.g.,regardingKYC/AMLprocedures].SecurityMeasures5.1IssuerandTechnologyProvidershallemploycommerciallyreasonablesecuritymeasurestoprotecttheDigitalCurrencySystem,UserWallets,andtheintegrityoftheblockchainledger,includingbutnotlimitedto:a.Encryptionofsensitivedataintransitandatrest.b.Implementationoffirewalls,intrusiondetection,andpreventionsystems.c.RegularsecurityauditsandpenetrationtestingoftheSystem.d.Securenodeoperationandnetworkprotocols.e.Multi-factorauthenticationforadministrativeaccess.f.Robustincidentresponseanddisasterrecoveryplans.g.Policiesandproceduresforprivatekeymanagement[Specifyapproach,e.g.,“User-controlledcoldstorage”or“混合模式”].5.2UserisresponsibleforimplementingreasonablesecuritymeasuresfortheirownWalletsandprivatekeys,includingstoringthemsecurelyandseparatelyfromaccesstootherapplications.UserAccountsandWallets6.1ToparticipateintheDigitalCurrencySystem,Usermayberequiredtocreateanaccountand/orutilizeaWalletprovidedbyIssuerorTechnologyProvider,subjecttotheapplicableterms[orlinkedUserAgreement].6.2UseragreestoprovideaccurateandcompleteinformationwhencreatinganaccountorWallet.6.3UserissolelyresponsibleforthesecurityoftheiraccountcredentialsandtheprivatekeysassociatedwiththeirWallet(s).IssuerandTechnologyProviderarenotresponsibleforlossesresultingfromUser’sfailuretosecuretheircredentials.6.4TransactionsinitiatedfromaUser’sWalletarethesoleresponsibilityoftheUserassociatedwiththeprivatekeysused.IssuerandTechnologyProvidershallnotbeliableforunauthorizedtransactionsifUserhascontroloverthecorrespondingprivatekeys.TransactionsandSettlement7.1TransactionsinvolvingDigitalCurrencyshallbeinitiatedbyUserthroughtheirWalletandbroadcasttotheBlockchainPlatform.7.2TransactionsshallbevalidatedbythenodesparticipatingintheBlockchainPlatformaccordingtotheconsensusmechanism.7.3Onceconfirmedontheblockchain,transactionsareconsideredfinalandirreversible.7.4SettlementofDigitalCurrencytransactionsoccursuponconfirmationbytheblockchainnetwork.SettlementtimesmayvarydependingonthenetworkcongestionandthespecificconfirmationparameterssetfortheDigitalCurrency.7.5[Ifapplicable,specifyhowDigitalCurrencyinteractswithfiatcurrencyorotherassets,e.g.,“IssuermayprovideexchangeservicesormechanismsallowingUserstoconvertDigitalCurrencytofiatcurrencyorviceversa,subjecttoseparatetermsandfees.”]ComplianceandLegal8.1AllPartiesagreetocomplywithallapplicablelaws,regulations,andgovernmentalrequestsrelatedtotheDigitalCurrencySystem,DigitalCurrency,andtheactivitiesundertakenhereunder.8.2IssuerandTechnologyProvidershallcooperatereasonablywithregulatoryauthoritiesintheirlawfulinvestigationsandcomplianceefforts,providedUserprivacyrightsareprotectedtotheextentrequiredbylaw.8.3UseragreestousetheDigitalCurrencySystemonlyinaccordancewithallapplicablelaws,includinglawsconcerningfinancialtransactions,anti-moneylaundering(AML),andcounter-terroristfinancing(CTF).8.4[Includeanyspecificlicensingorregulatoryrequirements,e.g.,“IssuershallobtainallnecessarylicensesfromregulatorybodiespriortocommencingDigitalCurrencyissuanceorprovidingrelatedservices.”]LiabilityandIndemnification9.1Exceptasexpresslystatedherein,neitherIssuer,TechnologyProvider,noranyoftheiraffiliates,officers,directors,employees,oragentsshallbeliabletotheotherPartyortoUserforanyindirect,incidental,consequential,special,orpunitivedamages,includinglossofprofits,data,orgoodwill,arisingoutoforinconnectionwiththisAgreement,evenifadvisedofthepossibilityofsuchdamages.9.2EachPartyshallindemnifyandholdharmlesstheotherParty,itsaffiliates,officers,directors,employees,andagentsfromandagainstanyclaims,losses,liabilities,damages,andexpenses(includingreasonableattorneys’fees)arisingoutoforresultingfromtheotherParty’sbreachofthisAgreement,itsnegligence,oritsviolationofanyapplicablelaworregulation.9.3[Specifylimitationsonindemnification,ifany,e.g.,basedonbreachseverityorcausation].9.4TheindemnificationobligationssetforthinthisSectionshallsurvivetheterminationofthisAgreement.DisputeResolution10.1Anydispute,controversy,orclaimarisingoutoforrelatingtothisAgreement,includingitsbreach,termination,orinvalidity,shallfirstbeattemptedtoberesolvedamicablythroughgoodfaithnegotiationsbetweenauthorizedrepresentativesoftheParties.10.2Ifthedisputecannotberesolvedthroughnegotiationwithin[Specifynumber,e.g.,“三十(30)”]daysfromthedateofthelastwrittencommunicationrequestingnegotiation,thedisputeshallbefinallysettledby[Chooseoneandbespecific:“arbitrationadministeredbythe[SpecifyInstitution,e.g.,“InternationalChamberofCommerce”]pursuanttothe[SpecifyRules,e.g.,“ICCRulesofArbitration”]effectiveasof[InsertDate];or“litigationinthecourtsof[SpecifyJurisdiction,e.g.,“theStateofNewYork”]intheCountyof[SpecifyCounty]”].10.3[Ifarbitrationischosen,includevenueclauseifpossible,e.g.,“inthecityof[SpecifyCity]”].10.4ThePartiesagreethatthearbitration/courtproceedingsshallbeconductedin[SpecifyLanguage,e.g.,“English”].10.5ThelegalfeesandcostsincurredbytheprevailingPartyinanyarbitration/courtproceedingsshallbebornebythelosingParty.Term,Termination,andSuspension11.1ThisAgreementshallcommenceontheEffectiveDateandcontinueineffectfor[Specifyterm,e.g.,“anindefiniteperiod”]oruntilterminatedasprovidedherein.11.2ThisAgreementmaybeterminatedbyeitherPartyupon[Specifynoticeperiod,e.g.,“seventy(70)”]dayswrittennoticetotheotherPartyiftheotherPartycommitsamaterialbreachofthisAgreementandfailstocuresuchbreachwithinthenoticeperiod.11.3IssuerorTechnologyProvidermaysuspendUser’saccesstotheDigitalCurrencySystemorsuspendoperationsoftheSystemtemporarily,withorwithoutnotice,intheeventofanyemergency,technicalissues,securitythreats,orlegalrequirements,providedsuchsuspensionisreasonablynecessarytoprotecttheSystem,Users,orcomplywithlaw.11.4UponterminationorsuspensionofthisAgreement,UsershallbeimmediatelyprohibitedfromaccessingtheDigitalCurrencySystemandshallcomplywithallexitproceduresspecifiedbyIssuer[orceaseusingthesystem],includinganyrequirementstotransferDigitalCurrencytoadifferentaddressifpermittedbyIssuerandtechnicallyfeasible.11.5[IncludeanyspecificterminationrightsforUser,ifapplicable].11.6TerminationofthisAgreementshallnotreleaseanyPartyfromitsobligationsarisinghereunder,includingindemnificationandconfidentialityobligations,whichshallsurvivetermination.Confidentiality12.1EachPartyagreestokeepconfidentialallnon-publicinformationdisclosedbytheotherParty(“ConfidentialInformation”),includingbutnotlimitedtothetermsofthisAgreement,technicalspecifications,businessplans,customerlists,andfinancialdata.12.2ConfidentialInformationshallnotbeusedbyeitherPartyforanypurposeotherthanfulfillingitsobligationsunderthisAgreement,andshallbeprotectedwithatleastthesamedegreeofcareasitprotectsitsownsimilarConfidentialInformation.12.3Theobligationsofconfidentialityshallnotapplytoinformationthat:(a)isorbecomespubliclyknownwithoutbreachofthisAgreement,(b)isindependentlydevelopedbyaPartywithoutaccesstotheotherParty’sConfidentialInformation,or(c)isobtainedfromathirdpartywithoutbreachofsuchthirdparty’sobligationsofconfidentiality.12.4TheconfidentialityobligationssetforthinthisSectionshallsurvivetheterminationofthisAgreement.GoverningLawandJurisdiction13.1ThisAgreementshallbegovernedbyandconstruedinaccordancewiththelawsofthe[SpecifyJurisdiction,e.g.,“StateofNewYork”],withoutregardtoitsconflictoflawprinciples.TheUnitedNationsConventiononContractsfortheInternationalSaleofGoods(CISG)shallnotapplytothisAgreement.13.2[Ifarbitrationischosen,jurisdictionclauseisoftenhandledthere;iflitigation,specifyvenue].13.3EachPartyherebyirrevocablyconsentstothepersonaljurisdictionofandvenueinanycourtorarbitrationforumlocatedin[SpecifyJurisdiction,e.g.,“theStateofNewYork”]forthepurposeofenforcingtherightsandremediesgrantedherein.AmendmentsandModifications14.1Noamendment,modification,orwaiverofanyprovisionofthisAgreementshallbeeffectiveunlessinwritingandsignedbyauthorizedrepresentativesofallParties.14.2Anyattemptedamendmentormodificationthatisnotinwritingshallbenullandvoid.ForceMajeure15.1NeitherPartyshallbeliableforanyfailureordelayinperformingitsobligationsunderthisAgreementifsuchfailureordelayiscausedbyForceMajeure,aneventbeyonditsreasonablecontrol,including,butnotlimitedto,actsofGod,war,terrorism,civilcommotion,strikes,fire,flood,storm,governmentalaction,regulation,ororder,oractsofcyberattacksthatrenderperformanceimpracticable.15.2TheaffectedPartyshallpromptlynotifytheotherPartyofanyForceMajeureeventandusereasonableeffortstomitigateitseffects.PerformanceunderthisAgreementshallbesuspendedduringtheperiodofForceMajeure.UponterminationorresolutionoftheForceMajeureevent,theaffectedPartyshallresumeitsobligationsassoonaspracticable.Notices16.1Allnotices,requests,demands,andothercommunicationsrequiredorpermittedunderthisAgreementshallbeinwritingandshallbedeemedgiven:a.Whendeliveredpersonally.b.Uponconfirmationofreceiptwhensentbyemail(providedareasonableperiodisallowedforconfirmation).c.One(1)businessdayafterdepositwithanationallyrecognizedovernightcourierservicefornext-daydelivery.d.Three(3)businessdaysaftermailingb
