船舶配件市场调研合同英文范本ThisShipSparePartsMarketResearchContract(the"Contract")ismadeandenteredintoasof[InsertDate],byandbetween:[Consultant'sCompanyName]Havingitsprincipalplaceofbusinessat[Consultant'sAddress]("Consultant"),and[Client'sCompanyName]Havingitsprincipalplaceofbusinessat[Client'sAddress]("Client").WHEREAS,ClientdesirestoengageConsultanttoperformservicesrelatedtoamarketresearchstudyconcerningtheshipsparepartsmarket,andConsultantdesirestoperformsuchservices;NOW,THEREFORE,inconsiderationofthemutualcovenantsandagreementshereincontained,thepartiesheretoagreeasfollows:1.ScopeofServicesConsultantshallperformamarketresearchstudyconcerningtheglobalshipsparepartsmarket,specificallyfocusingon[SpecifyKeyProductCategories,e.g.,mainenginebearings,sealings,hydraulichoses,deckmachineryparts].Theresearchshallcoverkeygeographicregionsincluding[SpecifyRegions,e.g.,Asia-Pacific,Europe,Americas],andshallincludeananalysisofkeymarketparticipantssuchasmanufacturers,suppliers,distributors,end-users(shipowners/operators),classificationsocieties,andrelevantportauthorities.Theprimaryobjectivesoftheresearchareto:(a)assessthecurrentmarketsize,growthtrends,andforecastforthespecifiedshipspareparts;(b)identifyandanalyzethecompetitivelandscape,includingmarketshare,productstrategies,andpricingofmajorcompetitors;(c)understandtheneeds,purchasingbehaviors,andpreferencesoftargetcustomers;(d)evaluatemarketentrybarriers,technologicaldevelopments,andpotentialthreatsfromsubstituteproducts;(e)gatherpricinginformation,distributionchannels,andregulatoryrequirementsapplicabletothemarket;and(f)provideClientwithcomprehensiveinsights,conclusions,andactionablerecommendationsbasedontheresearchfindings.Thespecificmethodologymayincludesecondarydataanalysis,questionnaires,interviewswithindustryexpertsandmarketparticipants,andanalysisofpubliclyavailableinformation.2.DeliverablesConsultantshalldeliverthefollowingtoClient:(a)AfinalmarketresearchreportinEnglish,detailingthefindingsandrecommendationsasoutlinedinSection1.Thereportshallbeorganizedintochaptersincluding,butnotlimitedto,ExecutiveSummary,ResearchMethodology,MarketOverview,CompetitiveAnalysis,CustomerInsights,PricingAnalysis,MarketTrends,andConclusion&Recommendations.(b)Supportingdatavisualizationsandchartsasappropriatetoillustratekeyfindings.(c)Apresentationdecksummarizingthemainfindingsoftheresearchreport,suitableforinternalpresentations.(d)AllfinalreportsanddeliverablesshallbeprovidedinPDFformat.3.TermThisContractshallcommenceon[InsertStartDate]andshallcontinueuntilthefinaldeliverablesareacceptedbyClient,providedthatConsultantcompletesallserviceswithin[SpecifyDuration,e.g.,90]daysfromtheCommencementDate,unlessextendedbymutualwrittenagreement.4.FeesandPaymentInconsiderationfortheservicesperformedunderthisContract,ClientshallpayConsultantatotalfeeof[InsertTotalFeeAmount]UnitedStatesDollars(USD)[orspecifycurrency],exclusiveoftaxes.Thisfeeisafixedfeeandincludesallservicesoutlinedherein.Clientshallpaythefeeinaccordancewiththefollowingschedule:(a)Aninitialadvancepaymentof50%ofthetotalfee,amountingtoUSD[Calculate50%Amount],shallbepaidbyClienttoConsultantwithin15daysoftheCommencementDateofthisContract.(b)Theremaining50%ofthetotalfee,amountingtoUSD[Calculate50%Amount],shallbepaidbyClienttoConsultantwithin15daysafterConsultantprovidesClientwiththefinalresearchreportandClientconfirmsacceptanceofthedeliverables.Allpaymentsshallbemadewithoutdeduction,set-off,orcounterclaim.AllfeesarequotedexclusiveofanyapplicableVAT,GST,orotherindirecttaxes,whichshallbebornebyClient.ConsultantshallprovideClientwithaninvoiceforeachpaymentdue.Paymentshallbemadetothefollowingbankaccount:Bank:[Consultant'sBankName]AccountName:[Consultant'sAccountName]AccountNumber:[Consultant'sAccountNumber]SWIFT/BIC:[Consultant'sSWIFTCode]IBAN:[Consultant'sIBAN,ifapplicable]5.TimelineConsultantshallendeavortocompletetheresearchanddeliverthefinalreportwithin[SpecifyDuration,e.g.,90]daysfromtheCommencementDate.Keymilestonesareprojectedasfollows:(a)Submissionofinitialresearchplanoutline:Within[Number,e.g.,10]daysofCommencementDate.(b)Completionofprimarydatacollectionandanalysis:By[Dateorspecifyrelativetostartdate,e.g.,60daysafterCommencementDate].(c)SubmissionoffinalresearchreportforClient'sreview:By[Dateorspecifyrelativetostartdate].(d)Finalreportdelivery:Within[Number,e.g.,5]daysafterClient'swrittenacceptanceofthereport.6.ConfidentialityEachPartyherebyagreestokeepconfidentialallnon-publicinformationdisclosedbytheotherParty(the"DisclosingParty")totheReceivingParty(the"ReceivingParty")inconnectionwiththisContract.Thisobligationincludes,butisnotlimitedto,Client'sbusinessstrategies,technicalinformation,customerlists,andfinancialdata,aswellasConsultant'sresearchmethodologies,datasources,andpreliminaryfindings.ThereceivingPartyshallusesuchconfidentialinformationsolelyforthepurposeofperformingitsobligationsunderthisContractandshallnotdiscloseittoanythirdpartywithoutthepriorwrittenconsentoftheDisclosingParty.ThisconfidentialityobligationshallsurvivetheterminationorexpirationofthisContractforaperiodof[SpecifyDuration,e.g.,three]yearsfollowingtheendoftheservices.7.IntellectualProperty(a)Allintellectualpropertyrights,includingbutnotlimitedtocopyrights,inthefinalresearchreport,presentations,dataanalysismodels,andanyotherdeliverablesspecificallycreatedbyConsultantforClientunderthisContractshallbetheexclusivepropertyofClientuponfullpaymentofthefeesdueunderthisContract.(b)Consultantretainsallrightstoitsgeneralresearchmethodologies,tools,databases,andintellectualpropertydevelopedpriortoorindependentlyofthisengagement.ConsultantmayusegeneralknowledgeandexperiencegainedduringtheperformanceofthisContractforitsownbenefit,butshallnotusesuchknowledgeorexperienceinamannerthatcompeteswithClientorbreachestheconfidentialityobligationsofthisContract.(c)ConsultantshallhavetherighttobeacknowledgedastheprovideroftheservicesunderthisContractinanypublicreportsorpublicationsbasedonthedeliverables,subjecttoClient'spriorwrittenconsentifsuchacknowledgementisreasonablyconsidereddetrimentaltoClient.8.IndemnificationEachPartyshallindemnifyandholdharmlesstheotherPartyfromandagainstanyandallclaims,damages,losses,liabilities,costs,andexpenses(includingreasonableattorneys'fees)arisingoutoforresultingfromtheotherParty'sbreachofanyprovisionofthisContractoritsnegligence,misconduct,orwillfulmisconduct.ConsultantshallalsoindemnifyClientagainstanyclaimsarisingfromConsultant'sbreachoftheconfidentialityobligationssetforthinSection6.9.ForceMajeureNeitherPartyshallbeliableforanyfailureordelayinperformingitsobligationsunderthisContractifsuchfailureordelayiscausedbyForceMajeure,definedasaneventbeyondthereasonablecontroloftheaffectedParty,includingactsofGod,war,terrorism,civilunrest,strikes,fire,flood,explosion,governmentalactionorregulation,orothersimilarevents.TheaffectedPartyshallpromptlynotifytheotherPartyofanysucheventandtakeallreasonablestepstomitigateitseffects.PerformanceunderthisContractshallbesuspendedduringtheperiodofForceMajeure,andtheobligationsunderthisContractshallbesuspendedorterminatediftheForceMajeureconditioncontinuesforaperiodexceeding[SpecifyDuration,e.g.,90]days.10.DisputeResolutionAnydispute,controversy,orclaimarisingoutoforrelatingtothisContract,includingitsbreach,termination,orinvalidity,shallfirstbeattemptedtobesettledamicablythroughgoodfaithnegotiationsbetweentheparties'authorizedrepresentatives.Ifthedisputecannotbesettledwithin[Number,e.g.,30]daysfromthetimeeitherpartyindicatesitsinabilitytosettle,thedisputeshallbesubmittedtofinalandbindingarbitrationadministeredbythe[SpecifyArbitrationInstitution,e.g.,InternationalChamberofCommerce(ICC)]inaccordancewiththe[SpecifyRules,e.g.,ICCRulesofArbitration]ineffectatthetimeofsubmission.Theseatofthearbitrationshallbe[SpecifyCity,e.g.,Paris,London],andthelanguageofthearbitrationshallbeEnglish.TheTribunalshallconsistof[SpecifyNumber,e.g.,oneorthree]arbitrator(s).Thearbitralawardshallbefinalandbindingonbothpartiesandshallbeenforceableinaccordancewiththeapplicablelaws.ThecostsofarbitrationshallbesharedbythepartiesasdeterminedbytheTribunal.11.GoverningLawThisContractandanydisputesarisingoutoforinconnectionwithitshallbegovernedbyandconstruedinaccordancewiththelawsof[SpecifyJurisdiction,e.g.,EnglandandWales],withoutregardtoitsconflictoflawprinciples.TheUNConventiononContractsfortheInternationalSaleofGoods(CISG)shallnotapplytothisContract.12.NoticesAllnotices,requests,demands,andothercommunicationsrequiredorpermittedunderthisContractshallbeinwritingandshallbedeemedgiven(a)whendeliveredpersonally;(b)uponconfirmationofreceiptwhensentbyemail;or(c)onebusinessdayafterdepositwithanationallyrecognizedovernightcourierserviceoruponmailingbycertifiedorregisteredmail,returnreceiptrequested,postageprepaid,totheaddressessetforthaboveortosuchotheraddressaseitherpartymaydesignatebynotice.13.EntireAgreementThisContract,includinganyreferencedexhibitsorattachments,constitutestheentireagreementbetweenthepartieswithrespecttothesubjectmatterhereofandsupersedesallprioragreements,negotiations,andunderstandings,whetherwrittenororal,relatingtothesubjectmatterofthisContract.14.AmendmentsNoamendment,modification,orwaiverofanyprovisionofthisContractshallbeeffectiveunlessinwritingandsignedbyauthorizedrepresentativesofbothparties.15.AssignmentNeitherpartymayassignanyrightsorobligationsunderthisContract,inwholeorinpart,withoutthepriorwrittenconsentoftheotherparty.Anyattemptedassignmentwithoutsuchconsentshallbenullandvoid.16.SeverabilityIfanyprovisionofthisContractisheldbyacourtorothertribunalofcompetentjurisdictiontobeinvalid,illegal,orunenforceableforanyreason,suchprovisionshallbeeliminatedorlimitedtotheminimumextentsuchthattheremainingprovisionsoftheContractwillcontinueinfullforceandeffect.17.WaiverNowaiverbyeitherparty
