国际工程项目承包合同协议2025ThisInternationalEngineeringProjectContractAgreement(hereinafterreferredtoasthe"Contract")ismadeandenteredintoasof[Date],byandbetween:[EmployerName],havingitsprincipalplaceofbusinessat[EmployerAddress](hereinafterreferredtoasthe"Employer"),and[ContractorName],acompanyincorporatedunderthelawsof[ContractorCountry],havingitsprincipalplaceofbusinessat[ContractorAddress](hereinafterreferredtoasthe"Contractor").WHEREAS,theEmployerdesirestoengagetheContractortodesign,procure,construct,andpossiblycommission(asdefinedinthe附件)the[ProjectName]locatedat[ProjectAddress](hereinafterreferredtoasthe"Project"),andWHEREAS,theContractordesirestoperformthedesign,procurement,construction,andpossiblecommissioningoftheProjectfortheEmployerinaccordancewiththetermsandconditionssetforthherein.NOW,THEREFORE,inconsiderationofthemutualcovenantsandagreementssetforthherein,thepartiesheretoagreeasfollows:1.ProjectDescriptionandScopeofWork1.1TheProjectshallbethe[briefdescriptionoftheproject,e.g.,constructionofa300MWsolarpowerplant]atthelocationspecifiedherein.1.2TheContractorshallperformthefollowingworkunderthisContract(the"ScopeofWork"):a)PreparedetaileddesignbasedontheEmployer'srequirementsandrelevantinternationalandnationalstandards.b)Procureallnecessarymaterials,equipment,andservicesrequiredfortheProject.c)ConstructtheProjectaccordingtotheapproveddesignandspecifications.d)CommissiontheProjectuponcompletionofconstruction.e)ProvidetrainingtotheEmployer'spersonnelontheoperationandmaintenanceoftheProject.f)AssumefullresponsibilityforthemanagementandexecutionoftheProject,includingbutnotlimitedtositemanagement,qualitycontrol,safetymanagement,andenvironmentalprotection.1.3Thespecifictechnicalspecifications,drawings,andotherrequirementsfortheProjectshallbeprovidedbytheEmployerandincorporatedintothisContractbyreferenceas附件.2.ContractDocuments2.1ThisContractconsistsofthefollowingdocuments,eachofwhichformsanintegralpartofthisContract:a)ThisContractAgreement.b)TheEmployer'sLetterofAward.c)TheContractor'sBid.d)All附件listedinClause1.3.e)TheStandardContractConditions,comprisingtheGeneralConditionsandtheSpecificConditions,asmaybeamendedfromtimetotime.2.2IntheeventofanyconflictorinconsistencyamongtheContractDocuments,thedocumentsshallbeinterpretedinthefollowingorderofpriority:(1)ThisContractAgreement,(2)theEmployer'sLetterofAward,(3)theContractor'sBid,(4)附件,(5)theStandardContractConditions(GeneralConditionsfirst,thenSpecificConditions).3.ContractPriceandPayment3.1TheContractPricefortheScopeofWorksetforthhereinis[ContractPrice][Currency](the"ContractPrice"),fixed[indicatingwhetheritisfixedprice,lumpsum,unitprice,etc.].3.2TheEmployershallpaytheContractortheContractPriceaccordingtothefollowingschedule:a)Apreliminarypaymentof[Percentage]%oftheContractPriceshallbepaidbytheEmployertotheContractoruponthesigningofthisContractandtheContractor'ssubmissionofavalidperformancebond.b)ProgresspaymentsshallbemadebytheEmployertotheContractoratintervalsof[TimePeriod],basedontheContractor'scertifiedclaimsforworkcompleted.c)AfinalpaymentshallbemadebytheEmployertotheContractorwithin[Number]daysaftertheProjectisacceptedbytheEmployer.3.3AllpaymentsunderthisContractshallbemadein[Currency]withoutdeductionorset-off.3.4TheContractorshallberesponsibleforalltaxesanddutiespayableinrespectoftheContractPriceandanypaymentsreceivedunderthisContract,exceptfortaxesdirectlyleviedontheEmployerbylaw.4.ProjectManagementandExecution4.1TheEmployershalldesignateanEngineer(hereinafterreferredtoasthe"Engineer")tomanagetheContractandprovidetechnicalguidance.TheEngineer'sname,title,andauthorizedscopeofactionshallbespecifiedinwritingandformpartofthisContract.4.2TheContractorshallappointaProjectManagertoberesponsiblefortheexecutionoftheProject.TheContractorshallnotifytheEngineerinwritingofthenameandtitleoftheProjectManager.4.3TheContractorshallsubmitadetailedconstructionscheduletotheEngineerforapprovalandshallupdatethescheduleasnecessaryduringtheexecutionoftheProject.4.4TheContractorshallensurethatallworkperformedunderthisContractiscompletedtotherequiredqualitystandardsasspecifiedhereinandshallberesponsibleforallinspectionandtestingcosts.4.5TheContractorshallimplementallnecessarysafetymeasurestoensurethesafetyofitspersonnelandthepublicduringtheexecutionoftheProjectandshallcomplywithallapplicablesafetylawsandregulations.4.6TheContractorshalltakeallnecessaryenvironmentalprotectionmeasuresduringtheexecutionoftheProjectandshallcomplywithallapplicableenvironmentallawsandregulations.5.Supervision,Acceptance,andHandover5.1TheEmployershallhavetherighttosupervisetheexecutionoftheProjectatanytimeandtorequiretheContractortomakeimprovementsorcorrectionsiftheworkisnotincompliancewiththerequirementsofthisContract.5.2TheContractorshallberesponsibleforallcostsincurredinconnectionwiththesupervision.5.3UponcompletionofeachphaseoftheProject,theContractorshallsubmitanapplicationforinspectiontotheEngineer.TheEngineershallorganizeaninspectionwithin[Number]daysuponreceiptoftheapplication.5.4UponcompletionoftheentireProject,theContractorshallsubmitanapplicationforfinalacceptancetotheEngineer.TheEngineershallorganizeafinalacceptancewithin[Number]daysuponreceiptoftheapplication.5.5UpontheProject'sacceptancebytheEngineer,theContractorshallhandovertheProjecttotheEmployer,andtheEmployershallissueanacceptancecertificate.6.RiskandInsurance6.1TherisksassociatedwiththeProjectshallbebornebythepartiesasfollows:a)RisksoftheEmployer'spropertyshallbebornebytheEmployer.b)RisksoftheContractor'spropertyshallbebornebytheContractor.c)RisksoftheProjectduringconstructionshallbebornebytheContractor.d)RisksofdelayinperformanceshallbebornebytheContractorunlesscausedbyforcemajeureortheEmployer'sdefault.6.2TheContractorshall,atitsownexpense,procureandmaintainthefollowinginsurancesduringtheexecutionoftheProject:a)All-riskinsurancefortheProjectwithaninsuredamountofnotlessthan[Amount][Currency].b)Third-partyliabilityinsurancewithaninsuredamountofnotlessthan[Amount][Currency].c)PropertyinsurancefortheContractor'sequipmentwithaninsuredamountofnotlessthan[Amount][Currency].d)Workers'compensationinsurancefortheContractor'spersonnel.6.3TheContractorshallprovidetheEmployerwithcertificatesofinsurancewithin[Number]daysoftheinsurancebeingeffectuated.6.4TheContractorshallalsoprocureperformancebondandadvancepaymentguaranteebondasrequiredbytheEmployer.7.DefectLiability7.1AftertheProjectisacceptedbytheEngineer,theContractorshallberesponsibleforanydefectsintheProjectdiscoveredwithinthedefectliabilityperiod.7.2Thedefectliabilityperiodshallbe[Number]yearsfromthedateofacceptance.7.3TheContractorshall,atitsownexpense,rectifyanydefectsuponnotificationbytheEngineer.8.Variation8.1TheEmployermaymakevariationstotheScopeofWork.Anyvariationshallbeagreeduponinwritingbybothparties.8.2Thecostandtimeimpactofanyvariationshallbenegotiatedandagreeduponinwritingbybothparties.9.ClaimsandDefault9.1IftheEmployerfailstoperformitsobligationsunderthisContract,theContractorshallbeentitledtoclaimdamagesfromtheEmployer.9.2IftheContractorfailstoperformitsobligationsunderthisContract,theEmployershallbeentitledtoclaimdamagesfromtheContractorandmay,dependingontheseverityofthedefault,terminatethisContract.9.3TheContractorshallsubmitanyclaimtotheEngineerinwritingwithin[Number]daysoftheeventgivingrisetotheclaim.10.Termination10.1ThisContractmaybeterminatedbyeitherpartyupon[Number]days'writtennoticetotheotherpartyiftheotherpartycommitsamaterialbreachofthisContractandfailstoremedysuchbreachwithin[Number]daysofbeinggivennoticetodoso.10.2Intheeventoftermination,theContractorshallbeentitledtoreceivepaymentsforallworkandexpensesincurreduptothedateoftermination,subjecttotheprovisionsofthisContract.11.ForceMajeure11.1"ForceMajeure"meansaneventbeyondthereasonablecontroloftheaffectedparty,includingbutnotlimitedtoactsofGod,war,terrorism,insurrection,civilcommotion,flood,earthquake,epidemic,orothernaturaldisasters.11.2IfForceMajeurepreventsordelaystheperformanceofitsobligationsunderthisContract,theaffectedpartyshallnotifytheotherpartyinwritingwithin[Number]daysoftheoccurrenceoftheForceMajeure.11.3TheaffectedpartyshallnotbeliableforanyfailureordelayinperformancecausedbyForceMajeureandshallusereasonableeffortstomitigatetheeffectsoftheForceMajeure.11.4IftheForceMajeurecontinuesformorethan[Number]days,eitherpartyshallhavetherighttoterminatethisContractbygiving[Number]days'writtennoticetotheotherparty.12.Confidentiality12.1EachpartyshallkeepconfidentialallinformationobtainedfromtheotherpartyinconnectionwiththisContractandshallnotdisclosesuchinformationtoanythirdpartywithoutthepriorwrittenconsentoftheotherparty.12.2TheconfidentialityobligationshallsurvivetheterminationofthisContract.13.ApplicableLawandDisputeResolution13.1ThisContractshallbegovernedbyandconstruedinaccordancewiththelawsof[ApplicableLaw].13.2AnydisputearisingoutoforinconnectionwiththisContractshallbefinallysettledbyarbitrationinaccordancewiththeArbitrationRulesofthe[ArbitrationInstitution](the"Arbitration").Theplaceofarbitrationshallbe[City,Country].Thelanguageofthearbitrationshallbe[Language].14.Notices14.1AllnoticesunderthisContractshallbeinwritingandshallbedeemedtohavebeendulygivenwhendeliveredpersonally,sentbyregisteredpost,orsentbyemailtotheaddressesspecifiedinCl
