船舶配件出口合同英文协议ThisContractismadeandenteredintoon[Date],byandbetween[Seller'sFullLegalName],havingitsprincipalplaceofbusinessat[Seller'sAddress]("Seller"),and[Buyer'sFullLegalName],havingitsprincipalplaceofbusinessat[Buyer'sAddress]("Buyer").1.SubjectMatterTheSelleragreestosellandtheBuyeragreestobuythefollowingMarineParts:*ItemName:MarineEngineSpareParts*Description:Includes,butisnotlimitedto,mainenginebearings,turbochargerrotors,deckmachinerywireropes,andassociatedhardware,asperthetechnicalspecificationsdefinedinExhibitAattachedheretoandincorporatedbyreferenceherein.*Specification/Model:AsdetailedinExhibitA,conformingtorelevantinternationalstandards(e.g.,ISO,API,DNV)specifiedtherein.*Quantity:[InsertQuantity]pieces/kilograms/meters(asapplicable),allowingforatoleranceof+/-5%onthetotalquantity,withtheSellernotifyingtheBuyerinwritingofanyincreaseordecreasewithinthistoleranceandobtainingpriorwrittenconsentifrequiredbyBuyer.*UnitPrice:[InsertUnitPrice][Currency]perunit(asdefinedinExhibitA).*TotalPrice:Theaggregatepriceforthegoodsshallbe[InsertTotalAmount][Currency],subjecttoanyvariationsagreedinwritingbybothParties.2.PriceandPaymentTermsTheTotalPriceunderthisContractispayablebytheBuyertotheSellerwithin[Number,e.g.,30]daysafterthedateoftheSeller'sinvoiceuponshipment,by[PaymentMethod,e.g.,irrevocableLetterofCredit(L/C)atsightissuedby[IssuingBankName]infavoroftheSeller,or30%byT/TinadvanceuponsigningthisContract,andthebalance70%byT/Twithin[Number,e.g.,10]daysaftertheSellerpresentsthefullsetofshippingdocumentscompliantwiththeL/Cterms(orinvoiceandB/LcopiesincaseofT/Tpayment)].3.PackingandMarkingThegoodsshallbepackedin[SpecifyPackingDetails,e.g.,strongwoodencaseslinedwithwaterproofmaterials,oraccordingtothemanufacturer'sstandardpackaging],ensuringsafetransportationagainstshock,vibration,andmoisture.Eachpackageshallbeclearlymarkedwiththefollowingmarks:Seller'sandBuyer'sfullnamesandaddresses,ContractNo.,ItemNo.,Quantity,GrossWeight,NetWeight,Measurement(incubicmeters),"THISSIDEUP","FREIGHTPREPAID","DELIVERTO[DestinationPort]",and"MADEIN[CountryofOrigin]".AllpackagesshallbeappropriatelysecuredandbearthenecessaryexportmarksasrequiredbytheIncoterms®termselected.4.DeliveryPeriod/ShipmentDateThegoodsshallbedelivered/shippedwithin[Number,e.g.,60]daysafterreceiptoftheBuyer'swrittenorderandtheSeller'sacceptance,orasspecifiedintheapplicableIncoterms®term,andcompletednotlaterthan[Dateorspecificperiod]([SpecifyShipmentDeadline]).5.PortofShipment/PortofDestination*PortofShipment:[SpecifyPortName],[Country],aspertheIncoterms®termagreed([e.g.,FOBPortofShipmentnamedabove]).*PortofDestination:[SpecifyPortName],[Country],aspertheIncoterms®termagreed([e.g.,CIFPortofDestinationnamedabove]).*Incoterms®:ThepartiesherebyagreetotheIncoterms®term[SpecifyIncoterms®term,e.g.,FOB,CIF,CFR,EXW]applicabletothesaleandshipmentofthegoodsunderthisContract.TheSeller'sobligations,costs,andrisksunderthechosenIncoterms®termshallbeasdefinedinthelatesteditionoftheIncoterms®rulespublishedbytheInternationalChamberofCommerce.6.Insurance*IfCIF/CFR:TheSellershallprocureandpayformarineinsurancecoveringthegoodsagainstAllRisksasdefinedinthe[SpecifyInsuranceClause,e.g.,InstituteCargoClauses(C),A]foranamountnotlessthan[SpecifyPercentage,e.g.,110]%oftheinvoicevalueaspertheIncoterms®term,forthebenefitoftheBuyer.Theinsuranceshallcoverlossesoccurringduringthecarriageofthegoodsfromthetimetheypasstheship'srailatthePortofShipmenttothetimetheyaredeliveredatthePortofDestination.TheSellershallprovidetheBuyerwithaclean,firstlosscertificateissuedbyareputableinsurancecompanyevidencingtheinsurance.*IfFOB/EXW:TheBuyershallarrangeforandbearallcostsandrisksforinsuringthegoodsduringtransportation.7.QualityGuarantee/WarrantiesThegoodsshallbenew,offirst-classquality,material,andworkmanship,andconformtothespecificationsdefinedinExhibitAandapplicablestandards.TheSellerwarrantsthatthegoodsarefreefrompatentandotherintellectualpropertyrightsinfringement.TheSellershallprovideaqualityguaranteeperiodof[Number,e.g.,24]monthsfromthedateofshipment,duringwhichtheSellershall,atitsownexpense,repairorreplaceanydefectivepartscausedbymaterialflawsormanufacturingdefects.Thewarrantydoesnotcoverdamageresultingfromimproperinstallation,use,orabnormalconditions.8.InspectionThegoodsshallbeinspectedandcertifiedby[SpecifyInspector,e.g.,theSeller'sauthorizedrepresentative,amutuallyagreedthird-partyinspectorlikeSGSorBureauVeritas]beforeshipment.Theinspector'scertificateofqualityshallbedeemedacceptableunlesstheBuyerraisesobjectionsinwritingwithin[Number,e.g.,7]daysafterinspection.Allinspectionfeesshallbeborneby[SpecifyParty,e.g.,theSeller].9.CertificatesTheSellershallprovidetheBuyerwiththefollowingcertificates:*CommercialInvoicein[Number,e.g.,three]originalcopies.*PackingListin[Number,e.g.,two]originalcopies.*BillofLading/AirWaybillin[Number,e.g.,two]originalcopiesmadeoutto[OrderofParty,e.g.,theorderoftheBuyeror"asperL/C"].*CertificateofOriginin[Number,e.g.,one]originalcopyissuedbythe[IssuingAuthority,e.g.,ChamberofCommerce]inaccordancewith[CertificateType,e.g.,FormA].*[Addanyotherspecificcertificatesrequired,e.g.,CertificateofQuality,specificindustrycertificationslikeCE,ISO,API].AllcertificatesshallbeinEnglishorthe[SpecifyLanguage]languageacceptabletotheBuyer.10.ForceMajeureNeitherPartyshallbeliableforanyfailureordelayinperformingitsobligationsunderthisContractifsuchfailureordelayiscausedbyForceMajeure,definedaseventsbeyonditsreasonablecontrol,including,butnotlimitedto,war,armedconflict,riots,civilcommotion,strikes,fire,flood,earthquake,hurricane,typhoon,tsunami,epidemicdisease,governmentalactions(includingregulations,orders,oractions),andactsofGod.TheaffectedPartyshallpromptlynotifytheotherPartyinwritingofsucheventandproviderelevant证明documents.NeitherPartyshallbeliableforanylossesresultingfromForceMajeure,butshallusereasonableeffortstomitigatethedamages.11.RightsandObligations(Summary)TheSeller'sprimaryobligationsincludesupplyingthegoodsasagreed,packingandmarkingthemproperly,arrangingshipmentaccordingtoIncoterms®andContractterms,providingtherequiredcertificates,andhonoringthequalitywarranty.TheBuyer'sprimaryobligationsincludepayingthepurchasepriceaccordingtotheagreedterms,arranginginsuranceifrequired(underFOB/EXW),andreceivingandinspectingthegoods.12.LiabilityTheSeller'stotalliabilitytotheBuyerforanylossordamagearisingfromthebreachofthisContractshallnotexceedthecontractvalue.TheSellershallnotbeliableforanyindirect,consequential,special,orpunitivedamages.ThislimitationdoesnotapplytoliabilityfordeathorpersonalinjurycausedbytheSeller'snegligence.13.IntellectualPropertyRightsTheSellerrepresentsandwarrantsthatitisthelegitimatemanufacturerorsupplierofthegoodsandthatthegoodsdonotinfringeuponanyvalidintellectualpropertyrightsofanythirdparty.TheSellergrantstheBuyeranon-exclusive,royalty-freelicensetousetheintellectualpropertyrightsnecessaryfortheinstallation,use,andoperationofthegoodspurchasedunderthisContractwithintheterritoryof[SpecifyTerritory].14.ConfidentialityBothPartiesagreetokeepconfidentialalltechnical,commercial,andbusinessinformationdisclosedbytheotherPartyduringthetermofthisContractandfor[Number,e.g.,two]yearsthereafter,exceptasrequiredbylaworasdisclosedtothirdpartieswiththepriorwrittenconsentofthedisclosingParty.15.TerminationThisContractmaybeterminatedbyeitherPartyupon[Number,e.g.,30]days'writtennoticetotheotherPartyiftheotherPartycommitsamaterialbreachofanytermhereofandfailstoremedysuchbreachwithinthespecifiedperiod.Upontermination,anyoutstandingobligationsshallremainenforceable.16.GoverningLawandDisputeResolutionThisContractshallbegovernedbyandconstruedinaccordancewiththelawsof[SpecifyJurisdiction,e.g.,thePeople'sRepublicofChina].AnydisputearisingoutoforinconnectionwiththisContractshallbefinallysettledby[SpecifyMethod,e.g.,arbitration]beforethe[SpecifyArbitrationInstitution,e.g.,ChinaInternationalEconomicandTradeArbitrationCommission(CIETAC)]inaccordancewithitsArbitrationRules.Theplaceofarbitrationshallbe[SpecifyCity,e.g.,Shanghai].ThearbitralawardshallbefinalandbindinguponbothParties.[Alternatively,specifylitigation:AnylitigationarisingoutofthisContractshallbesubmittedtothecompetentpeople'scourtof[SpecifyCity],[SpecifyProvince/Region]].17.NoticesAllnotices,requests,demands,andothercommunicationsrequiredorpermittedunderthisContractshallbeinwritingandshallbedeemedtohavebeendulygivenwhendeliveredpersonally,sentbyreputableovernightcourier,orsentbyregisteredorcertifiedmail(airmailorregular)postageprepaid,addressedtothePartiesattheiraddressessetforthhereinortosuchotheraddressoremailaddressaseitherPartymaydesignateinwriting.18.AmendmentsAnyamendmentormodificationofthisContractshallbeeffectiveonlyifmadeinwritingandsignedbytheauthorizedrepresentativesofbothParties.19.EntireAgreementThisContract,includingitsExhibitsandAppendices(ifany),constitutestheentireagreementbetweenthePartiesconcerningthesubjectmatterhereo
