workquantityorpaymentamount,bothpartiesshallattempttoresolvethemthroughnegotiation;ifnegotiationfails,thedisputeresolutionmethodagreeduponintheMainContractshallbefollowed.paymenttimeandmethod:1.Thepaymenttime:TheClientshallpaytheprogresspaymenttotheContractorwithinthelatesttimelimit(e.g.,Xworkingdays)aftertheContractorsubmitsacompleteandcompliantapplication.2.Thepaymentmethod:Thepaymentshallbemadebybanktransfer.3.TheContractorshallprovidetheaccurateandeffectivebankaccountinformationtotheClientforreceivingpayments.paymentevidenceandinvoice:1.TheinvoicerequiredbytheContractorshallbeaValue-AddedTax专用(Special)Invoice,issuedinaccordancewiththerequirementsforissuancetime,content,etc.intheMainContract.2.Aftermakingthepayment,theClientshallprovidethepaymentreceipt(suchasbanktransferslip)totheContractor.deductionsandretention:1.TheClienthastherighttodeductthefollowingamountswhenmakingprogresspayment:-Theperformanceguaranteedeposit(ifany)agreeduponinthecontract.-ThecostsforvariationsduetotheContractor'sfault.-Thedefaultpenaltiesagreeduponinthecontract.-CompensationforlossescausedbytheContractor'sfault.-Theperformanceguaranteedeposit(orpaymentguaranteedeposit)agreeduponinthecontract.2.Aretentionmoney(performanceguaranteedeposit)shallbesetfortheprogresspayment.Theconditionsforthereturnoftheretentionmoneyshallbe(e.g.,aftertheprojectisacceptedasqualifieduponcompletion).liabilityforbreachofcontract:1.Client'sLiability:TheClientshallbeliableforbreachofcontractifitfailstopaytheprogresspaymentaccordingtotheagreement.Thelegalconsequencesshallinclude:-Payingdefaultpenalties(e.g.,calculatedatacertainpercentageoftheamountdueandthenumberofoverduedays).-CompensatingtheContractorforlossescausedbythedelayinpayment(e.g.,interestoncapitaloccupation).-Terminatingthecontract(asstipulatedinthecontract).2.Contractor'sLiability:AlthoughtheprogresspaymentagreementmainlyfocusesontheClient'spaymentobligation,itmayalsoinvolvetheliabilityoftheContractoriftheContractorfailstosubmitcompliantdocumentsorsubmitsfalsedocumentsontime,resultinginadelayinpayment.effectiveness,amendment,andtermination:1.Effectiveness:ThisAgreementshallbecomeeffectiveuponthesignatureandsealbybothparties,orupontheeffectivenessoftheMainContract(asagreedintheMainContract).2.Amendment:AnymodificationtothecontentofthisAgreementshallrequiretheconsentofbothpartiesandshallbedocumentedinawrittensupplementaryagreement.3.Termination:ThisAgreementmaybeterminatedunderthefollowingcircumstances(suchastheterminationofthecontract,thesuspensionoftheproject,etc.).forcemajeure:Ifforcemajeureevents(suchasearthquakes,floods,wars,etc.)occur,resultinginadelayorinabilitytopay,neitherpartyshallbearliabilityforbreachofcontract,butbothpartiesshallnotifyeachotherinatimelymannerandprovidesupportingevidence.disputeresolution:Incaseofdisputes,themethodofdisputeresolutionshallbeasagreeduponintheMainContract,whichm
