上海市房屋租赁合同 (中英文 ) Shanghai Property Lease Contract 特别告知 IMPORTANT 一、本合同适用于本市行政区域范围内的商品房预租以及按市场化原则协商确定租赁的房屋租赁,不包括按市政府规定的租金标准出租的公有居住房屋、行政调配方式出租和政府投资建造的公益性的非居住房屋以及在条例施行前按照市政府规定的租金标准出租的私有居住房屋的租赁。 This Contract is applicable to pre-lease of commodity houses and market-based house lease within the administrative area of Shanghai Municipality, excluding leaseof public residential properties based on the government-specified rental rates, leaseof houses in the manner of administrative allocation, lease of non-residential publicproperties whose construction is funded by the government, and the lease of private residential properties leased at the government-specified rental rates before implementation of Shanghai Regulations on Leasing of Housing Premises. 二、预租仅限于房地产开发企业投资建造,并已取得预售许可证的商品房,但房地产开发企业已经预售的商品房不得预租;商品房预购人也不得将预购房商品房预租。 Pre-lease is only limited to the commodity houses built and invested in by realestate developers and issued with the pre-sale permit, excluding the commodity houses already pre-sold by real estate developers. The pre-buyers of commodity housesshall not pre-lease the pre-bought properties. 三、本合同条款中的【出租】或【预租】为提示性符号,表示该条款适用于出租行为或预租行为。本合同作为房屋租赁合同使用时,只能采用标有【出租】部分的内容;而作为商品房预租合同使用时,则只能采用【预租】部分的条款和补充条款中的“ 预租有关事宜 ”部分的条款。其他未标有【】符号的条款作为通用性条款,不 论预租或出租都适用。 The mark 【 lease】 or【 pre-lease】 indicated in the provisions of this Contract is indicative, which means that the marked clause is applicable to lease or pre-lease activity, as the case may be. If this Contract is used for lease, only the provisions marked with 【 lease】 can be adopted, while only the provisions marked with【 pre-lease】 and the supplementary clauses concerning pre-lease matters are applicable tothe pre-lease case. Other provisions without the“【 】 ” mark are for general purpose, applicable to both lease and pre-lease. 四、本合同用于商品房预租的,在该商品房竣工,房地产开发企业办理了房地产初始登记、取得了房地产权证后,预租双方当事人应当签订商品房使用交接书。该合同即转为房屋租赁合同,合同内的原预租条款履行完毕。 If this Contract is used for pre-lease of commodity houses, the parties to the pre-lease shall enter into a commodity house occupancy takeover agreement after thecommodity house is completed and its developer completes the real estate initial registration and obtains the certificate of title thereto. Thereafter, this contract will beconverted into a lease contract and all the pre-lease provisions contained herein arefulfilled. 五、本合同文本系市房地资源局和上海市工商管理局根据上海市房屋租赁条例制定的范本(试行)。其合同条款均为提示性条款,供租赁双方当事人约定采用。本合同中的未尽事宜可由甲、乙双方协商一致后,订立补充条款予以明确。 This contract is a sample form (for trial) developed by Shanghai Municipal Housing, Land and Resource Administration Bureau and Shanghai Administration of Industry and Commerce in accordance with Shanghai Regulations on Leasing of Housing Premises. All its provisions are informative for the parties to lease or pre-lease.Anything not covered hereunder may be negotiated and agreed upon between the Parties in the form of supplementary clauses. 六、本合同签订前出租人应向承租人出具房地产权证或其他权属证明,房地产开发企业向预租人出具预售许可证。并相互交验有关身份证明。其中将房屋出租给外来流动人员的,出租人还应出示公安部门发放的房屋租赁治安许可证。 Before ution of this Contract, the lessor shall present to the lessee thecertificate of title to the leased premises or other documents supporting his/her ownership. The real estate developer shall present the pre-sale permit to the pre-lessor.The lessor and the lessee shall examine the ID certificate of each other. Where the house is leased to any non-Shanghai resident in transit, the lessor shall present the Security Permit for House Lease issued by public security authorities. 七、本合同签订后的 15 日内当事人应按规定办理合同登记备案。其中,属房屋租赁的,应向房屋所在地的房地产交易中心或农场系统受理处办理,领取租赁合同登记备案证明;属于商品房预租的,外销商品房应向市房地产交易中心办理登记备案;内销商品房向房屋所在地的房地产交易中心办理登记备案。预租商品房竣工取得房地产权证,由双方当事人订立预租商品房使用交接书后,再按规定向房屋所在地的房地产交易中心或农场系统受理处办理登记备案,领取租赁合同登记备案证明。租赁合同经登记备案后,当发生重复预租、出租、租赁期间房屋转让或设定抵押后被处分等 事实时,可以对抗第三人。 The parties to this Contract shall complete contract registration procedures as required within 15 days upon contract signing thereof. In the case of lease, the parties shall register with the real estate trade center or the farm system filing office at the place of the leased premises and then obtain the certificate of lease contract registration. In the case of pre-lease of commodity houses, those for overseas sale shallbe registered with the Municipal Real Estate Trade Center while those for domestic sale shall be registered with the local real estate trade center at the place of the leased premises. After the pre-leased commodity house is completed and issued the certificate of title and the parties enter into the pre-leased commodity house occupancy takeover agreement, the parties shall register again with the real estate trade center or the farm system filing office at the place of the leased premises and obtainthe certificate of lease contract registration. The registration of the lease contract can provide defense against any third party in the case of repeated pre-lease or leaseor assignment of house during the term of lease or disposal of the house due to mortgage during the term of lease. 八、凡当事人一方要求登记备案,而另一方不予配合的,要求登记备案的一方可持本合同、有效身份证明等有关文件办理登记备案。 If a party requests registration of this contract but the other party refuses to cooperate, the party requesting such registration may alone register the contract by presenting this contract, valid ID certificate and other relevant documents. 九、房屋租赁保证金是一种履约保证的措施。房屋出租时,出租人可以与承租人在合同中约定收取房屋租赁保证金。租赁保证金的数额由租赁双方当事人约定。租赁关系终止时,房屋租赁保证金除用以抵充合同约定由承租人承担的费用外,剩余部分应当归还承租人。 十、本合同文本可向市或房屋所在地区、县房地产交易中心或农场系统受理处购取。双方当事人使用本合同前仔细阅读,认真了解各条款内容。 This contract form is available at Shanghai Municipal Estate Trade Center or farm system filing office or local estate trade enter or farm system filing office in th e district or county where the leased premises are located. The parties shall carefully read this contract before use. 十一、本合同为示范文本,供当事人参照使用。 This contract is a sample form for reference by the parties. 十二、本合同的租赁关系由经纪人机构代理或居间的则租赁当事人应当要求经纪人机构和经纪人在本合同的最后一页签字、盖章。 If the lease arrangement under this contract is brokered by an agency, the agency or the broker shall be required to sign and/or affix seal on the last page of thiscontract. 上海市房屋租赁合同 上海市商品房预租合同 Shanghai Property Lease Contract Shanghai Property Pre-Lease Contract 本合同双方当事人: Parties to this Contract: 出租方(甲方): Lessor: 【出租】 【 Lease】 承租方(乙方): Lessee: 根据 中华人民共和国合 同法、 上海市房屋租赁条例 (以下简称: 条例 )的规定,甲、乙双方在平等自愿公平和诚实信用的基础上,经协商一致,就乙方承租甲方可依法出租 (出租 /预租)的房屋事宜,订立本合同。 This Contract is made by and between the Parties on the leasing of the house owned by the Lessor and legally leasable (leasable/pre-leasable) to the Lessee in accordance with the Contract Law of the People s Republic of China and Shanghai Regulations on Leasing of Housing Premises (“Regulations”) under the principles ofequality, free will and good faith. 一、出租或预租房屋情况 Particulars of Leased Premises 1-1 甲方出租(出租 /预租)给乙方的房屋座落在本市 (区 /县) 路 (弄/新村) (号 /幢) 室(部位) (以下简称该房屋)。该房屋出租实测建筑面 积为 平方米,房屋用途为住宅,房屋类型为花园住宅、结构为钢混。该房屋的平面图见本合同附件(一)。 The house the Lessor leases (lease) out to the Lessee is located at Road, (District), Shanghai (the “Leased Premises”). The Leased Premises have a lease measured gross floor area of m2, with the land approved for residential purpose, house type being Garden house and having a Ferroconcrete structure. The layout plan of the Leased Premises is attached to this Contract as Annex 1. 甲方向乙方出示: The Lessor shall present the following documents to the Lessee: 房地产权证 Certificate of Title Deed to House; 证书编号: Certificate No.: 1-2 甲方作为该房屋的(房地产权利人 /代管人 /法律规定的其他权利人)与乙方建立租赁关系。签订本合同前,甲方已告知乙方该房屋(已 /未)设定抵押。 1-3 该房屋的公用或合用部位的使用范围、条件和要求;现有装 修、附属设施的内容标准及需约定的有关事宜,由甲、乙双方分别在本合同附件(二)、(三)中加以列明。甲、乙双方同意该附件作为甲方向乙方交付该房屋和本合同终止时乙方向甲方返还该房屋的验收依据。 The scope of use, conditions and requirements in respect to the public or common areas of the Leased Premises, the particulars and standards of existing decorations and auxiliary facilities and other agreements between the Parties are provided inAnnex 2 and Annex 3 hereto, respectively. The Parties agree that these annexes shall be considered the basis for acceptance of the Leased Premises as the Lessor delivers the Leased Property to the Lessee and when the Lessee returns the same to the Lessor upon expiration hereof. 二、租赁用途 Purpose 2-1 乙方向甲方承诺,租赁该房屋作为住宅使用,并遵守国家和本市有关房屋使用和物业管理的规定。 The Lessee hereby undertakes to the Lessor that the Lessee shall use the Leased Premises exclusively for residential purpose and abide by regulations of Shanghaiand China governing the use of housing premises and property management. 2-2 乙方保证,在租赁期内未征得甲方书面同意以及按规定须经有关部门审批而未核准前,不擅自改变上述约定的使用用途。 The Lessee undertakes that, during the Term of this Contract, the Lessee shall not change the purpose specified above without written consent of the Lessor or, ifapplicable, approval by relevant authorities. 三、交付日期和租赁期限 Date of Delivery and Term of Lease 3-1 甲乙双方约定,甲方于 年 月 当日或之前向乙方交付该房屋。房屋租赁期自 年 月 日起至 年 月 日止。 The Parties agree that the Lessor shall deliver the Leased Premises to the Lessee before . The term of lease shall be from to . 3-2 租赁期满,甲方有权收回该房屋,乙方应如期返还。乙方需继续承租该房屋的,则应于租赁期届满前二个月,向甲方提出续租书面要求,并且双方重新商定租赁合同。 The Lessor shall have the right to take back and the Lessee shall return the Leased Premises upon expiration of the Term. If the Lessee wishes to continue to lease the Leased Premises, a written request for extension shall be given by the Lessee to the Lessor two months prior to expiration hereof and then, upon consent of the Lessor, this Contract may be renewed on mutually acceptable terms. 四、租金支付方式和期限 Payment Mode and Term of Rental 4-1 甲、乙双方约定,月租金总计为(人民币) 元。(大写: 整 )。 The Parties agree that the monthly rental shall be RMB . 4-2 乙方应于每月日前向甲方支付租金。逾期支付的,每逾期一日,则乙方需按日租金的千分之三支付违约金。 The Lessee shall pay the rental to the Lessor before the first day of each month, or else shall pay the Lessor a penalty equal to 0.3% of the daily rental for eachday of delay. 4-3 乙方支付租金的方式如下:见补充条款第一条 Mode of rental payment by the Lessee: See Article 1 of Supplementary Clauses. 五、保证金和其他费用 Security Deposit; Other Costs and Expenses 5-1 甲乙双方约定,甲方交付该房屋时,乙方应向甲方支付房屋租赁保证金,保证金为贰个月的租金,即(人民币) 元。 The Parties agree that the Lessee shall, upon delivery of the Leased Premises by the Lessor, deposit with the Lessor the rental for two months totaling RMB .甲方收取保证金后向乙方 开具收款凭证。 The Lessor shall issue a receipt to the Lessee after receiving the Security Deposit. 租赁关系终止时,甲方收取的房屋租赁保证金除用以抵充合同约定由乙方承担的费用外,剩余部分无息归还乙方。 Upon expiration of the lease, the Security Deposit received by the Lessor shallbe returned without interest to the Lessee after deduction of the costs and expenses payable by the Lessee as agreed upon by the Parties. 5-2 租赁期间,使用该房屋所发生的水、电、煤、通讯设备、宽带费用等费用由乙方承担。其他有关费用如物业管理等均由甲方承担。 During the term of lease, all the costs and expenses of water, electricity, gas, communication devices, broadband and in the Leased Premises shall be for the account of the Lessee. Other costs and expenses, including property management fees, shall be paid by the Lessor. 5-3 (甲方 /乙方)负责支付的上述费用,计算或分摊办法、支付方式和时间:见补充条款第十一条 For calculation, sharing and payment mode and time of the foregoing amounts payable by (the Lessor/Lessee) see Article 11 of Supplementary Clauses. 六、房屋使用要求和维修责任 Use and Maintenance of the Leased Premises 6-1 租赁期间,乙方发现该房屋及其附属设施有损坏或故障时,应及时通知甲方并提供甲方以方便进行检修;甲方应在接到乙方通知后的三日内进行维修 。逾期不维修的,乙方可代为维修,费用由甲方承担。 If the Lessee finds any damage or anomaly on the Leased Premises and/or auxiliary facilities thereof during the Term, the Lessee shall promptly notify the Lessoron the necessary repair and restoration. The Lessor shall repair and restore within three days upon receiving such notice from the Lessee. Where the Lessor fails to make such repair or restoration within the specified time limit, the Lessee may do the same at the reasonable cost of the Lessor. 6-2 租赁期间,乙方应合理使用并爱护该房屋及其附属 设施。因乙方使用不当或不合理使用,致使该房屋及其副属设施损坏或发生故障的,甲方代为维修,费用由乙方承担。甲方将提供修膳费用之收据。 The Lessee shall reasonably use and protect the Leased Premises and auxiliary facilities thereof during the Term. Any damage or anomaly to the Leased Premises and/or any auxiliary facilities thereof due to improper or unreasonable use by the Lessee shall be repaired and restored by the Lessor at the cost of the Lessee. The Lessor shall provide the receipt of payment for such repair and restoration. 6-3 租赁期间,甲方保证该房屋及其附属设施处于正常的可使用和安全的状态。甲方对该房屋进 行检查、养护,应提前三日通知乙方。检查养护时,乙方应予以配合。甲方应减少对乙方使用该房屋的影响。 The Lessor ensures that the Leased Premises and auxiliary facilities thereof arein a normal, serviceable and safe condition during the Term. The Lessor shall givea three days prior notice to the Lessee in the case of any repair or maintenance thereto, for which the Lessee shall provide cooperation. The Lessor shall minimize the impact of such repair or maintenance on the Lessee. 6-4 除本合同附件(三)外,乙方另需装修或者增设副属设施和设备的,应事先征得甲方的书面同意,按规定须向有关部门批准审批的,则还应由甲方报请有关部门批准后 ,方可进行。乙方增设的附属设施和设备及其维修责任由甲、乙双方另行书面约定。 Subject to Annex 3 hereto, any improvements or additions to the Leased Premises by the Lessee shall be subject to prior written consent of the Lessor and, if applicable, be reported by the Lessor to relevant authorities for approval before they are made. The auxiliary facilities and equipments added by the Lessee and the responsibilities for repair thereof shall be separately negotiated and agreed upon in writing between the Parties. 七、房屋返还时的状态 Condition of Leased Premises upon Return 7-1 除甲方同意乙方续租外,乙方应在本合同的租期届满后的当日内应返还该房屋,未经甲方书面同意逾期返还房屋的,每逾期一日,乙方应按日租金的双倍价格向甲方支付该房屋占用使用费。 Unless the Lessor agrees on extension of the lease, the Lessee shall return the Leased Premises to the Lessor on the date when this Contract expires. If the Leased Premises are returned after that date without consent of the Lessor, the Lessee shall pay the Lessor a penalty double the daily rental for each day of delay. 7-2 乙方返还该房屋应当符合正常使用后的状态。返还时,应经甲方验收认可,并相互结清各自应当承担的费用。 The Leased Premises shall be in such a condition as after normal use upon return. The Leased Premises shall be examined by the Lessor upon return and, if accepted, the costs and expenses payable by each Party shall be settled. 八、转租、转让和交换 Sublet, Transfer and Exchange 8-1 除甲方已在本合同补充条 款中同意乙方转租外,乙方在租赁期内,需事先征得甲方的书面同,方可将该房屋部分或全部转租给他人。但同一间居住房屋,不得分割转租。 Unless the Lessor agrees on subletting by the Lessee in the Supplementary Clauses, the Lessee shall not sublet or assign the Leased Premises in part or in wholeto any third party without prior written consent of the Lessor within the Term. Any room of the Leased Premises shall not be divided into sub-parts during subletting. 8-2 乙方转租该房屋,应按规定与接受转租方订立书面的转租合同。并按规定向该房屋所在区、县房地产交易中心或农场系统受理处办理登记备案。 The Lessee shall, when subletting the Leased Premises, enter into a subletting contract as required with the party accepting subletting and file with the District or County Real Estate Trade Center or the farm system filing office at the place of the Leased Premises. 8-3 在租赁期内,乙方将该房屋转让给他人承租或与他人承租的房屋进行交换,必须事先征得甲方书面同意。转让或交换后,该房屋承租权的受让人或交换人应于甲方签订租赁主体变更合同并继续履行本合同。 The Lessee shall not transfer the Leased Premises to other lessees or exchangethe Leased Premises with any other person during the Term without prior written consent of the Lessor. After such transfer or exchange, the transferee or exchangingparty shall enter into a contract on change of the Lessee hereto with the Lessor and continue to perform this Contract. 8-4 租赁合同期间,甲方若出售该房屋,甲方将保证在该房屋出售后本租赁合同的正常履行。乙方放弃对该房屋的优先购买权。 If the Lessor sells the Leased Premises during the Term of this Contract, the performance of this Contract shall not be affected. In the event of a sale to a 3rd Party, the Lessee shall waive the right of first refusal to purchase the Leased Premises. 九、解除本合同的条件 Termination of the Contract 9-1 甲、乙双方同意在租赁期内,有下列情况之一的,本合同终止,双方互不承担责任: The Parties agree that this Contract may be terminated during the Term in anyof the following circumstances and the Parties shall not assume any liability onto each other: ( 1)该房屋占用范围内的土地使用权依法提前收回的; The right to use the land within the occupancy of the Leased Premises are taken back according to law; ( 2)该房屋因社会公共利益被依法征用的; The Leased Premises are confiscated for public interests acceding to law; ( 3)该房屋毁损、灭或者被鉴定为危险房屋的; The Leased Premises are damaged, lost or d dilapidated; ( 4)该房屋因城市建设需要被依法列入房屋拆迁许可范围的; The Leased Premises are legally included into the scope of demolition to accommodate the needs of urban construction; or 9-2 甲、乙双方同意,有下列情形之一的,一方可书面通知另一方解除本合同。违反合同的一方,应向另一方按月租金的双倍支付违约金;给对方造成损失的,支付的违约金不足抵付一方损 失的,还应赔偿造成的损失与违约金的差额部分: The Parties agree that the non-breaching Party may terminate this Contract by a written notice in any of the following cases, and the breaching Party shall pay the non-breaching Party a penalty double the monthly rental. Where any loss incurredto the non-breaching Party is not fully covered by the penalty paid, the breaching Party shall pay the difference between the loss and the penalty. (一)甲方未按时交付该房屋,经乙方催告后十五日内仍未交付的; The Lessor fails to deliver the Leased Premises within the specified time limit and still fails to do so within fifteen days upon notification by the Lessee; (二)甲方交付的该房屋不符合本合同的约定,致使不能实现租赁目的;或甲方交付的房屋存在缺陷,致使乙方不能居住、生活的。 The Leased Premises delivered by the Lessor do not comply with this Contractand render it impossible to meet the purpose of lease, or have defects that may make the Leased Premises uninhabitable; (三)乙方未征得甲方书面同意改变房屋用途的 The Lessee changes the purpose of the Leased Premises without written consentof the Lessor and causes damage to the structure thereof; (四)因乙方原因造成房屋主体结构损坏的; The main structure of the Leased Premises is damaged due to causes attributable to the Lessee; (五 ) 乙方未经得甲方书面同意擅自转租该房屋、转让该房屋承租权或与他人交换各自承租的房屋的; The Lessee sublets or transfers or exchanges with others the Leased Premises without written approval of the Lessor; or (六)乙方逾期不支付租金累计超过三十日的; The rental payable by the Lessee is overdue more than thirty days. 十、违约责任 Liabilities
