“alternate”or“alternatedirector”hasthemeaninggiveninarticle25;

“appointor”hasthemeaninggiveninarticle25;

“articles”meansthecompany’sarticlesofassociation;

“bankruptcy”includesindividualinsolvencyproceedingsinajurisdictionotherthanEnglandandWalesorNorthernIrelandwhichhaveaneffectsimilartothatofbankruptcy;

Liabilityofmembers

2.Theliabilityofthemembersislimitedtotheamount,ifany,unpaidonthesharesheldbythem.

DIRECTORS’POWERSANDRESPONSIBILITIES

Directors’generalauthority

3.Subjecttothearticles,thedirectorsareresponsibleforthemanagementofthecompany’sbusiness,forwhichpurposetheymayexerciseallthepowersofthecompany.

Members’reservepower

4.—(1)Themembersmay,byspecialresolution,directthedirectorstotake,orrefrainfromtaking,specifiedaction.

(2)Nosuchspecialresolutioninvalidatesanythingwhichthedirectorshavedonebeforethepassingoftheresolution.

Directorsmaydelegate

5.—(1)Subjecttothearticles,thedirectorsmaydelegateanyofthepowerswhichareconferredonthemunderthearticles—

(a)tosuchpersonorcommittee;

(b)bysuchmeans(includingbypowerofattorney);

(c)tosuchanextent;

(d)inrelationtosuchmattersorterritories;and

(e)onsuchtermsandconditions;

astheythinkfit.

(2)Ifthedirectorssospecify,anysuchdelegationmayauthorisefurtherdelegationofthe

directors’powersbyanypersontowhomtheyaredelegated.

(3)Thedirectorsmayrevokeanydelegationinwholeorpart,oralteritstermsandconditions.

Committees

6.—(1)Committeestowhichthedirectorsdelegateanyoftheirpowersmustfollowprocedureswhicharebasedasfarastheyareapplicableonthoseprovisionsofthearticleswhichgovernthetakingofdecisionsbydirectors.

(2)Thedirectorsmaymakerulesofprocedureforalloranycommittees,whichprevailoverrulesderivedfromthearticlesiftheyarenotconsistentwiththem.

DECISION-MAKINGBYDIRECTORS

Directorstotakedecisionscollectively

7.Decisionsofthedirectorsmaybetaken—

(a)atadirectors’meeting,or

(b)intheformofadirectors’writtenresolution.

Callingadirectors’meeting

8.—(1)Anydirectormaycalladirectors’meeting.

(2)Thecompanysecretarymustcalladirectors’meetingifadirectorsorequests.

(3)Adirectors’meetingiscalledbygivingnoticeofthemeetingtothedirectors.

(4)Noticeofanydirectors’meetingmustindicate—

(a)itsproposeddateandtime;

(b)whereitistotakeplace;and

(c)ifitisanticipatedthatdirectorsparticipatinginthemeetingwillnotbeinthesameplace,howitisproposedthattheyshouldcommunicatewitheachotherduringthemeeting.

(5)Noticeofadirectors’meetingmustbegiventoeachdirector,butneednotbeinwriting.

(6)Noticeofadirectors’meetingneednotbegiventodirectorswhowaivetheirentitlementtonoticeofthatmeeting,bygivingnoticetothateffecttothecompanynotmorethan7daysafterthedateonwhichthemeetingisheld.Wheresuchnoticeisgivenafterthemeetinghasbeenheld,thatdoesnotaffectthevalidityofthemeeting,orofanybusinessconductedatit.

Participationindirectors’meetings

9.—(1)Subjecttothearticles,directorsparticipateinadirectors’meeting,orpartofadirectors’meeting,when—

(a)themeetinghasbeencalledandtakesplaceinaccordancewiththearticles,and

(b)theycaneachcommunicatetotheothersanyinformationoropinionstheyhaveonanyparticularitemofthebusinessofthemeeting.

(2)Indeterminingwhetherdirectorsareparticipatinginadirectors’meeting,itisirrelevantwhereanydirectorisorhowtheycommunicatewitheachother.

(3)Ifallthedirectorsparticipatinginameetingarenotinthesameplace,theymaydecidethatthemeetingistobetreatedastakingplacewhereveranyofthemis.

Quorumfordirectors’meetings

10.—(1)Atadirectors’meeting,unlessaquorumisparticipating,noproposalistobevotedon,exceptaproposaltocallanothermeeting.

(2)Thequorumfordirectors’meetingsmaybefixedfromtimetotimebyadecisionofthedirectors,butitmustneverbelessthantwo,andunlessotherwisefixeditistwo.

Meetingswheretotalnumberofdirectorslessthanquorum

11.—(1)Thisarticleapplieswherethetotalnumberofdirectorsforthetimebeingislessthanthequorumfordirectors’meetings.

(2)Ifthereisonlyonedirector,thatdirectormayappointsufficientdirectorstomakeupaquorumorcallageneralmeetingtodoso.

(3)Ifthereismorethanonedirector—

(a)adirectors’meetingmaytakeplace,ifitiscalledinaccordancewiththearticlesandatleasttwodirectorsparticipateinit,withaviewtoappointingsufficientdirectorstomakeupaquorumorcallingageneralmeetingtodoso,and

(b)ifadirectors’meetingiscalledbutonlyonedirectorattendsattheappointeddateandtimetoparticipateinit,thatdirectormayappointsufficientdirectorstomakeupaquorumorcallageneralmeetingtodoso.

Chairingdirectors’meetings

12.—(1)Thedirectorsmayappointadirectortochairtheirmeetings.

(2)Thepersonsoappointedforthetimebeingisknownasthechairman.

(3)Thedirectorsmayappointotherdirectorsasdeputyorassistantchairmentochairdirectors’meetingsinthechairman’sabsence.

(4)Thedirectorsmayterminatetheappointmentofthechairman,deputyorassistantchairmanatanytime.

(5)Ifneitherthechairmannoranydirectorappointedgenerallytochairdirectors’meetingsinthechairman’sabsenceisparticipatinginameetingwithintenminutesofthetimeatwhichitwastostart,theparticipatingdirectorsmustappointoneofthemselvestochairit.

Votingatdirectors’meetings:generalrules

13.—(1)Subjecttothearticles,adecisionistakenatadirectors’meetingbyamajorityofthevotesoftheparticipatingdirectors.

(2)Subjecttothearticles,eachdirectorparticipatinginadirectors’meetinghasonevote.

(3)Subjecttothearticles,ifadirectorhasaninterestinanactualorproposedtransactionorarrangementwiththecompany—

(a)thatdirectorandthatdirector’salternatemaynotvoteonanyproposalrelatingtoit,but

(b)thisdoesnotprecludethealternatefromvotinginrelationtothattransactionor

arrangementonbehalfofanotherappointorwhodoesnothavesuchaninterest.

Chairman’scastingvoteatdirectors’meetings

14.—(1)Ifthenumbersofvotesforandagainstaproposalareequal,thechairmanorotherdirectorchairingthemeetinghasacastingvote.

(2)Butthisdoesnotapplyif,inaccordancewiththearticles,thechairmanorotherdirectorisnottobecountedasparticipatinginthedecision-makingprocessforquorumorvotingpurposes.

Alternatesvotingatdirectors’meetings

15.Adirectorwhoisalsoanalternatedirectorhasanadditionalvoteonbehalfofeach

appointorwhois—

(a)notparticipatinginadirectors’meeting,and

(b)wouldhavebeenentitledtovoteiftheywereparticipatinginit.

Conflictsofinterest

16.—(1)Ifadirectors’meeting,orpartofadirectors’meeting,isconcernedwithanactualorproposedtransactionorarrangementwiththecompanyinwhichadirectorisinterested,thatdirectorisnottobecountedasparticipatinginthatmeeting,orpartofameeting,forquorumorvotingpurposes.

(2)Butifparagraph(3)applies,adirectorwhoisinterestedinanactualorproposedtransactionorarrangementwiththecompanyistobecountedasparticipatinginadecisionatadirectors’meeting,orpartofadirectors’meeting,relatingtoitforquorumandvotingpurposes.

(3)Thisparagraphapplieswhen—

(a)thecompanybyordinaryresolutiondisappliestheprovisionofthearticleswhichwouldotherwisepreventadirectorfrombeingcountedasparticipatingin,orvotingat,adirectors’meeting;

(b)thedirector’sinterestcannotreasonablyberegardedaslikelytogiverisetoaconflictofinterest;or

(c)thedirector’sconflictofinterestarisesfromapermittedcause.

(4)Forthepurposesofthisarticle,thefollowingarepermittedcauses—

(a)aguaranteegiven,ortobegiven,byortoadirectorinrespectofanobligationincurredbyoronbehalfofthecompanyoranyofitssubsidiaries;

(b)subscription,oranagreementtosubscribe,forsharesorothersecuritiesofthecompanyoranyofitssubsidiaries,ortounderwrite,sub-underwrite,orguaranteesubscriptionforanysuchsharesorsecurities;and

(c)arrangementspursuanttowhichbenefitsaremadeavailabletoemployeesanddirectorsorformeremployeesanddirectorsofthecompanyoranyofitssubsidiarieswhichdonotprovidespecialbenefitsfordirectorsorformerdirectors.

(5)Subjecttoparagraph(6),ifaquestionarisesatameetingofdirectorsorofacommitteeofdirectorsastotherightofadirectortoparticipateinthemeeting(orpartofthemeeting)forvotingorquorumpurposes,thequestionmay,beforetheconclusionofthemeeting,bereferredtothechairmanwhoserulinginrelationtoanydirectorotherthanthechairmanistobefinalandconclusive.

(6)Ifanyquestionastotherighttoparticipateinthemeeting(orpartofthemeeting)shouldariseinrespectofthechairman,thequestionistobedecidedbyadecisionofthedirectorsatthatmeeting,forwhichpurposethechairmanisnottobecountedasparticipatinginthemeeting(orthatpartofthemeeting)forvotingorquorumpurposes.

Proposingdirectors’writtenresolutions

17.—(1)Anydirectormayproposeadirectors’writtenresolution.

(2)Thecompanysecretarymustproposeadirectors’writtenresolutionifadirectorsorequests.

(3)Adirectors’writtenresolutionisproposedbygivingnoticeoftheproposedresolutiontothedirectors.

(4)Noticeofaproposeddirectors’writtenresolutionmustindicate—

(a)theproposedresolution,and

(b)thetimebywhichitisproposedthatthedirectorsshouldadoptit.

(5)Noticeofaproposeddirectors’writtenresolutionmustbegiveninwritingtoeachdirector.

(6)Anydecisionwhichapersongivingnoticeofaproposeddirectors’writtenresolutiontakesregardingtheprocessofadoptingthatresolutionmustbetakenreasonablyingoodfaith.

Adoptionofdirectors’writtenresolutions

18.—(1)Aproposeddirectors’writtenresolutionisadoptedwhenallthedirectorswhowouldhavebeenentitledtovoteontheresolutionatadirectors’meetinghavesignedoneormorecopiesofit,providedthatthosedirectorswouldhaveformedaquorumatsuchameeting.

(2)Itisimmaterialwhetheranydirectorsignstheresolutionbeforeorafterthetimebywhichthenoticeproposedthatitshouldbeadopted.

(3)Onceadirectors’writtenresolutionhasbeenadopted,itmustbetreatedasifithadbeenadecisiontakenatadirectors’meetinginaccordancewiththearticles.

(4)Thecompanysecretarymustensurethatthecompanykeepsarecord,inwriting,ofall

directors’writtenresolutionsforatleasttenyearsfromthedateoftheiradoption.

Directors’discretiontomakefurtherrules

19.Subjecttothearticles,thedirectorsmaymakeanyrulewhichtheythinkfitabouthowtheytakedecisions,andabouthowsuchrulesaretoberecordedorcommunicatedtodirectors.

APPOINTMENTOFDIRECTORS

Methodsofappointingdirectors

20.Anypersonwhoiswillingtoactasadirector,andispermittedbylawtodoso,maybeappointedtobeadirector—

(a)byordinaryresolution,or

(b)byadecisionofthedirectors.

Retirementofdirectorsbyrotation

21.—(1)Atthefirstannualgeneralmeetingallthedirectorsmustretirefromoffice.

(2)Ateverysubsequentannualgeneralmeetinganydirectors—

(a)whohavebeenappointedbythedirectorssincethelastannualgeneralmeeting,or

(b)whowerenotappointedorreappointedatoneoftheprecedingtwoannualgeneralmeetings,mustretirefromofficeandmayofferthemselvesforreappointmentbythemembers.

Terminationofdirector’sappointment

22.Apersonceasestobeadirectorassoonas—

(a)thatpersonceasestobeadirectorbyvirtueofanyprovisionoftheCompaniesActorisprohibitedfrombeingadirectorbylaw;

(b)abankruptcyorderismadeagainstthatperson;

(c)acompositionismadewiththatperson’screditorsgenerallyinsatisfactionofthat

person’sdebts;

(d)aregisteredmedicalpractitionerwhoistreatingthatpersongivesawrittenopiniontothecompanystatingthatthatpersonhasbecomephysicallyormentallyincapableofactingasadirectorandmayremainsoformorethanthreemonths;

(e)byreasonofthatperson’smentalhealth,acourtmakesanorderwhichwhollyorpartlypreventsthatpersonfrompersonallyexercisinganypowersorrightswhichthatpersonwouldotherwisehave;

(f)notificationisreceivedbythecompanyfromthedirectorthatthedirectorisresigningfromofficeasdirector,andsuchresignationhastakeneffectinaccordancewithitsterms.

Directors’remuneration

23.—(1)Directorsmayundertakeanyservicesforthecompanythatthedirectorsdecide.

(2)Directorsareentitledtosuchremunerationasthedirectorsdetermine—

(a)fortheirservicestothecompanyasdirectors,and

(b)foranyotherservicewhichtheyundertakeforthecompany.

(3)Subjecttothearticles,adirector’sremunerationmay—

(a)takeanyform,and

(b)includeanyarrangementsinconnectionwiththepaymentofapension,allowanceorgratuity,oranydeath,sicknessordisabilitybenefits,toorinrespectofthatdirector.

(4)Unlessthedirectorsdecideotherwise,directors’remunerationaccruesfromdaytoday.

(5)Unlessthedirectorsdecideotherwise,directorsarenotaccountabletothecompanyforanyremunerationwhichtheyreceiveasdirectorsorotherofficersoremployeesofthecompany’ssubsidiariesorofanyotherbodycorporateinwhichthecompanyisinterested.

Directors’expenses

24.Thecompanymaypayanyreasonableexpenseswhichthedirectorsproperlyincurin

connectionwiththeirattendanceat—

(a)meetingsofdirectorsorcommitteesofdirectors,

(b)generalmeetings,or

(c)separatemeetingsoftheholdersofanyclassofsharesorofdebenturesofthecompany,orotherwiseinconnectionwiththeexerciseoftheirpowersandthedischargeoftheirresponsibilitiesinrelationtothecompany.

ALTERNATEDIRECTORS

Appointmentandremovalofalternates

25.—(1)Anydirector(the“appointor”)mayappointasanalternateanyotherdirector,oranyotherpersonapprovedbyresolutionofthedirectors,to—

(a)exercisethatdirector’spowers,and

(b)carryoutthatdirector’sresponsibilities,

inrelationtothetakingofdecisionsbythedirectorsintheabsenceofthealternate’sappointor.

(2)Anyappointmentorremovalofanalternatemustbeeffectedbynoticeinwritingtothecompanysignedbytheappointor,orinanyothermannerapprovedbythedirectors.

(3)Thenoticemust—

(a)identifytheproposedalternate,and

(b)inthecaseofanoticeofappointment,containastatementsignedbytheproposed

alternatethattheproposedalternateiswillingtoactasthealternateofthedirectorgivingthenotice.

Rightsandresponsibilitiesofalternatedirectors

26.—(1)Analternatedirectorhasthesamerights,inrelationtoanydirectors’meetingor

directors’writtenresolution,asthealternate’sappointor.

(2)Exceptasthearticlesspecifyotherwise,alternatedirectors—

(a)aredeemedforallpurposestobedirectors;

(b)areliablefortheirownactsandomissions;

(c)aresubjecttothesamerestrictionsastheirappointors;and

(d)arenotdeemedtobeagentsoforfortheirappointors.

(3)Apersonwhoisanalternatedirectorbutnotadirector—

(a)maybecountedasparticipatingforthepurposesofdeterminingwhetheraquorumisparticipating(butonlyifthatperson’sappointorisnotparticipating),and

(4)Analternatedirectorisnotentitledtoreceiveanyremunerationfromthecompanyfor

servingasanalternatedirectorexceptsuchpartofthealternate’sappointor’sremunerationastheappointormaydirectbynoticeinwritingmadetothecompany.

Terminationofalternatedirectorship

27.Analternatedirector’sappointmentasanalternateterminates—

(a)whenthealternate’sappointorrevokestheappointmentbynoticetothecompanyinwritingspecifyingwhenitistoterminate;

(b)ontheoccurrenceinrelationtothealternateofanyeventwhich,ifitoccurredinrelationtothealternate’sappointor,wouldresultintheterminationoftheappointor’sappointmentasadirector;

(c)onthedeathofthealternate’sappointor;or

(d)whenthealternate’sappointor’sappointmentasadirectorterminates,exceptthatanalternate’sappointmentasanalternatedoesnotterminatewhentheappointorretiresbyrotationatageneralmeetingandisthenre-appointedasadirectoratthesamegeneralmeeting.

Memberscancallgeneralmeetingifnotenoughdirectors

28.If—

(a)thecompanyhasfewerthantwodirectors,and

(b)thedirector(ifany)isunableorunwillingtoappointsufficientdirectorstomakeupa

quorumortocallageneralmeetingtodoso,

thentwoormoremembersmaycallageneralmeeting(orinstructthecompanysecretarytodoso)forthepurposeofappointingoneormoredirectors.

Attendanceandspeakingatgeneralmeetings

29.—(1)Apersonisabletoexercisetherighttospeakatageneralmeetingwhenthatpersonisinapositiontocommunicatetoallthoseattendingthemeeting,duringthemeeting,anyinformationoropinionswhichthatpersonhasonthebusinessofthemeeting.

(2)Apersonisabletoexercisetherighttovoteatageneralmeetingwhen—

(a)thatpersonisabletovote,duringthemeeting,onresolutionsputtothevoteatthemeeting,and

(b)thatperson’svotecanbetakenintoaccountindeterminingwhetherornotsuch

resolutionsarepassedatthesametimeasthevotesofalltheotherpersonsattendingthemeeting.

(3)Thedirectorsmaymakewhateverarrangementstheyconsiderappropriatetoenablethoseattendingageneralmeetingtoexercisetheirrightstospeakorvoteatit.

(4)Indeterminingattendanceatageneralmeeting,itisimmaterialwhetheranytwoormoremembersattendingitareinthesameplaceaseachother.

(5)Twoormorepersonswhoarenotinthesameplaceaseachotherattendageneralmeetingiftheircircumstancesaresuchthatiftheyhave(orweretohave)rightstospeakandvoteatthatmeeting,theyare(orwouldbe)abletoexercisethem.

Quorumforgeneralmeetings

30.Nobusinessotherthantheappointmentofthechairmanofthemeetingistobetransactedatageneralmeetingifthepersonsattendingitdonotconstituteaquorum.

Chairinggeneralmeetings

31.—(1)Ifthedirectorshaveappointedachairman,thechairmanshallchairgeneralmeetingsifpresentandwillingtodoso.

(2)Ifthedirectorshavenotappointedachairman,orifthechairmanisunwillingtochairthemeetingorisnotpresentwithintenminutesofthetimeatwhichameetingwasduetostart—

(a)thedirectorspresent,or

(b)(ifnodirectorsarepresent),themeeting,

mustappointadirectorormembertochairthemeeting,andtheapp
