方：_签订日期：_年_月_日Thisagreementismadeonbetween1HoldersofHongKongIdentityCardsNosandHolderofCertificateofAvailabilityforSaleNoofhereinaftercalledtheVendor;2HoldersofHongKongIdentityCardsNosandHolderofCertificateofEligibilitytoPurchaseNoofhereinaftercalledthePurchaser;and3HolderofBusinessRegistrationCertificateNoofhereinaftercalledtheVendorsAgentandHolderofBusinessRegistrationCertificateNoofhereinaftercalledthePurchasersAgentOR3HolderofBusinessRegistrationCertificateNoofhereinaftercalledtheAgentNowitisherebyagreedasfollows:1TheVendoragreestosellandthePurchaseragreestopurchase*throughtheVendorsAgentandthePurchasersAgent/theAgent,thePropertyknownashereinaftercalledthePropertysubjecttothetermsandconditionshereincontained2ThepurchasepriceofthePropertyisHK$whichshallbepaidbythePurchasertotheVendorinthefollowingmanner:aInitialdepositofHK$shallbepaiduponsigningofthisAgreement;bFurtherdepositofHK$shallbepaiduponsigningoftheFormalAgreementforSaleandPurchaseonorbefore;andcBalanceofpurchasepriceofHK$shallbepaiduponcompletionwhichshouldtakeplaceonorbefore3CompletionshalltakeplaceonorbeforeandthePropertyistobesoldtothePurchasersubjecttoClause17hereofbutotherwisefreefromincumbrances4Uponcompletion,theVendorshalldelivervacantpossessionofthePropertytothePurchaser5ThePurchasershallnotsub-sellthePropertyortransferthebenefitofthisAgreement,whetherbywayofadirectorindirectreservation,rightoffirstrefusal,option,trustorpowerofattorney,nominationoranyothermethod,arrangementordocumentofanydescription,conditionalorunconditional,orenterintoanyagreementsotodobeforethecompletionofthesaleandpurchaseofthePropertyWhenfixingthedateofsigningoftheFormalAgreementforSaleandPurchase,thePurchaserandVendorshouldrefertoClause8below6TheVendorandthePurchaseragreethattheyshallseparatelyappointtheirownsolicitorsTheVendorshallberepresentedbyandthePurchasershallberepresentedby7EachpartyshallbearitsownlegalcostsSubjecttoClause11hereof,allstampdutyshallbebornebythePurchaser8ThePurchaseragreestoapplytotheHousingAuthorityforaLetterofNominationwithinonemonthfromthedateofthisAgreementbutinanyeventnolaterthansevenworkingdayspriortothesigningoftheFormalAgreementforSaleandPurchase9InordertoenablethePurchasertoapplyfortheLetterofNomination,theVendoragreestotendertheoriginaloftheCertificateofAvailabilityforSaletothePurchaserorhissolicitorswithindaysfromthedateofthisAgreementbutinanyeventnolaterthansevenworkingdayspriortothesigningoftheFormalAgreementforSaleandPurchase10ShouldthePurchaserfailtoobtainaLetterofNominationotherwiseduetotheVendorsfailuretotenderthesaidCertificateofAvailabilityforSalepursuanttoClause9abovebeforethesigningoftheFormalAgreementforSaleandPurchaseorfailtocompletethepurchaseinmannerhereincontainedorfailtoobserveanyofthetermscontainedinthisAgreement,thedepositshallbeforfeitedtotheVendorandtheVendorshallthenbeentitledathissolediscretiontosellthePropertytoothereligiblepurchasersashethinksfitbutwithoutprejudicetotheVendorsrighttoclaimspecificperformanceanddamagesfromthePurchaser11ShouldtheVendorfailtotendertheoriginaloftheCertificateofAvailabilityforSaletothePurchaserorhissolicitorsaccordingtoClause9ofthisAgreementorfailtocompletethesaleinthemannerhereincontainedorfailtocomplywithanyofthetermsofthisAgreement,theVendorshallforthwithreturnthedeposittothePurchaserandshallpaytothePurchaserasumequivalenttotheamountoftheinitialdepositasliquidateddamagesandshallalsoreimbursethePurchaserwiththepaymentofstampdutybutwithoutprejudicetothePurchasersrighttoclaimspecificperformanceanddamagesfromtheVendor12InconsiderationoftheservicesrenderedbytheVendorsAgentandthePurchasersAgent,entitledtoreceiveHK$fromtheVendorandthePurchasersAgentshallbeentitledtoreceiveHK$fromthePurchaserascommissionSuchcommissionshallbepaidonorbeforeORInconsiderationoftheservicesrenderedbytheAgent,theAgentshallbeentitledtoreceiveHK$fromtheVendorandHK$fromthePurchaserascommissionSuchcommissionshallbepaidonorbefore13IfinanycaseeithertheVendororthePurchaserfailstocompletethesaleandpurchaseinthemannerhereinmentioned,thedefaultingpartyshallcompensateatoncetheVendorsAgentHK$andthePurchasersAgentHK$/theAgentHK$asliquidateddamages14ThePropertyissoldtothePurchaseronanasisbasis15ThisAgreementsupersedesallpriornegotiations,representation,understandingandagreementsbetweenthepartieshereto16Itisherebyagreedthatthesaleandpurchasehereofshallincludethechattels,furnitureandfittingsassetoutintheRemarks17ThePurchaseracknowledgesthatheispurchasingthePropertysubjecttotheliabilityforpaymentofpremiumassetoutinparagraph1oftheScheduletotheHousingOrdinanceCap283TheVendordeclaresthatforthepurposeofcalculationoftheamountofpremiumunderparagraph1boftheScheduletotheHousingOrdinance,theInitialMarketValueandthePurchasePriceofthePropertyareHK$andHK$respectively18IfthePurchaserismorethanoneperson,theyshallholdthePropertyasJointTenants19Itisherebyagreedthat*theVendorsAgentistheagentoftheVendoronlyandthePurchasersAgentistheagentofthePurchaseronly/theAgentistheagentforboththeVendorandthePurchaser/fortheVendoronly/forthePurchaseronly20ItisdeclaredbytheVendorandthePurchaserthattheyaresellingandpurchasingthePropertyundertheHOSSecondaryMarketSchemeoftheHongKongHousingAuthorityandacknowledgethatthisAgreementissubjecttotheterms,covenantsandconditionsmentionedintheScheduletotheHousingOrdinanceCap283andanyamendmentsthereto21ThesaleandpurchasehereofisalsosubjecttotheadditionaltermsifanysetoutintheScheduleheretoandintheeventofanycontradictionbetweensuchadditionaltermsandtheprescribedtermsandprovisionsofthispro
