ntracthasbeengonethroughandfullyeffectiveness3Thealldocuments,materials,reportsandcertificatesprovidedtotheLenderbytheborrowerforconsummationofthiscontractistrue,real,competeandeffective4TheBorrowershallnotconcealthefollowingeventswhichisbeinghappenedorhavebeenhappenedwhichwillcausetheLenderrefusetoextendtheloan:1TheBorrowerortheprincipalexecutivesoftheBorrowerinvolveinmaterialeventswhichbreachregulations,lawsorcompensationtoothers;2Pendingactionsandarbitration;3TheBorrowersdebtsorproposeddebtsorliensandotherencumbrances;4Theothermatterswillimpactthefinancialstatusorabilitiesofrepaymentforthedebts;5TheBorrowerbreachedcontractwhichisbetweentheBorrowerandothercreditorsIITheBorrowerherebywarrantsasfollows:1Usingthecapitaloftheloanasusagesetforthinthiscontract,theBorrowerwillnotusetheloanasEquityinvestment;TheBorrowerwillnotusethecapitaloftheloaninvestinsecurity,future,realestateetcTheBorrowerwillnotlendtotheothersprivatelyorinvolvingothermaterswhichisprohibitedbythecountryTheBorrowerwillnotmisusingorappropriationoftheloan2Makingpaymentandrelatedexpensesinaccordancewiththeprovisionssetforthinthiscontract;3Providingupdatedfinancialstatementorfinancialbulletineveryquarter;Providingtheauditedfinancialreportatthefirstquartofeachyear;Providingoperationreport,financialreportorotherfilesandmaterialsandshallwarrantthereality,correctandeffectivenessforthefilesandmaterials;4Anyanti-guarantyorothersimilardocumentswillnotmakeanyimpactontherightsandbenefitsoftheLenders;5AcceptingthesupervisionoftheLender,providesassistanceandcooperationfortheLenderssupervisions;6Willnotreducetheregistrationcapital;PriorapprovalfromthelendershallberequiredwhentheBorrowerchangesofshareholdersandoperationmannerincludingbutnotlimitedtojointventure,cooperation,jointlycooperation;dissolution,closedown,liquidation,transformation;merger;changetosharecompany,usethehousing,machineryorotherrealassetsortrademark,intellectualproperty,Knowhow,landingusingrightsorotherintangibleassetstoinvestinsharecompanyorinvestmentcompany,tradingofoperationrightorownrightbycontracting,jointoperation,trusteeship7TheBorrowershallinformtheLenderandwarrantstheliabilityunderitssecuritywillnotmorethannetassetsoftheBorrowerwhentheBorrowerguaranteeforotherpartyormortgageitsassetsTheBorrowerwarrantsthatwillnotdisposetheassetswhichwillmakeadverseimpactonitsabilityofpayingdebts8TheBorrowerwillnotpaytheothersimilarloanspriortotheLender;9TheBorrowerwarrantstoinformtheLenderimmediatelywhenthefollowingeventsoccurred:1TheeventofbreachofcontractunderthiscontractorotherloanorguarantycontractsbetweentheBorrowerandanybranchesofBankofChinaorotherbanks,non-bankfinancialorganization;2TheBorrowerchangesshareholdersorrevisethearticleofassociation;3TheBorrowersufferdifficultiesandbadresultinfinancialandoperation;4TheBorrowerinvolvesinmaterialactionsorarbitration;10TheBorrowershallkeepsufficientbalanceforrepaymentprior*totheduedate11TheBorrowershallkeepitsbanktransactionsregardingincomecollection,sellforeigncurrencyorbuyforeigncurrencyectShallbeconductedattheLenderorotherbranchesoftheLenderTheturn-overforthecapitalshallsatisfythedemandoftheLender;IIITheBorrowersrepresentationsandwarrantshereunderthiscontractshallbeeffectiveeventhoughanymendment,supplementsorrevisedtobemadetothiscontractARTICLE12REPRESENTATIONSANDWARRANTSOFTHELENDERITheLenderrepresentsandwarrantsasfollows:1TheLenderisastate-ownedcommercialbankorbranchdulyorganizedandvalidlyexistingunderthelawofPRCandapprovedbytheIndustryandCommercialAdministrationandholdsthefinancialinstitutionslegalpersonlicensesandfinancialinstitutionsoperationlicensetobequalifiedtooperatefinancialbusiness2TheLenderhastakenallnecessaryactiontoauthorizetheexecutionofthiscontractandperformanceofitsobligationsunderthiscontractTheLenderisdulyauthorizedtoextendthisloanIITheLenderwarrantsasfollows:1TheLendershallextendtheloaninaccordancewiththeprovisionssetforthinthisContract2CollectinterestsinaccordancewiththeregulationsofthePeoplesBankARTICLE13EVENTSOFBREACHCONTRACTANDSETTLEMENT:ISettlementoftheBorrowerbreachofcontract1Eventofbreachofcontract:1TheBorrowerfailstousetheloaninaccordancewiththeagreedusageoftheLoan;2TheBorrowerfailstorepaythedueprincipalandpaytheinterests,expensesorotherpayableinaccordancewiththeagreedtermofthiscontract;3TheBorrowerbreachestherepresentationandwarrantssetforthinArticle114TheBorrowerbreachesotherloanagreementsorguarantyagreementsortheGuarantorbreachtheguarantyagreementwhichmaymakeimpacttheBorrowertoperformtheobligationsunderthiscontract5ConclusiveevidencetoshowthattheBorrowerlosethecapacityofcreditorduringperformanceoftheobligationunderthiscontract,thefinancialconditionsoftheGuarantorareseriouslydeterioratingorotherreasonscausedtheGuarantorthecapacityofcreditdecline6TheBorrowerbreachestheotherobligationsunderthiscontract2Undertheabovecircumstances,theLendershallhaverightto:1RequesttheBorrowertorectifywithintheperioddesignedbytheLender;2Ceaseinextendingtheloanorcancelthecredit;3DeclaretheloanunderthiscontractisdueandtheLendershallhaverighttodeducttheoutstandingamountfromtheaccountoftheBorrowerTheBorrowershallnotappealagainsttheLender4DeclaretheloanisdueunderotherloanagreementsbetweentheLenderandtheBorrower,requesttheBorrowertorepaytheloanprincipals,interests,andotherexpensesIIThesettlementfortheLenderbreachofthecontract1TheLenderfailstoextendtheloanasagreedinthiscontractwithoutanyreasons;2TheLenderbreachestheagreedinterestrateandcollectionaddinterestsorotherfees;3TheLenderbreachestheprovisionssetforthinArticle12;4Undertheabovecircumstances,theBorrowershallhaverightto:1RequesttheLendertorectify;2RepaytheloanaheadoftimeandrefusetopayanycompensationforprepaymentARTICLE14DEDUCTIONTheBorrowershallpayinfullforthepaymentwithoutanycounteractionoranyconditionARTICLE15ASSIGNMENTOFTHEDEBTANDCREDIT1TheBorrowershallnotassignitsrightandliabilityunderthiscontracttootherthirdpartywithoutanywrittenapprovaloftheLender;2IntheeventtheBorrowerassignitsrightandliabilityunderthiscontracttootherthirdpartyunderthewrittenconsentoftheLender,thethirdpartyshallabidethiscontractwithoutanyconditionARTICLE16PERFORMANCEOFOBLIGATIONANDWAIVEROFRIGHTS1TheBorrowerisindependentcontractorunderthiscontract,itwillnotimpactbyanyotherrelationsbetweentheBorrowerwithotherpartyexcepttheotherprovisionssetforthinthiscontract2TheLendergiveanyextension,toleration,favortotheBorrowerorpermittheBorrowertodelayofperformanceanyobligationunderthiscontractshallnotimpairanyrightsoftheLenderinaccordancewiththiscontractandlaws,regulation,itshallbedeemedtohavewaiveditsrightsunderthiscontractandtheobligationshallbeperformedbytheBorrowerunderthiscontractARTICLE17AMENDMENT,SUPPLEMENTANDINTERPRETATIONOFTHECONTRACT1ThiscontractcouldbeamendedandsupplementeduponthewrittenagreementsconcludebythepartiesAnyaamendmentandsupplementshallbeintegralpartyofthiscontract2Intheeventchangeoflaws,regulationsorlegalpracticewhichwillcauseanytermscontainedinthisContractbecomeillegal,invalidorlossofpractice,theotherpartofthiscontractshallnotbeimpairedbyitThebothpartiesshallmakeeffortstochangetheillegal,invalidorlossofpracticepart3ForthemattersnotreferredinthiscontractshallbeconstruedinaccordancewiththeprovisionsofthePeoplesBankofChinaARTICLE18DISPUTERESOLUTION,GOVERNINGLAWANDWAIVEROFEXEMPTION1Theconclusion,interpretationanddisputeresolutionshallbesubjecttotheLawsofthePeoplesRepublicofChinThedisputesarisingfromtheexecutionofthiscontractshallbesettledthroughfriendlyconsultationbybothpartiesIncasenosettlementcanbereached,thedisputesshallbesubmittedtothePeoplesCourtofthelocationoftheLenderforjudgment2TheBorrowershallnotrejectanyobligationduringthesettlementofdisputes3TheexecutionandperformanceofthiscontractandtherelatedtransactioniscivilbehaviorTheBorrowershallnotappealtotakeactiontoexemptfromtheobligationunderthiscontractifbothpartiesagreetoapplyarbitration,theabovetermshallbe:1Theconclusion,interpretationanddisputeresolutionshallbesubjecttotheLawsofthePeoplesRepublicofChinThedisputearisingfromtheexecutionofthiscontractshallbesettledthroughfriendlyconsultationbybothpartiesIncasenosettlementcanbereached,thedisputesshallbesubmittedtoChinaInternationalEconomicandtradearbitrationcommissionforarbitration2ThearbitrationshallbeconductedinaccordancewiththeArbitrationLawofPeoplesRepublicofChinaandProvisionalRulesofProcedureofChinainternationaleconomicandtradearbitrationcommission3DuringtheA
