方：_签订日期：_年_月_日researchagreementbetweentheresearchfoundationofstateuniversityofnewyorkandsponsorrfaccount#madebyandbetweentheresearchfoundationofstateuniversityofnewyork,anonprofit,educationalcorporationorganizedandexistingunderthelawsofthestateofnewyork,withitsprincipalofficeslocatedat35statestreet,albany,newyork12207mailingaddress:postofficebox9,albany,newyork122010009,hereinafterreferredtoasthefoundation,actingonbehalfofthestateuniversityofnewyorkat,hereinafterreferredtoasuniversity,and,acorporationorganizedandexistingunderthelawsofthestateof,withitsprincipalofficelocatedat,hereinafterreferredtoassponsorwitnesseth:whereas,sponsorandfoundationhaveamutualinterestinpromotingresearchrelatedto,hereinafterreferredtoasthefield;andwhereas,ofthestateuniversityofnewyorkathasdevelopedexpertiserelatingtothefield;andwhereas,sponsorhasapprovedfundingtosupportaresearchprojectentitled,hereinafterreferredtoastheprojectwhichwillbecarriedoutby;now,thereforeinconsiderationofthepremisesandthemutualcovenantshereinaftercontained,thepartiesagreeasfollows:1scopeofworkthefoundationagreestouseitsbesteffortstoconductandcarryouttheprojectdescribedinthescopeofwork,exhibita,whichisattachedtoandmadeanintegralpartofthisresearchagreement2reportsduringthetermofthisresearchagreement,foundationshallprovidewrittenreportstosponsorasspecifiedinexhibita3compensationfixedpriceainconsiderationofresearchservicestobeperformedpursuanttothisresearchagreement,sponsorshallmakefixedpaymentsinthetotalamountoffeedollarsthisamountshallbepaidtofoundationuponsubmissionofinvoicesaccordingtothefollowingschedule:onexecutionofthisresearchagreementbaninterestpenaltyof15permonthwillbeaddedtothetotalinvoiceamountofpaymentifnotreceivedwithinforty-five45daysoftheinvoicedatecostreimbursableainfullandcompleteconsiderationoffoundationsperformanceunderthisagreement,thesponsorshallreimbursefoundationforallowablecostsincurredinaccordancewiththetermsofthisagreement,uptodollars,whichshallbespentinaccordancewiththebudgetsetforthinexhibita,attachedheretoreimbursementshallbemadetofoundationuponsubmissionofinvoicestosponsorasprovidedbelowfoundationwillsubmitmonthly;quarterlyaninvoiceorvoucherofcostsincurredbythefoundationintheperformanceofthisagreementandclaimedtoconstituteallowablecostspromptlyafterreceiptofeachinvoiceorvoucher,sponsorshallmakepaymentthereonbaninterestpenaltyof15permonthwillbeaddedtothetotalinvoiceamountofpaymentifnotreceivedwithinforty-five45daysoftheinvoicedate4termthisagreementshallbeeffectiveonandshallcontinuethroughunlessterminatedsoonerorextendedashereinafterprovided5terminationeithersponsororfoundationmayterminatethisresearchagreementatanytimebygivingthirty30dayswrittennoticeofterminationtotheothercontractingpartyintheeventoftermination,sponsorshallreimbursefoundationforcontractualcommitmentsandfinancialobligationsincurredbyfoundationinperformanceofthisresearchagreementpriortosuchtermination,ifsuchfinancialobligationsorcontractualcommitmentscannotbecanceledbythefoundationitisunderstoodandagreed,however,intheeventthatfoundationhasevidencethatsponsorisindefaultuponanyofitsobligationshereunder,foundationshallbeentitledtoeithersuspendthecontractuntilanacceptableremedyisestablished,ortoterminatetheagreementsuchterminationshallbeeffectiveimmediatelyuponreceiptofofficialwrittennotificationfromfoundationfoundationshallalsobeentitledtopursueanyrightsorremedieswhichfoundationmayhaveagainstsponsorbyreasonofsuchdefault,andfoundationmaywithholdanypaymentstosponsorforthepurposeofsetoffuntilsuchtimeastheexactamountofdamagesmaybedetermined6changeinprojectdirectorifforanyreasonthefoundationprojectdirectorisunabletofulfilltheresponsibilitiesrequiredtocarryoutthisresearchagreement,thepartiesshallnegotiateingoodfaiththecontinuanceofthisresearchprojecthowever,ifanotherprincipalinvestigatorsatisfactorytosponsorcannotbeagreedupon,sponsormayterminatethisresearchagreementintheeventofterminationbysponsor,foundationshallbereimbursedforallcostsitincursinconnectionwiththisresearchagreementwhicharisefromcommitmentsmadebyfoundationpriortoreceiptofnoticeoftermination,providedthecommitmentscannotbeterminatedbythefoundation7proprietaryinformationitisunderstoodthatinthecourseofcarryingoutthisresearchagreement,sponsorandfoundationmaywishtoshareproprietaryinformationthepartiesagreetousetheirbesteffortstopreventdisclosureofinformationwhichisclearlymarkedasproprietarytoanyoneotherthanthoseindividualswhohaveaneedtoknowthisinformationforpurposesofcarryingouttheirobligationsinconnectionwiththisresearchagreement8publications律师365thefoundationprojectdirectorand/orfoundationsprojectstaffshallhavetherighttopublishtheresultsofanyresearchconductedunderthisresearchagreement9inventionsandlicensesafoundationshallholdtitletoallinventionsincludingknowhowwhicharediscoveredduringtheconductofworkunderthisresearchagreementutilizingfoundationorstateuniversityofnewyorkfacilitiessaidinventionsarehereinafterreferredtoasfoundationinventionsbnolicenseorotherrightsinfoundationinventionsaregiventoorreceivedbysponsorexceptasspecificallyprovidedforhereincfoundationherebygrantstosponsoradayoptiontoacquireanexclusivelicensetofoundationinventionsthedayperiodoftheoptionshallcommenceonthedateofdisclosureoffoundationinventionstosponsorbyfoundationshouldsponsorexerciseitsoptionunderthisparagraph,thepartiesshallnegotiateamutuallyacceptablelicenseagreementdsponsoragreestoreimbursefoundationforalldirectcostsofpatentingnewtechnologydevelopedunderthisresearchagreementifsponsoracquiresrightsinsaidtechnologyeifbothsponsorfacilitiesandfoundationand/orstateuniversityofnewyorkfacilitiesareusedincarryingoutworkwhichleadstoaninventionunderthisresearchagreement,thesponsorandfoundationshallholdjointtitletosaidinventionsponsorshallbeentitledtoexercisetheoptionandlicensingrightssetforthabovewithrespecttofoundationsinterestinsaidjointinventionsfinventionsmadeusingsponsorfacilitiesexclusivelyshallbelongtosponsor10assignmentaneitherpartymayassignorotherwisetransferthisresearchagreementandtherightsacquiredhereunderwithoutthewrittenconsentoftheotherparty;thisconsentshallnotbeunreasonablywithheldhowever,sponsormayassignortransferitsinterestinthisresearchagreementaslongassuchassignmentortransferisaccompaniedbyasaleorothertransferofsponsorsentirebusinessorotherbusinesstowhichthisresearchagreementrelatesapartydesiringtoassignortransferthisresearchagreementshallgivetheotherpartythirty30dayspriornoticeofsuchassignmentortransferifnoreasonableobjectionsareraised,thentheassignmentortransfershallbedeemedtohavebeenapprovedhowever,anassignmentortransfershallnotbedeemedtobeapprovedunlessthepartytowhichthisagreementisassignedagreesinwritingtobeboundbythetermsandconditionsofthisresearchagreementbthisagreementshallaccruetothebenefitofandbebindinguponthesuccessors,assigns,heirs,andpersonalrepresentativesofthepartieshereto11noticeallnotices,demands,andothercommunicationshereunder,exceptexchangesoftechnicalinformation,shallbedeliveredpersonallytothepartytowhichitisaddressed,ormailedtosuchpartybyregisteredorcertifiedmail,returnreceiptrequested,withpostagethereonfullyprepaidsaidnoticesshallbedeliveredtothefollowingaddresses,unlessnoticeofchangeofaddressisprovidedinwritingtotheotherparty:iftosponsor:addressiftofoundation:theresearchfoundationofstateuniversityofnewyorkofficeofsponsoredprogramservicespostofficebox9albany,newyork12201-0009attention:contractandgrantspecialistanynotices,demands,andothercommunicationssomailedshallbedeemedtohavebeenreceivedbytheaddresseeseven7daysafterthetimeanddateofitsbeingsomailed12bindingeffectthisagreementshallbebindinguponandinuretothebenefitofthepartiesheretoandtheirrespectivesuccessorsorassigns13governinglawthisresearchagreementshallbeconstrued,governed,interpreted,andappliedinaccordancewiththelawsofthestateofnewyork,usa,exceptthatquestionsaffectingtheconstructionandeffectofanypatentshallbedeterminedbythelawofthecountryinwhichthepatentwasgranted14modificationsthisagreementmaybechanged,amended,modifiedorextendedonlybyawritingdulyexecutedbytherespectivepartieshereto15severabilitytheprovisionsofthisresearchagreementareseparable,andintheeventanyprovisionsofthisresearchagreementaredeterminedtobeinvalidorunenforceableunderanycontrollingbodyoflaw,suchinvalidityorunenforceabilityshallnotinanywayaffectthevalidityorenforceabilityoftheremainingprovisionshereof16indemnificationsponsorherebyagreestoindemnifyfoundationforanyclaimsoractionsthatarebroughtagainstfoundationbythirdpartiesbecauseofsponsorsuseormisuseofthereportsortechnologywhichareprovidedtosponsorinconnectionwiththisresearchagreement17useofnamesponsorand
