mpanyResponsibilitiesofPartyB:Providingcash,machineryandequipment,industrialpropertyinaccordancewiththeprovisionsofArticle11andArticle12,13,andresponsibleforshippingcapitalgoodssuchasmachineryandequipmentetccontributedasinvestmenttoaChineseport;Handlingthemattersentrustedbythecooperativeventurecompany,suchasselectingandpurchasingmachineryandequipmentoutsideChina,etc;Providingnecessarytechnicalpersonnelforinstalling,testingandtrialproductionoftheequipmentaswellasthetechnicalpersonnelforproductionandinspecting;Trainingthetechnicalpersonnelandworkersofthecooperativeventurecompany;IncasePartyBisthelicensor,itshallberesponsibleforthestableproductionofqualifiedproductsofthecooperativeventurecompanyinthelightofdesigncapacitywithinthespecifiedperiod;Responsibleforothermattersentrustedbythejointventurecompanynote:ItshallbewrittenaccordingtothespecificsituationChapter7DistributionofProfitsandRepaymentforPartyBsInvestmentArticle15Thecooperativeventurecompanyshalldistributeitsprofitsinaccordancewiththefollowingprocedureafterpayingtheincometax:asallocationsforreservefunds,expansionfunds,welfarefundsandbonusesforstaffandworkersofthecooperativeventurecompany;asrepaymentforPartyBsInvestmentandYearsscheduledtopaybackallPartyBsInvestment;oftheleftdistributedtoPartyAandtoPartyBChapter8SellingofProductsArticle16TheproductsofcooperativeventurecompanywillbesoldbothontheChineseandtheoverseasmarket,theexportportionaccountsfor,forthedomesticmarketNote:Anannualpercentageandamountforoutsideanddomesticsellingwillbewrittenoutaccordingtopracticaloperations,innormalconditions,theamountforexportshallatleastmeettheneedsofforeignexchangeexpensesofthejointventurecompanyArticle17Productsmaybesoldonoverseasmarketsthroughthefollowingchannels:Thecooperativeventurecompanymaydirectlysellitsproductsontheinternationalmarket,accountingforThecooperativeventurecompanymaysignsalescontractswithChineseforeigntradecompanies,entrustingthemtobethesalesagenciesorexclusivesalesagencies,accountingforThecooperativeventurecompanymayentrustPartyBtosellitsproducts,accountingforArticle18ThecooperativeventuresproductstobesoldinChinamaybehandledbytheChinesematerialsandcommercialdepartmentsbymeansofagencyorexclusivesales,ormaybesoldbythecooperativeventurecompanydirectlyArticle19InordertoprovidemaintenanceservicetotheproductssoldbothinChinaorabroad,thecooperativeventurecompanymaysetupsalesbranchesformaintenanceservicebothinChinaorabroadsubjecttotheapprovaloftherelevantChinesedepartmentChapter9TheBoardofDirectorsArticle20ThedateofregistrationofthecooperativeventurecompanyshallbethedateoftheestablishmentoftheboardofdirectorsofthecooperativeventurecompanyArticle21Theboardofdirectorsiscomposedofdirectors,ofwhichshallbeappointedbyPartyA,byPartyBThechairmanoftheboardshallbeappointedbyPartyA,anditsvice-chairmanbyPartyBThetermofofficeforthedirectors,chairmanandvice-chairmansfouryears,theirtermofofficemayberenewedifcontinuouslyappointedbytherelevantpartyArticle22ThehighestauthorityofthecooperativeventurecompanyshallbeitsboardofdirectorsItshalldecideallmajorissuesconcerningthecooperativeventurecompanyUnanimousapprovalshallberequiredforanydecisionsconcerningmajorissuesAsforothermatters,approvalbymajorityorasimplemajorityshallberequiredNote:ItshallbeexplicitlysetoutinthecontractArticle23ThechairmanoftheboardisthelegalrepresentativeofthecooperativeventurecompanyShouldthechairmanbeunabletoexercisehisresponsibilitiesforanyreason,heshallauthorizethevice-chairmanoranyotherdirectorstorepresentthejointventurecompanytemporarilyArticle24TheboardofdirectorsshallconveneatleastonemeetingeveryyearThemeetingshallbecalledandpresidedoverbythechairmanoftheboardThechairmanmayconveneaninterimmeetingbasedonaproposalmadebymorethanonethirdofthetotalnumberofdirectorsMinutesofthemeetingsshallbeplacedonfileArticle25ThemeetingshallbevalidonlywhenmorethantwothirdsofthetotalnumberofdirectorsattendIncaseofabsence,thedirectorshallentrustanotherpersontoattendandvoteforhimwithatrustdeedChapter10BusinessManagementOfficeArticle26ThecooperativeventurecompanyshallestablishamanagementofficewhichshallberesponsibleforitsdailymanagementThemanagementofficeshallhaveageneralmanager,appointedbyParty,deputygeneralmanagers,byParty;byPartyThegeneralmanageranddeputygeneralmanagerswhosetermsofofficeisyearsshallbeappointedbytheboardofdirectorsArticle27TheresponsibilityofthegeneralmanageristocarryoutthedecisionsoftheboardandorganizeandconductthedailymanagementofthecooperativeventurecompanyThedeputygeneralmanagersshallassistthegeneralmanagerinhisworkArticle28Thegeneralmanagershallreporttotheboardofdirectorstheoperationconditionsofthecooperativecompanyeverythreemonths,andmakeafinancialreporteverysixmonthsArticle29Incaseofgraftorseriousderelictionofdutyonthepartofthegeneralmanageranddeputygeneralmanagers,theboardofdirectorsshallhavethepowertodismissthematanytimeChapter11LaborManagementArticle30Laborcontractcoveringtherecruitment,employment,dismissalandresignation,wages,laborinsurance,welfare,rewards,penaltiesandothermattersconcerningthestaffandworkersofthecooperativeventurecompanyshallbedrawnupbetweenthecooperativeventurecompanyandthetradeunionofthecooperativeventurecompanyasawhole,ortheindividualemployeesinthecooperativeventurecompanyasawholeorindividualemployeesinaccordancewiththelawofthePeoplesRepublicofChinaonChinese-ForeignCooperativeJointVenturesThelaborcontractsshall,afterbeingsigned,befiledwiththelocallabormanagementdepartmentArticle31Theappointmentofhigh-rankingadministrativepersonnelrecommendedbybothparties,theirsalaries,socialinsurance,welfareandthestandardoftravellingexpensesetcshallbedecidedbythemeetingoftheboardofdirectorsChapter12Taxes,FinanceandAuditArticle32ThecooperativeventurecompanyshallpaytaxesinaccordancewiththeprovisionsofChineselawsandotherrelativeregulationsArticle33StaffmembersandworkersofthecooperativeventurecompanyshallpayindividualincometaxaccordingtotheIndividualIncomeTaxLawofthePeoplesRepublicofChinaArticle34ThefiscalyearofthejointventurecompanyshallbefromJanuary1toDecember31Allvouchers,receipts,statisticstatementsandreportsshallbewritteninChineseNote:AforeignlanguagecanbeusedconcurrentlywithmutualconsentArticle35FinancialcheckingandexaminationofthecooperativeventurecompanyshallbeconductedbyanauditorregisteredinChinaandreportsshallbesubmittedtotheboardofdirectorsandthegeneralmanagerIncasePartyBconsidersitnecessarytoemployaforeignauditorregisteredinanothercountrytoundertakeannualfinancialcheckingandexamination,PartyAshallgiveitsconsentAlltheexpensesthereofshallbebornebyPartyBArticle36Inthefirstthreemonthsofeachfiscalyear,themanagershallpreparethepreviousyearsbalancesheet,profitandlossstatementandproposalregardingthedisposalofprofits,andsubmitthemtotheboardofdirectorsforexaminationandapprovalChapter13DurationoftheCooperativeVentureArticle37ThedurationofthecooperativeventurecompanyisyearsTheestablishmentdateofthejointventurecompanyshallbethedateonwhichthebusinesslicenseofthecooperativeventurecompanyisissuedAnapplicationfortheextensionoftheduration,proposedbyonepartyandunanimouslyapprovedbytheboardofdirectors,shallbesubmittedtotheMinistryofForeignTradeandEconomicCooperationortheexaminationandapprovalauthorityentrustedbyitsixmonthspriortotheexpirydateofthejointventureChapter14TheDisposalofAssetsaftertheExpirationoftheDurationArticle38Upontheexpirationoftheduration,theassetsshallbelongtoPartyAChapter15InsuranceArticle39InsurancepoliciesofthejointventurecompanyonvariouskindsofrisksshallbeunderwrittenwiththePeoplesRepublicofChinaTypes,valueanddurationofinsuranceshallbedecidedbytheboardofdirectorsinaccordancewiththeprovisionsofthePeoplesInsuranceCompanyofChinaChapter16TheAmendment,AlterationandTerminationoftheCon-tractArticle40TheamendmentofthecontractorotherappendicesshallcomeintoforceonlyafterawrittenagreementhasbeensignedbyPartyAandPartyBandapprovedbytheoriginalexaminationandapprovalauthorityArticle41Incaseofinabilitytofulfilthecontractortocontinueoperationduetoheavylossesinsuccessiveyearsasaresultofforcemajeure,thedurationofthecooperativeventureandthecontractshallbeterminatedbeforethetimeofexpirationafterbeingunanimouslyagreeduponbytheboardofdirectorsandapprovedbytheoriginalexaminationandapprovalauthorityChapter17LiabilityforBreachofContractArticle42Shouldthecooperativeventurecompanybeunabletocontinueitsoperationorachieveitsbusinesspurposeduetothefactthatoneofthecontractingpartiesfailstofulfiltheobligationsprescribedbythecontractandarticlesofassociation,orseriouslyviolatestheprovisionsofthecontractandarticlesofassociation,thatpartyshallbedeemedtohaveunilaterallyterminatedthecontractTheotherpartyshallhavetherighttoterminatethecontractinaccordancewiththeprovisionsofthecontractafterapprovalbytheoriginalexaminationandapprovalauthority,andtoclaimdamagesIncasePartyAandPartyBofthecooperativeventurecompanyagreetocontinuetheoperation,thepartywhofailstofulfilitsobligationsshallbeliablefortheeconomiclossescausedtherebytothejointventurecompanyArticle43ShouldeitherPartyAorPartyBfailtoprovideonschedulethecontributionsinaccordancewiththeprovisionsdefinedinChapter5ofthiscontract,thepartyinbreachshallpaytotheotherpartyYuan,orofthecontributionstartingfromthefirstmonthafterexceedingthetimelimitShouldthepartyinbreachfailtoprovideaftermonths,Yuan,orofthecontributionshallbepaidtotheotherparty,whoshallhavetherighttoterminatethecontractandtoclaimdamagesfromthepartyinbreachinaccordancewiththeprovisionsofArticle42ofthecontractArticle44Shouldallorpartofthecontractanditsappendicesbeunabletobefulfilledowingtothefaultofoneparty,thepartyinbreachshallbeartheliabilitythereforShoulditbethefaultofbothparties,theyshallbeartheirrespectiveliabilitiesaccordingtotheactualsituationArticle45Inordertoguaranteetheperformanceofthecontractanditsappendices,bothPartyAandPartyBshallprovideeachotherwithbankguaranteesforperformanceofthecontractwithindaysafterthecontractcomesintoforceChapter18ForceMajeureArticle46Shouldeitherofthepartiestothecontractbepreventedfromexecutingthecontractbyforcemajeure,suchasearthquake,typhoon,flood,fire,warorotherunforeseenevents,andtheiroccurrenceandconsequencesareunpreventableandunavoidable,thepreventedpartyshallnotifytheotherpartybytelegramwithoutanydelay,andwithin15daysthereafterprovidedetailedinformationoftheeventsandavaliddocumentforevidenceissuedbytherelevantpublicnotaryorganizationexplainingthereasonofitsinabilitytoexecuteordelaytheexecutionofallorpartofthecontractBothpartiesshall,throughconsultations,decidewhethertoterminatethecontractortoexemptpartoftheobligationsforimplementationofthecontractorwhethertodelaytheexecutionofthecontractaccordingtotheeffectsoftheeventsontheperformanceofthecontractChapter19ApplicableLawArticle47Theformation,validity,interpretation,exe
