方：_签订日期：_年_月_日DATED：betweensYachtCompanyLimited，HongKong（HereinafterreferredtoastheBuilder）andBBBCC，Vietnam，（HereinafterreferredtoastheBuyer）WHEREAS：1）TheBuyerwishestoacquireaAAAsCape65TrawlerYacht（theyacht）designedbyThanosCondylis，andbuilttotheBuyersstatedrequirementsandspecification，andtheBuilderhasthecapability，knowledgeandskillstobuildandsupplythesame2）TheBuilderhasagreedtoconstruct，equip，fit-out，testanddelivertheYachttotheBuyersstatedrequirementsandspecification，whichtheBuyerhasagreedtoacceptuponthetermsandconditionshereinafterspecified：NowthereforethePartiesheretohaveagreedanddoherebyagreeasfollows：ARTICLEI-INTERPRETATION1）InthisContractthefollowingwordsandexpressionsshallhavethemeaningherebyascribedtothem，exceptwherethecontextotherwiseadmitsorrequires：BankingDaysShallmeandaysuponwhichHongKongclearingbanksarecustomarilyopenforbusinesstheBuildersClarificationsShallmeanthedocumentssoentitledformingpartofthisContractandsetoutasAnnexeshereto；（SeealsoItem（2）ofthisArticle）BuyersRepresentative（s）ShallmeansuchpersonsnotifiedfromtimetotimebytheBuyerashavingauthoritytoactfortheBuyer，theextentofsuchauthoritybeingsetoutinthenotice；ItemsofBuyerssupplyShallmeananyitemofequipmentandstoresfortheYachtorderedbytheBuyerdirectfromthemanufacturerorthesupplier，forincorporationintheYachtbytheBuilder；ItemsofBuilderssupplyShallmeananyitemofequipmentandstoresfortheYachtorderedbytheBuilderdirectfromthemanufacturerorthesupplier，forincorporationintheYacht；theCertifying/SurveyBodyShallmeanthebodyresponsibleforthesurveyandcertificationoftheyachttotherequirementsofthebuyertheContractShallmean（a）thisContract，and（b）theattachedAnnexesandschedulemoreparticularlydescribedbelowtheContractDeliveryDateShallmeannolaterthan；theContractMasterProgrammeShallmeantheprogrammeforconstructionoftheYacht，setoutinAnnexD；theContractPriceShallmeanthepricestipulatedinArticleVfortheYacht，YardNumber005；theYachtShallmeantheyachtthesubjectofthisContractandgenerallyasdescribedinArticleII，withallthemachinery，apparatus，outfit，materials，andequipmentappurtenantthereto，butexcludingtheitemsofBuyerssupplytheBoatyardShallmeanAAAsYachtCompany，Xinhui，ChinatheDesignSpecificationsShallmeanthespecifications，designs，plansanddrawings，setoutinScheduleA，preparedandsignedbytheBuyer，identifiedasformingpartofthisContract，andincludingsuchrevisedorsupplementalspecifications，plansanddrawingsasmaysubsequentlybeagreedbetweentheBuyerandtheBuilderPROVIDEDthat（i）inthecaseofanyinconsistencybetweenanyArticleorparagraphofthisContractandtheDesignSpecifications，thisContractshallprevail，（ii）inthecaseofanyinconsistencybetweentheDesignSpecificationsandaplanordrawing，theDesignSpecificationshallprevail，and（iii）inthecaseofanyinconsistencybetweenoneplanordrawingandanotherplanordrawing，thelaterindateshallprevail；ScheduleAShallmeantheagreedscheduleofdrawingsAnnexAShallmeanthelistofmaterials，componentsandequipmentdefiningacompletedyacht；AnnexBShallmeantheagreedweldqualityproceduresAnnexCShallmeantheagreedShotBlasting，Fairing，PaintingandfoamingSpecificationsAnnexDShallmeantheagreedproductionschedulemasterprogramSpecifiedShallmeanstipulatedinthespecificationsandAnnexA；SupplierShallmeananyperson，firmorcompany，whichhasenteredintoacontractwiththeBuilderforthesupplyofmaterials，machinery，servicesorequipment（otherthanitemsofBuyerssupply）fortheyacht；TheIndex，Articleandparagraphheadings，areinsertedforconvenienceonlyandshallnotaffecttheconstructionofthisContractWordsimportingthesingularshallincludethepluralandviceversa2）ListofBuildersclarifications，notcoveredinAnnexAdocument：CradlesforTransportThesupplyofaCradleforshipmentisexcludedfromthisContractDressing/SteppingtheMastThedressingandsteppingofmastfortheYachtisincludedintheBuilderssupplyStorageTheBuilderwillarrangesecurestorageashorefortheYachtattheBoatyardbetweencompletionofbuildandhandoveratdeliveryFabricationTheBuilderwillsupplysteelinpre-cutformwithatestcertificateinaccordancewiththebuildersproductionandqualityplanWeldingTheContractisbasedonNDT（nondestructivetesting）beingconductedtothestandardsrequiredbyDetNorskeVeritasclassRulesforyachtandSmallCraft，including100visualexaminationRadiographywillbecompletedwhereappropriate，attheBuilderscostAllweldingwillbecarriedoutinaccordancewiththequalityplanandISOweldproceduresapprovedbythebuyersrepresentativeandwillbeingeneralaccordancewithDetNorskeVeritasrequirementsShotBlastingShotBlastingoftheYachtwillbeinaccordancewiththeagreedspecificationattachedinAnnexCInsulationTheinsulationoftheYachtwillbeinaccordancewiththeagreedspecificationattachedinAnnexCFairingandPaintingThefairingandpaintingoftheYachtwillbeinaccordancewiththeCoatingsSpecificationattachedinAnnexCEquipmentTheresponsibilityforthesupplyofmaterialsandequipmentwillbeasdefinedandagreedintheComponentsList（AnnexA）fortheYachtQualityPlanDocumentationAnagreedqualityplanwillbeissuedcoveringallaspectsoftheYachtsconstruction，whichwillinclude：a）Hull&DeckFabricationb）BlastandPrimec）FairandPaintd）ElectricalandmechanicalEngineeringe）Fit-OutARTICLEIIDESCRIPTION1）TheYachttobeconstructedunderthisContractisaMotorYachtofapproximately2000metreslengthoveralldesignedbyThanosCondylis，asdescribedinthespecifications，withthefollowingmainparticulars：ApproximateDimensionsLengthoverallabout2000metresLengthonthewaterlineabout1803metresBeam（max）about575metresDraftabout177metres2）AdistinctiveyardNumbershallbeplaceduponeachYachtandhermaterialsandoutfit，duringconstructionTheYardNumberoftheYachtshallbeKYC-005ARTICLEIIICONSTRUCTION，MATERIALSANDINSPECTION1）TheYachtandhermachinery，outfit，equipment，materialsandworkmanshipshallbeinaccordancewiththisContractandtheDesignSpecifications2）Inprinciplethebuilderwillsupplyallmaterial，componentsandequipmentfortheyachtassetoutinAnnexeAAnyadditionalmaterial，componentsorequipmentprocuredbythebuilderwillbebilledtothebuyeratdeliveredcostplus15Howeverthebuildermustnotifythebuyerinwritingpriortoprocurementofthecostandquantityofanyitemsforwhichthebuilderintendstobebilledtothebuyersaccount3）Intheeventofanydelayofdeliveryofmaterial，componentsandequipmentwhichareitemsofBuyerssupply，bythebuyerresultingindelaystotheproductionschedulesetoutinAnnexeE，thecontractdeliveryperiodmaybeextendedbytheamountofthedelayProvidedalwaysthatthebuilderwillusehisbestendeavourstominimisethedelaysocausedbyre-schedulingworktoutilisethematerial，componentsandequipmentthathavealreadybeendeliveredtothebuilder4）IfanyspecifiedmaterialsarenotavailablewhenrequiredforincorporationontheYacht，theBuildershallbeatlibertytouseothersuitablematerialsinsubstitutiontherefore，subjecttotheapprovaloftheBuyer，whichapprovalshallnotbeunreasonablywithheldAnyadjustmenttotheContract，DeliveryDateorDesignSpecificationresultingfromsuchsubstitutionshallbemadeinaccordancewiththeprovisionsofArticleIV5）DuringconstructionoftheYacht，theBuilderwillpermittheBuyersRepresentativetoattendthetestsspecifiedinArticleVIIIandtohaveaccesstotheBoatyardduringordinaryworkinghourswhileworkisproceedingontheYachtThebuildermustgivereasonablenoticeofsuchteststotheBuyersRepresentativeinwritingTheBuilderwilluseitsreasonableendeavourstoarrangefortheBuyersRepresentativetohaveaccesstothepremisesoftheBuilderssubcontractorsforthepurposeofinspectingmaterialsandworkmanshipIf，duringconstruction，theBuyerorhisRepresentativeallegesanydefectoromissionintheYachttheyshall，ifrequiredbytheBuilder，immediatelyspecifythesameinwritingIftheBuilderagreesthattherehasbeenadefecttheBuilderwillatitsowncost，beforedelivery，rectifythesame6）ThebuildwillbesubjecttoregularinspectionsbytheBuyerAccommodation，mealsandentertainmentinChinafortheBuyersstaffthatarepaidforbythebuilder，willbeinvoicedtothebuyeratcostThebuyerwillcoverhisowntravelcoststoandfromtheboatyard7）TheBuilderundertakestoprovideasuitablyqualified（Englishspeaking）MarineEngineertoactasaliaisonpersonwiththeBuyerthroughoutthedurationofthiscontract8）WherepracticaltheBuildershalltakeandmakeavailabletotheBuyer，digitalphotographicevidenceofallconstruction，paintingandfitoutstagesduringtheYachtsbuildSuchdigitalinformationwillbesenttotheBuyerortheBuyersRepresentativebyelectronicmeansandatsuchfrequencytoallowtheBuyerortheBuyersrepresentativetomonitorthecourseoftheYachtsbuild9）Thematerials，componentsandequipmentfortheYacht（asdetailedandagreedontheComponentSupplyListinAnnexA）thataretheBuilderssupplywillbeshippedtotheBoatyardbythebuilderathisexpenseShippingcostsofItemsofBuyerssupplywillbeattheBuyerscosttogetherwithassociatedexportandimportprocedures，dutiesandinsurance10）TheBuilderspremisesshallhavethenecessaryfacilitiesandequipmenttoconstructtheYachttotheagreedstandardsandspecificationsThefacilitiesandequipmentwillincludeshotblastingequipment，airlesssprayequipment，boltweldingcapacitor，heavydutypulseMIGweldingequipmentandenvironmentalmonitoringequipmentcapableofprovidingarecordoftemperature，humidityanddewpointARTICLEIVMODIFICATIONS1）AtanytimepriortoDeliveryoftheYachttheBuyerthroughtheBuyersRepresentativemayrequest，inwriting，modificationsoradditionstoordeletionsfromtheDesignSpecificationsandScheduleATheBuildershallnotbeobligedtoaccedetoanyrequestunderthisparagraph（1）unless：i）ItisreasonableandpracticablefortheBuildertodosohavingregardtothestageofconstructionwhichtheYachthasreachedandtotheBuildersBoatyardprogramme；ii）ThePartiesshallfirstagreeinwritinginrelationtosuchmodifications，additions，ordeletions：（1）AnyincreaseordecreaseintheContractPriceandvariationofthepaymenttermsfortheYacht；（2）AnyextensionoftheContractDeliveryDate；（3）AnyalterationofthetermsofthisContractortheDesignSpecificationorAnnexAProvidedthattheBuildershallbeentitledtocontinueproductioninaccordancewiththeDesignSpecificationsandScheduleAuntilagreementhasbeenreachedasprovidedinthissub-paragraphii）。2）TheBuildershallnotmakechangesinconstructionaldetailsormaterialsoftheYachtwithouttheagreementoftheBuyerinwritingARTICLEVPRICEANDTERMSOFPAYMENTTheBuilderhasagreedtocompletetheconstruction，outfitanddeliveryoftheYachtfortheBuyeronthefollowingterms1ThecontractpricefortheyachtwillbeUS$850，000（EighthundredandfiftythousandUSdollars）2PaymentofthefirmpricefortheYacht，shall，subjecttoparagraph3）hereofbemadeininstalmentsfromtheBuyertotheBuilderasfollows：InstalmentEventa）InitialdepositofUS$127，500（onehundredandtwentyseventhousandfivehundred）payableonthesigninghereofb）UponarrivalofallstructuralbuildingmaterialsintheBoatyard，US$127，500（onehundredandtwentyseventhousandfivehundred）c）OnsatisfactorycompletionoftheYachtsstructuralsteelworkUS$127，500（onehundredandtwentyseventhousandfivehundred）d）OnsatisfactorycompletionoftheYachtsinteriorpaintingandinsulationstages，substantialcompletionoftheYachtsinteriorfurniturebuiltofftheYacht，andatthestartoffitout，US$127，500（onehundredandtwentyseventhousandfivehundred）e）OnsatisfactorycompletionoftheYachtsexteriorpaintingstages，US$127，500（onehundredandtwentyseventhousandfivehundred）。f）OnsatisfactoryinstallationoftheYachtsengines，generatorsandmainengineroomsystems，togetherwithinstallationoftheflybridgestructure，US$127，500（onehundredandtwentyseventhousandfivehundred）。g）OndeliveryandfinalacceptanceoftheYachtbytheBuyerUS$85，000（Eightyfivethousand）。2）TheBuildershall，bynotlessthanfourteendaysnoticeinwriting，advisetheBuyerofthedateuponwhicheachinstalmentoftheContractPriceshallbecomepayable（i）SubjecttotheBuilderscompliancewiththenoticeprovisionsoftheforegoingparagraph，eachofthesaidinstalmentsshallbecomedueandpayableupontheappropriateInstalmentEvent，subjecttoreceiptbytheBuyeroftheBuildersinvoicethereof，accompaniedbyaStageCertificateIssuedbytheBuildercertifyingthattheappropriateInstalmentEventhastakenplace（ii）PriortoeachInstalmentEvent，theBuildershallnotifytheBuyer，inwriting，oftheamountofanyreductionin，oradditionto，theContractPrice，inaccordancewiththetermsofthisContractTheinstalmentdueontheforthcomingInstalmentEventshallbeadjustedtotakeaccountofanysuchamendmenttotheContractPrice4）TheamountofeachinstalmentoftheContractPriceshallbepaiddirecttoAAAsYachtCompanyLimited，A/Cnumber0842-5094atCitibankHongKong，（RoutedviaCitibankNY，ABA#021000089，A/CCitibankHK，CHIPSUID030339，SwiftCodeCITIHKHX）fortheaccountoftheBuilderwithinfourteenBankingdaysoftheduedateforpaymentandifnotsopaidshall（withoutprejudicetoanyotherrightsoftheBuilderinrespectofnon-payment）bearinterestfromtheduedateuntilpaymentatHKBaseRateplus45）IntheeventoftheBuilderissuingaStageCertificateunder（3）（i）andtheBuyerconsideringthattheBuildershouldnothaveissuedthesamebecausetheInstalmentEventshallnothavebeenreached，or，ifreached，thattheworkormaterialsexecutedorincorporatedbytheBuilderintheYachtwasnotinaccordancewiththerequirementsofthisContractorinaccordancewithgoodengineeringpracticethentheBuyermaygiveaCounterNoticespecifyingthemattersbyreasonwhereoftheBuyercontendsthattheStageCertificateshouldnothavebeenissued，andthereuponifthePartiesdonotagreethenthemattershallbereferredforresolutiontoanarbitratortobeagreedbythePartiesARTICLEVIPROPERTY1）TheYachtassheisconstructed，andallmachineryandequipmentandmaterials，whetherwhollyorpartiallyfinishedorunfinished，fromtimetotimeappropriatedorintendedfortheYachtintheBoatyardorelsewhere，shallbeandremaintheabsolutepropertyoftheBuyer（andshallbeattheriskoftheBuilder）andshallbewithintheownershipanddispositionoftheBuyerThebuildershall，however，havealienuponthecraft，machineryandequipmentandmaterialsforrecoveryofallsumsdueunderthetermsofthisagreementoranyvariationormodificationthereof2）Thebuilderwillco-operatewithandgiveallreasonableassistancetothebuyerinrelationtothemeasurementandregistrationoftheyachtARTICLEVIIINSURANCE1）DuringtheperiodofconstructionunderthisContractanduntildeliveryoftheYachtinaccordancewithArticleIX，theYachtandallmaterials，machineryandequipmentallocatedfortheconstructionthereofandallitemsofBuyerssupplyactuallydeliveredtotheBuildershallbeattheriskoftheBuilder，whoshallatitsownexpensekeepthesameinsuredforasumnotlessthan110oftheaggregatesumofthecontractpriceplusthevalueoftheitemsofBuyersSupplywithanapprovedinsurerorinsurersandinrespectofandagainstallordinaryyachtbuildingrisks，beingfire，storm，theft，flood，lightening，explosion，docking，undocking，launching，salvage，removalofwreck，strikes，civilcommotion，maliciousdamage，sabotageandvandalism2）BuyerssupplyitemswillbedeliveredtotheBuilderatXinhuiport，atwhichpointtheriskfortheitemswillpasstotheBuilder3）AcertificateofinsuranceshowingthatthenecessarycoverisinplaceshallbedeliveredtotheBuyerifsorequired4）Intheeventofanactual，constructive，compromisedorarrangedtotallossoftheYachtpriortoDeliveryofthesametotheBuyer，eithertheBuyerortheBuildershallbeentitledtoterminatethisContractbyservingupontheBuilderortheBuyer，asthecasemaybe，writtennoticeoftermination，suchnoticetobedispatchedwithinfourteendaysofthedateuponwhichtheinsurersacceptthattheYachthasbecomeanactualconstructive，compromisedorarrangedtotalloss5）IntheeventofanylossordamagebeingsustainedbytheYachtpriortodeliverywhichdoesnotconstituteanactual，constructive，compromisedorarrangedtotalloss，theBuildershallrepairandmakegoodthatlossordamage（hereinafterreferredtoasapartialloss）atthecostoftheBuilderandwhetherornotsufficientinsurancefundsmaybeavailable6）Theproceedsoftheinsurancereferredtoinparagraph（1）ofthisArticleshallbedealtwithasfollows：IftheinsuranceproceedsareinrespectofanactualorconstructiveorcompromisedorarrangedtotallossthentheyshallbeappliedfirstlyinreimbursementtotheBuyeroftheamountofallpayments，ifany，madebytheBuyertotheBuilderunderthisContractandinreimbursementofthevalueofanyitemsofBuyersSupplyand，secondly，inpaymentofanybalancetotheBuilder7）FollowingDeliveryoftheYacht，theBuyershallacceptallriskintheYachtincludingallmaterials，machineryandequipmentthereof，andtheBuyershallatitsownexpenseberesponsibleforallinsurancerisksthereafterARTICLEVIIITESTS1）PriortodeliveryoftheYachttotheBuyer，theBuildershallcarryoutthetestsprovidedforintheQualityDocumentation，includingbutnotlimitedto：a）Noiseandvibrationb）Hoseandpressuretestsc）MotoringtrialswithintheconfinesoftheWestRiver2）TheBuildershallgivetheBuyerreasonablewrittennoticeofthetimeandplaceatwhicheachofthetestsistobecarriedoutARTICLEIXDELIVERY1）TheYachtshallbedeliveredtotheBuyerbytheBuilderatamutuallyagreedplaceinHongKongHarbouronorbeforetheContractDeliveryDate，orasthesaidContractDeliveryDatesmayhavebeenextendedinaccordancewiththeprovisionsofArticlesIIIorIV2）ProvidedthatallinstalmentsandothersumsassetoutandcontainedinArticleVarefullypaidthentheDeliveryoftheYachtshallbeeffectedforthwithbytheconcurrentsignaturebytheBuyerandtheBuilderofaCertificateofDeliveryandAcceptanceacknowledgingDeliveryoftheYachtbytheBuilderandacceptancethereofbytheBuyerprovidedthatthesignaturethereofbytheBuyershallnotoperateasawaiverofanyrightswhichtheBuyermightotherwisehaveinrespectoftheYacht3）Upondelivery，theriskintheYachtdeliveredshallpasstotheBuyer，itbeingexpresslyunderstoodthat，untilDeliveryiseffected，theYachtandtheirequipmentareattheentireriskoftheBuilder4）TheBuyershalltakepossessionoftheYachtimmediatelyuponDelivery5）IftheBuilderisunabletotendertheYachtforDeliverywithinsixtydays（thePeriodofGrace）oftheContractDeliveryDate，theBuildershallpaytotheBuyerasagreedandliquidateddamagesthesumofUS$100foreachdaytheYachtisnotsotenderedforthefirstthirtydayperiodofdelayaftertheperiodofgrace，thenUS$250foreachsubsequentdaytheYachtisnotsotenderedanduntilsatisfactorydeliveryismade6）IfanyitemsontheY
