方：_签订日期：_年_月_日ThisFacilitiesUseAgreementNumber,theAgreementismadeandenteredintoasofthis,M/D/YbyandbetweentheAAAtheGovernmentandBBBtheContractorhereinaftercollectivelyreferredtoasthePartiesRECITALSWHEREAS,theGovernmentistheownerofcertainrealpropertylocatedin,moreparticularlydescribedinScheduleA,attachedheretoandincorporatedhereinbyreferencetheProperty:andWHEREAS,theGovernmentdesirestoprovidethePropertytotheContractor,andtheContractordesirestousethePropertyforthepurposeofperformingservicesfortheGovernmentinconnectionwiththeAmphibiousAssaultVehicleAAVReliability,Maintainability,Sustainability/RebuildtoStandardprogram;andWHEREAS,providingthePropertywillfacilitatetheGovernmentsprocurementofessentialservicesandpromotethenationaldefense;andWHEREAS,providingthePropertywillsupporttheGovernmentsindustrialpreparednessprogramsandisinthepublicinterest,NOWTHEREFORE,inconsiderationofthemutualpromisesandconditionssetforthherein,theGovernmentandtheContractorherebyagreeasfollows:IPROVISIONOFPROPERTYAProvisionTheGovernmentherebyprovidesthePropertytotheContractorandtheContractorherebyagreestousethePropertyinaccordancewiththetermsandconditionssetforthinthisAgreementBUseofPropertyTheContractorisauthorizedtooccupyandusethePropertyinperformanceoftherequirementsinContractM67854-98-C-2075,whichwasawardedbytheMarineCorpsSystemsCommandtheContract,andforsuchotherusesasauthorizedbytheGovernmentCTerm,OptiontoExtend,andTerminationNotwithstandinganyprovisiontothecontraryhereinorintheFAR,thetermofthisAgreementshallbeforaperiodcommencingonthedatefirstwrittenaboveandendingon,M/D/YHowever,thepartiesheretomaybymutualwrittenagreement,extendtheuseofthePropertyunderthisAgreementbeyond,M/D/YtopermitcompletionofthecontractorsubsequentrelatedcontractsFurthermore,notwithstandingtheGovernmentsabsoluterighttoterminatethisAgreementatanytime,theGovernmentwill,totheextentpracticable,providetheContractorwith180daysadvancewrittennoticepriortoterminatingthisAgreementDRentAsprovidedinFAR52245-9a,theContractorshallhavenoobligationtopayanyrenttotheGovernmentprovidedtheContractoronlyperformsworkundertheContractEAnnualReviewThePartiesagreethattheywillperiodicallyreviewthisAgreementbutnotlessthanannuallytoensurethatitcontinuestomeettheirrespectiveneedsIISPECIALPROVISIONSAReasonableAccessforContractorTheGovernmentagreestopermittheContractorreasonableaccesstothePropertyandtoplacenounreasonableencumbranceuponthefreeuseandenjoymentofthePropertybythecontractorspersonnel,authorizedvisitors,oranyotherindividualshavingareasonableneedtoenterthePropertyBProvisionofUtilitiesandSupportServicesTheGovernmentshallmakeavailabletotheContractor,onareimbursablebasis,thefollowingutilitiesandservicesinconnectionwiththeContractorsuseoftheProperty,andthePartiesheretoshallenterintoaseparateagreementconcerningtheGovernmentsprovisionofsuchutilitiesandservicesandtheContractorspaymentthereforWaterElectricitySewageNaturalGasMiscellaneousMaintenanceEntomologyServicesBuildingMaintenanceRefuseCollectionEmergencyAmbulanceServiceHazardousWasteDisposalInadditiontotheforegoing,theGovernmentshallmakeavailabletotheContractor,atnocost,thefollowingservicesinconnectionwiththeContractorsuseoftheproperty:SecurityFireProtectionSafetyIntra-baseMailGuardServiceGateCParkingTheGovernmentagreestoprovidetheContractorwithtenparkingspacesadjacenttothePropertyasindicatedinScheduleBInaddition,theGovernmentwillprovidetheContractorwithaccesstoadditionalparkingincloseproximitytothePropertyDInstallations,Arrangements,Rearrangements,ModificationsandConstructionTheContractormay,atitsownexpense,constructorinstallanyfixedimprovements,structuralalterationsormodifications,orinstallsuchcapitalequipmentonthePropertyasmaybenecessarytoperformitsobligationsundertheContractThisshallinclude,butisnotlimitedto,bringingutilitiestothePropertyandprovidingfortheseparatemeteringthereof,makingarchitectural/structural,mechanical,electrical,orotherrenovationsoralterationstotheProperty;and,makingimprovementsincludingstabilizationanddrainagetoanyopenstorageareasThePartiesacknowledgeandunderstand,however,thatattheexpirationorearlierterminationofthisAgreement,theContractormayremoveanycapitalequipmentthatitprovidedandinstalledonthePropertytoperformitsobligationsundertheContractHowever,iftheContractorremovesanysuchcapitalequipmentthentheContractoragreestorestorethatportionofthePropertyvacatedbysaidequipmenttoaconditionsuchthatthePropertymayonceagainbeusedforitsoriginalpurposeasastoragewarehouseEPeriodicInspectionsTheGovernmentreservestherighttoperformperiodicpreventivemaintenance,fireprotectionandotherinspectionsofthePropertyThisshallinclude,butnotbelimitedto,theGovernmentsrighttoperformenvironmentalcomplianceandexplosivesafetyinspectionsFContractingOfficersRepresentativeTheContractingOfficershalldesignateinwritingaContractingOfficersRepresentativehereinafterCORtoinsurethatthePartiescomplywiththetermsandconditionsofthisAgreementGConditionofPropertyTheGovernmentmakesnowarranty,expressorimplied,regardingtheconditionorfitnessforuseofthePropertyHCompliancewithLaws1GeneralTheContractor,atitsownexpense,shallconductitsactivitiesonthePropertyincompliancewithallapplicablelaws,regulations,rules,orders,decrees,permitsandagreements,includingwithoutlimitationthosepromulgatedbytheDepartmentofDefenseoranydivisionorrelatedagencythereof,andincludingwithoutlimitationthosewhichrelatetohealth,safety,environmentalprotection,wastedisposal,andwaterandairqualitywithrespecttotheuseofthePropertyandtherightsgrantedhereunderallofwhicharehereinafterreferredtoastheRequirementsFurther,theContractorshallconductitsactivitiesincompliancewithallrequirementstowhichtheGovernmentmaybesubjectwithrespecttothePropertyThePartiesagreethattotheextentexistingRequirementsarechangedornewRequirementsareimposedduringthetermofthisAgreement,bothpartiesretaintherighttoseekanequitableadjustmentorotherappropriatechangeundertheContractasmaybepermittedbylaw2CooperationinObtainingPermitsTheContractorshall,atitsownexpense,obtainanyandallpermits,licenses,andotherauthorizingdocumentsasmaybenecessaryfortheuseandpossessionoftheProperty,providedtheGovernmentcooperateswithandgivesitsbesteffortstotheContractortotheextentreasonablynecessaryforthecontractortoobtainsuchpermits,licenses,andotherauthorizingdocumentsHazardouswastemaybedisposedofunderMCLBAlbanysEnvironmentalProtectionAgencyidentificationnumberonareimbursablebasis3GovernmentDisapprovalofContractorActionsIftheGovernmentfailstoreasonablyapproveorallowanyactionthattheContractorhasidentifiedasreasonablyrequiredtomeetitsobligationsunderthissectionthentheContractorshallberelievedofitsobligationspursuanttothissectionforsuchactionandanyresultingconditionsarisingfromthefailuretotakesuchactionIEnvironmentalInvestigationandRemediation1PotentialforContaminationandIntenttoApportionLiabilityThePartiesacknowledgethatenvironmentalcontaminationmaycurrentlyexistonthePropertyandtheyherebyexpresstheirmutualintentthatthepurposeofthissectionistodetermine,totheextentpossible,thesourcesofanysuchcontaminationSpecifically,whiletheContractorhasagreedhereintocomplywithallapplicablelaws,thePartiesagreethatitisnottheirintenttorequiretheContractortocleanuporotherwiseremediateanycontaminationwhichmayexistonorinthevicinityofthePropertyasoftheeffectivedateofthisAgreement2ContractorResponsibilitiesTheContractorshallberesponsibleforaddressingandcorrectingtotheextentrequiredbyapplicablelawsandregulationsanyenvironmentalpollution,contaminationand/ordamagetothePropertyoccurringaftertheeffectivedateofthisAgreementandresultingfromtheContractorsuseand/orpossessionofthePropertyonoraftertheeffectivedateofthisAgreement,regardlessofwhetherasuchpollution,contaminationordamageisdiscoveredbeforeoraftertheexpirationorterminationofthisAgreement,orbcorrectiveorresponseactionscontinueorarerequiredtobeginaftertheexpirationorterminationofthisAgreementTheContractorsobligationspursuanttothisparagraphdonotextendtoanyactsoftheUnitedStatesoritsagentsTheContractorisnotanagentoftheUnitedStatesforpurposesofthisexclusion3EnvironmentalBaselineSurveysEBSTheGovernmenthas,atitsownexpense,conductedaninitialEBSthatisappendedtothisAgreementandincorporatedhereinasScheduleCThePartiesacknowledgethatthisEBSaccuratelydescribestheenvironmentalconditionofthePropertyasoftheeffectivedateofthisAgreementAttheconclusionofthisAgreement,theGovernmentalshallpromptly,butnolaterthansixmonths,conductanotherEBSatitsownexpensetodeterminetheenvironmentalconditionofthePropertyatthetimetheContractorvacatesthePropertyAcopyofthisfinalEBSwillbefurnishedtotheContractoruponcompletionofthesurvey4ReservationofRightsNotwithstandinganyotherprovisionofthisAgreement,theContractorandtheGovernmentherebyreserveanyandallrightsanddefensesavailableunderlaworanyothercontractbetweenthePartiesthatmayapplytoanyliabilitytoathirdparty,includingwithoutlimitationotherfederal,stateorlocalgovernmentalagencies,relatingtoorarisingfromenvironmentalconditionsexistingon,emanatingfrom,orrelatingtothePropertyontheeffectivedateofthisAgreementNothinginthisAgreementshallbeconstruedtoabrogateanysuchrightsanddefensesJEnvironmentalIndemnificationAsoftheeffectivedateofthisAgreement,theContractorshallindemnify,defendandholdtheGovernmentharmlessagainstanyandallclaims,demands,judgments,administrativeactions,enforcementactionsandlawsuitsagainsttheGovernmentallegingenvironmentalpollution,contamination,damagetoproperty,personalinjuryordeathand/orviolationofanyenvironmental,healthorsafetylaw,regulation,permit,order,decreeoragreementresultingfrom,orattributableto,theactionsoromissionsoftheContractor,itsemployees,agents,subcontractorsandsuppliers,duringallperiodsoftimethattheContractorhastheuseorpossessionofthepropertyTheContractorsobligationpursuanttothissectionshallcontinueregardlessofwhethersuchallegationsaremadebeforeoraftertheexpirationorterminationofthisAgreementTheContractorsobligationspursuanttothissectiondonotextendtoactsoftheUnitedStatesoritsagentsTheContractorisnotanagentoftheUnitedStatesforpurposesofthisexclusionThecontractorshallberelievedofitsobligationspursuanttothissectionforanyconditionsarisingfromenvironmentalcomplianceorremediationactivitieswhichtheContractorhasproposedtoundertakeandtheGovernmenthasunreasonablydisapprovedordisallowedtobetakenonthePropertyKIndemnificationforThirdPartyNon-EnvironmentalClaimsAsoftheeffectivedateofthisAgreement,thecontractorshallindemnify,defendandholdtheGovernmentharmlessagainstallclaimsforpersonalinjuryordeathtoanyandallpersonsandfordamagetopropertyoftheContractororanyandallotherpersonsarisingfromtheContractorsuseorpossessionofthisProperty,providedthatindemnificationforallclaimsinvolvingenvironmentalpollutionorcontaminationshallbegovernedbythesectionofthisAgreementtitledEnvironmentalIndemnificationIIIMISCELLANEOUSPROVISIONSAHeadingsThesectionheadingsofthisAgreementareinsertedforreferencepurposesonlyanddonotaffectthetermsandprovisionshereofBIndustrialMobilizationThePropertyshallnotbesubjecttoorbemadepartofanyindustrialmobilizationrequirementsplanningunlessotherwiseagreedtoinwritingbythePartiesCNoticesExceptasotherwiseprovidedinthisAgreement,anynoticerequiredorpermittedtobegivenhereundershallbedeliveredpersonallyorsentbymailwithpostageprepaidtothefollowingaddressesortosuchotherplacesasmaybedesignatedbythePartiesfromtimetotimeFortheContractor:FortheGovernment:ADDRESS:DIncorporationbyReferenceofFARandDFARSContractClausesThisAgreementincorporatesthefollowingFARandDFARSclausesbyreference,pursuanttoFAR52252-03,withthesameforceandeffectasiftheyweregiveninfulltextFARREFNOCLAUSETITLECLAUSEDATE52203-1DefinitionsM/Y52203-3GratuitiesM/Y52203-5CovenantAgainstContingentFeesM/Y52203-7Anti-KickbackProceduresM/Y52211-15DefensePriorityandAllocationRequirementsM/Y52215-2AuditandRecords-NegotiationsM/YAlternateIM/Y52215-8OrderofPrecedence-UniformContractFormatM/Y52217-9O
