方：_签订日期：_年_月_日Article1-DefinitionsTheOwnershallmeanTheContractorshallmeanThePlantshallmeanalloranypartofthemachinery,equipmentandmaterialsformingthepermanentinstallationasspecifiedinAppendixTheSiteshallmeanallthelandwheretheplantistobeconstructedinaccordancewiththisContractTheWorksshallmeantheworkstobedonebytheContractorunderthisContractTheContractPriceshallmeanthetotalsumpayabletotheContractorbytheOwnerfortheWorksArticle2-ContractorsResponsibilities1TheContractorshalldesign,engineer,andconstructthePlantattheSite2TheContractorshallprovideallequipment,materials,tools,facilities,labourandservicesnecessaryforthesuccessfulconstructionofthePlantexceptthoseitemsandfacilitiestobesuppliedbytheOwnerunderArticle3TheContractorshallperformtheWorksinaccordancewiththeScheduleinAppendix4TheContractorshallprovidetheOwnerspersonnelwithtrainingofperationandmaintenanceofthePlantinaccordancewithAppendix5TheContractorshallsupplytheOwnerwiththesparepartsspecifiedinAppendix6TheContractorshallsupplytheOwnerwiththemaintenanceequipmentspecifiedinAppendixArticle3-OwnersResponsibilities1TheOwnershallmakeavailabletheSiteandgranttheContractorfreeanduninterruptedaccesstheretothroughoutthedurationofthisContract2TheOwnershallprovidethoseitemsandfacilitiesspecifiedinAppendixatthetimethereinestablished3TheOwnerwillobtainfromtherelevantAuthoritiesthoselicensesandpermitsnecessarytoconstructandoperatethePlantontheSiteincludingworkpermitfortheContractorsemployees4TheOwnershallpaythecontractorfortheWorksperformedtheContractPricesetoutinArticleArticle4-ContractPrice1WithindaysaftertheeffectivedateofthisContract,theOwnershallpaytheContractorasfullandcompletecompensationforaccomplishingtheWorksandassumingallobligationsunderthisContracttheContractPriceintheamountof2TheContractPriceisnotsubjecttoescalation,andthecostofexecutingheWorksshallbetheriskoftheContractorwhoshallbedeemedtohavebtainedallinformationandtakenintoaccountallcircumstanceswhichmayaffectthecostinagreeingtheContractPriceArticle5-Drawings1TheContractorshallsubmittotheOwnerforapprovalandreviewwithinhetimespecifiedinAppendixsuchdrawingsasmayberequiredforConstructionofthePlantunderthisContractWithinonemonthafterreceivingsuchdrawingstheOwnershallreviewandapproveordisapprovethedrawing2TheContractorshallberesponsibleforanydefects,errorsoromissionsintheabovedrawingsunlesssuchdefects,errorsoromissionsarecausedbyinaccurateinformationfurnishedinwritingtotheContractorbytheOwner3AlldrawingsandtechnicaldocumentationdeliveredbytheOwnerortheContractortotheotherpartyshallbetreatedasconfidentialbythereceivingpartyunlessagreedotherwise,andshallnotbeusedbythatpartyforpurposesotherthanthoseconnectedwiththisContractArticle6-Inspection1TheContractorshallperformallinspectionandtestingofthePlantrequiredbylawandnormalengineeringpractice2TheOwnershallbeentitledatallreasonabletimesandatitsowncosttoinspect,examineandtestthematerialsandworkmanshipofthePlantunderconstructionSuchinspection,examinationortestingifmadeshallnotreleasetheContractorfromanyobligationundertheContract3ThecompletedPlantshallbeinspected,examinedandtestedbytheOwner,andtheContractorshallgivetheOwnerreasonablenoticeinwritingofthedateonwhichthePlantwillbereadyfortesting4TheContractorshallprovidesuchassistance,labour,materials,electricity,fuels,apparatus,storesandinstrumentsasmayberequiredandasmaybereasonablydemandedtocarryoutsuchtestsbytheOwnerproperlyandefficiently5WhenthePlantshallhavepassedtheabovetests,theOwnershallfurnishtheContractorwithacertificateinwritingtothateffectNoPlantshallbedelivereduntilanyfaultsdiscoveredduringinspectionaresatisfactorilyrectifiedArticle7-Inspection1TheContractorshallprovideattheSitetothereasonablesatisfactionoftheOwnerallmaterials,labour,equipment,servicesandfacilitiesthatmaybenecessaryfortheproperexecutionandcompletionoftheWorks2Withoutprejudicetothegeneralityoftheabove,theContractorshallprovide,asmaybenecessary,thefollowing:aConstructionequipmentbMeansoftransportwithintheSiteincludingtemporaryroadwayscFencing,lightingandguardingandallothermaterialsandservicesnecessaryforthesafetyandsecurityofpersonsandpropertydTemporarystores,officesandotherbuildingsorstructuresformaterialsandpersonsengagedintheWords,includingpersonsemployedbytheOwnereTelephones,fire-fightingequipmentandfirst-aidequipmentuntilthewholeWorkshavebeentakenoverfSanitaryandcanteenfacilitiesfortheuseofpersonsengagedintheWorks3TheContractorshallobserveallsafetyandotherregulationsimposedontheSitebylocallaws4TheContractorshallatalltimeskeeptheOwnerspropertyandtheadjoiningpremises,drivewaysandstreetsfreeofconstructionmaterialsandrubbishcausedbytheWorks,andatthecompletionoftheWorksshallremoveallremainingmaterialsfromandaboutthepremisesandshallleavetheSiteandPlantsafe,cleanandreadyforuseArticle8-Inspection1TheContractorwillsupplyathisowncostfood,transprotandallnecessaryfacilitiesforallhisownpersonnel2OnsigningtheContract,theContractorshallappointaprojectmanagerwhowillrepresenttheContractoratalltimesbepresentattheSiteduringworkinghoursAllcommunicationsissuedbytheOwnertotheprojectmanagershallbebindingasifgiventotheContractor3TheOwnermayrequesttheremovalandreplacementofanypersonemployedbytheContractorontheSiteifsuchpersonisintheOwnersopinionguiltyofmisconduct,incompetenceornegligenceArticle9-Inspection1TheContractorshallberesponsibleforalllossesofordamagetothePlantbeforefinalacceptance,andshallmakegoodalsuchlossordamageatthecostoftheContractorandtothereasonablesatisfactionoftheOwnerprovided,however,inthecaseoflossordamagetothePlantarisingfromoroccasionedbycausesforwhichtheContractorismotresponsibleundertheContract,thesameshallbemadegoodbytheContractorbutatthecostoftheOwner,iftheOwnersodirects2TheContractorshallindemnifytheOwnerinrespectofalldamageandinjuryoccurringbeforetheissueofthefinalacceptancecertificatetoanypropertyandpersonandagainstallactions,suits,claims,demands,chargesandexpensesarisinginconnectiontherewithwhichshallbeoccasionedbythenegligenceoftheContractororanyofhissub-contractorsorbydefectivedesign,materialsorworkmanshipbutnototherwise3IntheeventofanyclaimbeingmadeoractionsbroughtagainsttheOwnerarisingoutofanymatterinrespectofwhichtheContractorisormaybeliableunderthisArticle,theOwnershallpromptlynotifytheContractorinwritingthereofandtheContractorshallathisownexpensetakeoverandconductinthenameoftheOwnerallnegotiationsforthesettlementofthesameandanylitigationthatmayarisetherefromTheOwnershallattherequestoftheContractoraffordallsuchinformationandassistanceastheContractormayreasonablyrequireforthepurposeofdealingwithanysuchclaimoractionArticle10-Inspection1WithoutlimitingtheContractorsliabilitiestheContractorwillathisownexpensetakeoutthefollowinginsurance:aTransportationinsuranceonthemachineandequipmentfromitsdeliveryexworkstoarrivalattheSitebWorkerscompensationinsuranceforallContractorsandsubcontractorsemployeesengagedorsimilarstatutorysocialinsuranceinaccordancewiththeapplicablelawsandregulationscProductliabilityinsuranceagainstdamagetopropertyorinjurytopersonsuntiltheendofthemaintenanceperiodinthesumnotlessthatamountUSdollarsperoccurrencedComprehensiveautomobileliabilityinsuranceinrespectofallvehiclesusedbytheContractororhissub-contractorinconnectionwithhisContract2TheaforesaidpoliciesofinsurancewillbetakenoutinthenamesoftheContractoranditssub-contractors,theOwner,theirengineer,consultantandemployeesandagentsasthejointinsuredandthepoliciesshallcontainawaiverofinsurersrightsofsubrogationagainsttheOwner,itsengineer,consultantandemployeesandagents3TheContractorshallmaintaintheaforesaidpoliciesinfullforceandeffectuntilthedischargeofhisobligationsunderthisContract,andtheOwnershallhavetherighttodemandfromtimetotimecopiesofthepolicies,endorsementsandrenewalsandreceiptsforpaymentofinsurancepremiumsIftheContractorfailstomaintainanyofthesepoliciesinfullforceandeffect,theOwnershallhavetherighttorakeoutsuchpoliciesandpayallrelativepremiumsonbehalfofthecontractorandtodeducttherelevantcostsfromandsumsowingtotheContractorArticle11-Inspection1OncompletionofallconstructionanderectionworkofthePlant,theContractorshallinformtheOwnerandshallcarryoutmechanicalerectioncompletiontestsspecifiedinAppendixtothesatisfactionoftheOwner2OnsatisfactorycompletionofsuchteststheOwnerwillissueacertificateofcompletionoferectionofthePlantNofeedstockshallbefedintothePlantuntilacertificateofcompletionoferectionhasbeenissued3Intheeventofminordeficienciesintheconstructionanderectionworkwhichdonotpreventerectioncompletionand/orintheeventofdefectsrevealedbythetestswhichdonotpreventthestart-upofthePlant,theOwnershallissueacertificateofcompletionoferectionandtheContractorshallbeobligedtorectifythedeficienciesasquicklyaspossiblethereafterArticle12-Inspection1FollowingtheissueofthecertificatesofcompletionoferectiontheContractorshallgivetheOwnerdaysnoticeofthedatewhenhewillbereadytocarryoutperformancetestsofthePlant2TheOwnershallprovidethefeedstockandotherfacilitiesrequiredinAppendixtoenabletheteststocommenceontimeandtheContractorshallbegintheperformancetestsatthetimesonotified3TheperformancetestswillbecarriedoutinacceptancewiththeprovisionsofAppendixandontheirsuccessfulcompletion,theOwnershallissueafinalacceptancecertificatestatingthatthePlanthasbeentakenoverbytheOwnerasfromthedatethereof4IfthePlantfailstopassitsperformancetest,thentheContractor,aftermakingsuchadjustmentsasheconsidersnecessary,shallrepeatsuchtestsinthepresenceoftheOwneratatimetobeagreeduponunderthesametermsandconditionsastheoriginaltests5ThePlantshallnotbecommerciallyoperatedbeforetheissueofthefinalacceptancecertificateNotwithstandingthefailureofthePlanttopassitsperformancetests,theOwnermayathisdiscretionissueafinalacceptancecertificatesubjecttotheContractorremedyingthePlantdefectsassoonaspossibleArticle13-Inspection1IntheeventofanyrepeatofaperformancetestfailingforreasonsimputabletotheContractor,andtherebeingnomutualagreementtocontinueretesting,theresultsofthefinaltestwillbemeasuredandtheContractorwillbeliabletopaytotheOwnerliquidateddamagesonthescalesetoutinAppendixuptoamaximumofoftheContractPrice2IftheContractorisunableforreasonswithinhiscontroltoobtainafinalacceptancecertificateforthewholePlantbymonthsfromtheeffectivedateofthisContract,heshallbeliabletopaytotheOwnerforeachmonthsdelayliquidateddamagesofoftheContractPriceuptoamaximumofoftheContractPriceinaccordancewithAppendix3TheContractorshallestablish,infavouroftheOwner,aguaranteeforoftheContractPriceintheformsetoutinAppendixinsupportofhisobligationsunderthisArticleArticle14-Inspection1TheContractorwarrants,foraperiodofmonthsfromthedateofissueofthefinalacceptancecertificateormonthsfromtheeffectivedateofthisContractwhicheveristheearlier,thesuppliedPlantagainstfaultydesign,materialandworkmanship2TheOwnershallinformtheContractorinwritingofallclaimsarisingunderthisprovisionwithindaysofthedetectionoffault,iftheContractorsrepresentativeisonSiteorwithindaysifnot,totheContractorsheadofficebytelexrrecordedairmaildeliverywithsupportingdataTheContractorshallhavetheoptiontoreplaceorrepairallpartsproveddeficientForthispurposetheContractorshallhavetheoptiontoreplaceorrepairallpartsproveddeficientForthispurposetheContractorshallhaveanaccesstotheSitetoinspectthefaultypartsatanytimeandtoenablehimtocomplywiththetermsofthisguaranteeShouldtheContractorfailtocarryoutagreedremedialworkwithinanyperiodoftimereasonableintheparticularcircumstance,theOwnershallhavetherighttodothisworkattheContractorsexpense3ThiswarrantyisgivensubjecttotheOwnerstoring,operatingandmaintainingthePlantinaccordancewiththeContractorsinstructionsandspecifiedoperatingparametersandmaybenullifiedintheeventoftheOwnerattemptingrectificationworkwithouttheContractorsagreement4Thiswarrantydoesnotincludeitemswhichfailduetonaturalwearandtear,orconsumablesorsimilaritemswhosenaturallifeismonthsorless5IfpursuanttotheabovewarrantytheContractorrepairsorreplacesanyequipment,materialsorworkmanship,theprovisionsofthisArticleshallthemapplytosaidrepairedorreplacedequipment,materialsorworkmanshipforaperiodofoneyearfromthedatesuchrepairsorreplacementsarecompletedArticle15-PatentRightsandRoyalties1TheContractorshallfullyindemnifytheOwneragainstallactions,claims,demands,costs,chargesandexpensesarisingfromorincurredbyreasonofanyinfringementofpatents,designorcopyrightofthirdpartiesbytheuseofthePlantsuppliedbytheContractor2TheContractorshallalsoberesponsibleforthepaymenttothirdpartiesofallfees,royaltiesandothercharges,ifand,thatmaybepayableunderthetermsofanylicenseorpermissioninrespectofanydesignoftheWorksprovidedbytheContractor,themanufacturedandsupplyofthePlantandanyworkdoneormethodemployedintheconstructionoftheWorksHowever,theOwnershallberesponsibleforthepaymenttothirdpartiesofallfees,royaltiesandothercharges,ifany,thatmaybepayableunderthetermsofanylicenseorpermissioninrespectoftheoperationoruseofthePlantoranypartthereofArticle16-Suspension1TheOwnershallhavetherighttoinstructtheContractortosuspendanypartorthewholeoftheWorksatanytimeupongivingwrittennoticetotheContractorprovidedthatanyperiodofsuspensionexceedingdaysshallbetreatedasterminationunderArticle2IftheOwnerfailstomakeanypaymenttotheContractorunderthisContractwithindaysoftheduedate,oriftheContractorisotherwiseinterruptedordelayedintheperformanceoftheWorksduetotheOwnerscontractualdefault,theContractorshallbeentitledtosuspendperformanceofthisContract3IntheeventofsuspensionoftheWorksinaccordancewiththisArticletheContractorshallbeentitledtoreceivesuchreasonableadditionalpaymentasmaybenecessarytocompensatefortheadditionalcostsarisingoutofsuchsuspension,interruptionordelayandsuchreasonableextensionoftimeforperformanceofContractArticle17-Termination1IntheeventofsuspensioninaccordancewithArticlelastingforaperiodofmorethandayseitherpartyshallhavetherighttogivenoticetotheotherpartyoftheimmediateterminationofthisContract2TheOwnermayatanytimebywrittenordertotheContractorordertheContractortoceasefurtherexecutionoftheWorks,andtheContractorshalluponreceiptofaterminationorder,ceaseallfurtherworkontheSiteotherthansuchworkthereonastheEngineermayinstructforthepurposeofprotecting,makingsafeortidyingupsuchpartsoftheworksasmayalreadyhavebeenexecutedorbeincourseoferectionTheContractorshall,assoonaspracticableafterreceiptoftheterminationorder,alsoceaseallsuchfurtherworkasisbeingdoneofftheSiteintheperformanceofthisContract3UponterminationofthisContractunderthisArticleandunderArticle,theContractorshallbeentitledtobepaid:athatpartoftheContractpricewhichisproportionatetoengineeringandservicescarriedout,andbthatpartofthecontractpricewhichisproportionatetothePlantcompletedbutnotdeliveredArticle18-ForceMajeure1NopartytothisContractshallbeliabletotheotherpartyforanyfailureofordelayinperformanceofitsobligationshereofnorbedeemedtobeinbreachofthisContract,ifsuchfailureordelayhasarisenfromforcemajeure2ForceMajeuremeanscircumstancesandconditionsbeyondthecontrolofeitherparties,thatwouldrenderitimpossibleforeithertheOwnerortheContractortofulfilltheirobligationsunderthisContract,ordelaysuchfulfillmentAnyofthefollowingmattersareconsideredforcemajeureawar,hostilities,actofforeignenemy,invasion,warlikeopera-tionswhetherwartobedeclaredornotorcivilwar;bmutiny,civilcommotionassumingtheproportionsoforamountingtoapopularrising,militaryrising,insurrection,rebellion,revolution,militaryorusurpedpower,oranyactofanypersonactingonbehalfoforinconnectionwithanyorganizationwithactivitiesdirectedtowardstheoverthrowbyforceoftheGovernmentdejureordefacto,ortotheinfluencingofitbyterrorismorviolence;cearthquake,flood,fireorothernaturalphysicaldisaster;ddenialoftheuseofallports,airports,shippingservicesorothermeansofpublictransport;estrikeorlockoutorotherindustrialconcertedactionbyworkers,affectingthefulfillmentofContractorsandsubcontractorsobligations;fandotherunforeseencircumstancesbeyondthecontrolofthepartiessoaffectedrenderingthefulfillmentoftheirobligationsimpossible3IfeitherpartytothisContractispreventedordelayedfromorinperforminganyofhisobligationsunderthisContractbyforcemajeure,thenhemaynotifytheotherpartyofthecircumstancesconstitutingtheforcemajeureandoftheobligationperformanceofwhichistherebydelayedorpreventedandthepartygivingthenoticeshallthereuponbeexcusedfromtheperformanceorpunctualperformance,asthecasemaybe,ofsuchobligationforsolongasthecircumstancesofpreventionordelaymaycontinue4Ifbyvirtueoftheprecedingsub-clauseditherpartyshallbeexcusedfromtheperformanceorpunctualperformanceofanyobligationforacontinuousperiodofmonths,theneitherpartymayatanytimethereafterterminatethisContractbygivingawrittennoticetotheotherpartyArticle19-AssignmentandSub-contractors1TheContractorshallhavetherighttosub-contractthisContractoranypartthereofinaccordancewithhisusualpracticewithoutrelievingtheContractoroftheobligationsofperformingthisContract2Neitherpartyshallwithoutthepreviousconsentinwritingoftheotherpartyassignoranypartthereoftoanythirdparty,exceptinthecaseofacompanyamalgamationorreconstruction,providedthatsuchconsentshallnotbeunreasonablywithheldArticle21-EffectiveDateoftheContract1TheeffectivedateofthisContracts
