sfollows:Article1DEFINITIONSThefollowingtermsusedinthisAgreementshallhavethefollowingmeaningsunlessotherwiseexpresslyprovidedherein:11AccretionAmountAccretionAmountshallmeananamount,computedwithoutduplication,attherateofsixpercent6compoundedannuallyon$1,000perPreferredUnitcommencingontheEffectiveDateandendingontheearlierofthedateofdissolutionoftheCompany,thedatethePutOptionisexercisedpursuanttoSection105orthedatethePreferredUnitsareconvertedtoCommonUnits,asappropriate12ActActshallmeantheSTATELimitedLiabilityCompanyAct,asamendedfromtimetotime13AffiliateAffiliateshallmean,withrespecttoanyPerson,ianyPersondirectlyorindirectlycontrolling,controlledby,orundercommoncontrolwithsuchPerson,andiianyPersonowningorcontrollingtenpercent10ormoreoftheoutstandingvotinginterestsofsuchPersonForpurposesofthisdefinition,thetermcontrols,iscontrolledby,orisundercommoncontrolwithshallmeanthepossession,directorindirect,ofthepowertodirectorcausethedirectionofthemanagementandpoliciesofaPerson,whetherthroughtheownershipofvotingsecurities,bycontractorotherwise14AgreementAgreementshallmeanthisLimitedLiabilityCompanyAgreementasoriginallyexecutedandasamendedfromtimetotime15BusinessBusinessisdefinedinSection3116BusinessPlanBusinessPlanisdefinedinSection3117CapitalAccountCapitalAccountasofanygivendateshallmeantheCapitalAccountofeachEquityOwnerasdescribedinArticle8andmaintainedtosuchdateinaccordancewiththisAgreement18CapitalContributionCapitalContributionshallmeananycontributiontothecapitaloftheCompanyincashorpropertybyanEquityOwnerwhenevermadeInitialCapitalContributionshallmeantheinitialcontributiontothecapitaloftheCompanypursuanttothisAgreementasshownonExhibit8119CertificateofFormationorCertificateTheCertificateofFormationorCertificateshallmeantheCertificateofFormationoftheCompanyasfiledwiththeSecretaryofStateasthesamemaybeamendedfromtimetotime110ChangeofControlChangeofControlmeansaanymergerorconsolidationtowhichNIIisapartyexceptforamergerinwhichaftergivingeffecttosuchmerger,theholdersofNIIsoutstandingcapitalstockpossessingamajorityofthevotingpowertoelectamajorityofthesurvivingcorporationsboardofdirectorsVotingPowerimmediatelypriortothemergershallcontinuetoownthesurvivingcorporationsoutstandingcapitalstockpossessingtheVotingPower,andbanytransactionorseriesofrelatedtransactionsinwhichcapitalstockrepresentinginexcessof50ofNIIsVotingPoweristransferred111CodeCodeshallmeantheInternalRevenueCodeof1986,asamendedfromtimetotime112CommonUnitCommonUnitmeansanOwnershipInterestintheCompanywhichentitlestheEquityOwnerwhoholdssuchCommonUnittothefollowing:aaProportionateshareoftheProfitsandLossesallocatedtoallCommonUnits,baProportionateshareoftheVotingInterestsattributabletoallCommonUnitsheldbyMembers,andcsuchotherrightsandobligationssetforthinthisAgreement113CompanyCompanyshallmeanAAA,LLC,aSTATElimitedliabilitycompany114CompanyPropertyAllassetsrealorpersonal,tangibleorintangible,includingcashoftheCompany115ConfidentialInformationConfidentialInformationmeansanyproprietaryinformation,whetherwrittenororal,pertainingtothebusiness,financialcondition,strategies,plans,policies,clientsorcustomers,inventions,tradesecrets,computerprograms,orprocessesofthedisclosingpartyithatisfurnishedordisclosedbythedisclosingpartytotherecipientortotherecipientsemployees,representativesoragents,andAinthecaseofwritteninformation,isconspicuouslymarkedasproprietaryorconfidential,orBinthecaseofinformationwhichisprovidedorally,isstatedtobeproprietaryorconfidentialatthetimeofdisclosureandafterdisclosureisreducedtowritingorothertangibleformanddeliveredwithin10businessdaysinaccordancewiththisagreementtothepartyreceivingsuchdisclosureConfidentialInformationshallnotincludeanyinformationthatXisalreadyknowntothereceivingpartyatthetimeofreceipt,asevidencedbywrittenrecordsmadepriortosuchreceipt,orYisindependentlydevelopedorformulatedbythereceivingparty,orZotherwiseisorbecomesgenerallyavailabletothepublicthroughnofaultofthereceivingparty116DeficitCapitalAccountDeficitCapitalAccountshallmeanwithrespecttoanyEquityOwner,thedeficitbalance,ifany,insuchEquityOwnersCapitalAccountasoftheendoftheFiscalYear,aftergivingeffecttothefollowingadjustments:acredittosuchCapitalAccounttheamount,ifany,whichsuchEquityOwnerisobligatedtorestoreunderSection17041b2iicoftheRegulations,aswellasanyadditiontheretopursuanttothenexttolastsentenceofSections17042g1andi5oftheRegulations,aftertakingintoaccountthereunderanychangesduringsuchyearinpartnershipminimumgainasdeterminedinaccordancewithSection17042doftheRegulationsCompanyMinimumGainandinanypartnernonrecoursedebtminimumasdeterminedunderSection17042i3oftheRegulationsMemberMinimumGain;andbdebittosuchCapitalAccounttheitemsdescribedinSections17041b2iid4,5and6oftheRegulationsThisdefinitionofDeficitCapitalAccountisintendedtocomplywiththeprovisionsofRegulationsSections17041b2iidand17042,andshallbeinterpretedconsistentlywiththoseprovisions117DepreciationForeachFiscalYear,anamountequaltothedepreciation,amortization,orothercostrecoverydeductionallowablewithrespecttoanassetforsuchFiscalYear,exceptthatiftheGrossAssetValueofanassetdiffersfromitsadjustedbasisforfederalincometaxpurposesatthebeginningofsuchFiscalYear,DepreciationshallbeanamountwhichbearsthesameratiotosuchbeginningGrossAssetValueasthefederalincometaxdepreciation,amortization,orothercostrecoverydeductionforsuchFiscalYearbearstosuchbeginningadjustedtaxbasis;provided,however,thatiftheadjustedbasisforfederalincometaxpurposesofanassetatthebeginningofsuchFiscalYeariszero,DepreciationshallbedeterminedwithreferencetosuchbeginningGrossAssetValueusinganyreasonablemethodselectedbytheManager118DistributableCashAllcash,whetherrevenuesorotherfundsreceivedbytheCompany,lessthesumofthefollowingtotheextentpaidorsetasidebytheCompany:iallprincipalandinterestpaymentsonindebtednessoftheCompanyandallothersumspaidtolenders;iiallcashexpendituresincurredincidenttothenormaloperationoftheCompanysbusiness;andiiiReserves119DistributionAnySaleofCompanyPropertyfromtheCompanytoorforthebenefitofanEquityOwnerbyreasonofsuchEquityOwnersownershipofanEconomicInterest120EconomicInterestAnEquityOwnersshareofoneormoreoftheProfits,LossesandDistributionspursuanttothisAgreementandtheAct,includingsuchrightsthattheEquityOwnerhaswithrespecttoanyCommonUnitsorPreferredUnitsheldbyit,butshallnotincludeanyrighttoparticipateinthemanagementoraffairsoftheCompany,including,therighttovoteon,consenttoorotherwiseparticipateinanydecisionoftheMembersorManager121EconomicInterestOwnerTheownerofanEconomicInterestwhoisnotaMember122EntityAnygeneralpartnershipincludingalimitedliabilitypartnership,limitedpartnershipincludingalimitedliabilitylimitedpartnership,limitedliabilitycompany,corporation,jointventure,trust,businesstrust,cooperativeorassociationoranyforeigntrustorforeignbusinessorganization123EquityOwnerAnEconomicInterestOwneroraMember124FiscalYearThetaxableyearoftheCompanyshallbeacalendaryearunlessanotheryearisrequiredforfederalincometaxpurposes125GrossAssetValueGrossAssetValuemeans,withrespecttoanyasset,theassetsadjustedbasisforfederalincometaxpurposes,exceptasfollows:aTheinitialGrossAssetValueofanyassetcontributedbyanEquityOwnertotheCompanyshallbethegrossfairmarketvalueofsuchasset,asdeterminedbythecontributingMemberandtheManager,providedthattheinitialGrossAssetValuesoftheassetscontributedtotheCompanypursuanttoSection81hereofshallbeassetforthinExhibit81,andprovidedfurtherthat,ifthecontributingMemberisaManager,thedeterminationofthefairmarketvalueofanyothercontributedassetshallrequiretheconsentoftheotherMembersowningaMajorityInterestdeterminedwithoutregardtotheVotingInterestofsuchcontributingMember;bTheGrossAssetValuesofallCompanyassetsshallbeadjustedtoequaltheirrespectivegrossfairmarketvalues,asreasonablydeterminedbytheManagerasprovidedinArticle11andasofthefollowingtimes:itheacquisitionofanadditionalinterestbyanyneworexistingEquityOwnerinexchangeformorethanademinimiscontributionofpropertyincludingmoney;iitheDistributionbytheCompanytoanEquityOwnerofmorethanademinimisamountofpropertyasconsiderationforanOwnershipInterest;andiiitheliquidationoftheCompanywithinthemeaningofRegulationsSection17041b2iig;provided,however,thatadjustmentspursuanttoclauses1andiiaboveshallbemadeonlyiftheManagerreasonablydeterminesthatsuchadjustmentsarenecessaryorappropriatetoreflecttherelativeeconomicinterestsoftheEquityOwnersintheCompany;cTheGrossAssetValueofanyCompanyassetDistributedtoanyEquityOwnershallbeadjustedtoequalthegrossfairmarketvalueofsuchassetonthedateofDistributionasdeterminedbyanindependentappraiserselectedbytheManagerorbyagreementoftheMembersholdingnotless90ofallVotingInterests;anddTheGrossAssetValuesofCompanyassetsshallbeincreasedordecreasedtoreflectanyadjustmentstotheadjustedbasisofsuchassetspursuanttoSection734borSection743boftheCode,butonlytotheextentthatsuchadjustmentsaretakenintoaccountindeterminingCapitalAccountspursuanttoRegulationSection17041b2ivmandSection83andsubparagrapheunderthedefinitionofProfitsandLosses;provided,however,thatGrossAssetValuesshallnotbeadjustedpursuanttothissubparagraphdofthisdefinitiontotheextentthattheManagerdeterminesthatanadjustmentpursuanttosubparagraphbofthisdefinitionisnecessaryorappropriateinconnectionwithatransactionthatwouldotherwiseresultinanadjustmentpursuanttothissubparagraphdIftheGrossAssetValueofanassethasbeendeterminedoradjustedpursuanttosubparagrapha,bordofthisdefinition,thensuchGrossAssetValueshallthereafterbeadjustedbytheDepreciationtakenintoaccountwithrespecttosuchassetforpurposesofcomputingProfitsandLosses126HoldersHoldersisdefinedinSection105a127IPOIPOshallmeananinitialpublicofferingofCompanycommonstockwhichshall:abeeffectedbymeansofafirmcommitmentunderwritingmanagedbyoneormorenationallyrecognizedinvestmentbankingfirms;bberegisteredwiththeSecuritiesandExchangeCommissionundertheSecuritiesAct;cinvolvethelistingoftheCompanycommonstockonanynationalsecuritiesexchange;anddraisegrossproceedstoCompanywhichresultinatotalvaluationoftheCompanyimmediatelyaftertheIPOof$75,000,000ormoreForpurposesofthisdefinition,totalvaluationshallbeitheinitialpricepershareoft
