方：_签订日期：_年_月_日BETWEENAAACORPORATIONANDBBB,INCTHISAMENDEDANDRESTATEDAGREEMENTthisAgreementisenteredintoasof,M,D,YtheEffectiveDatebyandbetweenAAACORPORATION,acorporationorganizedunderthelawsoftheStateofPLACENAMEAAA,andBBB,INC,acorporationorganizedunderthelawsoftheStateofPLACENAMEBBB,withreferencetothefollowingfacts:AOnorabout,M,D,Y,AAAcausedtheformationofBBBandtransferredcertainAAAassetstoBBBinreturnforcertainstockinBBBBToassistBBBinitsdaytodayoperationsasanewcorporateentity,AAAandBBBenteredintoaMapServerLicenseAgreementdatedasof,M,D,YtheMapServerAgreement,pursuanttowhichAAAprovidedcertainlocalstreetmapsanddrivingdirectionsandothermappingservicestoBBB,andBBBengagedAAAtoprovidesuchservicesCThepartiesnowdesiretoamendandsupercedetheMapServerLicenseAgreementinitsentiretybyenteringintothisAmendedandRestatedMapServerLicenseAgreementpursuanttothetermsandconditionssetforthhereinTHEREFORE,thepartiesherebyagreeasfollows:AAAConfidential1Definitions11Affiliatesshallmeananyentityinwhich,asoftheEffectiveDate,BBB,directlyorindirectly,orthroughoneormoreintermediaries,holdsthebeneficialownershipofmorethanfiftypercent50oftheequitysecuritiesorinterests,andonlysolongassuchownershipcontinues12DatashallmeanallthirdpartydatalicensedbyAAAandusedinMapsandintheseparateDataDump,asoftheEffectiveDate13DataDumpshallmeanthesetofdataincludingbutnotlimitedtoPointsofInterest,city,andregion,generallycontaininguniqueidentifierssuchastherelatedgeographiclocation,name,type,andlanguage,andusedinBBBscatalogingsystemtoenableuserstosearchbyPointofInterestwhenperformingasearchonBBB14BBBIconshallmeananygraphicsortext,including,withoutlimitation,persistenthyperlinksintheformofanBBBlogoorotherrepresentationaliconcreatedbyBBBforanBBBtravelserviceorproduct15BBBDataFeedshallmeanthedatasuppliedbyBBBtoAAAwhichcontainsthegeographiclocationforanytravelserviceofferedbyBBB,andthelocationwheretheBBBIconorotherrepresentationalicon,whichincludesanunderlyingURLtotheBBBWebSite,shouldbeplacedontheMapPointNetMapsusedbyBBB16BBBMapsshallmeanthemapservicesprovidedontheBBBWebSite,locatedatwwwBBBcomasoftheEffectiveDate17BBBUpdatesshallmeananyupdates,upgrades,errorcorrections,orotherimprovementstotheServerTechnologythatBBBoritsAffiliatesmayhavedevelopedorwilldeveloppursuanttothisAgreement18BBBWebSitemeansanywebsiteownedorcontrolledbyBBBoritsAffiliates,whichisaccessedbyusers19LaunchDateshallmeanthedatethatBBBbeginsprovidingtravelserviceswithmapsservedfromcomputershostedbyAAA,andwhichinnoeventwillbelaterthansix6monthsaftertheEffectiveDate;providedAAAhasmeettherequirementsofExhibitCandthepartieshavenotmutuallyagreedtopostponesuchuse110Linkshallmean:ioneormorehyperlinkslocatedontheapplicableareasoftheMapPointNetMaps,oriiianyotheralternativemethodthatenablesausertoaccessBBBLinksalsoincludeanyconnectiontoBBBthroughtheInternet,email,broadband,InternetII,wirelessandhandhelddevices,cellphones,digitalappliances,orotherdigitalinteractivemeans,networks,devices,ortransmissionswhetherexistingnoworinthefuture111Mapsshallmeancollectively,theBBBMapsandtheMapPointNetMaps112MapPointNetMapsshallmeanareliablewebenabledmappingsolutiondevelopedbyAAAthatincludesinteractivemaps,proximitysearchinganddetaileddrivingdirections113PointofInterestshallmeanthosecertaingeographiclocations,whichincludebutarenotlimitedto,suchplacesascampgrounds,parksandotherattractionsorplacesofinterestegtheEmpireStateBuilding114ServerTechnologyshallmeanthecomputersoftwareownedbyAAAandlistedinExhibitA115ServiceshallmeanthehostingofServerTechnology,MapPointNetMaps,specificationsandformats,andwhichincludeswithoutlimitationthetesting,implementation,hosting,maintenance,support,operationandupdateschedules,asapplicable,fortheServerTechnology,DataandMapPointNetMapsasprovidedbyAAAtoBBBasapartofsuchservice,whichenablesBBBtousetheMapPointNetMapsascontemplatedherein2Delivery,Operation,andUse21DeliveryThepartiesacknowledgethatBBBalreadyhascopiesoftheServerTechnologyandDatainitspossessionasoftheEffectiveDate22UpdatesandErrorCorrectionsaAAAAAAandBBBwillcooperatetotesttheinitialversionofMapPointNetMapsthatAAAisoperatingasoftheEffectiveDateinabetaenvironmenttoascertainifitmeetsthestabilityrequirementsoutlinedinExhibitCheretoEachupgradetheretoshallbetestedinasimilarfashionThepartieswillcooperatetoensurethatthebetatestingoftheinitialversionandanyupgradetheretoisconcludedinatimelymannerbMapPointNetMapUpdatesWhenandifAAAmakescommerciallyavailableduringthetermofthisAgreementanyupdates,upgrades,errorcorrections,orotherimprovementstotheMapPointNetMapsMapPointNetMapUpdates,AAAshallpromptlymakeavailablesuchMapPointNetMapUpdatestoBBBonservershostedbyAAAtotheextentpermittedunderapplicablelicenseagreementsUponBBBscommencementofuse,suchMapPointNetUpdatesshallbeconsideredpartoftheMapPointNetMapsforpurposesofthisAgreementBBBmustcommenceusingeachMapPointNetMapUpdatewithinsixty60daysafteritisfirstmadecommerciallyavailable;providedtheymeettherequirementsofExhibitCandthepartieshavenotmutuallyagreedtopostponesuchusecBBBIntheeventthatBBBoritsAffiliatedevelopsanyupdates,upgrades,errorcorrections,orotherimprovementstotheServerTechnology,BBBshallpromptlydeliver,orcauseitsAffiliatetodeliver,suchBBBUpdatestoAAA23SupportandOperationPriortotheLaunchDate,BBBshallbesolelyresponsibleforthesupportandoperationoftheBBBMapsEffectiveasoftheLaunchDate,AAAshallbesolelyresponsibleforthesupportandoperationoftheMaps,andagreestoprovidetheServicetoBBBinaccordancewithExhibitCheretowithatleastthesameservicelevelthatAAAwillprovidetotheAAApropertiescurrentlyusingBBBMapsbackendmapserver,whichshallbenolessthanacommerciallyreasonableservicelevelAsoftheEffectiveDate,theseAAApropertiesincludeCarPoint,HomeAdvisor,MSCommute,MSNMobile,MSNBCandYellowPagestheAAABackendPropertiesAAAshallinsurethatithastheserverinfrastructurenecessarytodeliverstableserviceandhandlethevolumeofcalls/queriestoBBBsMapPointNetMapsserversthatwillbegeneratedbyusagelevelsforecastedquarterlybyBBBpursuanttoSection24,andthatsuchserviceshallbedeliveredinahighgradeandprofessionalmannerandinaccordancewiththisSection23andExhibitCAAAwillprovideBBBwithninety90daysadvancednoticeshouldAAAchangeoralterinanywaytheunderlyinglatitude/longitudesystemprovidedatthetimeoflaunchofMapPointNetMapsonBBBThepartieswillimplementaprocessforBBBstransitiontouseofMapPointNetMapsassetforthinSection25below24BBBwillmakeacommerciallyreasonableefforttoprovideAAAwithreasonablyaccuratequarterlyforecastofusageandsixty60daysadvancenoticeofanyknownsignificantusagevolumeincreasesandmajorreleases25TransitionPlanThepartiesagreethatBBBstransitiontoMapPointNetMapswillproceedasfollows:aPriortotheLaunchDate,AAAshallprovideBBBwithanexplanationoftheservicesandoperatingproceduresnotspecifiedonExhibitCthatAAAwillprovidebAAAshallresolvethefour4bugswhicharelistedonExhibitEheretopriortotheLaunchDatecAAAandBBBwilltesttheinitialversionofMapPointNetpursuanttoSection21abovedBBBmustgiveAAAatleastsixty60dayspriorwrittennoticeoftheactualLaunchDateeThecurrentmapserverURLsownedbyBBBandusedforprovidingMapstocertainBBBMapsuserswillbeallowedtoreferenceBBBsdedicatedclusterforMapPointNetBBBwillputtheredirectinplacetotheAAAservers26UseofMapsaThepartiesacknowledgethatAAAisalreadyusingBBBMapstoservelocalstreetmapsand/orprovidedrivingdirectionsintheAAABackendPropertiesAAAagreesthatbytheLaunchDate,itshallceaseuseofBBBMapsontheAAABackendProperties,andinanyandallcurrentandfutureversionofanyAAAsoftwareprogramscurrentlyusedinFrontPage,MacOffice,Entourage,andAAAOutlookNotwithstandingtheforegoing,AAAshallnotberequiredtoceaseuseofBBBMapsinAAAHotmail,AAAIESearchorMSNcom,ortostoplinkingtothefrontendofanBBBWebSite;provided,however,thatfollowingtheLaunchDate,BBBshallnotbeobligatedtoprovidemappingservicestoanyAAApropertyorproductbNotwithstandinganythingtothecontraryinthisAgreement,thepartiesagreeandacknowledgethatBBBshallnotberequiredtouseorcontinuetousealloranypartoftheMapPointNetMapsortheServiceprovidedbyAAAuntilsix6monthsaftertheEffectiveDate,providedthatsuchMapPointNetMapsorServicemeettherequirementsofExhibitCandthepartieshavenotmutuallyagreedtopostponesuchuse27MapPointNetMapFunctionalityWithinone1yearfollowingtheEffectiveDate,AAA,atitssolecostandexpense,willdevelopforMapPointNetMapsfunctionalitywhichenablesBBB,atitsoption,todisplaywithinsuchMapPointNetMaps,anBBBIconoraiconrenderedbyAAAtorepresentthespecificlocationofatravelservicemade*availablebyBBBRepresentationalIcon,whichwillcontainaLinkbacktoanBBBWebSitedeterminedbyBBB28CoBrandingaExceptpursuanttocertainBBBagreementswhereMapsarenotbrandedwithBBBIcons,thepartiesagreethatallMapsusedbyBBBwillcontainanBBBIconandtheMapPointNetlogodesignatedbyAAAfromtimetotimeThepartiesagreethatinanycasewhereaMapisnotbrandedwithanBBBlogo,BBBshallnotberequiredtobrandsuchMapwithaAAAlogoInnoeventshalltheAAAMapPointNetlogocontaindesignationssuchaswwworhttp:/ormarksofsimilarintentthatserveasaprotocoldesignator,orfunctionasaclickablelinktoanyWebpageTheBBBIconandtheMapPointNeticonwillnotincludeanythirdpartymarksoradvertisementsTheBBBIconshallappearincloseproximitytoMapPointNetlogo,withtheplacementandsizeofsuchcobrandingtobecommerciallyreasonableandmutuallyagreeabletothepartiesArepresentativesampleoftheMapcobrandingisattachedasExhibitGheretobAAAshallmaintaintheBBBIconprovidedtoAAAbyBBBforsuchcobrandingoranyadditiontoorsubstitutethereofthatBBBmayprovidetoAAAfromtimetotimeduringthetermofthisAgreementIntheeventBBBprovidesAAAwithanewormodifiedBBBIconforsuchcobranding,AAAshallimplementthenewBBBIconwithinthirty30daysfollowingreceiptoftheupdatefromBBBAAAshallnotuseanyBBBIconinanyothermannerorforanyotherpurposewithoutpriorwrittenapprovalbyBBBBBBshallnotuseanytrademarkofAAAinanymannerorforanypurposewithoutpriorwrittenapprovalbyAAA29DatasetUpdatesAAAwillusecommerciallyreasonableeffortstoupdatetheDataonaquarterlybasis210PointofInterestDisplayBBBshallhavetherighttoselectwhichPointofInterestwillbedisplayedontheMapPointNetMapsprovidedbyAAAtoBBBinaccordancewiththisAgreement3License31ServerTechnologyAAAherebygrantstoBBBanditsAffiliatesaperpetuallicenseitomake,use,reproduce,modify,adapt,createderivativeworksbasedon,andtranslatetheServerTechnologyinobjectcodeandsourcecodeform,andiitodistributedirectlyandindirectly,transmit,displayandperformpublicly,license,rent,lease,andselltheServerTechnologyinconnectionwithMapsinobjectcodeformNotwithstandingtheforegoing,BBBanditsAffiliatesshallhavenorighttodistribute,transmit,display,license,rent,leaseorsellinanymanneranyportionoftheServerTechnologyimplementedintheAAAGeographyProductUnitsretailproductsorinternaltoolswithoutthepriorapprovalofAAAAdditionally,BBBagrees,foritselfandonbehalfofitsAffiliates,thatBBBanditsAffiliatesshallnotlicensetheServerTechnology,inanymanner,tothirdpartiesthatproduceproductsorservicesthatarecompetitivewiththeAAAGeographyProductUnitsortheLearningBusinessUnitsproductsorserviceswithoutthepriorapprovalofAAA,whichapprovalshallnotbeunreasonablywithheldordelayed32ThirdPartyExclusionsFortwentyfour24monthsaftertheEffectiveDate,AAAagreesthatitwillnotwithrespecttolocalstreetmapsanddrivingdirectionsandothermappingservices,providesuchmappingservicestothefollowingentitiesthroughadirectcontractualagreementwithsuchentities:HotelReservationsNetwork,Travelocity,Orbitz,CendantbutonlywithregardtoCendantstravelrelatedservicesandbusinesses,Priceline,oranyentitythat,atthetimesuchagreementisexecuted,isawhollyownedsubsidiaryofanyoftheforegoingentitiesNotwithstandingtheforegoing,TravelocityshallremainanexcludedpartyforthetermofthisAgreementInaddition,AAAagreesthatBBBshallbeaprovideroftravelbooking,travelserviceortravelPointofInterestdatathatisfeaturedand/orintegratedintotheMapsprovidedand/ordevelopedbytheAAAGeographyProductUnit33DataAsoftheEffectiveDate,AAAhaslicensestousetheDataforAAAsownbusinesspurposesTotheextentAAAhastherighttosublicenserightsinDatatoBBBforBBBsbusinesspurposes,AAAherebydoessosublicensetheDataforuseinconnectionwithMapsandtheDataDumpTotheextentAAAdoesnothavetherighttosublicenseDatatoBBBandtotheextentsuchsublicenseisnecessaryforthepurposesoftheServicesdescribedinSection23above,AAAshallusereasonableeffortstoassistBBBtoobtainlicensesinsuchData,atBBBsexpenseAdditionally,BBBagreesthatitshallnotlicensetheData,inanymanner,tothirdpartiesthatproduceproductsorservicesthatarecompetitivewiththeAAAGeographyProductUnitsortheLearningBusinessUnitsproductsorserviceswithoutthepriorapprovalofAAA,whichapprovalshallnotbeunreasonablywithheldordelayed34BBBUpdatestoServerTechnologyBBB,onbehalfofitselfanditsAffiliates,herebyirrevocablyconveysandassignstoAAA,andagreestoassigntoAAA,allright,titleandinterestinanycopyrightsintheBBBUpdates,andinallrenewalsandextensionsofthosecopyrightsthatmaybesecuredunderthelawsnoworhereafterinforceandeffectintheUnitedStatesofAmericaorinanyothercountryorcountries4Payments41ServerTechnologyAAAshallprovidethelicensesintheServerTechnologytoBBBfreeofchargeCommencingupontheLaunchDate,BBBmay,butshallnotberequiredto,developBBBUpdatestotheServerTechnology,buttotheextenttheyaredevelopedtheyshallpromptlybedeliveredtoAAA42PaymentSchedulesThepaymentschedulesforservicesdeliveredunderthisAgreementandpriortotheEffectiveDateofthisAgreementareonExhibitFattachedhereto43MostFavoredNationAAAwillnotchargeBBBapriceforServicesrenderedunderthisAgreement,orprovideBBBwithalevelofservice,thatislessfavorablethantherateschargedortheservicesprovidedtoanythirdpartyunlesssuchthirdpartyagreestouseMapPointNetMapsmorefrequentlythanBBBsthencurrentactualusageofMapPointNetMaps5ConfidentialInformationThepartiesunderstandandacknowledgethateachofthemandtheirrespectiveemployees,consultantsandsubcontractorsmayhavedisclosedtoit,inconnectionwiththerenditionofservicesandperformanceoftheirobligationsofthisAgreement,confidentialand/orproprietaryinformationoftheotherpartyThetermsandconditionsofthatcertainNonDisclosureAgreementbetweentheparties,dated,M,D,Y,shallapplytoallsuchconfidentialandproprietaryinformationAAAandBBBeachagreethatthetermsandconditionsofthisAgreement,includingitsattachments,willbedeemedtoconstitute,andbetreatedas,confidentialinformationpursuanttothisSection56Warranties,Indemnification,andLimitationofLiability61WarrantiesaAAArepresentsandwarrantsthatitisacorporationdulyorganized,validlyexisting,andingoodstandingunderthelawsoftheStateofPLACENAMEandhasauthoritytoenterintothisAgreementandperformitsobligationshereunder;andbAAArepresentsandwarrantsthatithasandwillnotgrantanyrightsintheServerTechnologytoanythirdpartythatareinconsistentwiththerightsgrantedtoBBBhereincBBBrepresentsandwarrantsthatitisacorporationdulyorganized,validlyexisting,andingoodstandingunderthelawsoftheStateofPLACENAMEandhasauthoritytoenterintothisAgreementandperformitsobligationshereunderDExceptasprovidedinthissection61,eachpartydisclaimsallwarranties,eitherexpress,impliedorstatutory,includingbutnotlimitedtoanyifanyimpliedwarrantiesofmerchantability,offitnessforaparticularpurpose,oflackofvirusesTheservertechnology,data,bbbupdates,andmapsareprovidedasiswithallfaults,andnowarrantiesorpromisesaremadethatlicensedmaterialswillworkorworkforanyparticularpurposeAlso,thereisnowarrantyoftitle,authority,ornoninfringementinthelicensedmaterials62IndemnificationaAAAiAAAshallindemnifyandholdharmlessBBBandBBBsdirectors,officers,employees,andagentseach,anBBBClaimant,fromanyandallthirdpartyclaims,demands,actionsorcausesofaction,costs,liabilities,losses,expenses,damages,judgments,awards,chargesandamountspaidinsettlementincludingreasonableattorneysfees,costsandexpertwitnessfeesbroughtagainstsuchBBBClaimanttotheextentitisbaseduponaclaimthattheServerTechnologyinfringeanycopyrightorpatentormisappropriateanytradesecretofathirdpartyBBBClaimsiiIntheeventanythirdpartyassertsaclaimofinfringementwithrespecttoanyServerTechnologyoranyportionthereof,AAAshallnotifyBBBpromptlyandmay,atAAAsexpense,replaceormodifytheServerTechnologyorportionthereofwithaversionthatisnoninfringing,providedthatthereplacementormodifiedversionhassubstantiallyequivalentfunctionalitytotheversionbeingreplacediiiAAAshallhavenoobligationtoindemnifyunderthisSection62totheextentanBBBClaimarisesoutofanBBBClaimantscontinuinguseofinfringingServerTechnologyafteraAAAhasprovidedanoninfringingreplacementwithsubstantiallyequivalentfunctionality,andbtheBBBClaimanthashadareasonableamountoftimetotestandimplementthereplacementversionivIntheeventanBBBClaimismadeorfiledagainstanBBBClaimant,theBBBClaimantshallpromptlynotifyAAAofthesameinwriting,andAAAshalldefend,compromise,and/orsettletheBBBClaimatitsexpenseAAAshallnotberesponsiblefortheexpenses,includingcounselfees,oftheBBBClaimantincurredafterAAAassumesdefenseoftheBBBClaim,buttheBBBClaimantmayparticipatethereinandretaincounselatitsownexpenseAAAwillnotberesponsibleforanysettlementmadebyBBBoranyBBBClaimantwithoutAAAswrittenpermission,whichwillnotbeunreasonablywithheldordelayedAAAwillnotconsenttotheentryofanyjudgmentorenterintoanysettlementaffectingtheBBBClaimant,totheextentthatthejudgmentorsettlementinvolvesmorethanthepaymentofmoney,withoutthepriorconsentoftheBBBClaimant,whichconsentshallnotbeunreasonablywithheldordelayedBBBandanyBBBClaimantshallprovideinformation,assistanceandauthority,atBBBsexpense,tohelpAAAdefend,compromiseorsettlesuchBBBClaimvAAAshallindemnifyandholdharmlessanyBBBClaimantfromandagainstanyforeign,USfederal,state,local,municipalorothergovernmentaltaxes,duties,levies,fees,excisesortariffs,arisingasaresultoforinconnectionwiththetransactionsassociatedwiththeusebyAAAofBBBMaps,including,withoutlimitation,anystateorlocalsalesorusetaxesoranyvalueaddedtaxorb
