Supply AgreementThe first party：_Tayeh Youlian Industry Co., LTD_The second party：Wuhan Hongshan District Feifei SupermarketBased on the principles of equdlity and mutule benefit,and good faith cooperation,common development,both parties hereto agree as follows and shall abide by following terms： 一、Delivery of products,The first party provide its total distribation of the products to the second partys supermarket for sales.The second party can consult the catalogue about the product with provided by the first party and the select the products freely. 二、Supply price：The first party can consult the price in detail throngh price list that provided by the second party. 三、Quality of products：The products provided by the first party must meet the standands set by the national industry and products should be during the warranty period. If the products have problem of quality,The first party should in charge of changing and refunding without preconditions. And the frist party should also take responsibility for legitimate claim and related loss became of the quality of products.四、Delivery and inspection:During the period of cooperation. The first party deliver good to for the second partys supermarket located at_Wuhan_the particular reception office and the second partys receiving officer check and accept and sign. After signed acceptance by receiving officer, if there are prombles about products such as lack of volume,discrepancy or damage. The first party wile nail take responsibility for it.五、Payment terms:_ Cash on Delivery_。 六、Market-Preserving：In order to maintain overall market and both partieds mutual interests. Both party hereto agree that normally retail shouldnt less that _18_25_ which the first party provide,during the period of sale by the second party. It can prevent the problem that low price affect overall market or high price lead to holdup in the sale of commodity.七、Returns and exchanges regulations:1The first party should in charge of changing and refunding without preconditions in the situation of bursted bag、leakage、oil spill、deterioration and such quality problems,during the quality guarantee period.2If there is holdup in the sale of commodity the second party should ask the first party charge or refund from the good shelf life more than a month,Otherwise the first party wont accept the expired goods.3If there is worm-eaten、damaged by rats、mildew and rot deterioration and so on result fran improper safekeeping by the second party. The first party wont take responsibility.4If the first party have prior announcement about some products couldnt be changed and refund. The first party wont change and refund in any situation.5ALL reture products by the secong party must have a valid confirmation reture unilaterally signed by the first partys personal. Otherwise the first party shall not reture. The second party shall not be entitled to reture sigle deduction voucher by the first party loan. 八、Price adjustment：In cooperation period if market factors or manufacturer for price adjustment whether by high or cut, the first party inform the second party in_15_days in advance. The second party should be in this period of time cooperate with the first party to adjust price and retail price.Otherwise the first party wont take any responsibility for wrong price lead to loss of the second party.九、About ordering goods：Every time when the second party have replenishment. The second party should inform the first partys business personnel or written tax order two days in advance. 十、Sales support：In cooperation period the first party shall acconding to the quality of goods sold by the second party and manufactures policy support and so on and so farth, reasonably give the second promotion policy support. As what the first party hold the sales policy, the second party should cooperate with the first party.Otherwise,the first party has the right to cancel the support and not to assume the resulting all the costs.十一、Payment guarantee：The second party promise that loans for the first party in strict accondance with the payment as agreed upon by both parties to pay loans.十二、Contract execution1Both parties shall strictly abide by the terms of the contract. If there is something not to be done in the contract both parties should reach an agreement through friendly consultation and in written form and signed by both parties as the attachment of this contract. The attachment have the same legal effect witn the contract.2If the two sides in the cooperation period have different opinions by mutual agreement insoluble lead to clear, both partied should be within a month after clear loans.
