2011年度美的厨卫产品销售代理协议书 Sales Agency Agreement of Year 2011 on Midea Kitchen & Bathroom Products 甲方：湖北美的厨卫销售有限公司 (以下简称甲方） Party A: Hubei Midea Kitchen & Bathroom Products Sales Co., Ltd. (hereinafter shortly referred to as Party A) 乙方： Party B 遵循甲乙双方共同发展的需要，本着自愿、平等、互利、合作的原则，根据中华人民共 和合同法等有关法律、法规的规定，对2011年度乙方销售甲方美的厨卫电器系列产品事宜，达成以下协议。 For the purpose of the mutual development of Party A and B, complying with principles of voluntariness, equality, mutual benefit and cooperation, Party A and B enter into the under-mentioned agreement on Party Bs sales of Midea kitchen and bathroom products in 2011 in accordance with The Contract Law of the PRC and other relevant laws and regulations. 一、销售期间 1. Sales Period 2011年1月1 日至2011年12月31日。 From Jan. 1, 2011 to Dec. 31, 2011. 二、销售区域 2. Sales Regions 2.1甲方授权乙方为美的厨卫产品在工贸以及指定渠道地区的代理商。 2.1 Party A authorizes Party B as sales agent of Midea kitchen and bathroom products in Industry and Trading Co., Ltd. and other appointed channels and regions. （略） (omitted) 三、供货价格 3. Supplies Pricing 3.1销售年度内，产品供货价格以甲方发的年度价格表为准。 3.1 During the sales period, supplies shall be priced in accordance with annual price lists issued by Party A. （略） (omitted) 四、乙方的责任与义务 4. Duties and Obligations of Party B 4.1 乙方承诺2011年度销售甲方厨卫电器系列产品500万元。 4.1 Party B warrants that it shall sell RMB 5 million worth of Party As kitchen and bathroom electric appliances in 2011. 且保证在2011年3月31日前向甲方首期投款及提货100万元，本协议方可生效。 It also warrants that it shall provide Party A with initial investment and take delivery of products of RMB 1 million before Mar. 31, 2011. Only then will this agreement come into effect. 4.2 .乙方应完成2011年牵引任务，具体牵引任务进度如下： 4.2 Party B shall complete its tasks of 2011. Sales Awards 5. 1 年度任务综合达成率奖励 5.1 Rewards for Completion Rate of Annual Sales Tasks 任务达成率 Completion Rate 91-100%101-120% 121%及以上 121% and more 常规品奖励率（%） Award rate（%）for general products 123 5.2乙方享受奖励后，根据国家有关规定，按甲方给予的奖励金额向甲方提供税务折让证明。 5.2 After receiving its awards from Party A, Party B shall offer Party A with tax returns in amount consistent with such awards in accordance with national regulations. 六、甲方权责 6. Other Important Agreements 17.1甲方驻外营销人员未经授权，不得向乙方借款或申请代垫款项。 17.1 Party As outposted sales staff could not borrow or apply for advances from Party B without authorization. 17.2甲方驻外营销人员代表甲方做出的承诺，须以正式书面报告报甲方批准并加盖甲方公章方可生效。 17.2 The commitments made by its outposted sales staff on behalf of Party A will only come into force when such commitments are represented in writting and approved and sealed by Party A. 17.3本协议及其附则现取代双方之前就本协议主题达成的所有口头或书面陈述、承诺或协议。 17.3 The agreement and its annexes will supersede all previous oral and written declarations, statements and agreements on the themes of the agreement herein. 17.4本协议未尽事由双方根据需要再签订补充协议。 17.4 For matters unmentioned herein, parties hereto may sign a supplementary agreement according to their needs. 17.5如果本协议任何规定，被仲裁或主管司法管辖机构视为非法或不能强制执行，本协议其余规定条款应仍然有效。 17.5 If any provision herein is ruled as illegal or unenforceable by competent juridical authorizations, other provisions herein will remain effective. 17.6本协议由代表签字并加盖合同章后生效。 17.6 The agreement shall become effective once its is signed and sealed by representatives. 如本协议中部分条款无效，不影响本协议书的其他条款的效力。 The invalidity of any provision of this agreement shall not affect of the validity of any other provision of this agreement. 17.7本协议未尽事宜，双方友好协商解决，协商不成，应提请甲方所在地人民法院裁决。 17.7 For matter unmentioned herein, parties hereto shall attempt in the first instance to resolve such dispute through amicable constitution.
