OBJECTIVESAB Volvo is the parent company within the Volvo group of companies (“Volvo Group”) and is the owner of several companies which are suppliers of commercial transport solutions providing products such as trucks, buses, construction equipment, and drive systems for marine and industrial applications.AB沃尔沃动力系统是沃尔沃集团的母公司并是为从事商业运输车供应商提供卡车 公交 建筑设备 船用和工业驱动系统的解决方案。The Volvo Group is a global company group with operations in large parts of the world and the main part of products produced within the Volvo Group are exported. The customers are constantly raising their requirements with respect to function, quality and safety, and environmental concern is becoming an increasingly important aspect of customer choice. The SUPPLIER and AB Volvo agree that constant change and improvement is necessary in order to be competitive. The SUPPLIER and AB Volvo also agree that every single component must comply with the requirements of the customers and that greater customer satisfaction is the only way for both the Volvo Group and the SUPPLIER to achieve long-term increased volume and good profitability.沃尔沃集团的市场正在不断发展壮大。客户应不断提升关于功能，质量与安全的要求，环保也日益成为客户选择的一个重要方面。为具备竞争力，供应商与沃尔沃AB 必须持续改进与改善。供应商与沃尔沃也必须同意单一配件必须符合客户要求，较好的客户满意度是沃尔沃与供应商实现长期增加产量与提升盈利的唯一方法。The Volvo Group has expressed a desire to purchase products from the SUPPLIER and the SUPPLIER has expressed an interest in selling products to companies within the Volvo Group. The Parties have therefore agreed upon the following terms and conditions for all deliveries that may take place from the SUPPLIER to companies within the Volvo Group.沃尔沃已表示要从供应商采购产品的请求并且供应商已表示对向沃尔沃供货的兴趣。双方已对以下（可能从供应商至沃尔沃）供货有关的条款与条约达成了共识。2.CONTRACTUAL DOCUMENTS合同文本2.1The ”Framework Agreement” includes the documents listed in Section 3.4 of the Volvo General Purchasing Conditions (Appendix 1)架构协议包含沃尔沃一般采购条件的3.4部分。（附录一）In addition thereto, all further agreed documents which expressly refer to the Framework Agreement, constitute part of the Framework Agreement.此外，有关采购合同有关的全部双方进一步共同订立的文件，也包含于本采购协议内。2.2 Terms defined in the Framework Agreement shall have the same meaning in all documents constituting part of the Framework Agreement, unless the context expressly provides otherwise.如果双方就采购合同中的文件产生争议，文件将执行以下顺序，双方订立的特殊协议除外。2.3 The SUPPLIER is aware of that it must enter into an agreement with Volvo Logistics AB in order to use Volvo packaging material, if such packaging material is to be used. 为了使用沃尔沃包装材料，供应商必须与沃尔沃物流有限公司达成协议。3.ENTITIES ALLOWED TO TAKE ADVANTAGE OF THE FRAMEWORK AGREEMENT允许使用本采购协议的法律实体AB Volvo has entered into this Framework Agreement for its own account and for the account of the AB Volvo Subsidiaries or any other company agreed in writing. Such companies are therefore allowed to purchase Parts in their own name, for their own account and at their own risk and expense. The terms and conditions of this Framework Agreement will apply to such purchases. B沃尔沃已经依据自身与其子公司以及分公司名义缔结了此协议。以上公司允许以本公司名义采购配件，自负风险与成本。本采购协议的条款与条约也将适用有关采购流程。SUPPLIER hereby releases AB Volvo from any and all liability arising out of deliveries to any of the AB Volvo Subsidiaries or to any such other agreed company. SUPPLIER further covenants not to bring any legal action of any kind against AB Volvo relating to deliveries to any of the AB Volvo Subsidiaries or to any such other company. SUPPLEMENT TO VOLVO GENERAL PURCHASING CONDITIONS6. 沃尔沃总采购条款的补充协议Section 2.3 shall read: “AB Volvo Subsidiary” means any entity in which AB Volvo owns, directly or indirectly, more than 50 % of the share capital and/or controls, directly or indirectly, more than 50 % of the votes. For the purpose of this Framework Agreement, the General Purchasing Conditions and any other documents referred to herein, Dongfeng Nissan Diesel Motor Co., Ltd., China, VE Commercial Vehicles Ltd., India and Volvo Truck & Bus (Thailand) Co., Ltd., Thailand (whether or not, for the purpose of any applicable Thai laws, in fact directly or indirectly owned and/or controlled by AB Volvo) shall also be deemed to be AB Volvo Subsidiaries. The arbitration proceedings shall be held in Gothenburg, Sweden. If not both Parties are domiciled in Sweden, the arbitration proceedings shall be conducted in English.按照采购协议35.1，如果在瑞典法律管辖内，那么任何争议最终应根据斯德哥尔摩商会仲裁院规则，适用仲裁解决。仲裁程序应在瑞典哥德堡举行。如果不是双方都居住在瑞典的仲裁程序应以英语进行。36.2 If, in accordance with Section 35.2 above the Purchase Agreement shall be governed by Chinese law, then any disputes arising out of or relating to the Purchase Agreement, including the validity, invalidity, breach or termination thereof, shall be submitted to China International Economic and Trade ArbitrationCommission(CIETAC) for arbitrationin Beijing. The arbitral award is final and binding upon both Parties.The arbitrationshall be conducted in accordance with theCommissions arbitration rules in effect at the time of applying for arbitration, subject to the following modifications: (1) the arbitration shall be conducted in English and Chinese. All arbitrators appointed must be fluent in English and Chinese. All documents filed, and all oral submissions must be inEnglishand Chinese. Any party wishing to relying on documentary or witnessevidence which is not in both Partyslanguages shall be responsible for providing anaccurate translation or interpretation of the same to the other Party and to the arbitrators upon request, and in the absence of such translation or interpretation, suchevidence shall bedisregarded; (2) there shall be three arbitrators; (3) the presiding arbitrator shall in no circumstances be an individual who holds (or has at any time in his or her lifetime held) Chinese or Swedish nationality; (4) the Parties agree to the appointment of arbitrators from outside of CIETACs Panel of Arbitrators.按照购买协议35.2，如果中国法律的管辖，那么任何争议包括有效性，无效的，违反或终止，应提交中国国际经济贸易仲裁委员会（“中国国际经济贸易仲裁委员会”）在北京仲裁。仲裁裁决是终局的，对双方均有约束力。仲裁应当按照该委员会的仲裁规则申请仲裁，但须作以下修改时进行：（1）仲裁适用英文和中文进行。任命的仲裁员必须能说流利的英文和中文。提交的所有文件和所有口头陈述必须用英文和中文。凡是要使用纪录片或证人证据，并非双方语言的，根据请求向另一方和仲裁员提供一个准确的翻译或相同的解释。在翻译或解释的情况下，由仲裁员断定。（2）须有三名仲裁员;（3 ）首席仲裁员应拥有中国或瑞典籍; 4）双方同意由中国国际经济贸易仲裁委员会任命仲裁员。36.3If, in accordance with Section 35.3 above the Purchase Agreement shall be governed by Indian law, then any disputes arising out of or relating to the Purchase Agreement shall be settled according to the following;按照购买协议35.3，如果在印度法律管辖内，那么任何争议，应当按照下列解决;(i) Each Party shall in good faith perform this Purchase Agreement based on confidence placed by one Party in the other and relied upon by such Party. Any dispute, controversy or claim, arising out of or relating to this Purchase Agreement, or the breach, termination or validity thereof shall be settled by arbitration under the Arbitration and Conciliation Act, 1996, subject to any statutory modification thereto.（一）在双方互信的基础上，每一缔约方应善意履行本采购协定。任何争议，纠纷，索赔，违约，终止或有效性不足，应通过仲裁解决。适用1996年修订的仲裁和调解法。(ii) The Party invoking arbitration shall serve a notice on the other Party nominating its nominee arbitrator and calling on the other party to nominate its nominee arbitrator within 15 days of the receipt of such notice. On receipt of the Notice, the other Party shall, within the said period of 15 days, nominate its nominee Arbitrator. The two Arbitrators shall thereafter nominate a third arbitrator.（二）当事人15日内将收到提名其代名人仲裁员的通知和要求对方提名其代理人的通知后。一方接到通知，应在 15日内，提名其代名人仲裁。此后，两名仲裁员应任命第三名仲裁员。(iii) In case the other Party does not respond to the Notice or fails to appoint its nominee Arbitrator within 15 days of receipt of the Notice, the person nominated by the Party serving the Notice shall commence the arbitration proceedings as the Sole Arbitrator. （三）如15日内另一方没有回复的通知或未能收到通知任命其代理人仲裁，应开始独任仲裁员的仲裁程序。(iv) The Award of the Arbitrators shall be final and binding upon the Parties and the Award shall include allocation of the cost of the arbitration proceedings.四）仲裁员的裁决是终局裁决，并对当事人具有约束力，裁决应包括仲裁程序的费用分配。(v) The seat of arbitration shall be Bangalore.（五）仲裁所在地应班加罗尔。(vi) For all purposes in relation to this Section 36.3, the courts at Bangalore alone shall have exclusive jurisdiction.
