废金属买卖合同The place is City Ak-Dovurak of the Republic of Tuva in 2008Siberia Asbestos Co., Ltd，hereafter called as Seller，the legal person is . of Siberia Asbestos Co., Ltd and serving as General Manager. 依照法律，为Party A； _，hereafter called as Buyer，the legal person is _，依照_法，为Party B，双方共同签订本合同，内容如下：1. 合同对象1.1. Seller必须在本合同规定期限内，依据发票和商业发票（依据货物合同内容）向Buyer转让Seller拥有所有权的3000吨废弃设备废金属，位于ordinary ore enrichment plant内，阿克-多乌拉克城市(city Ak-Dovurak)，蒙古石马拉塔街(street Mongouch Marata),电梯B171.2. 当Buyer履行货支付责任后，Seller必须依据资产接收转让条款、自合同签订之日起三个工作日内转让货物。经Buyer同意，Seller有权在本合同规定期限内提前转让货物。1.3. 自Buyer收到货物及签署验明货数量文件之日起，货物所有权转至Buyer。2. 双方义务2.1.Seller必须2.1.1.在本合同规定期限内向Buyer转让本合同规定数量的货物。2.1.2.确保Buyer工作人员、货物拆卸人员及运输人员在本合同第2.2.3条款规定期限内顺利到达货所在地（is located in ordinary ore enrichment plant，city Ak-Dovurak)，suite- B17, 25, Street Mongouch Marata）2.2. Buyer必须2.2.1. 在本合同及发票规定期限内支付货款。2.2.2. 依据本合同及现行立法立即接收符合数量、质量及所在地要求的货物2.2.3.独自或者在第三方见证下，在3个月内进行货拆卸和运输作业，将货物运出所在地。 3. 价格、支付方式、支付期限3.1. 每吨金属的价格大体上为5000卢布，其中增值税18% - 762卢布71戈比。依据合同，货物总价值为15000000卢布，其中增值税18% - 2288135卢布59戈比。3.2. Buyer以预付方式交付货款。付款日期为钱款汇入Seller代办银行之日。从上述日期起认为Buyer支付货款的义务已完成。4. 双方责任4.1. 一旦延误交货日期，则Seller依据本合同第3.1条款，每天支付总货款1%的罚金。4.2. 一旦由于Seller过失延误Buyer工作人员、货物拆卸人员及运输人员到达货所在地拆卸及运输货物，Seller需依据本合同第3.1条款，每天支付总货款1%的罚金。（is located in ordinary ore enrichment plant，city Ak-Dovurak)，suite- B17, 25, Street Mongouch Marata）4.3. 违反本合同其他条款，双方应按照现行立法承担责任。5. 不可抗力情况5.1. 如果在双方签订合同后出现不可抗力，各方不承担部分或全部合同中应履行的义务。这些不可抗力情况包括：洪水、火灾、地震及其他自然灾害，战争、战事、军事行动或政府当局的行动，以及不取决于双方意志力的和影响双方履行各自义务的其他情况5.2. 发生了本合同第5.1条款中不可抗力情况应由工商局或者国家政权主管机关去核实。5.3. 如果不可抗力情况具有临时性质，则在这些不可抗力情况发生及影响期间免除责任。5.4. 不能履行义务的一方必须在3天内通知另一方履行义务的预计期限及上述不可抗力情况停止的预计时间，如果不通知另一方或者不及时通知另一方，后果自负。5.5. 如果在两个月内不能履行应尽义务，以书面形式提前通知另一方废除合同之后，双方可以单方面地废除合同，不必赔偿损失。6. 合同的更改和废除6.1. 双方关于更改、补充或者停止合同的任何协议必须是以书面形式、有双方签字或者双方全权代表签字的文件。7. 其他条件7.1. Buyer自转交货物之日起3个月内以书面形式（传真）提出货物数量方面的赔偿要求7.2. 传真过来的文件具有法律效力，同时，随后相互提供的文件原件不能使双方免于俄联邦现行立法和贸易惯例（即：双方必须遵守俄联邦现行立法和贸易惯例）7.3. 关于合同的各种通知采用邮局、传真、电传、电报形式。一旦出现信息错误，则由发送相关信息的一方承担责任。7.4. 合同自双方签订之日起生效，双方按照本合同履行各自义务。Seller有权单方面拒绝履行本合同。7.5. 直接或者间接由于本合同所引起的双方之间的任何争执、分歧由双方在俄联邦现行立法及贸易惯例基础上协商解决7.6. 双方协商无法解决的问题依据现行立法交至仲裁法庭。有仲裁法庭调解双方之间的分歧问题。在收到索赔要求之日起10个工作日内审核索赔要求，10日期满后应给出答复。索赔记录书采用挂号信的形式，并有双方全权代表的签字。7.7. 其他所有本合同未尽事宜，双方应遵照俄联邦现行立法。7.8. 合同共三页，一式两份，用俄语书就。每份都具有同等法律效力。每一方都应有一份合同。7.9. 合同的每一页都有双方签字及印章8. 双方地址及银行详细资料8.1. 一旦地址变更或者服务银行变更，双方应在变更之日起5天内首先通知对方。8.2.
