Please refer to attached .第二条 合同工期 Construction Period本合同的工期自 年 月 日开工至 年 月 日竣工。This construction Period is from commencement date of , to completion date of 第三条 装修审批和资质 Approval and Qualification of Decoration1、除本合同另有规定外，乙方同意依法办理与装修有关的所有审批、登记及验收手续。上述审批手续包括但不限于公安消防部门的审批。Unless otherwise provided in this Agreement, Party B agrees to complete all the approval, registration and check & accept formalities (the “Approval Formalities”) related to the Decoration Projects as required by law. The Approval Formalities include but not limited to the approval or registration with the authority in charge of public security and fire protection.2、乙方在此向甲方保证，其具备必要的装修资质和其他资质。本合同项下甲方发包给乙方的所有装修工程均没有超出乙方资质证书规定的范围。如果乙方不具备法律要求的相应资质，由乙方承担由此给甲方带来的所有损失。Party B hereby warrants to Party A that it has the necessary qualification for decoration project as well as other qualifications and all the Projects consigned to Party B by Party A under this Agreement are within the business scope as indicated in the qualification certificate(s) of Party B. If Party B does not have the qualification(s) as required by Law, Party B shall bear all the losses incurred by Party A thereof.第四条 工程价款及付款方式 Contract Amount & Payment Terms1、本工程合同价款为人民币： 0000000 元整。 Total Contract Amount: RMB 0000000 元 2、付款方式： Payment terms:（1）100%合同价款，人民币：000000元整，在乙方如期完成全部的装修施工工程并经甲方根据第八条验收合格后，甲方将于收到乙方正式发票后30天内按实际完成的工作量及投标单价予以结算支付。100% of Contract Amount: RMB 20,890.30 shall be checked and approved according to Article 8 by the Party A after all decoration work has been completed in time. Then payment shall be released by Party A according to actual B&Q within 30 days after the formal receipt has been issued to party A. （2）由于设计变更及甲方要求修改等而引起的工程量较大的增减时，须由乙方编制增减工程预算书，经甲方审核确认后，在相应的工程进度款付款时予以结算支付。When design drawings or the Party A required modification cause big change in B&Q, Party B should first prepare for the additional budget of B&Q. Payment program can be adjusted after the Party As checking and approval. 3、乙方向甲方提供正式税务发票前，甲方没有付款义务。Party A will not pay before Party B provides formal taxation invoice to Party A. 第五条 工程质量要求 Requirements of Project Quality1、乙方严格按照经甲方确认的施工图纸进行施工，随时接受甲方代表或委派人员的检查检验，为检查检验提供便利条件。同时施工严格按照国家规范进行，施工满足设计要求，质量达到工程建设强制性标准、其他技术标准以及本合同的规定。否则，甲方有权要求乙方拆除重建，由此产生的一切费用和损失，包括工期延误的损失，由乙方承担。甲方代表系指甲方指定的履行合同的负责人。Party B will carry the contract works as the drawings confirmed by Party A. Party B will at any moment receive checks from representative or designated personnel of Party A and make the checks convenient. Works should carry out to the National required standard and design required. Project quality should meet compulsory standards, other technical construction standard for project construction and the regulations in this Contract. Otherwise Party A is entitled to require Party B to dismantle and reconstruct the project. Party B shall be responsible for all the expenses and loss (including delay of construction period) incurred thereof. The representative of Party A is the responsible person designated by Party A for carrying out the Contract.2、工程以包工包料的方式进行，材料按甲方指定采购，并应当符合国家标准及环保要求 (包括但不限于以下:人造板及其制品中甲醛释放限量 GB18580-2001; 容积型木器涂料中有害物质限量 GB18581-2001; 内墙涂料中有害物质限量 GB18582-2001; 胶粘剂中有害物质限量GB18583-2001; 木家具中有害物质限量GB18584-2001; 壁纸中有害物质限量GB18585-2001;聚氯乙烯卷材地板有害物质限量GB18586-2001;混凝土外加剂中释放氨的限量GB18588-2001) ，有质量检验合格证明和有中文标识的产品名称、规格、型号、生产厂厂名、厂址等，并符合国家环保要求。禁止使用国家明令淘汰的建筑装修装饰材料和设备。主要饰面材料要经过甲方或甲方指定的监理公司核定后方可使用。乙方提供的材料、设备如不符合质量要求，或规格有差异，应禁止使用。如已使用，甲方有权要求乙方拆除重建，由此产生的一切费用和损失，包括工期延误的损失，均由乙方承担。 The Project will be conducted in the way that all the materials will be provided by Party B. The materials shall be those named by Party A and shall satisfy national standard with quality inspection certificate and product name, specification, type, name, address of manufacturer marked in Chinese, and meet the requirements of environment protection (include but not limited to the standards listed below: GB18580-2001; GB18581-2001; GB18582-2001; GB18583-2001; GB18584-2001; GB18585-2001; GB18586-2001; GB18588-2001). The materials and equipment for decoration which are expressly eliminated by the State are prohibited from being used. The main facing materials can be used only after the approval of Party A or the supervising company designated by Party A. Those materials and equipment provided by Party B that do not meets the requirements of quality, or there are discrepancy in specifications, should not be used. If this kind of materials or equipment has been used, Party A is entitled to require Party B to dismantle and reconstruct the project. Party B shall be responsible for all the expenses and losses(including delay of the construction period) incurred thereof.3、甲方有权自聘工程监理，但须在工程开工前通知乙方，以便于工作衔接。Party A is entitled to retain Project supervisor by itself, Party A shall inform Party B before Commencement for the purpose of coordination.4、甲方有权按照工程建设质量安全监督管理的有关规定，到工程所在地的质量安全监督部门办理建筑装饰工程质量安全监督手续。Party A is entitled to complete the formalities at the local quality & security supervision authority where the project is located with regard to quality and security supervision for the construction of decoration project.5、乙方对设计方案的可实施性和安全性承担全部责任，任何因设计方案无法实施，修改方案导致的费用增加, 以及不能通过消防等相关验收而引起的损失或费用增加均由乙方承担。Party B takes full responsibility for the feasibility and security of the construction drawings. In case of loss and increased fees incurred due to unfeasibility and revision of the drawings, and/or couldnt pass fire fight inspection etc, all the expenses and losses are due to Party B. 6、乙方保证按照图纸施工，不得擅自改变设计图纸。 Party B shall ensure to conduct the construction in compliance with the drawings, which cannot be revised by Party B on its own.7、装修工程竣工后，室内空气质量应当符合国家有关标准 室内空气质量标准(GB/T18883-2002)和民用建筑工程室内环境污染控制规范（GB 50325-2001）。When the Decoration Project is completed, the indoor atmosphere shall comply with the relevant standards issued by the State (GB/T18883-2002) &（GB 50325-2001）. 8、施工中，甲方如有特殊施工项目或特殊质量要求，双方应确认，增加的费用应另签订补充合同。During the construction, if Party A raise special construction tasks or special quality requirements or drawing change, the Parties shall confirm together and shall conclude supplementary agreement.9、结算时，如甲方及监理方发现有减少项目和数量，甲、乙双方确认后，减少的费用应从签订的合同中减除。During the project checking and acceptance period, if Party A and project supervisor find reduced construction tasks according to the signed contract, the Parties shall confirm together and shall deduct the amount from the contract.第六条 双方权利义务 Rights & Obligations of Both Parties 1、甲方权利义务： Rights & Obligations of Party A: （1）配合办理施工报批相关手续； To co-operate for the application of all necessary permits. （2）在收到乙方提供的装修图纸后合理时间内作出确认或提出修改意见； To Confirm or raise modification suggestions within a reasonable period after receiving the decoration drawings provided by Party B. （3）按时支付工程款项； To pay the contract amount to Party B as agreed. （4）协助乙方与甲方指定分包商的施工配合 To co-operate with other nominated sub-contractors. （5）组织工程竣工验收工作。 To organize contract works completion inspection. 2、乙方权利义务：Rights & Obligations of Party B （1）乙方应当在合同生效后10日内按设计要求提供详细施工报批图纸，以便甲方和业主审核，并在甲方和业主对装修图纸提出修改意见后3日内提供修改后的报批图纸。乙方应按经甲方和业主同意的施工图纸施工。施工图纸确认后，施工过程中的变更也应经过甲方和业主事先同意。由于乙方的施工方案没经过业主及甲方同意，而造成的经济损失，及对业主的赔偿责任由乙方承担。赔偿将从合同的款项中扣除, 如不足以支付赔偿金额, 乙方还应补足余额。如果乙方未能在本条约定期限内提供详细施工报批图纸，则按第七条承担责任。Party B should provide detailed construction drawings for report for approval to be checked by Party A and the proprietary within 10 days after the Contract becomes effective, and provide modified drawings for report for approval within 3 days after Party A and the proprietary raised suggestions for drawings modifications. Party B should carry out construction according to the construction drawings, which are approved by Party A and the proprietary. During the decoration period, the modified drawings should also be approved by Party A and the Proprietary. If the construction drawings changed, and havent got approval from Party A and the proprietary, which cause loss to Party A and the proprietary. Party A and the proprietary should claim for compensation from Party B. The compensation will be deducted directly from the construction total amount, if the total amount cant meet the compensation, then Party B should provide the balance to meet the compensation. If the construction drawings for report for approval are not approved by Party A before the date of commencement in this Contract, the date of commencement will be postponed. （2）开工前，乙方应在与甲方协商后指派一名合格人员作为乙方工地代表，负责与甲方联络，监督合同履行。Prior to the Commencement of the Project, Party B shall appoint a qualified personnel as on-site representative of Party B after consultation with Party A. The representative shall be responsible for liaison with Party A, performance of the construction according to this Agreement. （3）配备合格的施工人员。甲方代表有权要求乙方更换不具备相应资格的施工人员，乙方应在收到甲方代表的要求后1日内做出更换。To provide qualified construction personnel. The representative of Party A is entitled to ask Party B to replace the disqualified personnel. Party B should replace with 1 day after receiving the request from the representative of Party A. （4）做好施工组织管理，精心施工，保证工程质量，定期向甲方汇报施工进度情况，按时完工；To control contract works quality to a satisfactory standard and to report to Party A for the processing of the contract works. （5）做好施工安全防范措施，确保施工安全并承担施工造成人身和财产损失的直接赔偿责任；To apply all necessary safety precaution at site to maintain a minimum injury & casualty and taking full responsible for every safety matter. （6）遵守政府和有关部门对施工现场的一切规定和要求，承担因自身原因违反有关规定造成的损失和罚款；To abide by all regulations and requirement from government and relevant department and bear the losses and penalty incurred by breaching relevant regulations by itself. （7）负责适当购买与施工有关的人身、财产等保险；Party B shall be obliged to buy adequate personal, property and other insurances related to the construction. （8）已竣工工程未交付甲方验收之前，负责成品保护，保护期间发生损坏，乙方自费予以修复。甲方在竣工验收前使用，发生损坏的修理费用，由甲方承担。由于乙方不履行上述义务，造成工期延误和经济损失，责任由乙方承担。To be responsible for the protection of finished products. Party B will be responsible for repairing the damage during its protection period and bear the costs by itself. Party A shall bear the repairing costs if Party A uses before acceptance. If Party B does not carry out above-mentioned obligations and result in delay of construction period and losses, Party B will bear the liability. （9）组织参加工程竣工验收工作。 To organize and take part in the contract works completion inspection。 （10）文明施工，保证在施工过程中不在施工场地周围乱放建材及废物，并保证在工程竣工后负责清理并承担相应费用。To keep the working site free from debris and guarantee the site to be completely clean at the time of completion. 第七条 工期延误 Construction Period Delay 以下原因造成竣工日期拖延，经甲方代表确认后，工期才可相应顺延：The Construction Period can be extended based on the following reasons after confirmation by the representative of Party A: （1）甲方要求的设计及工程量重大变更；The changes on designs and large volume of additional works as required by Party A. （2）非乙方原因，一周内累计停水、停电八小时以上的；Non Party Bs reasons, water and power supplies stopped over accumulated to eight (8) hours within a week. （3）不可抗力，是指战争和自然灾害； Force majeure war and disasters.除上述因素外，因乙方原因造成工程未按合同工期竣工的，由乙方承担违约责任，工期每延误一天, 乙方支付违约金人民币 500 元。Other than the above reasons Party B is responsible for all the losses for the delay of the construction period and a penalty of RMB 500 per day will be charged by Party B.第八条 工程验收 Project Acceptance1、工程具备覆盖、掩盖条件以及进行隐蔽工程之前，乙方应提前1天通知甲方检查，甲方在验收记录上签字后，方可进行隐蔽和继续施工。否则甲方应当有权要求乙方拆除重建或者另行聘请第三方拆除重建，由此产生的一切费用和损失，包括工期延误的损失，由乙方承担。Before the Construction can be overlaid and covered up, as well as before the concealed construction can be conducted, Party B shall notify Party A one day in advance to conduct the inspection. Only when Party A signs the acceptance record can the concealed construction be conducted and Project be proceeded. Otherwise Party A is entitled to require Party B to dismantle and reconstruct the Project or retain a third party to do the same. All the expenses and losses caused thereof (including the delay of construction period) shall be assumed by Party B.2、甲方有权要求对工程进行分阶段验收，具体阶段性验收时间由甲方确定。Party A has the right to conduct acceptance in phases for the Project. 3、工程具备竣工验收条件，乙方应当向甲方提供完整竣工资料和竣工验收报告，甲方应在收到全部材料后5日内组织验收，逾期视为甲方自动放弃权利并视为验收合格，如有问题，甲方自负责任。如果工程符合第五条规定的质量标准，甲方应当签署验收报告。如果工程不符合上述质量标准，乙方应当在甲方指出不符之处后立即组织修理或重建，并重新提供竣工资料和竣工验收报告。由此产生的延误和损失，由乙方承担。When the Project is ready for final acceptance, Party B shall submit to Party A the full as-built documentations and completion acceptance report. Party A shall organize the acceptance within 5 day after receiving all the documents, exceeding which will be regarded as waiver of the right and the project will be regarded to be accepted. Party A will assume the result if there happen any problems. If the Project complies with the quality standard stipulated in Article 5, Party A shall sign the acceptance report. If the Project fails to meet with the quality standard, Party B shall conduct rectification or reconstruction after Party A indicates the unconformities, after which Party B shall submit the as-built documentations and completion acceptance report again. The delay and losses caused thereof shall be born by Party B.4、甲方如不能在合同规定的时间内组织验收，应及时通知乙方，另定日期。但甲方应承认工程的完工日期，并承担乙方的看管费和相关费用。When Party A can not conduct the acceptance within the time specified in the Contract, Party A shall inform Party B without delay and determine another date for the acceptance. Party A, however, shall admit the completion date of the Decoration Project and be liable for the expenses for taking care of the construction by Party B and other relevant expenses.第九条 保修期限及范围 Warranty Period and Limitations1、乙方对装修工程中的防水工程承担 5 年保修责任，粉刷承担 2 年的保修责任，其它部分按国家有关规定办理。从甲方签署验收报告后起算。Party B shall undertake a 5 years warranty for the waterproof part of the Decoration Project, a 2 years warranty for wall paintings, and warranty for other parts shall be in consistence with relevant laws and regulations. The warranty period shall start from the date when the inspection and acceptance report is executed by Party A. 2、保修范围：Warranty Limitation在保修期内，属乙方施工范围的工程项目，因施工质量及材料使用问题造成损坏损失的，乙方应免费维修和更换；若因甲方使用不当，造成的损坏，乙方只收取材料及人工成本费用。如果保修期内装修工程出现任何质量问题，乙方应当自甲方提出修理要求后24小时上门维修，突发事件应立即到达组织抢修，维修费用由乙方承担。逾期未维修的，我司将代为维修，费用从未款中扣除。两年之后，乙方继续为甲方服务可根据市场价格收取部分费用。During the Warranty Period, defects caused by Party B due to the misuse of materials and poor workmanship Party B will remedy such defects at his own costs. Defects caused by Party A due to improper use of finished works Party B will repair at costs paid by Party A. Should any quality problems occurred during the warranty period, Party B shall conduct on-site repair within 24 hours, or immediately on site repair for emergency cases, upon request by Party A with the repair expenses being borne by Party B. If Party B doesnt offer remedy service within required time, the repair work can be done by Party A and the cost will be deducted from remaining payment. Party B will repair defects at reasonable market price paid by Party A for continued service during non-warranty period.第十条 违约责任 Violating Obligations甲方代表不能及时给出必要指令、确认、批准，不按合同约定履行自己的各项义务、支付工程款项及发生其它使合同无法履行的行为，甲方应承担违约责任，相应顺延工期。Party A failed to issue instructions, confirmations and approvals in time to Party B; failed to fulfill the terms and conditions as stated in the agreement; failed to pay the Contract Amount to Party B as agreed.Party A is considered to be violating its obligations under this Agreement, in consequence of such, the Construction Period will be extended.乙方不能按合同工期竣工，施工质量达不到设计和规范的要求，或发生其它使合同无法履行的行为，乙方应承担违约责任，并按协议条款约定支付违约金，并赔偿因其违约给甲方造成的损失。如果由于乙方的原因（包括但不限于设计缺陷及施工质量不符合本合同的要求）导致甲方的财产损失或人员伤亡，乙方将承担赔偿责任。Party B failed to complete the Contract Works on the stated Completion Date; failed to carry out the Contract Works according to the design and specified standard; cause delay of works.
