FLUCTUAIONS OF FREIGHT，INSURANCE PREMIUM，CURRENCY，ETC： 1）It is agreed that the prices mentioned herein are all based upon the present IMF parity rate of RMB￥10 to one US dollar. In case there is any change in such rate at the time of negotiating drafts, the prices shall be adjusted and settled according to the corresponding change so as not to decrease the Sellers proceeds.,2）合同中所列价格均是以目前运费率和（或）战争险及水险保险费率为准。装运时运费率和（或）保险费率如有增加，应由买方负担。 2) The prices mentioned herein are all based upon the current rate of freight and/or war and marine insurance premium. Any increase in freight and/or insurance premium rate at the time of shipment shall be for the Buyer risks and account. 3）交货前如原料或者组件的成本增加，卖方保留调整合同中所列价格的权利。 3) The Seller reserves the right to adjust the prices mentioned herein, if prior to delivery there is any substantial increase in the cost of raw material or component parts.,12. 税捐等： 对货物或包件、原料，或履行合同有关活动所课征的关税或其他税费，如由产地国课征，则由卖方负担；如由目的地国课征，则由买方负担。 TAXES AND DUTIES, ETC: Any duties, taxes or levies imposed upon the goods, or any packages, material or activities involved in the performance/ execution of the contract shall be for account of origin and for account of the Buyer if imposed by the country of destination.,13. 索赔： 对所装运货物如发生索赔，则请求索赔的通知必须于货物抵达货港后立即以书面形式通知卖方，且必须给卖方有调查的机会。若运送船只到达卸货港后21天内未提出这项预先的书面通知及提供调查机会，则索赔应不予受理。在任何情况下，卖方对于使用货物引起的损害，或对于超出瑕疵货物发票金额的款项均不负责。 CLAIMS: In the event of any claim arising in respect of any shipment, notice of intention to claim should be given in writing to the Seller promptly after arrival of the goods at the port of discharge and opportunity must be given to the Seller for investigation. Failing to give such prior written notification and opportunity of investigation within twenty-one (21) days after the arrival of the carrying vessel at the port of discharge, no claim shall be entertained. In any event, the Seller shall not be responsible for damages that may result from the use of goods or for any amount in excess of the invoice value of the defective goods.,14. 不可抗力 因战争、封锁、革命、叛乱、民众骚动、动员、罢工、工厂封锁、天灾、恶劣气候、疫病或其他传染病、货物因火灾或水灾而受毁坏、在交货港因暴风雨或台风而阻碍装船，或在装船前任何其他卖方所无法控制的事故发生，致使货物的全部或一部分未能交货，这未交货部分的合同应予取消。然而，在装运期限截止前，如货物业经备妥待运，但因前述事故之一发生而致未能装运，则买方在接到卖方请求时，应以修改信用证方式或其他方式延长装运期限。 FORCE MAJEURE: Non-delivery of all or part of the merchandise caused by war, blockade, revolution, insurrection, civil commotion, riots, mobilization, strikes, lockout, act of God, severe weather, plague or other epidemic, destruction of typhoon at the port of delivery, or any other cause beyond the Sellers control before shipment shall operate as a cancellation of the sale to the extent of such non-delivery. However, in case the merchandise has been prepared and ready for shipment before shipment deadline but the shipment could not be effected due to any of the abovementioned causes, the Buyer shall extend the shipping deadline by means of amending relevant L/C or otherwise, upon the request of the Seller.,15. 仲裁： 有关本合同买卖双方间所引起的任何纠纷争
