article1transactions b)thetotalvalueofthemachines,auxiliaryequipment,etc.suppliedbypartbshallbepaidoffbypartyawithpartofthemanufacturesmadetherewithand/orothergoods,orwith(designatename)productsmadein(nameoftheplant)ifbothpartiesagree.thespecificname(s),quantity,price,delivery,etc.ofthegoodsgrantedasthemake-uppaymentshallbedecidedinanadditionalpensationgoods-supplyagreementmadebythepartieswhichshallserveasaponentparthereof.the bothpartiesagreetoopenlettersofcreditinfavorofeachother,i.e.partyawillopen,atregularintervals,longtermlettersofcreditinfavorofpartybtopaybyinstallmentsthetotalcostofthemachinesandauxiliaryequipmentprovidedbypartyb;whereaspartybwillopensightlettersofcreditinfavorofpartyatopaytheproductstobedeliveredbypartya.partyashallpayforthetotalcostofthemachinesandauxiliaryequipmentwiththemoneyremittedbypartybas article3reimbursement themachineryandauxiliaryequipment,aftershipment,shallbeinsuredbypartyb.thetitlethereofshallbetransferredintopartybafterfullpaymentthereforeismadebypartyb,thereafter,the unforeseeablelossesconcerningthemachineryandauxiliaryequipmentshallbeindemnifiedforfirstbytheinsurancepanytopartyb,thenpartybshallremitforpartya,inproportion,thesumalreadypaidbypartyaforthemachineryorequipmentinvolvedinthecontingency. article9liabilityforbreachofagreement partybshall,ifitfailstoplywiththisagreementtomakepurchaseofthegoodsdeliveredbypartyaasreimbursement,orpartyashall,ifitfailstoplywiththisagreementtodeliverthegoodsit isduetoprovide,bedeemedliableforabreachofagreementandshallpensatethenon-breachingpartyforthelosscausedthereuponandshallpaythenon-breachingpartyafineaountingfor%ofthetotalvalueofthegoodsinquestion. 2.secondpartysresponsibilitiesandduties: a、thesecondpartysetsupthefactory,nomatterownprofitorloss,thesecondpartyshouldgetthelegalbusinesslicense,andtheoperationshouldbelegal; b、thesecondpartyshouldpayforallthebillslikepublicsecuritydepartment,labourdepartment,insurance,industryandmerce,tax,andwaterandelectricitydepartment. c、anybusinessactivitiesorthebusinessdispute,firstpartywillnotberesponsible. d、topaytaxeslawfully; e、secondpartyareinchargeoffiresystemandliftsrepair、maintain、andannualinspection,thefesswillbepaidbysecondparty. f、1stpartywillonlyberesponsibletocollecttherentalfeesfrom2ndparty,otherthanthat,fortheotherkindofbillssecondpartyshouldberesponsibletopayallthetaxesandfees/billsandthatincludesanyrequirementofthelocalgovernmentdepartment. g、whenthesecondpartyisnotrentingthefactoryanymore,thefacilitiesandtransformerandtheliftshouldbereturnedtofirstparty,thesecondpartycannotremoveordestroytheproperty,orelsesecondpartyhastopaythedamagestothefirstparty. h、thefactoryarenotallowtorenttootherpeoplewithoutthefirstpartyswrittenconsent;
