The land, whose usage right is get by means of transfer, shall be allowed to be used during the period from May 23, 2002 to May 23, 2052, life span of 50 years.Article 2 Commercial House PriceThe sales price of this commercial house is calculated by construction area, RMB3332 Yuan/m2 (currency: RMB), totaling 537652.0 Yuan (currency: RMB), Five Hundred and Thirty-seven Thousand Six Hundred and Fifty-two RMB Yuan Only .Article 3 Commercial House Delivery and Delivery DateCommercial house can be delivered upon completed and passing the acceptance; any houses, which have not had or passed the acceptance, shall not be delivered.Party A shall deliver the house to Party B before October 31, 2004. In case of inability to perform the contract due to force majeure, do as the following 1st way. 1. Change the contract.2. Terminate the contract3.Article 4 Payment Terms and Time of Party BParty Bs making the payment as the following 3rd way:1、One-off payment.2、Installment payment.3、Other.Loan payment, Party B shall deposit the down payment of the house: 217652 Yuan once before October 27, 2004, and the rest:320000 Yuan is paid by loan.Article 5 Settlement of Party As Overdue Delivery of the Commercial HouseIn the event that Party A cannot deliver the commercial house as date agreed in Article 3 herein due to force majeure, Party B is entitled to claim for interest of account paid if overdue within 30 days. The interest shall be calculated as lending rate of bank at the same period from next day of the date agreed herein when Party A shall deliver the commercial house to the actual date of delivery.In case of exceeding the agreed period above, Party B is entitled to investigate the responsibility of Party A for contract breach according to the following 1st agreement:1. Continue to perform the contract. Party A shall pay for interest of account paid to Party B. The interest shall be calculated as lending rate of bank at the same period from next day of the date agreed herein when Party A shall deliver the commercial house to the actual date of delivery. Moreover, Party A shall pay for liquidated damages to Party B at 1 of the commercial house price on a daily basis.2. Terminate the contract. Party A shall refund the account paid and pay the interest thereof. The interest shall be calculated as lending rate of bank at the same period from next day of the date agreed herein when Party A shall deliver the commercial house to the actual date of delivery. Moreover, Party A shall pay for liquidated damages to Party B at of the commercial house price on a daily basis. In the event that Party Bs actual loss was more that the liquidated damages paid by Party A, Party A shall also bear the responsibility of compensation. 3. Article 6 Settlement of Party Bs Overdue PaymentIn the event that Party B cannot make the payment as date agreed in Article 4 herein, Party A is entitled to claim for the overdue account and the interest thereof if overdue within 30 days. The interest shall be calculated as lending rate of bank at the same period from next day of the date agreed herein when Party B shall make the payment to the actual date of payment.In case of exceeding the agreed period above, Party A is entitled to investigate the responsibility of Party B for contract breach according to the following 3rd agreement:1. Continue to perform the contract. Party B shall pay for overdue account and the interest thereof. The interest shall be calculated as lending rate of bank at the same period from next day of the date agreed herein when Party B shall make the payment to the actual date of payment. Moreover, Party B shall pay for liquidated damages to Party A at of the commercial house price on a daily basis.2. Terminate the contract. Party B shall pay for liquidated damages to Party A at of the commercial house price on a daily basis.3. In the event that Party B cannot make the payment as date, if overdue within 50 days, Party A has the right to rescind the contract and refund the payment. The losses of the rest of the payment in the process of buying shall be solely shouldered by Party B. Moreover, Party B shall pay for liquidated damages to Party A at 5 % of the commercial house price.Article 7 Construction Area of the Commercial House and Settlement of Discrepancies in Sales Construction AreaThe construction area of commercial house is legally based on the area recorded in House Ownership Certificate. In the event that the discrepancy between commercial house construction area and the area sold by Party A is within3% (inclusive), the unite price shall remain unchanged, and the price of the commercial house shall be refunded or supplemented according to the discrepancy between construction area of the house and sales area. In case of area discrepancy over 3%, both parties agree on:Contract shall continue to be performed. The unit price remains unchanged and the price of the commercial house shall be refunded or supplemented according to the discrepancy between property registration area and agreed area herein. Article 8 Quality and Warranty Liability of the Commercial HouseThe quality and equipments of the commercial house delivered by Party A shall comply with the relevant national regulations and Party As commitment (See Attachment III). Party A shall hold all the responsibility for any incompliance with the state-specified standards and commitments.Under the condition of Party Bs normal use, Party A shall perform the responsibility of warranty in accordance with Tianjin Residential Commercial House Quality Certificate. Party A shall not hold the responsibility for any damages caused by Party Bs dismantling without authority.Article 9 Agreement on Commercial House Supporting Facilities Operation The operation date of the following supporting facilities is agreed on as follows:1. Water supply available while living in 2. Water drainage available while living in 3. Power supply available while living in 4. Fuel gas (category) none 5. Heating the first heating period after living in 6. In case of the supporting facilities above failing to operate as agreed date, Party A shall take remedial measures within 90 days and compensate the loss of Party B; in case of exceeding the agreed period above, Party A shall compensate the loss and pay for the liquidated damages of each item to Party B at .1% of the commercial house price.Article 10 Agreement on Change of House DesignParty A shall not change the design and layout of the commercial house (See Attachment IV) without the consent of Party B. If it is really necessary to make changes, Party A shall negotiate with Party B within 30 days from the confirmation date of design change scheme.Should Party B agree to change, both parties shall come to supplementary contract.Should Party B disagree to change, or Party A make changes without authority, Party B shall be entitled to terminate the contract. In case of termination, Party A shall refund the account paid and pay for the interest thereof, and the interest shall be calculated as lending rate of bank at the same period from next day of the date when Party B makes the payment to the date when Party A returns the account paid. Moreover, Party A shall pay for liquidated damages to Party B at .1 % of the commercial house price.Article 11 Handover of the Commercial HouseWhen conducting the handover of commercial house, Party A shall notify Party B in writing to handle the formalities of commercial house handover. He shall also provide the Tianjin Residential Commercial House Quality Certificate and Tianjin Residential Commercial House Usage Instruction and hand over the house key. Article 12 Commercial House Title Registration After the commercial house is completed and accept, party A should handle initial registration within 30 days.Party A should help Party B to transact transfer of registration of a property within 90 days after the initial registration is completed.The following 1st agreement shall be adopted in case of failure to handle the house title transfer registration within the period above due to Party A.1. Continue to perform the contract. Party A shall pay for the liquidated damages at .1 % of house price to Party B.2. Terminate the contract. Party A shall refund the account paid and pay for the interest thereof. The interest shall be calculated as lending rate of bank at the same period from next day of the date when Party B makes the payment to the date when Party A returns the account paid. Moreover, Party A shall pay for liquidated damages to Party B at % of the commercial house price.3. Article 13 Property ManagementAbout property management service content and charge standard, etc., Party A should conclude contract with the realty management enterprise, According to the relevantregulations.Article 14 Agreement on Title Dispute and Credit & Debit DisputeParty A shall ensure to hand over the commercial house without title dispute and credit & debt disputes. And Party A shall bear all responsibilities for any title disputes and credit & debt disputes.Article 15 Dispute ResolutionDisputes on the Contract shall be solved by negotiation between Party A and Party B. If the negotiation fails, the disputes shall be solved by the following 2nd way:1. Apply with Arbitration Commission for arbitration;2. Bring a lawsuit to Peoples Court.Article 16 Attachment to ContractParty A and Party B shall make a supplementary contract (see Attachment V) for unaccomplished matter herein.Attachments I - V are all inseparable parts of the Contract, with equal effect.Article 17 Contract CopiesThe Contract and attachments are in 6 pages, in quintuplicate. Each party holds one copy, archiving organ keeps one copy and the two copies left is for backup.
