探 索 频 道 再 许 可 协 议合同号：CITVC本协议于 年 月 日订立本协议由依据中华人民共和国法律成立及经营之中国国际电视总公司（“CITV”），与根据中华人民共和国法律成立及经营之 （“被再许可人”）订立。鉴于CITV为有关DISCOVERY频道（以下称“DSC”）电视记录片服务的某些权利被许可人，并有权再许可在中华人民共和国（不包括香港特别行政区及澳门）的三、四及五星级涉外宾馆，外国人居住区，领事馆及大使馆上映该等节目（每一机构称为“认可机构”）；及鉴于被再许可人为该认可机构内的闭路电视系统之所有人及操作者；又鉴于被再许可人希望上映DSC节目作为其电视服务之一部分，而CITV同意根据本协议所规定的条款及条件授予被再许可人上映该等节目之权利；因此，基于互相在本协议对彼此议定的条款及承诺，而该等条款及承诺已被认为是适当的，CITV及被再许可人就下述事项达成一致：A. 授予的权利：CITV同意以再许可方式授予被再许可人非专有性权利，使被再许可人的闭路电视系统可在本协议体的许可期内根据本协议规定之条件、议定条款及限制，上映DSC节目。合同号: CITVC 日期: 年 月 日许可人: 中国国际电视总公司电话: 86-10-63957071 传真: 86-10-63957074被再许可人: 地址: 邮编: 联系人姓名: 电话: 86- 传真: 86-许可期: 壹年 开始日期: 年 月 日 终止日期: 年 月 日许可费: 鉴于被再许可人据此获得授予之权利，被再许可人在许可期内，按下列计算方法每年付予许可人许可费如下:播送类目: 专题片 连续转播语言: 英语认可媒体: SMATV 认可用户:解码器价目（每台）: 4,000.00元人民币接收终端数目: 付款周期: 按年度预付（以协议书签署日起计） （以协议书签署日起计）接收终端每日收费: 元人民币 预付/尾数: 预付货币: 人民币 合同总值: 元人民币 B. 补充条款：1.如许可人确定DISCOVERY频道节目的任何部分的播送可能侵犯他人的权利，许可人有权撤回该部分或就该部分通知被再许可人。被再许可人按通知后应作出安排以防止播送DISCOVERY频道该部分节目。除非经许可人特别指示，被再许可人须展示在DISCOVERY频道里包含有或出现的所有商业广告片，且展示此等商业广告片时必须与其原本形式一致，无论在任何环境下被再许可人不得删除或容许删除此等广告片的任何部分，或加插其他商业广告或其他广告资料于DISCOVERY频道内以替代此等广告片，惟以上条款应受有关法律，条例，业务准则或广播规格之限制。2.所有未经明确授予对DISCOVERY频道所拥有或享有的权利，如适用于许可人由许可人保有，如适用于DISCOVERY亚洲有限公司由该公司保有。3.对于任何因被再许可人违反本协议而引致的或与此有关的一切索赔，费用，损害赔偿及债务，被再许可人同意补偿许可人及保持许可人免受损害。4.根据CITV与DAI所订之协议，CITV在中国境内为DAI之代理人，有权经销DAI制作的DISCOVERY频道节目。5.本协议及其附件经各当事人完成签署后，成为许可人与被再许可人之间的有法律约束力的协议。6.除上列补充条款1之规定外，被再许可人播映DISCOVERY频道节目只可以（a）播映其全部，包括所有其所包含的一切商业广告节目；（b）以一由DISCOVERY频道全部时间连续性地专用的指定频道作即时转播；（c）不作任何剪辑，更改或删除；（d）以可以达到最高素质收视的方法播送；及（e）只在被再许可人认可机构内播映。7.被再许可人不得复制，以磁带录相，用电视重新播放，或以任何其他形式录取或复制DISCOVERY频道节目的全部或部分。8.被再许可人须采取一切合理步骤防止其所播送的DISCOVERY频道节目在其认可机构外传播及接收。9. 被再许可人不得再许可DISCOVERY频道予任何第三者。10.被再许可人承认DAI之商号，商标及标记均为DAI之独有财产：包括但不限于“DSC”,“TDC”，“DISCOVERY CHANNEL”，“THE DISCOVERY CHANNEL”，“DISCOVERY CHANNEL ASIA”，及“EXPLORE YOUR WORLD”。被再许可人将不因本协议而获得任何该等商号，商标及标记的所有权。除事先获得DAI书面同意或根据DAI所提供的书面指引（许可人收到该等指引将提供副本予被再许可人）外，被再许可人无权使用该等商号，商标或标记。被再许可人同意不会对DAI拥有该等商标，名称及标记的权利或其任何注册提出异议。11.本协议之任何部分均无意授予被再许可人有关DISCOVERY频道之任何所有人权益。被再许可人承认及同意所有DISCOVERY频道之权利、所有权及权益或其任何部分，包括但不限于任何DISCOVERY频道所包含之说明字模部分，以及节目，播送的安排布局及其他文艺，音乐，艺术或创作资料（为公众所有的资料除外），无论何时，就DAI与被再许可人之间而言，均为DAI所拥有。12.所有DISCOVERY频道之任何部分出现的版权告示无论何时必须以其原来出现之形状播放及上映。13.若被再许可人与DAI终止经销协议，或该经销协议因任何理由而暂停执行，则许可人有权在任何时候向被再许可人发出通知立即终止本协议。14.若被再许可人或许可人任何一方在任何时候违反其在本协议应负之责任而（a）该违反行为是无可补救的，或（b）违约之一方不能在收到要求其做出不久的十五天内做出补救，另一方有权在不影响他的其他权利及补救办法情况下，向前述之一方发出通知立即终止本协议。15.本协议无论在任何情况下终止后，所有其授权被再许可人之权利亦立即终止。16.被再许可人在任何情况下不得将其在本协议下拥有的全部或一 部分利益，权利或责任装让，过户，在许可或分包或以其他形式将其出让。17.本协议为许可人与被再许可人之间对本协议所包含之标的事项 的全部协议，它取代在此之前有关该等事项之一切讨论、协商及文件。对本协议之任何修订，豁免及更改，除经双方代表以书面表示同意对本协议做出豁免或修改及签署者外，对双方均无约束力。签立协议者:许可人: 被再许可人: - - 日期: 日期: - - 职衔: 职衔: - -SUB-LICENSE AGREEMENTTHIS AGREEMENT is made on CITVCBETWEEN CHINA INTERNATIONAL TELEVISION CORPORATION, a corporation organized and existing under the laws of the Peoples Republic of China(“CITV”)and NORTHWEST ELECTRICAL POWER ADMINISTRATION DISPATCHING CENTER, a organized and existing under the laws of The Peoples Republic of China(“Sub-licensee”)WHEREAS, CITV is the licensed holder of certain rights in the television documentary service known as “Discovery Channel”(hereinafter “DSC”) including the right to sub-license the exhibition of that service to three, four, and five star foreign tourist hotels, and foreign compounds, consulates, and embassies in the Peoples Republic of China(but not including Hong Kong S.A.R. and Macau)(each facility, individually, an “Approved Facility”); andWHEREAS Sub-Licensee is the owner and operator of closed circuit television system in such an Approved Facility; andWHEREAS Sub-licensee wishes to exhibit DSC as part of its television service and CITV is agreeable to granting Sub-licensee the right to do so on the terms and conditions set out in this Agreement;NOW, THEREFORE, in consideration of the mutual covenants and promises contained in this Agreement, the adequacy of which is hereby acknowledged, CITV and Sub-licensed agree as follows:A. Additional Provisions:1.If Licensor determine that the telecasting of any portion of DISCOVERY CHANNEL would infringe the right of others, Licensor shall have the right to withdraw such portion or notify Sub-Licensee of such portion, whereupon Sub-Licensee shall make arrangements to prevent the transmission of such portion of DISCOVERY CHANNEL. Except as may be specifically directed by Licensor from time to time, and subject always to any applicable laws, regulations, codes of practice or broadcasting standards, Sub-Licensee shall cause all commercial advertisements incorporated and appearing in DISCOVERY CHANNEL to be exhibited exactly in the form in which they so appear, and in no circumstances shall the Sub-Licensee make or allow any deletions in relation to those advertisements, or insert alternative commercials or other advertising material within DISCOVERY CHANNEL in lieu thereof.2.All rights in and to DISCOVERY CHANNEL not expressly granted are reserved by Licensor or Discovery Asia, Inc.(“DAI”)as applicable.3.Sub-Licensee agrees to indemnify and hold harmless Licensor from and against all claims, costs, damages and liabilities arising from or related to any breach of this Agreement by Sub-Licensee.4.According to the Distribution Agreement between CITV and DAI, CITV acts as DAIs agent in the territory of China and has the right to distribute that certain programming service produced by DAI and known as DISCOVERY CHANNEL.5.This Agreement, including any attachments hereto, when fully executed by parties, shall constitute a legally binding agreement between Licensor and Sub-Licensee.6.Except as provided in Additional Provision 1 above, Sub-Licensor shall exhibit DISCOVERY CHANNEL only (a) in its entirety including all commercials contained, therein; (b) by immediate re-transmission on a single designated channel which shall be dedicated to DISCOVERY CHANNEL on a full-time, continuous basis; (c) without any editing, alternations, or deletions; (d) in a manner that will permit the highest qualities reception; and (e) solely within Sub-Licensees Approved Facility/ Facilities.7.Sub-Licensee shall not copy, videotape, televise re-runs of or otherwise record or duplicate DISCOVERY CHANNEL in whole or in part.8.Sub-Licensee shall take all reasonable steps so as to prevent the distribution and reception of its transmission of DISCOVERY CHANNEL outside Sub-Licensees Approved Facility/Facilities.9.Sub-Licensee may not sub-license the exhibition of DISCOVERY CHANNEL to any third party.10.Sub-Licensee acknowledges that DAIs trade names, marks and logos, including, but not limited to, “DSC”, “TDC”, “DISCOVERY CHANNEL”, “THE DISCOVERY CHANNEL”, “DISCOVERY CHANNEL ASIA”, and “EXPLORE YOUR WORLD”, are the exclusive property of DAI, and Sub-Licensee will not acquire any proprietary rights thereto by reason of this Agreement. Sub-Licensee shall not have any rights to use any such names, marks, or logos except with the prior written consent of DAI or as provided for in written guidelines provided by DAI (which licensor shall copy to Sub-Licensee upon receipt). Sub-Licensee agrees not to challenge DAIs rights in such marks, names and logos or any registration thereof.11.Nothing in this Agreement is intended to vest in Sub-Licensee any proprietary interest with respect to DISCOVERY CHANNEL and Sub-Licensee acknowledges and agrees that all right, title, and interest in and to any subtitled portions and the programs, formats and other literary, musical, artistic or creative material included in DISCOVERY CHANNEL (other than material in the public domain) shall at all times be vested, as between DAI and Sub-Licensee, in DAI.12.All copyright notices appearing in any portion of DISCOVERY CAHNNEL shall be reproduced and exhibited at all times exactly in the form appearing.13.Licensor shall be entitled to immediately terminate this Agreement at any time by giving notice to that effect to Sub-Licensee, in the event that its Distribution Agreement with DAI is terminated, or the operation of such Distribution Agreement is suspended for any reason.14.Sub-Licensee and Licensor shall each have the right, without prejudice to its other tights or remedies, to immediately terminate this Agreement by giving notice to that effect to the other party if at any time the other party is in breach of any of its obligations under this Agreement and either (a)
