(3)documentsagainstacceptance:aftershipment,thesellershalldrawasightbillofexchange,payabledaysafterthebuyersdeliversthedocumentthroughsellersbankandbanktothebuyeragainstacceptance(d/adays).thebuyershallmakethepaymentondateofthebillofexchange. (4)cashondelivery(cod):thebuyershallpaytothesellertotalamountwithindaysafterthereceiptofthegoods(thisclauseisnotappliedtothetermsoffob,cfr,cif). 14.（documentsrequired）： thesellershallpresentthefollowingdocumentsrequiredtothebankfornegotiation/collection: (1)fullsetofcleanonboardocean/binedtransportation/landbillsofladingandblankendorsedmarkedfreightprepaid/tocollect; (2)signedmercialinvoiceincopiesindicatingcontractno.,l/cno.(termsofl/c)andshippingmarks; (3)packinglist/weightmemoincopiesissuedby； (4)certificateofqualityincopiesissuedby； (5)certificateofquantityincopiesissuedby； (6)insurancepolicy/certificateincopies(termsofcif)； (7)certificateoforiginincopiesissuedby； (8)(shippingadvice): thesellershall,withinhoursaftershipmenteffected,sendbycouriereachcopyoftheabovementioneddocumentsno. 15.（termsofshipment）： (1)thesellershall,30daysbeforetheshipmentdatespecifiedinthecontract,advisethebuyerbyofthecontractno.,modity,quantity,amount,packages,grossweight,measurement,andthedateofshipmentinorderthatthebuyercancharteravessel/heeventofthesellersfailuretoeffectloadingwhenthevesselarrivesdulyattheloadingport,allexpensesincludingdeadfreightand/ordemurragechargesthusincurredshallbeforthesellersaccount. (2)thesellershallshipthegoodsdulywithintheshippingdurationfromtheportofloadingtotheportofdestination.undercfrterms,thesellershalladvisethebuyerbyofthecontractno.,modity,invoicevalueandthedateofdispatchtwodaysbeforetheshipmentforthebuyertoarrangeinsuranceintime. 16.（shippingadvice）： thesellershall,immediatelyuponthepletionoftheloadingofthegoods,advisethebuyerofthecontractno.,namesofmodity,loadingquantity,invoicevalues,grossweight,nameofvesselandshipmentdatebywithinhours. 17.（qualityguarantee）： thesellershallguaranteethatthemoditymustbeinconformitywiththequatity,specificationsandquantityspecifiedinthiscontractandletterofqualityguarantee.theguaranteeperiodshallbemonthsafterthearrivalofthegoodsattheportofdestination,andduringtheperiodthesellershallberesponsibleforthedamageduetothedefectsindesigningandmanufacturingofthemanufacturer. 18.（inspection）： (1)thesellershallhavethegoodsinspectedbydaysbeforetheshipmentandhavetheinspectioncertificateissuedby.thebuyermayhavethegoodsreinspectedbyafterthegoods?rrivalatthedestination. (2)themanufacturersshall,beforedelivery,makeapreciseandprehensiveinspectionofthegoodswithregardtoitsquality,specifications,performanceandquantity/weight,andissueinspectioncertificatescertifyingthetechnicaldataandconclusionoftheinspection.afterarrivalofthegoodsattheportofdestination,thebuyershallapplytochinamodityinspectionbureau(hereinafterreferredtoasccib)forafurtherinspectionastothespecificationsandquantity/weightofthegoods.ifdamagesofthegoodsarefound,orthespecificationsand/orquantityarenotinconformitywiththestipulationsinthiscontract,exceptwhentheresponsibilitieslieswithinsurancepanyorshippingpany,thebuyershall,withindaysafterarrivalofthegoodsattheportofdestination,claimagainsttheseller,orrejectthegoodsaccordingtotheinspectioncertificateissuedbyccib.incaseofdamageofthegoodsincurredduetothedesignormanufacturedefectsand/orincasethequalityandperformancearenotinconformitywiththecontract,thebuyershall,duringtheguaranteeperiod,requestccibtomakeasurvey. 19.（claim）： thebuyershallmakeaclaimagainsttheseller(includingreplacementofthegoods)bythefurtherinspectioncertificateandalltheexpensesincurredtherefromshallbebornebytheseller.theclaimsmentionedaboveshallberegardedasbeingacceptedifthesellerfailtoreplywithindaysafterthesellerreceivedthebuyersclaim.20.（latedeliveryandpenalty）: shouldthesellerfailtomakedeliveryontimeasstipulatedinthecontract,withtheexceptionofforcemajeurecausesspecifiedinclause21ofthiscontract,thebuyershallagreetopostponethedeliveryontheconditionthattheselleragreetopayapenaltywhichshallbedeductedbythepayingbankfromthepaymentundernegotiation.therateofpenaltyischargedat%foreverydays,odddayslessthandaysshouldbecountedasdays.butthepenalty,however,shallnotexceed%ofthetotalvalueofthegoodsinvolvedinthedelayeddelivery.incasethesellerfailtomakedeliverydayslaterthanthetimeofshipmentstipulatedinthecontract,thebuyershallhavetherighttocancelthecontractandtheseller,inspiteofthecancellation,shallneverthelesspaytheaforesaidpenaltytothebuyerwithoutdelay. thebuyershallhavetherighttolodgeaclaimagainstthesellerforthelossessustainedifany. 21.（forcemajeure）： thesellershallnotberesponsibleforthedelayofshipmentornondeliveryofthegoodsduetoforcemajeure,whichmightoccurduringtheprocessofmanufacturingorinthecourseofloadingortransit.thesellershalladvisethebuyerimmediatelyoftheoccurrencementionedaboveandwithindaysthereafterthesellershallsendanoticebycouriertothebuyerfortheiracceptanceofacertificateoftheaccidentissuedbythelocalchamberofmerceunderwhosejurisdictiontheaccidentoccursasevidencethereof.undersuchcircumstancestheseller,however,arestillundertheobligationtotakeallnecessarymeasurestohastenthedeliveryofthegoods.incasetheaccidentlastsformorethandaysthebuyershallhavetherighttocancelthecontract. 22.(arbitration): anydisputearisingfromorinconnectionwiththecontractshallbesettledthroughfriendlynegotiation.incasenosettlementisreached,thedisputeshallbesubmittedtochinainternationaleconomicandtradearbitrationmission(cietac),shenzhenmissionforarbitrationinaccordancewithitsrulesineffectatthetimeofa
