摘要 摘要 有限责任公司作为现代公司的重要形式之一，从被创立之初到现在，其 独特的优越性就受到众多投资者的青睬。然而，有限责任公司的这些独特性 在实践中也产生了许多问题。其中，一直受到各国立法机关和学者们广泛关 注的问题之一就是：有限责任公司的中_ ，j 、股东期望利益落空，同时又不能顺 利退出公司。面对有限责任公司的中小股东面临的这一问题，各国立法和司 法机关纷纷以立法或判例的形式为中小股东提供一定的救济途径，使中小股 东从困境中解脱出来主要的救济方式有：司法解散制度和退股权制度。司 法解散制度对于解决有限责任的中小股东面临的困境而言，无疑是一种彻底 的方案。然而，司法解散公司绝非一条上策。因此，各国一般都设计其他的 替代救济方式，我国也在立法上采用了相差策略。我国理论界对司法解散制 度已颇有研究而对替代措施之一的退股权制度的研究则比较欠缺。同时新公 司法关于退股权制度也只有唯一一条规定，相对于纷繁复杂的公司实践而言， 不免会显得有些力不从心，而且其法律规定本身又存在不全面和可操作性不 强等问题，也使退股权制度的设立初衷难以达成。因此，为使退股权制度的 保护中小股东利益目的真正实现，使受压榨的中小股东顺利的退出公司，就 必须不断完善我国公司法上规定的退股权制度。 本文旨在通过有限责任公司的中小股东面临的困境和原因分析及对国外 退股权制度的借鉴，以期完善我国有限责任公司股东退股权制度，使退股权 制度在实践中真正发挥保护中小股东的功能作用。从结构上说，全文除了导 言和结束语之外，分为四部分。 第一部分，介绍有限责任公司中小股东面临的困境并分析原因，有限责 任公司的中小股东面临的困境，也可以说是有限责任公司股东退股权存在的 现实基础。有限责任公司的中小股东在公司实践中，所面临的困境是复杂多 样的。本文在总结公司实践中的中小股东所面临的困境的基础上，将中小股 有限责任公司股东退股权制度研究 东面临的困境概括了四个方面：股东出资被长期锁定，股东被排挤出管理层 之外，股权被稀释和股东被困于公司僵局之中。在详细介绍有限责任公司中 小股东所面临的困境之后，接下来，分析有限责任公司的中小股东遭受这些 困境的原因所在。主要有三个原因：第一，是有限责任公司的人合性。有限 责任公司最大特性就是它的资合兼人合性，也正是有限责任公司的人合性， 使得这种存在于股东之间的良好信用和合作关系一旦破裂，就无法修补。同 时，由于公司的股权分布，董事会组成人员等因素，导致有限责任公司内部 可能出现大股东欺压小股东，公司决策无法做出等等现实困境。第二，资本 多数决原则的滥用一资本多数决原则本是为克服“全体一致同意规则”的缺 陷而产生的，但是这一原则会产生少数人专政的负面作用，也即可能导致大 股东裹狭中小股东的意志，排挤中小股东，使中小股东期望利益落空。第三， 公司法对于“资本信用”的固守。我国公司法一直对于公司的注册资本非常 重视，视注册资本为公司信用基础，禁止股东随意撤回出竣。这样就导致公 司的中小股东无法从法律上获得适当的救济而退出公司。 第二部分，阐述有限责任公司股东退股权的理论基础。退股权制度的存 在不仅有现实的需要，而且在理论上也有充分的依据。在该部分中，笔者从 法学和经济学两个学科角度阐述有限责任公司股东退股权的理论基础。首先， 退股权存在的法学理论基础是公司契约理论和利益衡平理论。公司契约理论 认为公司仅仅是股东之间的一种契约。公司内的各方在塑造他们之间的合约 安排时应当是完全自由的或原则上是自由的。也正是基于此，在是否选择退 出公司方面，股东亦有完全的自由。而利益衡平理论是从退股权制度的历史 渊源和价值出发，认为该制度建立的理论基础是权利的平衡和制约，即多数 股东的决策权和少数股东的退出权的平衡与制约。也即，出于利益平衡的考 虑，为维护法律意义上的公平而使之不致受损，使得不愿意接受多数股东决 策的弱势投资者能获得公平补偿，以达到既满足多数股东变革公司经营的愿 望，又给异议股东或因受压制而希望退出公司的股东提供了补偿，从非自愿 改变的投资中或者受压制的公司中及早脱身的目的。其次，退股权的经济学 理论基础利益相关者理论。该理论认为，企业是一组包括股东、管理者、 员工、债权人、供应商、客户等利益相关者之间的一系列多边契约，这些利 益相关者共同利益的最大化是公司的目的。因此，公司是否存续及运行状况， 2 摘要 影响的不仅是股东的利益，还直接或间接地影响到这些利益相关者的利益。 而如果有限责任公司中小股东通过司法解散公司的途径退出公司，那么，就 会给其他利益相关者造成重大的损失。而退股权制度则避免了司法解散给公 司其他利益相关者造成的巨大损失。 第三部分，国外有限责任公司股东退股权的比较分析。国外关于有限责 任公司股东退股权制度的立法和司法实践相对国内而言要成熟的多，因此， 在论证退股权存在的理论基础之后，本文展开对大陆法系和英美法系两大法 系的代表国家一德国和美国关于退股权制度的产生和发展现状的比较分 析，希望为下一部分的我国有限责任公司股东退股权的完善提供借鉴的基础。 首先，笔者介纽德国有限责任公司股东退股权制度的产生和发展。德国退股 权制度产生方式与作为大陆法系代表国家的本色不大相称，因为退股权在德 国是由法院有判例的方式确立的。对于德国有限责任公司股东退股权的发展 现状，笔者先整体概括，尔后，通过退股权行使的条件、退股权行使的程序、 股权价格的确定和退股权行使的豁免四个方面加以概括论述。其次，笔者介 绍英美法系代表国家美国异议股东退股权制度的产生和发展现状。在美国没 有与德国等大陆法系国家同样名称的有限责任公司形式，但是却有与有限责 任公司相类似的“闭锁公司”或称“私公司”。因此，对于美国退股权的产生 和发展现状都是关于封闭公司的股东退股权。同时，美国关于封闭公司只有 异议股东退股权，所以，美国的退股权也只是异议股东的退股权。总体上对 于美国异议股东的退股权阐述也是通过退股权享有主体和股权购买的主体、 行使条件、行使程序、估价确定和股份回购的限制五个方面展开的。最后， 笔者综合德国和美国两大法系代表国家关于退股权制度的产生和发展现状， 对两国的退股权制度进行了全面和具体地比较和分析。 第四部分，我国有限责任公司股东退股权的完善。首先，在第三部分国 外立法的比较分析的基础上，从我国新公司法关于有限责任公司股东退 股权的规定入手，分析我国新公司法目前关于有限责任公司股东退股权 的规定不足。主要有以下几方面不足：退股权享有的主体、退股权行使的条 件、合理价格的确定、退股权行使的程序性问题和退股权行使的失效四个方 面。其次，笔者从退股权制度自身和退股权与其他制度的协调两个角度，提 出如何完善我国退股权制度的薄见。对于退股权制度自身的完善，笔者从退 有限责任公司股东退股权制度研究 股权享有的主体和购买股权的主体、退股权行使的条件、股权价格的确定问 题、退股权行使的程序、退股权行使的限制与失效及退股权行使的后果几个 方面加以论述。在论述退股权制度与其他制度的协调中，笔者主要探讨了退 股权制度与除名权制度、其他救济措施、我国资本制度、债权人保护之间的 关系，并且提出了相对具体的意见。 本文的结论是：现行公司法对有限责任公司股东退股权规定的缺陷， 致使有限责任公司弱势股东的维权遭遇法律障碍，同时，退股权制度刚刚设 立，与其他制度的关系还有待于进一步协调。因此，无论从退股权制度本身 还是从其与其他制度的协调上看，我国以后的立法都要加以完善。 本文的创新是：i 对予有限责任公司股东退股权的理论基础，笔者不仅 从法学角度加以论证，而且引入经济学理论利益相关者理论，为退股权 制度提供经济学的理论基础。2 在借鉴国外先进立法和司法实践发展的先进 经验和国内有关学者的研究基础上；提出比较现实可行的股权价格确立机制。 由于资料收集存在一定的难度，特别是国外资料，再加之本人写作能力 及知识水平的局限，对退股权某些闯题研究得还不够深入，甚至可能对某些 问题还停留在初识阶段，这些可以说是本文的弱点所在。此外，本文的研究 也未能囊括所有的有限责任公司股东退股权制度的问题和细节，这些都是将 来有待于继续研究的问题。 关键词：有限责任公司；退股权；中小股东；大股东 4 a so n eo fm o d e mc o m p
