(referred to as Party B) for the testing and commissioning, training and as built of security system of .(referred to as the owner) in accordance with the principles of related laws of the Peoples Republic of China and the municipal stipulations of Shanghai Government and on the basis of the following terms and conditions:第一款 工程概况工程名称： 杭州道富 工程地点： 杭州1. The Project 1.1 Project Name: SSB1.2 Project Location: Hang zhou第二款 工程实施内容安保系统的调试、资料、培训等事项。1. Work ScopeEquipment testing and commissioning, training and as built of Security System.第三款 施工工期本工程的施工期为本合同签订后6个月（不包括验收时间）。1. Construction PeriodThe construction period is within six months upon signature of the contract (excluding time for testing and commissioning.)第四款 调试和验收1. 乙方须根据安保系统的基本要求，完成其各项基本功能，并交由甲方验收。2. 调试结束后，乙方将完整的调试报告提交给甲方。甲方在收到乙方验收通知后一周内组织验收，验收合格后出具验收证明。1. Testing and Acceptance1.1 Party Bs shall complete the project in time and guarantee it conform to the requirements of this Contract and hand it over to Party A for testing and acceptance.1.2 After testing, Party B shall present the overall testing report to Party A who will conduct an acceptance test within one week upon receipt of Party Bs notification on Testing and acceptance. A certificate will be issued to Party B if the completed project passes the test.第五款 服务与保修1. 在工程验收合格后，本合同项下的安保系统享有一年的系统和产品性能保证，保修一年。2. 在保修期内，对于本合同项下的安保系统因系统自身或产品缺陷引发的问题由乙方负责解决。5. Service and Guarantee of Quality 5.1 A guarantee period of one year for the whole security system and equipment shall be available from the date of acceptance by Party A.5.2 Any problem caused by the security system itself or product defect shall be Party Bs responsibility to resolve. 第六款双方职责1 甲方责任1） 由甲方委派专人负责与乙方联系协调。2） 甲方应按时、保质、保量完成合同规定的工作内容，确保乙方的工作不受到影响。3） 施工前为乙方办理好必要的开工手续，包括但不限于施工现场出入证等。4） 按合同规定准时、足额支付相应款项。2 乙方责任1) 保证工程进度，配合其他施工单位施工。3) 按时、保质、保量完成合同规定的工作内容。6. Responsibilities of Parties6.1 Responsibility of Party A6.1.1 Party A appoints Mr. as representative to coordinate with Party B and conduct acceptance check with main equipment.6.1.2 Party A shall finish its work stipulated in this contract on time so as to guarantee Party Bs normal work.6.1.3 Party A shall get all necessary permits for Party B before commence date, including but not limited to field pass. Meanwhile, Party A shall help Party B to keep equipment and tools stored temporarily in Party A safe. 6.1.4 Party A shall arrange the payment according this contract on time.6.2 Responsibility of Party B6.2.1 Party B shall ensure the installation schedule and cooperate with other contractors.6.2.3 Party B shall finish its work in this contract on time and ensure the quality.第七款 付款方式 合同总金额为：人民币，伍拾玖万壹仟壹佰伍拾陆元整 （AUD 97070.00）1. 付款方式如下：双方合同签订之日起一周内甲方向乙方支付合同总金额的50%的款项，即澳大利亚元肆万捌仟伍佰叁拾伍元整（AUD 48535.00）。2. 乙方完成全部工程，甲方验收合格之日起二周内支付乙方合同总金额的50%即澳大利亚元肆万捌仟伍佰叁拾伍元整（AUD 48535.00）。7. PaymentThe total contracted sum is AUD 97070.00 7.1 Within seven days upon signature, Party A shall pay 50% of the total to Party B, that is to say, AUD 48535.007.2 Upon completion of project, Party A shall pay the rest 50% to Party B within fourteen days upon final acceptance date, that is to say,AUD 48535.00 第八款 不可抗力1. 因人力不可抗拒的事故所造成本合同无法履行时，双方互相不追究违约责任。2. 事故发生方须在两周内将有关政府主管机关的证明传真给另一方。3. 在事故消除后，双方须积极配合，共同协商，继续履行各自的责任。8. FORCE MAJEURE8.1 Neither party (affected party) shall be liable to the other for any delay in performance or failure to perform its obligations in accordance with this Agreement where such delay or failure is due to circumstances beyond its control and unknown to it at the date of this Agreement.8.2 The Party affected shall advise the other party immediately of the occurrence mentioned above and within fourteen days thereafter, fax to the other party for their acceptance a certificate of the accident issued by the Competent Government Authorities.8.3 After a force majeure event ended, the parties shall cooperate with each other to perform its obligations under this contract.第九款 罚则1. 乙方因本身原因延迟安装进度，乙方每延迟一周应支付合同总金额的千分之三作为赔款给甲方（不足一周，按一周计算）。赔款总金额最多不得超过合同总金额的百分之三。2. 如果甲方逾期付款给乙方，则除交工期另行协商外，每延迟一周（不足一周，按一周计算），甲方应支付合同总金额的千分之三的滞纳金给乙方。3. 发生下列情况之一，乙方将免除赔款责任；A. 人力不可抗拒的因素。B. 甲方未能按时付款的。C. 甲方未能按时完成本合同中甲方的工作内容，使乙方无法施工的。9. Penalties 9.1 For any delays during installation caused by its own reason, Party B shall compensate Party A 03% of the total contract sum for each week (if less than one week, it will be accounted as one week). The total compensation shall be not over 3% of the total contract sum.9.2 If Party A delays its payment to Party B, besides the extension of contract period, Party A shall compensate Party B 03% of the total contract sum for each week (if less than one week, it will be accounted as one week). The total compensation shall be not over 3% of the total contract sum.9.3 Party B will be exempted from compensation for the followings:10.3.1 FORCE MAJEURE10.3.2 Party As delay in payment10.3.3 Party As delays in the works under this contract, which causes Party B can not do its installation.第十款 其他及附件1. 本合同一式两份，双方各执一份。2. 本合同经双方代表签字，单位盖章后立即生效。3. 本合同在执行过程中发生争议，双方应本着友好态度和公平信用原则协商解决。若协商不成，当事方可向人民法院起诉。10.
