The Sale AgreementHainan Baihao Wenchang Chicken Co., Ltd. (hereinafter referred to as Party A), and Singapore Wangs Trading Company (hereinafter referred to as Party B), through friendly consultations, agree to enter into this agreement as to the sale of Hainan Baihao Wenchang chickens to Party B by Party A. Baihao Wenchang ChickenBaihao Wenchang Chicken, a local (brand of) chicken with a history of 3 hundred years, is a rare and fine breed of chicken raised by Party A in Hainan. The chicken tops the four great dishes of Hainan and has been acclaimed as “the chicken of national treasure”. The Baihao Wenchang Chicken, a choice species selected upon fine and pure breeding, is first bred outdoors for 100 days and then fattened at cages for 50 days. 1. Supply Quantity Party A shall supply to Party B 700,000 fine Baihao Wenchang chickens every year. 2. Sale Price Each Wenchang chicken is priced at 10 Singaporean dollars (equal to 50 yuan RMB)3. Specifications(1). Weight: Each Wenchang chicken weighs about 8001000 grams. (2). Packaging: Chickens are packed in iced and fresh plastic bags. 4. Conveyance Party A shall deliver by air the chickens to Singapore, while Party B shall receive the goods at a designated airport in Singapore, with the conveyance/delivery expenses borne by Party A. 5. Settlement and Terms of Payment (1). Party B shall pay a deposit of 5,000 Singaporean dollars to Party A, within 10 days when the agreement comes into effect. Party A shall refund the deposit to Party B without preconditions upon the expiration of the agreement. (2). Payment shall be settled when delivery is made, and no default of payment is permitted. 6. Responsibilities of Each Party to the Agreement 1). Responsibilities of Party A(1). Handling the production, packaging and conveyance/delivery of the goods in line with the practice of commodity circulation and the dietary habits of local markets in Singapore, and delivering goods on schedule pursuant to the time stipulated in the agreement. (2). Handling production in strict adherence to relevant laws of P.R. China governing meat food hygiene and exported food. (3). Delivering the goods at the cargo center of the airport within 3 hours after the packaging of the goods. 2). Responsibilities of Party B (1). Entrusting its representative to check and accept the goods on the site of arrival in Singapore and being liable for any duty and risk after delivery. (2). Making payment on schedule.(3). Consulting with Party A 1 months in advance should there be any increase or decrease in the supply quantity of the goods. 7. Liabilities for Breach of the Agreement (1). Party A shall handle production in strict conformity with the production process according to the quantity stipulated by Party B. Any loss in connection with quality shall be borne by Party A. (2). Party B shall check and accept the goods on schedule pursuant to the time of delivery. Any loss arising from inability to check and accept the goods on time shall be borne by Party B. (3). Party B shall make payment on time. Should payment be delayed for 6 days (calendar days), Party B shall pay to Party A 1/1000 of the payment starting from the 7th day, and Party A shall have the right to regulate the supply quantity. In case payment is delayed for 18 days, Party A shall have the right to terminate the agreement and the losses thus caused shall be borne by Party B. 8. Miscellaneous Articles (1). The agreement is made out in quadruplicate, and each party shall hold two copies of the Agreement. The agreement shall come into force beginning from the date of signature. (2). As regards matters not covered in the agreement, both parties shall handle through consultation
