酒水供应合同供方（Supplier）（以下简称甲方Party A）：需方（demander）（以下简称乙方Party B）：甲、乙双方本着平等互利，共同发展的原则，经双方友好协商，就甲方向乙方供应 _酒水_相关事宜达成如下协议：Party A and Party B agree to the following terms and conditions on Party As supply of drinks to Party B.第一条 供货品牌、规格、价格 Brand SpecificationsPrice 品牌brand规格specification价格price备注remarks第二条 定货、送货、验货与退货OrderDelivery Examine Goods Returns1、 在正常业务情况下，甲方接到乙方电话、邮件或传真定货通知后，于【 】小时/天内确认回复，并在回复收到后，保证按照乙方的订货要求的时间将乙方所定货及时送达乙方指定地址。如未按时送达而影响乙方经营，乙方有权要求赔偿。送货日期以订单上日期为准。In normal business time, after receiving Partys order by phone, email or fax, Party A shall confirm with Party A within【 】hours/days, and after receiving the reply, Party A shall ensure a timely delivery of the goods to the designated address according to Party Bs ordered time. Party B shall have the right to claim compensation if Party A fails to deliver the goods on time. The date of delivery is subject to the date of the order.2、 如临时增订非约定范围内的产品，乙方应向甲方说明情况，双方协商解决。If Party B needs temporarily to add order of products which are not specified in the preceding order, Party B shall notify Party A and the two Parties shall resolve the situation through negotiation.3、 乙方收到货物后应当场对货物品种、规格型号、数量、外包装等进行当场查验核实。On receiving the goods, Party B shall conduct on-the-spot verification the specifications, models and quantity and outer packing of the goods.4、 乙方对产品的品种、数量等认为不符合到货验收标准的，乙方有权当场拒收。乙方也可以在收到产品后【 】日内就前述问题向甲方提出书面异议，经双方核实确属甲方责任的，乙方有权退货或者要求甲方补正。 Party B shall have the right to refuse to accept the products of which the type , quantities and other standards are deemed to be inconsistent with the agreed standards. Party B may, upon receipt of the products, make a written objection to Party A in the following【 】days. And Party B shall have the right to return the goods or ask Party A to make up the issue if Party As responsibility is confirmed by both parties.5、 乙方如发现质量问题，应在发现之日起【2 】日内通知甲方并封完好样品，作为凭证以利于同厂家交涉解决。For the quality problem, Party B shall notify Party A and seal the samples within【2 】 days of the discovery, as a certificate to facilitate the negotiation with the manufacturer.6、 双方确认：经乙方授权的乙方工作人员为乙方收到货物的签收人。如果乙方收货人员发生变动，应及时以书面形式向甲方说明。甲方将产品交付给任何其他人均视为未交付，由此产生的损失均由甲方承担。Both parties confirm that Party Bs authorized staff shall receive the goods as the recipient of Party B. If Party Bs recipient (authorized staff) changes, it shall notify Party A in writing. Party As delivery of the products to any other person shall be deemed undelivered, and the losses resulting therefrom shall be borne by Party A.第三条 产品的包装、运输 Package Transportation1、 甲方负责产品的包装、运输和装卸并承担费用，确保产品完好无损地按时交付给乙方。否则，给乙方经营及管理造成影响或损失的，由甲方承担赔偿责任，乙方有权从货款中扣除。Party A shall be responsible for the packaging, transportation Loading and unloading of the products, and shall bear the expenses to ensure that the products are delivered to Party B on time and in good condition. Otherwise, Party A shall be liable for the damage or loss caused to Party B, and Party B shall have the right to deduct the damages from the payment.2、 甲方对其提供的产品应一律采用生产商的原厂包装，并根据产品特性、规格等要求按适合方式进行包装和装运，以确保产品安全完好的抵达交付地点。由于包装不当造成产品在运输过程中有任何随坏或丢失的，甲方应承担相应的责任和损失。The products provided by Party A shall be packed with the manufacturers original packaging and be packed and transported according to the product features, specifications and other requirements according in suitable way to ensure that the product is safely and intactly arrived in delivery place. Party A shall bear the corresponding responsibilities and losses due to the improper packing or transportation, which causes any product to be damaged or lost in transit3、 若甲方食品包装不合格等原因导致食品在甲方正常仓储环境下变质，乙方有权要求甲方退换变质食品，因此造成的各项费用由甲方承担；如果因此给以方造成经济损失，甲方应当全额赔偿乙方经济损失。乙方选择更换的，甲方承诺在乙方提出更换要求后【2】天内免费更换。If Party As packaging fails to meet the requirements and causes the goods to deteriorate in the normal storage environment, Party B shall have the right to request Party A to exchangeorrefund and the resulting expenses and economic losses shall be borne by Party A. If Party B chooses to replace the deteriorated goods, Party A promises to replace it within 【2】days after Party Bs request for replacement.第四条 交货地点Place of Delivery：_第五条 结算方式Payment Condition1、 结算方式原则为月结。The settlement period shall be a month.2、 每月【 】日为对账日，每个自然月【 】日前，甲方应根据上一自然月供货情况（按照已交付产品数量进行计算）向乙方提供结算申请单，经乙方确认后，甲方应当根据应付款金额向乙方开具正式发票。Every date 【 】 shall be the day for reconciliation every month. For every natural month, on date【 】, Party A shall provide Party B the settlement application form according to the actual supply of goods(the quantity shall be calculated according to the actual delivered products). After confirmed by Party B, Party A shall provide the official invoice to Party B according to the accounts payable amount,3、 每月【 25】_日为付款日，乙方在收到甲方发票后，于每月【25】日内向甲方支付，结款数额为上月对账单的全部金额。 Party B shall pay the amount of the bill to Party A every month on the date【 】 after receipt of the invoice from Party A. 甲方应当在乙方付款前的规定时间内向甲方开具与甲方应付款金额一致的增值税专用发票。发票抬头为：合同上述乙方公司。发票号码应与税务登记号码相对应。甲方不得出具假发票或用其他公司发票加盖甲方公章顶替，否则，乙方有权暂停支付货款直至甲方提供符合要求的发票时止，且乙方不承担任何逾期付款的责任。Party A shall provide Party B the VAT invoice at the time aforesaid. The invoicevalue shall be consistent with the total amount payable. The invoice payable to: the name of Party B of this contract and the invoice number should correspond to the tax registration number. Any false invoices or any other companys invoices with Party As official seal shall be rejected by Party B and Party B shall has the right to suspend payment until Party A provide the true and effective invoice. In this case Party B shall not assume any liability for late payment.4、 甲方收款账户Payment Account：户名Bank Holder：账号Bank No.：开户行Bank：第六条 甲方权利和义务Party As Rights and Responsibilities1、 甲方所供产品，必须不低于国家现行质量标准及行业相关标准，双方对质量标准有特殊约定的，依照双方所约定的标准验收。The products provided by Party A shall reach the current quality standards, the related standards of the state, and the special provisions agreed upon by both parties2、 甲方应当出具产品的合格证书、出厂检测报告、原产地证明等相关质量证明文件（如适用）（加盖甲方公章），进口产品还应当提供报关单和入境产品检验检疫证明等凭证。甲方未能提供上述资料的，乙方有权拒收。 Party A shall issue a certificate of product quality inspection report, certificate of origin site and other related documents (if need) (with the official seal of Party A) to Party B. For imported goods Party A shall also provide customs declaration and entry document of product inspection and quarantine certificate. If Party A fails to provide the above information of documents, Party B shall have the right to reject the products.3、 甲方保证其所提供各项产品的剩余保质期间不少于产品保质期的50%（自产品交付给乙方并经乙方验收合格之日起算）。Party A ensures that the remaining period of the product warranty period is no less than 50% of the product warranty period (from the date when the products are delivered to and confirmed by Party B).4、 甲方保证对其供应产品质量承担全部责任。凡因产品质量问题或者其他因甲方原因引起的一切纠纷和责任（包括与第三方的纠纷和对第三方承担的责任），均由甲方负责处理及承担；如乙方因此遭受任何损失的，甲方应全额赔偿。Party A undertakes all responsibilities for the quality of its supplied products. Any product quality problems or other disputes caused by Party A (including a dispute with a third Party and the responsibility to the third party) shall be borne by Party A; If Party B suffers any loss thereof, Party A shall compensate the losses in full.5、 甲方保证对其销售给乙方的产品享有合法和完整的所有权，产品不存在任何权属争议，亦未设定任何抵押、质押、担保或任何其他权利负担，并且不存在依法被禁止或限制销售等情况，否则，乙方有权解除本合同，届时，甲方应立即退还乙方已付的全部款项，并赔偿乙方因此遭受的一切损失。Party A ensures that Party A enjoy the legal and complete ownership of the product hereof. And there exist no ownership dispute, and also the products are not set any mortgage, pledge, guarantee, or any other encumbrances, and the products are not banned or restricted according to law, etc., otherwise, Party B shall has the right to terminate this contract, in that case Party A shall immediately refund Party B all the payment, and compensate Party B all the losses.第七条 乙方权利和义务Party Bs Rights and Responsibilities1、 乙方应按照合同约定按时支付货款.Party B shall pay the payment on time according to the contract.2、 乙方销售过程中，如出现产品质量问题，由甲方协助乙方与生产厂家联络沟通共同解决For any product quality problems occurred, Party A shall assist Party B to communicate with the manufacturer to solve the product quality problems3、 如发生任何非因乙方原因导致的退货，甲方应当应乙方要求，在接到乙方退款通知后【 】日内，将退货所涉货款退还至乙方指定账户。For any refund required which is not caused by Party B, Party A shall return the payment to Party Bs designated account within 【 】 days at the request of Party B.第八条 合同解除与违约责任Breach and Termination of Contract1、 甲方未按约定时间交付产品的，每逾期1日，甲方应按该笔订单产品总价值的1%向乙方支付违约金；逾期达10日的，乙方有权取消该笔订单，甲方应向乙方支付该笔订单产品总价值30%的违约金，并赔偿乙方因此遭受的全部损失（包括乙方因向其他供应商采购同种产品而多支出的费用，若造成乙方未及时向其他供应商采购产品的，甲方仍需赔偿乙方全部损失）。If Party A fails to deliver the product in accordance with the agreed time, Party A shall pay Party B liquidated damages of 1% of the total value of the order per day. On condition that Party A exceed the time limit for 10 days, Party B has the right to cancel this order and claim Party A liquidated damages at 30% of the total value of the order, and compensation for all loss of Party B (including Party Bs procurement costs and expenses of the same products from other supplier and furthermore Party Bs losses, if Party B cannot purchase products from other suppliers timely).2、 在甲方按照合同约定履行交货义务的前提下，乙方未按照约定支付货款的，甲方有权要求乙方支付违约金，每逾期一日，乙方应按应付未付款项的1向甲方支付违约金。Under the premise that Party A has fulfilled its obligations of delivery specified in the contract, Party B shall make payment in accordance with the contract. Otherwise Party A shall have the right to require Party B liquidated damages at 1 of the total value of the order per day.3、 如果甲方发生下列情况之一时，乙方有权单方解除合同。In one of the following situations, Party B shall have the right to cancel the contract unilaterally.（1） 甲方不能按照合同及时供货影响了乙方的正常经营。Party A cannot timely supply the goods in accordance with the contract and thus affect the normal operation of Party B.（2） 甲方提供假冒、伪劣的产品被顾客投诉，确认属实。Party A provides counterfeit and inferior products which cause customers complaints and this fact has been the confirmed by Party B.4、 双方任何一方如因单方因素，要求停止履行合同，应提前 【30】天 通知对方。否则应视为违约，应赔偿由此给对方造成的经济损失。If either party requests to terminate the performance of the contract before this contract expire due to unilateral factors, it shall notify the other party【30】 days in advance. Otherwise, it shall be deemed as a breach of contract and compensation should be liable for the economic loss caused to the other party. 第九条 争议与解决Dispute Resolution甲乙双方在本合同履行期间发生的争议，应当通过友好协商解决。协商不成的，可诉讼解决。本合同约定乙方所在地法院为诉讼管辖法院.本协议适用中华人民共和国法律。Disputes arising during the performance of this contract shall be settled through friendly negotiation. In case no settlement can be reached, the case at issue shall be submitted to the Peoples Court in the place where Party B is located. This contract shall be governed by the laws of the Peoples Republic of China.第十条 不可抗力Force Majeure双方因不可抗力，包括自然灾害、战争、政府行为、社会骚乱等情况而不能履行其合同义务，均不负违约责任。但援引不可抗力的一方需尽力避免或减小不可抗力造成的损失，并在不可抗力消除10天内以书面、邮件或传真的方式通知另一方当事人该事件的发生。Both parties shall not be liable for their contractual obligations due to force majeure, including natural disasters, war, government ACTS, social disturbances, etc. But the party quoted the force majeure should try to avoid or reduce the loss caused by force majeure, and notify the other party in written form, email or fax within 10days after the force majeure is eliminated.第十一条 本合同有效期自_
