阳光协议 Anti-Corruption Agreemrnt Driven by performance PPM Released Data Page 4 / 4 Document NO: Version: V01 阳光协议Anti-Corruption Agreement甲方：XXXXXX精密制造有限公司（及其下属的子公司）Party A:乙方：Party B:为保证协议双方在公正、公平、公开的原则下开展业务，避免腐败事件发生，有效保护双方合法利益，使双方能建立长期友好的合作关系，甲乙双方经友好协商签订本阳光协议，以便双方共同遵守。In order to make sure that both Parties perform the business relationship based on the principle of justice, fairness and openness, to prevent the damage to the legitimate rights and interests of both Parties,and to establish into a long-term cooperation,both Parties hereby reach this Anti-Corruption Agreement.1、甲、乙方承诺对各自业务人员进行经常性教育，努力提高合规、廉洁自律的意识；Both Parties promise to regularly educate their employees to improve the compliance and self-discipline consciousness.2、甲、乙双方应严格按照中国法律和双方签订的合同开展业务活动。乙方不得为谋求不当企业利益向甲方业务人员行贿。对于甲方业务人员主动索取财物的要求应予以拒绝。Both Parties shall strictly develop the business activities according to Chinese laws and the contract signed by both Parties. Party B shall not pay bribes to Party A for seeking unfair enterprise benefit and shall reject any benefit request from the employee of Party A.3、乙方保证和承诺其业务人员不得从事下列任何可能影响公平交易、正当竞争的活动:Party B undertakes and covenants that its employees will not engage in any of the following activities, which might influence the fairness of transaction and fair competition:3.1、向甲方业务人员提供财物（包括礼物、礼金、有价证劵等）或其他非正常利益。to provide the employees of Party A with any financial benefits (including gift, cash gift, negotiable securities, etc.)or any other improper benefits.3.2、为甲方业务人员的个人支付费用进行报销。To pay for the personnels expenses of the employees of Party A3.3、邀请甲方业务人员和/或其亲属参加任何宴请和/或娱乐消费活动。To invite the employees of Party A and /or his/her relatives to any fete activity and /or any entertainment activities.3.4、向甲方业务人员提供交通工具、通讯工具、家电和高档办公用品等物品；向甲方业务人员私人拥有的车辆提供免费的装饰、维修、保养的等服务。To provide the employees of Party A with any transportation,communication tools,appliances,high-grate office supplies and etc. And to provide a free decoration,repairing,maintenance and other services to privately owned vehicles of the employees of Party A.3.5、提供甲方业务人员和/或其亲属在乙方投资、参股、从乙方获取红利、红股及其他各种形式的报酬的任何机会。To provide the employees of Party A and /or his/her relatives with opportunities to make investment or participate investment in Party B, or any other opportunities which might enable the employees of Party A to get any bonuses, shares and other forms of compensation from Party B.3.6、为甲方业务人员免费建造、装饰、维修其私人住宅，也不得提供其他变相资助。To provide free construction ,decoration, repairing services for private homes of for the employees of Party A and to provide any other covert funding for the employees of Party A3.7、为甲方业务人员提供其配偶、子女及其他亲属经商办企业的便利和优惠条件，及就业和出国等提供方便。To provide convenient and preferential terms to the spouses, children and other relatives of the employees of Party A to establish and /or operate a business enterprise, as well as any convenience for their jobs and go aboard.3.8、洽谈业务、签订经济合同为借口，邀请甲方业务人员外出旅游或进入营业性高档娱乐场所。To invite the employees of Party A to travel or enjoy a commercial high-end entertainment, under an excuse of negotiating a business economic contract.3.9、对甲方的让利以回扣、酬金、奖励等名目让利给甲方业务人员.To pay the employees of Party A with any discount which should have been paid to Party A by a way of discount, commission and reward and etc.3.10、向甲方业务人员及、或其亲属提供其他有形或无形的利益。TO provide other tangible or intangible benefits to the employees of Party A and /or his /her relatives.3.11、乙方及其业务人员向甲方业务人员提供价值等值于200人民币以下的赠品和其他物品时，如果是自愿提供且不存在影响甲方工作人员在履行职责时的判断和行动的可能性，则可以不被视为对第3条规定的违反。The provisions of promotional material and other items with a value of less than 200RMB by Party B and its employees of Party A, if made voluntarily and there is no reasonable like hood of influencing the employees judgment or actions in performing their duties, will not be regard as a violation of Article 3.4、对于违反以上2-3条规定的甲方业务人员，甲方将解除其劳动合同，对触犯法律的，则追究其法律责任。If the employees of Party A violate the provisions of Article 2 to 3 above, Party A will terminate his/her labor contract, and ,in case of breach of law by the employees of Party A, will take any legal action towards this violation.5、对于乙方业务人员违反以上2-3条规定的，甲方不视其为个人违约行为，而视为乙方严重违约行为，甲方有权无条件解除与乙方签订的任何合同，并追究乙方违约责任；若乙方行为触犯法律的，甲方将追究其法律责任。If the employees of Party B violate any provisions of Article 2 to 3 above ,Party A dose not regard it as personal default behavior, but regards it as Party Bs material default behavior, and shall be entitled to terminate any signed contact with Party B without any condition and any liability and shall be entitled to require Party B to bear the following liabilities for breach of contract; if the activities of the employees of Part B is in breach of laws ,Party A will take any legal action towards this violation;5.1、对于违约涉及某个项目或单个合同的，甲方可扣除乙方项目金额或合同金额的5%作为违约金，违约金的上限最多不超过人民币3万元。 For a default involving only a single project or an individual contract, Party A can deduct 5% of the project amount or the contract value with Party B as a penalty and the upper limit is RMB30,000.5.2、对于违约涉及多个项目或多个合同的，甲方可按照乙方年度采购金额的5%扣除违约金，违约金的上限最多不超过人民币10万元。For default involving multiple projects or several contracts ,Party A can deduct 5% of the annual purchasing amount with Party B as a penalty and the upper limit is RMB 100,000.6、甲方提供以下联系方式供乙方举报甲方人员的违规行为。Party A provides the following contact information for Party B to report violations of the employees of Party A.人力资源中心 电话邮箱：A审计部 电话邮箱：总审计部 电话邮箱：7、甲乙双方要确保所有相关人员知晓本协议内容。Both Parties shall ensure that all relevant employees know the contents of this agreement.8、本协议长期有效。内容如有修改则需要双方重新签订。This agreement shall remain in force for ind
