公司章程范文 EXECUTIONVERSION 执行版本 章程 ARTICLESOFASSOCIATION 本章程(以下简称“本章程”)，订立时间为，是由根据中华人民共和国法律正式成立的公司，注册地址为，和，身份证号码为，居住地为，(以下简称“单方”或“双方”)。 THESEARTICLESOFASSOCIATIONofdatedasof,betweenapanydulyorganizedunderthelawsofPRC,havingitsregisteredaddressat,and,IdentityCardNumber,andhisresidentialaddressat,(eacha“party”andcollectivelythe“Parties”). 综述 GENERALSTATEMENT 根据合资企业法及实施条例(与未来的修顶，补充或修改统称为合资企业法)，以及其他适用的中国法律，双方一致同意根据本章程和合资经营合同设立一家有限责任的中外合资企业。 Inaordancewiththeandtheimplementingrules(withanyfutureamendments,supplementsorothermodifications,together,theJointVentureLaw),the,otherapplicableChineselawsandregulationsandfollowingfriendlynegotiations,thePartiesherebyagreetoestablishaSino-foreignequityjointventurewithlimitedliabilitiesunderthetermsandconditionssetforthhereinandintheJVC. 第一章定义 ARTICLE1DEFINITIONS 除根据本章程条款另有规定外，下列术语的定义为： ExceptasotherwiseprovidedunderthetermsoftheseAOA,thefollowingdefinedtermsshallhavethefollowingrespectivemeanings： 附属企业的含义为： Affiliate,withrespecttoanypany,shallmean a)公司的控股公司或子公司 a)anysubsidiaryorholdingpanyofthatpanyoranysubsidiaryofanysuchholdingpany; b)企业的经理或者股东 b)anyofthatpanysdirectorsorshareholders; c)股东或经理个人的近亲属，包括子女。配偶、兄弟、姐妹、父母。 c)whereanysuchdirectororshareholderisanindividual,anyofsuchdirectorsofshareholderscloserelatives,thatis,anychildren,spouse,brother,sister,orparentofanysuchdirectororshareholder; d)被股东或经理或其近亲属直接或间接控制的公司，即有人被授权管理公司或控制董事会或拥有超过的投票权的，指此人的近亲属并且公司受此人或其近亲属控制。 d)anyotherpanywhichis,ormaybe,directlyorindirectlycontrolledbyanysuchdirectororshareholderorthecloserelativesthereofofthatpany,andforthispurpose,apanyiscontrolledbyoneormorepersonsitheortheyareentitled(whetherornotconditionally)toexercisemanagementcontrolofthepanyorcontroloftheboardofdirectorsofmorethanofthevotingrightsinrespectofthespecifiedpany;andinrelationtoanyindividualperson,shallmeanthecloserelativesofsuchperson.andthepanyunderthedirectorindirectcontrolofthesuchpersonandhiscloserelatives. 为达成本章程目的，公司的关联企业不包括。 SolelyforthepurposeoftheseAOA,theAffiliateoftheCompanydoesnotinclude. 董事会指根据本章程第6章条款设立的公司董事会。 BoardshallmeantheBoardofDirectorsoftheCompanyestablishedpursuanttotheprovisionsofArticle6oftheseAOA. 分支机构指公司的注册分支机构(包括liaison办公室)。 “BranchofficeshallmeananyoftheCompanysregisteredbranchoffices(includingliaisonoffices). 工作日指中国、香港、美国的银行营业的日子，不包括周六、周日和中国、香港、美国的法定节假日。 BusinessDayshallmeananydayonwhichthebanksinChina,HongKongandUSAareopenforbusiness,excludinganySaturday,Sunday,andlegalholidaysinChina,HongKongandtheUSA. 营业执照指本合同由审批机关通过后，由登记机关出具的营业执照。 BusinessLicenseshallmeanthebusinesslicenseoftheCompanyissuedbytherelevantRegistrationAdministrationAuthorityafterthisJVCisapprovedbytheExaminationandApprovalAuthority. 商业计划指第8.2的条所示。 BusinessPlanshallhavethemeaningsetforthinSection8.2. CEO如第8.1条所示。 CEO”shallhavethemeaningsetforthinSection8.1. CFO如合同第8.1条所示。 CEO”shallhavethemeaningsetforthinSection8.1. 中国指根据本章程规定，除港澳台地区的中华人民共和国。 ChinaorthePRCshallmeanthePeoplesRepublicofChinaexcludingHongKongSAR,MacaoSARandTaiwansolelyforthepurposeoftheseAOA. 公司是指，一家由合同双方根据本合同设立的中外合资的有限责任企业， Companyshallmean，aSino-foreignequityjointventurelimitedliabilitypanytobeestablishedbythePartiespursuanttothetermsofthisJVC. 公司审计如第13.7条所示。 panyauditor”shallhavethemeaningsetforthinSection13.7. “主营业务”系指生产，科研，开发，销售(包括进口和出口)，辅助产品使用的关联和配套产品。 “panybusiness”shallmeanproduction,research,development,andsale(includingimportandexport)of,relevantconnectionsandotherancillaryproductsspecificallyfortheuseoftheotherrelatedservices. COO如第8.1条所示。 COO”shallhavethemeaningsetforthinSection8.1. “最终协议”指双方就股权收购达成一致将签署的本合同、章程、股权收购协议和其他相关协议。 DefinitiveAgreementsshallmeanthisJVC,theArticlesofAssociation,theEquityAcquisitionAgreementandotherrelevantagreementsthePartiesagreetosignasspecifiedintheEquityAcquisitionAgreement. 董事如第7.1a条所示。 DirectorshallhavethemeaningsetforthinSection6.1(a). 美元指美国的法定货币。 Dollar,”U.S.Dolla”shallmeanthelawfulcurrencyoftheUnitedStates. 生效日期指章程生效日期，即审批机关审批通过本合同和章程之日。 EffectivenessDateshallmeanthedateonwhichtheseAOAtakeseffect,whichisthedateonwhichtheExaminationandApprovalAuthorityapprovesthisJVCandtheArticlesofAssociation. 股权收购协议指在的股权收购协议。 “EquityAcquisitionAgreement”shallmeantheEquityAcquisitionAgreementdatedas 股权指合同一方在公司投入的注册资本以及所占的相应比例的股权。 equityinterestintheCompany,withrespecttoanyParty,shallmeantheRegisteredCapitalcontributionofsuchPartymadetotheCompanyandtherightsandinterestsinconnectionwithsuchcontribution;“equityshare,withrespecttoanyparty,shallmeanthepercentageofsuchPartysRegisteredCapitalcontributionintheCompanystotalamountofRegisteredCapital. 成立时间如第3.1款所示。 “EstablishmentDate”，shallhavethemeaningsetforthinSection3.1. 不可抗力如19.1所示。 EventofForceMaieureshallmeananyeventprovidedunderSection21.1 审批机关指根据合资企业法法律对本合同、公司章程及设立有审批权限的政府部门。 ExaminationandApprovalAuthorityshallmeantherelevantChinesegovernmentauthorityinchargeofexaminationandapprovalofthisJVC,theArticlesofAssociationandtheestablishmentortheCompanyoranyotherpetentgovernmentauthoritydulydelegatedpursuanttotheJointVentureLaw 公平市场价值，指公司的股权在根据第16.1条的市场价值。 FairMarketValue,withrespecttoanyPartysequityinterestintheCompany,shallmeanthemarketvalueofsuchequityinterestdeterminedpursuanttotheprovisionsofSection16.1. 合资企业法律如综述所指。 “JointVentureLawshallhavethemeaningsetforthinGeneralStatement. 合资期间如第21条所指。 .”JointVentureTermshallhavethemeaningsetforthinArticle21. 有限责任如第17.3条所指。 “limitedpartnershipshallhavethemeaningsetforthinSection17.3. 允许受让人如17.3条所指。 PermittedTransfereeshallhavethemeaningsetforthinSection17.3. 合格投资银行如16.1所指。 QualifiedInvestmentBankshallhavethemeaningsetforthinSection16.1. 合格的首次公开发行，指公司通过审批，在股票交易市场获得首次公开发行权。 QualifiedIPO:”，shallmeanafirmmitmentunderwrittenregisteredinitialpublicofferingoftheequityinterestsofthepanyonastockexchangeinthe,hecaseofastockexchangeotherthantheforgoing,theinitialpublicofferingonconditionsapprovedby. 注册资本如合同5.2(a).所示。 RegisteredCapitalshallhavethemeaningsetforthinSection5.2(a). 注册管理机关指根据合资企业法律对公司具有监管权力的工商局。 RegisteredAdministrationAuthority”shallmeananypetentChineseindustryandmerceadministrationthathavetheregistrationauthorityovertheCompanypursuanttotheJointVentureLaw 人民币指中国的法定货币。 Renminbior“RMB”shallmeanthelawfulcurrencyofChina 储备金指根据合资企业法律、合同和公司章程设立的储备金。 ReserveFundsshallmeanthereservefundswhicharesetupasrequiredbytheJointVentureLaw,thisContractandtheArticlesofAssociations. 高管如合同8.1所指。 “seniormanagement”，shallhavethemeaningsetforthinSection8.1. 简单多数指根据合同第8章董事会超过50%的人数或代理权的合法通过。 “Simplemajority”orSimplemajorityoftheboardshallmeanover50%oftheBoardmemberspresentinpersonorbyproxyatameetingofboarddulyconvenedpursuanttoArticle8. 三项基金指根据合资企业法律要求设立的储备金、企业发展基金和员工福利基金。 ThreeFundsshallmeanthereservefund,theenterprisedevelopmentfundandtheemployeebonusandwelfarefundrequiredtobeestablishedbyallSino-foreignjointventurespursuanttotheJointVentureLaw. 钢管厂指由共同拥有的企业，合法成立，注册地址在。 “TubePlant”shallmeancollectively-ownedenterprisesdulyorganisedandexistingunderthelawsofthePRCwithitsregisteredaddressatitslegalrepresentative. 总投资如合同5.1条所示。 TotalInvestmentshallhavethemeaningsetforthinSection5.1 员工指除高管外的所有公司员工。 WorkersshallmeanallemployeesoftheCompanyotherthantheSeniorManagement 第二章合同方 ARTICLE2THEPARTIES 2.1合同方本章程的合同方是指： 2.1Parties.ThePartiestotheseAOAareasfollows: 2.2政策声明公司的政策是严格遵守相关法律法规并且双方应当促使公司遵循本政策声明。 2.2PolicyStatement.ThepolicyofCompanyistostrictlyabidebyallapplicablelawsandregulationsandthePartiesshallusetheirrespectivebesteffortstocausetheCompanytostrictlyplywiththispolicy. 第三章设立合资企业 ARTICLE3ESTABLISHMENTOFJOINTVENTUREPANY 3.1公司的设立公司应当与生效日期后30日内设立并向注册机关申请营业执照。营业执照的发布之日即公司的设立之日。 3.1EstablishmentoftheCompany.TheCompanyshallpromptly,andinnoeventlaterthan(30)daysaftertheEffectivenessDate,applytopetentonRegistrationAuthorityfortheissuanceofitsBusinessLicense.ThedateofissuanceoftheBusinessLicenseshallbedeemedtheofficialestablishmentdateoftheCompany(theEstablishmentDate). 3.2公司的名字和地址 3.2NameandAddressoftheCompany (a)公司的名字为 (a)thenameofthepanywillbe (b)公司的地址为： (b)theaddressofthepanyis (c)董事会批准，公司可以根据中国法律法规在中国设立分支机构和办公室。 (c)TheCompanymay,uponapprovalbytheBoard,establishsubsidiariesorBranchOfficesinChinainaordancewithapplicableChineselawsandregulations. 3.3有限责任 3.3LimitedLiability. (a)公司为有限责任公司，合同任一方只对本合同规定的投入的注册资本金的数额承担债务和损失。合同双方根据股权比例分享利润，承担损失。 (a)TheCompanyisalimitedliabilitypany.EachPartyshallbeliableforthedebtsandlossesoftheCompanyonlytotheextentofitsshareoftheRegisteredCapitalrequiredtobecontributedtotheCompanypursuanttothetermsofthisContract.ThePartiesshallsharetheprofitsandlossesoftheCompanyproratatotheirrespectiveequityshares. (b)公司应当对善意第三方因为公司经营活动遭受的损失承担赔偿责任。 (b)TheCompanyshallindemnifyallthelosses,damagesandliabilitiesincurredbyanyinnocentPartyinanythirdpartyclaimagainstsuchotherPartyasaresultofanyoftheCompanysbusinessactivities. 3.4中国法律保护公司作为根据中国法律成立的企业法人。其经营活动和权利受中国法律的保护。 3.4ProtectionunderthePRCLaw.TheCompanywillbeanenterpriselegalpersonorganizedunderthePRClaw.AllofitslegitimatebusinessactivitiesandlegalrightsandinterestsshallbeprotectedbytheprovisionsoftherelevantPRClaws,decreesandregulations. 第四章经营范围 ARTICLE4PURPOSEANDSCOPEOFBUSINESS 4.1目的公司的目的是在中国设计、生产、营销、进出口、出卖及相关产品，加强合同方的合作，实现财务和社会回报。 4.1Purpose.Thepurposeofthepanyaretodesign,manufacture,market,importandexport,andsellworld-classwith(inclusive)andrelatedproductsinthePRCsoastoenhancetheenconomiccooperationbetweentheParties,andtorealizesatisfactoryfinancialandsocialreturnsfortheParties. 4.2经营范围公司的经营范围是在中国设计、生产、营销、进出口、出卖及相关产品，并且为生产、研发、售后服务进口原材料和机器设备、零部件。 4.2businessscopeThebusinessscopeofthepanywillbedesignandmanufacturing,manufacturing,marketing,exportandimportandsalesofandrelatedproductsthereof,theimportoftherawandancillarymaterials,machineryequipments,instrums,meters,spareandaessorypartsneededbytheCompanyforitsmanufacture,researchanddevelopment,andtheprovisionofafter-salesserviceandotherrelatedservices. 第5章总投资及注册资本 ARTICLE5TOTALINVESTMENT人NDREGISTEREDCAPITAL 5.1总投资公司的总投资是 5.1TotalAmountofInvestment.ThetotalamountofinvestmentoftheCompanyis(theTotalInvestment). 5.2注册资本 5.2RegisteredCapital. (a)公司的注册资本是 (a)TheregisteredcapitaloftheCompanyshall (b)根据公司拆分计划， (b)Aordingtocorporatesplitplan, (c)根据验资报告 (c)AordingtotheCapitalVerificationReport (d)根据资产收购协议， (d)AordingtotheEquityAcquisitonAgreement, (e)根据资产收购协议， (e)AordingtotheEquityAcquisitonAgreement, 5.3增加总投资或注册资本 董事会可以决定增加总投资或注册资本的数量和时间，合同双方应当采取必要措施，获取主管部门的审批，增加投资。只有在主管部门同意对公司章程修改的情况下，才能增加投资或注册资本。 5.3IncreasetheamountsoftheTotalInvestmentand/ortheRegisteredCapital TheBoardmaydecidebyunanimousresolutionstoincreasetheamountsoftheTotalInvestment and/ortheRegisteredCapitalandthetimeortimesatwhichanysuchincreasedRegisteredCapitalshouldbecontributed.ThePartiesshalltakeallnecessaryactionstofacilitatesuchincreaseoftheRegisteredCapitaland/oritsTotalInvestment,includingwithoutlimitation,obtainingallnecessaryPRCgovernmentapprovalsandconsentsforsuchincrease.NoincreaseintheRegisteredCanitaland/orTotalInvestmentwillbeimplementedpriortothe.approvalofandregistrationwiththepetentChinesegovernmentauthoritiesoftheappropriateamendmentstothisContractandtheArticlesofAssociation. 5.4公司借款总投资超过注册资本的部分可以算作公司借款。只有合同双方和公司同意，合同方无义务借款给公司或者担保公司向第三方借款，但是，如果合同方应公司董事会简单多数通过的要求，同意提供借款或者担保，公司应当比照第三方借款支付付利息或者其他费用。 5.4Borrowing
