程控交换机维护合约甲方：格兰富水泵(上海)有限公司广州办分公司乙方：广州市新威网络通讯设备有限公司乙方委托甲方维护程控交换机，条款如下：一、费用的计算方法1、 长期维护费用交换机集团电话主机： 中 继 端 口 ：8元/月/个 功能用户端口：8元/月/个 普通用户端口：6元/月/个 PRI专线端口：100元/月/条 多媒体会议室：1200元/年 2、客户安装多媒体会议室，包括投影机，广播系统，多媒体会议室线路。3、交换机及配套设备损坏需更换设备材料，按市场价收取成本费用。二、用户现在配置乙方为甲方安装 西门子3800 集团电话， 8条ISDN外线24对功能用户端口 48对普通用户端口1条PRI专线（100个DID号）。应付技术维护费用： (8元/月/个8个) +(8元/月/个24个)+ (6元/月/个48个)100元/月/条1条 12月1200元/年/套= ￥8,928.00 元。 结合贵司（格兰富水泵(上海)有限公司广州办分公司）是我司多年的老客户，现予以优惠为人民币：￥4,200.00元整。三、乙方责任范围 在维护合约有效期间，乙方负责对程控交换设备的正常保养，定期进行检查设备的运作，按用户要求修改系统数据，一旦交换机出现故障时，接到通知24小时内 (节假日除外) 赶到现场进行维修，使设备正常运行。1、 每月定时对设备系统进行维护、保养 （1）检查、清理主机、电路板、机柜 （2）系统线路由配线架起到分机线路保养 （3）系统程序的检测、监控2、 当甲方需要对系统内各分机(或主机)位置作调整，线路必须作小范围铺设或迁移，乙方只收取材料费外，免费为甲方进行线路调整。3、 当甲方对原系统功能需作调整(开发或删除各样功能时),乙方将免费为甲方进行程序重置、编排。4、 甲方原有设备确因机件损耗或无法修复，需要更换零配件时，乙方按成本收回零件费用外，代为顾客重新购置、安装所需设备。5、 当甲方对原有系统需要扩充或对原有系统功能使用不满意时，乙方按折旧价回收旧机，提供新机的选购、安装服务，并以优惠价格向甲方提供新设备。 6、 本协议不包括一切由意外、错误操作、外壳损坏、盗窃、火灾、水灾、 天灾 或第三者造成而导致设备之一切损坏。各因上述原因而导致设备需要进行修理，一切有关费用，包括人工、零配件及一切必须支出，概由甲方负责。四、用户责任范围1、 甲方须为设备提供并保持合适的安装环境，安装完成后，该设备或其中一部分之加装，拆除改装转移等工作，只可由本公司受权之雇员或代表处理，并必须另外收费。2、 乙方工作人员进行维护时，甲方应积极协调配合，提供必要的作环境。五、合同总价 本合约总额为人民币：肆仟贰佰元整（￥4,200.00）六、合同的延续1、 协议双方可以在协议签署开始的第一年底向另一方提出终止合同， 本协议可在中止 前60日内续签。客户须在此保养服务期满前交下期保养费，否则必须缴付额外之验机费。2、 维护合约为长期项目，一般期限至少为一年。七、付款方式： 合同签订三天内，乙方即向甲方付维护合约费用全款为人民币: ￥4,200.00元。八、维护合约日期由 2009 年 8 月 1起至 2010年 7月 31 日止九、 本合约一式两份，甲乙双方各执一份。甲 方 ： 乙 方 ：广州市新威网络通讯设备有限公司地 址 ： 地 址 ：天河北路368号都市华庭日彩轩10B电 话 ： 电 话 88575201代 表 ： 代 表 ：邓旭超经办人 ： 经办人 ：盖 章 ： 盖 章 ：日 期 ： 日 期 ：SPC Exchange Maintenance Contract Party A: Grundfos Pumps (Shanghai) Co., Ltd. Guangzhou Branch Party B: Guangzhou Sunway network communication Equipment Co., Ltd. Party A entrust Party B to maintain the SPC Exchange and the terms are hereby agreed as follows: 1. costs calculating method:(1) Long-term maintenance costs of host Group telephone exchange: Trunk ports: each 8 yuan /month Functional user port: each 8 yuan / month Common User port: each 6 yuan / month PRI Leased Line Port: each 100 yuan / month Multimedia Conference Room: 1200 RMB / year (2) The multi-media conference room system that the client installed includes the projector, broadcasting system, circuit. (3) Any materials replacement of the switch or corollary equipment will be charged at market price to cover our cost. 2. The current configuration of the client Party B will install the Siemens 3800 Group telephone for Party B, 8 ISDN external line, 24 pairs of functional user ports, 48 pairs of common user ports and 1 PRI leased line (100 DID numbers). The accrued technical maintenance charge: (8yuan / month / piece 8) of (8 yuan / month / piece 24) of (6 yuan / month / piece 48) of +100 yuan / month / piece 1 12 months + 1200 yuan/ year / set = ￥ 8,928.00 As your company (Grundfos Pumps (Shanghai) Co., Ltd. Guangzhou Branch) has cooperated with us for many years, we are now giving you a special price for: ￥ 4,200.00 RMB only. 3.The responsibility of Party B During the duration of the maintenance contract, Party B is responsible for the normal maintainance of the SPC Exchange ,check the operation of equipments regularly, amend the system data according to the requirement of the user. And once the switch fails, they should arrived on the scene to deal with it within 24 hours(holiday excepted) after receiving the notification.(1) carry out regular maintenance for equipment system every month.inspect and clean the host computer, circuit boards, cabinets maintain the system circuit from the patch panel to the extension linetest and monitor the system program(2) when Party A needs to adjust the location of the extensions(or the host), even small-scale of circuit have to be laid or relocated, and Party B should adjust it for Party A freely,but can charge for the materials. (3) when Party A needs to adjust the functions of the original system (to develop or to remove various functions), Party B should reset and reprogram the procedures for Party B freely. (4) When the existing equipments of Party A are wear-and-tear and are beyond repair, and need to be replaced, Party B should not only take back the spare parts at their costs but also repurchase and reinstall the equipments for Party B. (5) when Party A needs to expand the existing systm or is not satisfied with the functions of it, Party B should take back it at depreciation value and offer to purchase a new one for Party A at favorable price and provide installation service. (6) This Agreement does not include any damage result from accidents, operation error, casing damage, stealing, fire, flood, natural disaster or damage caused by a third party. If any repairment produced due to the above reasons,then all the relevant costs, including labor cost, cost of parts and other necessary expenses shall be responsible by the Party A. 4. the responsibility of Party A(1) Party A shall provide and maintain a suitable installation environment. After installation , only the authorized employees or representatives of the Company can deal with the retrofitting, removement and modification of the device, and this will produce additional charge . (2)During the maintenance, Party A should cooperate with the staffs sent by Party B and provide necessary environment. 5. The total contract price The contract price amounts to 4,200.00 RMB only.6. Contract extension(1) Both parties have reserved right to terminate the contract at the end of the first contracted year and the extend contract can be signed 60 days before the termination of the contract.But Party B have to pay maintenance fee for the extend contract before the expiry of maintenance warranty, otherwise Party B have to pay additional fee for the inspection machine.
