MEMORANDUM OF UNDERSTANDINGThis Memorandum of Understanding (“MOU”) is entered into on date by and between： (hereinafter referred to as Supplier),and (hereinafter referred to as Partner ),and (hereinafter referred to as Buyer). Supplier and Partner and Buyer are each hereinafter also referred to as the “Party” and, collectively, as the “Parties”.DEFINITIONSWherever used in this MOU the following terms shall have the meanings set forth below:“Affiliates” means any legal entity which, at the time of disclosure to it of any Confidential information, is directly or indirectly controlling, controlled by or under common control with any of the Parties.“关联公司”指：在向其透露任何保密信息是，直接或间接控制、被任何一方控制或被共同控制的任何法律实体“Confidential Information” means any information disclosed in any form whatsoever (including, but not limited to, disclosure made in writing, orally or in the form of samples, models, computer programs or otherwise) by the Disclosing Party to the Receiving Party under this MOU, provided that (i) if such information is disclosed by the Disclosing Party in writing, it shall be marked as confidential at the time of disclosure, (ii) if such information is disclosed by the Disclosing Party orally, it shall be identified as confidential at the time disclosure, (iii) if disclosed in any other manner, it shall be designated in writing as confidential at the time of disclosure or (iv) notwithstanding subparagraphs (i), (ii) and (iii) of this definition, the nature of such information makes it obvious that it is confidential. However, the term Confidential Information shall not include any information disclosed by the Disclosing Party to the Receiving Party which a) is on the effective date, or thereafter becomes, publicly available otherwise than through an act or negligence of the Receiving Party, b) is demonstrably developed at any time by the Receiving Party without use of Confidential Information, or c) is legitimately obtained at any time by the Receiving Party from a third party without restrictions in respect of disclosure or use.“保密信息”指根据本备忘录，有披露方向接收方以任何形式披露的（包括但不限于以书面、口头或已标本、模型、计算机程序或其他形式披露的）任何信息，如果：（i）披露方已书面方式披露该等信息，则改信息在披露时应标明其保密性；（ii）如果披露方以口头方式披露该等信息，则该信息应在被披露时确认其保密性；（iii）如果改信息以其他方式披露，则在披露该信息时应书面标明其保密性；（iv）无论上述第（i）（ii）（iii）项的定义，该信息的性质使其显然未保密。但是，“保密信息”一词不包括下列由披露方向接收方提供的信息：a）在生效日当日或其后，该信息非因接受方的行为或疏忽而成为公共信息；b）任何时候，明显是接受方未使用保密信息而开发的任何信息；c）接受方从不受披露方或使用限制的第三方合法地获得此信息。“Disclosing Party” means the Party disclosing Confidential Information to the other Party under this MOU.“披露方”指根据本备忘录而向另一方披露保密信息的一方。“Receiving Party” means the Party receiving Confidential Information from the other Party under this MOU.“接收方”指根据本备忘录从另一方接受保密信息的一方。PURPOSE OF MOU The purpose with this MOU is to confirm and summarize the initial discussions between the Parties and outline and agree upon the next steps to be taken. Parties undertake to conduct the future discussions etc. in good faith with the aim to progress and conclude the discussions as soon as possible and in accordance with agreed upon times schedule. 本备忘录的目的是确认和总结三方之间所进行的初步讨论，并规划和同意下一步所需采取的行动方案。三方均保证以诚信原则并按照三方一致同意的时间表进行进一步的讨论，以求尽快推进和结束讨论。In the event of the Parties are unable to reach mutually satisfactory agreements for any reason, any Party may terminate the discussions without liability to other Parties. CONFIDENTIAL INFORMATION保密资料4.1 From time to time prior to and during the term of this MOU any Party (“Disclosing Party”) have disclosed or may disclose to other Party (“Receiving Party”) business, marketing, technical, scientific or other information which, at the time of disclosure, is designated as confidential (or like designation), is disclosed in circumstances of confidence, or would be understood by the Parties, exercising reasonable business judgment, to be confidential (“Confidential Information”). INTELLECTUAL PROPERTY RIGHTS知识产权All intellectual property, including copyrights, patents, patent applications, trademarks and other intellectual property shall remain the property of the originating Party or its licensors. Each Party shall retain all rights, title and interest in its intellectual property and no Party grants other Parties any rights to use its intellectual property unless and until otherwise provided in a written agreement signed by the Parties.所有的知识产权，包括著作权，专利，专利申请，商标和其他知识产权应为发起方或其授权人的财产。每一方应保留所有权利，所有权和知识产权，没有一方可授予他人使用自己的知识产权，除非以书面协议，由三方签署另有规定的。7. ASSIGNABLITY OF MOU本备忘录的转让Any Party may not assign this MOU to the other Party without the written consent of other Parties.未经对方事先书面同意，任何一方不得转让本备忘录。9. PARTY RESPONSIBLE FOR ITS OWN COSTS各方承担各自费用Except as may be provided under this MOU, each Party is responsible for its own costs incurred in performing the activities contemplated by this MOU.除非本备忘录另有明确约定，任何一方应自行负担其从事本备忘录规定的活动所发生的费用。10. NO CONSEQUENTIAL DAMAGES不承担间接损失No Party is liable for any indirect, special or consequential loss or damage or any loss or damage due to loss of goodwill or loss of revenue or profit arising in connection with this MOU.任何一方对与本备忘录有关的任何间接或附带损失或损害、商誉的损失或者损害或者收入或利润的损失不承担责任。11.
