宿舍租赁协议Dormitory Lease Agreement 编号:园区宿舍(4-5F)-4 No: Dormitory in Zone (4-5F)-4 期限:12.6.26-15.6.25 Duration: 12.6.26-15.6.25甲方:宁波市鄞州布政东港针织有限公司Party A: Ningbo Yinzhou Bu Zheng Dong Gang Knitting Co., Ltd乙方:宁波海曙龙升制衣有限公司Party B: Ningbo Hai Shu Long Sheng Garments Manufacturing Co., Ltd根据中华人民共和国合同法等相关法律、法规和规定,甲、乙双方在平等、自愿、公平和诚实信用的基础上,在乙方对甲方房屋的房产证、土地证等相关资料及房屋用途和使用功能充分了解后,甲乙双方经协商一致,就乙方承租甲方可依法出租的房屋事宜,达成如下协议以便双方共同遵守:In accordance with the Contract Law of the Peoples Republic of China and other applicable laws, regulations and rules, on the basis of equality, voluntariness, fairness and good faith, with fully understanding of the property ownership certificate, land certificate and other relevant documents of party As premises and its usage and usage functions by Party B, both Party A and Party B hereby enter into the following agreement through unanimous consultation, in respect of Party Bs leasing the premises which Party A is legally entitled to lease.第一条:房屋性质、面积、功能及用途Article 1: Nature, Area, Function and Usage of the Premises1. 甲方将位于宁波市鄞州区古林镇陈横楼村嘉乐工业园区宿舍B楼内的住宿房间租给乙方用于职工住宿使用,乙方要按甲方划定的住宿范围进行住宿,如男职工宿舍、女职工宿舍、夫妻房、管理人员宿舍等。现暂租:(72) 间,所在楼层为(4)层和(5)层,含税每间价格为(/ )元;待有更多房间腾出时,甲方承诺优先租给乙方。如当月乙方承租的房间数量有所增加,则应按该月实际租赁的间数结算,但如果新增房间的实际租赁天数未满一个月的,则应按照实际租赁天数计算该房间的当月租金。标准间每间面积约为24平方。Party A leases the lodging room in the dormitory B building located at Jiale Industry Zone, Chen Heng Lou Village, Gulin Town, Yinzhou District, Ningbo City to Party B, for the use of lodging of its staffs. Party B shall arrange the lodging according to the lodging scope delimited by Party A, such as male staff dormitory, female staff dormitory, conjugal room, management personnel dormitory, etc. Now Party B leases temporarily: ( 72 ) rooms, located at ( 4TH ) and (5TH)/F (“Premises”), at the price (tax included) of ( / ) RMB per room. In case of more rooms available, Party A promises that Party B has the priority to lease them. If the number of rooms leased by Party B increases in a month, the accounts shall be settled according to the actual number of the rented rooms in such month. However, if the actual leased day of the room newly rented is less than one (1) month, the rental of such room of that month shall be paid according to the actual leased days. The area of a standard room is 24 square meters. 2. 甲方作为该房屋的所有权人与乙方建立租赁关系。甲方保证对房屋拥有合法产权,符合政府规定的规划、消防、建筑要求或标准,以及其他有关规定并已合格通过相关验收。Party A enters into this agreement as the owner of the Premises with Party B. Party A undertakes that it owns the legal property right of the Premises, complies with the planning, fire-fighting and construction requirements or standards stipulated in government regulations as well as other relevant regulations, and qualifiedly passes the relevant acceptance.第二条:租赁期限Article 2: Lease Term甲、乙双方约定,甲方将不迟于2012年6月 26 日前按照本协议第一条第一款所约定的暂租数量向乙方交付上述房屋。租赁期限为3年,即从2012年6月(26 )日起至 2015年6月( 25)日止。乙方应在租赁期限届满前叁个月提出是否续租,在同等条件情况下,乙方有优先续租权。The parties agree that Party A shall deliver the above mentioned Premises to Party B, according to the temporary lease quantity agreed in Article 1.1 of this agreement, no later than June ( 26 ), 2012. The lease term is three (3) years, commencing from June (26), 2012 to June (25), 2015 (“Lease Term”). Party B shall inform Party A whether it will continue to lease the Premises or not, three (3) months prior to the expiry of the Lease Term. Party B shall have the priority to renew the Premises under the same conditions.第三条:含税租赁费用Article 3: Lease Fees and Expenses (Tax Included)1. 标准房间:1层和7层为:¥/元/间/月;2层、5层和6层为:¥407元/间/月(第5层租36间);3层和4层为:¥462元/间/月(第4层租36间)。月租金共计为人民币31284元,年租金共计为人民币375408元。在租赁期限内每间租赁房间的租金不变。Standard room: / RMB/Room/Month+tax for 1F and 7F; 407RMB/Room/Month for 2F, 5F and 6F(36 rooms on 5th floor); 462RMB/Room/Month for 3F and 4F(36rooms on 4th floor). Monthly rental is RMB 31284 in total, Yearly rental is RMB 375408 in total. The rental for each room will not be changed during the Lease Term.2. 公共用水按每人每月3吨计算,公共用电按每人每月25度计算,公共维护维修费等日常费用按每人每月2元计算(不含税)。The common water consumption shall be counted by 3 tons per person per month, the common electricity consumption shall be counted by 25 kilowatt-hours per person per month, and daily fees such as the common maintenance and repair fees, etc. shall be counted by RMB 2 without tax per person per month.3各房间的用水用电按各房间的水电表计量来收取,水费价格为:¥5.30元/吨(不含税),电费价格为:¥1.28元/度(不含税)。若水电主管部门对水电价格进行调整,本合同水电价格按差价进行调整。乙方汇款后通知甲方,甲方应在收到上述费用后5个工作日内向乙方提供符合会计入账要求的由相关主管部门出具的账单或发票,如甲方未能按期提供上述账单或发票,则每延迟一天,按发票金额的0.5%支付违约金(房屋租赁发票到办公大楼二楼办公室领取)。The water and/or electricity consumption of each room will be paid according to the calculation of the water and/or electricity meter in each room. The price of water fees is RMB 5.3 per ton (excluding tax) and the price of electricity fees is RMB 1.28 per kilowatt-hour (excluding tax). Provided the authorities in charge of water and/or electricity make adjustments of the prices of water and/or electricity, the prices of water and/or electricity provided hereof shall be adjusted according to the difference. Party B shall notify Party A once the payment is made. Party A shall provide bills or invoices in compliance with the accounting entry requirements issued by relevant competent authorities to Party B within five (5) business days after receiving the fees mentioned above from Party B. If Party A fails to provide such bills or invoices on time, it shall pay penalty at the rate of 0.5% of the amount of the invoice for each delayed day. The invoice is collected at the 2nd floor of Party As office building.4 水电费用以及公共维修费应在次月5日之前按月支付,房屋租金每壹个月结算一次,提前7日支付下一期的租金,公共维修费的结算方式为现金支付,甲方应在收到上述款项后5个工作日内向乙方提供符合法律规定的房屋租赁发票,如甲方未能按期提供上述发票,则每延迟一天,按发票金额的0.5%支付违约金。The water and electricity fees, as well as the common repair fees shall be paid on one-month basis before the 5th day of the following month, the rental shall be paid on one-month basis and the rental of next month shall be paid seven (7) days in advance. the common repair fees is paid in cash. Party A shall provide legal rental invoices to Party B within five (5) business days after receipt of the fees mentioned above. If Party A fails to provide such invoices on time, it shall pay penalty at the rate of 0.5% of the amount of the invoice for each delayed day.5乙方逾期支付租金或水电费,应向甲方支付滞纳金,滞纳金金额为:拖欠天数乘以欠缴租金或水电费总额的0.5%/天,超过45天未交租金,甲方有权收回房屋,且不退回预付租金及水电押金,并有权向乙方采取必要的手段强行收回房屋。In case Party B fails to make the payment of the rentals or water and electricity fees on time, Party B shall pay to Party A the fine equal to 0.5% of the outstanding amount of rentals or water and electricity fees multiplying by days in delay. In case the delay continues for more than 45 days, Party A has the right to repossess the Premises without returning deposit of rentals and water and electricity fees prepaid and take necessary action to Party B to repossess the Premises forcibly. 6乙方应在支付第一期租费时,同时向甲方一次性支付相当于叁个月的房租费作为押金(押金¥10万元)。租赁期限届满或本合同提前解除时,在乙方已向甲方交清了全部应付的租金、水电费以及因本租赁行为所产生的一切费用后,按本合同规定按时向甲方交还承租的房屋,甲方同时退还乙方押金。Party B shall make a one-off payment to Party A as the deposit in the amount of three (3) month rentals simultaneously (roughly RMB 100,000)when pay the rentals of the first month. Upon the expiry of the Lease Term or early termination of this agreement, after Party B makes payment to Party A of all rentals, water and electricity fees and all expenses and fees arising out of the leasehold payable, Party A shall return the deposit to Party B simultaneously when Party B returns the Premises in time to Party A in accordance with this agreement. 7. 甲方房租汇款资料Remittance of Rentals开户名称:宁波市鄞州布政东港针织有限公司Account Name: Nibong Yinzhou Bu Zheng Dong Gang Knitting Co., Ltd开户银行及帐号:中国农业银行宁波鄞州新区支行 39417001040000379Bank and Account No.: Agricultural Bank of China Ningbo Yinzhou New Area Branch 394170010400003798甲方电费汇款资料Remittance of Electricity Fees开户名称:宁波嘉乐服饰有限公司Account Name: Ningbo Jiale Apparel Co. Ltd.开户银行及帐号:中国农业银行宁波鄞州新区支行 39417001040000296Bank and Account No.: Agricultural Bank of China Ningbo Yinzhou New Area Branch 394170010400002969甲方水费汇款资料 Remittance of Water Fees开户名称:宁波嘉业服饰有限公司Account Name: Ningbo Jiaye Apparel Co., Ltd.开户银行及帐号:中国农业银行宁波鄞州新区支行 39417001040001203Bank and Account No.: Agricultural Bank of China Ningbo Yinzhou New Area Branch 39417001040001203第四条:经营责任、财产、人身、防火安全Article 4: Management Responsibility, Property, Personal and Fire Prevention Safety1. 乙方在房屋租赁期间内,除套房可以做饭菜外,其余房间一律不得做饭菜。其住宿人员只限乙方的在职人员,其他人员不得入住。During the Lease Term, no cooking is allowed in the rooms other than suite rooms. The lodging staff is limited to the on-the-job staff of Party B, and the other person is prohibited to live.2. 乙方在租赁期间内必须严格按照国家消防、安全等法律法规,做好消防安全工作,因乙方违反相关法律法规而产生的一切责任及损失由乙方承担。Party B shall strictly comply with the national fire protection and security laws and regulations and prepare well for fire prevention. All responsibilities and losses aroused due to Party B s violation of laws shall be borne by Party B. 3. 乙方应对房间内的财产、用电安全、人身安全负责,非因甲方原因导致的失窃被盗事件、人身伤亡事件等与甲方无关。Party B shall be responsible for all property, electricity security and personal safety in the rooms. Party A shall not be responsible for any stolen events, person casualties, etc. occurred without the reason of Party A. 4. 乙方管理人员必须无条件配合甲方园区物业管理人员的日常管理工作,乙方的住宿人员必须无条件遵守甲方园区的厂纪厂规以及物业管理制度,但甲方应事先将有关管理制度书面告知乙方。Management personnel of Party B shall cooperate with the property management staff of Party A in zone for the daily management work without discount. The lodging staff of Party B shall comply with the Party As park regulation and rule, property management rules of Party As zone, but Party A shall inform Party B in writing the relevant management rules in advance. 第五条:保险责任Article 5: Insurance Liability在租赁期限内,双方各自办理财产保险,乙方负责办理其自有财产、自行添置的设备装修等的财产保险并承担费用,租赁房屋及公用设施的保险由甲方负责办理并承担费用。During the Lease Term, each party shall arrange its own property insurance. Party B shall take out property insurance for its own property, decoration and equipment added by itself and bears relevant costs while Party A shall be responsible for the insurance covering the Premises and public facilities and bears relevant costs. 第六条:装修条款Article 6: Decoration在租赁期限内如乙方需对房屋进行装修、改建,须事先向甲方提交装修、改建设计方案,并经甲方书面同意。如须向政府有关部门申报同意的,则需按相关规定进行申报。如装修、改建方案可能对公用部分及其它相邻用户影响的,甲方可对该部分方案提出异议,乙方应予以修改。改建、装修费用由乙方承担。如乙方的装修、改建方案可能对主结构造成影响的,则应经甲方及原设计单位书面同意后方能进行,不准发生一切擅自装修行为。如果改造或装修经过甲方同意,则乙方无义务在返还房屋时将租赁房屋恢复原状。During the Lease Term, in case Party B needs to decorate and/or reconstruct the Premises, the decoration and/or reconstruction plan shall be provided to Party A in advance and agreed by Party A in writing. Provided it is necessary to make application to and get approval of relevant governmental authorities, Party B shall make such application subject to applicable regulations. In case such decoration and/or reconstruction plan may affect the common part and other adjacent users, Party A may make objections to such part of the decoration and/or reconstruction plan, and Party B shall make relevant amendment. All the fees arising from decoration and/or reconstruction shall be borne by Party B. In case such decoration and/or reconstruction plan may affect the main structure of the Premises, such decoration and/or reconstruction shall not be made before agreed by Party A and the original design unit. Decoration behaviors without consent are prohibited. Provided the reconstruction or decoration was approved by Party A, Party B is not obliged to restore the Premises when it returned the Premises to Party A.第七条:维修责任Article 7: Repair Responsibility租赁期间,乙方发现该房屋主体结构及其原附属设施有损坏或故障时,应及时通知甲方修复或更换;甲方应在接到乙方通知后7日内进行维修,附属设施中的易损及易耗品(材料费)费用、马桶堵塞疏通费用由乙方承担。如甲方未能维修,乙方再次通知甲方,3天之内还未维修(特殊施工除外),或维修结果达不到正常使用标准,则乙方有权自行维修,甲方该承担的费用由甲方承担(乙方须提供发票)。乙方在承租期间进行的装修和增设的附属设施,由乙方自行维修。If Party B finds any damage or defects on the main structure and original main facilities of Premises during the Lease Term, Party B shall promptly notify Party A on the necessary repair or maintain. Party A shall make such repair within 7 days upon receiving such notice from Party B. consumable (material costs), toilet dredging cost shall be borne by Party B. If Party A fails to repair the Premises in time OR within 3 days after Party Bs further notice or the repair quality cannot reach normal use standard, Party B has the right to repair the Premises on behalf of Party A and the fee incurred by such repair shall be undertaken by Party A (Party B shall present proper invoice). For any decorations and auxiliary facilities added by Party B during the Lease Term, Party B shall be responsibility to repair and maintain at the expense of Party B.第八条:提前终止协议Article 8: Early Termination 1 未经甲方书面同意,乙方不得提前终止本协议,本合同另有约定的除外。如乙方确需提前解约,须提前三个月书面通知甲方,且履行完毕以下手续,方可提前解约:a.向甲方交回房屋;b.交清承租期的租金及其它因本协议所产生的费用,乙方应向甲方支付三个月租金的违约金;未提前三个月书面通知甲方,按违约处理,并再向甲方支付相等于三个月租金作为赔偿。Party B shall not terminate this agreement in advance without written consent of Party A unless otherwise agreed in this agreement. If early termination is necessary for Party B, Party B shall notify Party A in writing three (3) months in advance and all the following procedures shall be performed before the early termination: a. Party B shall return the Premises to Party A; b. Party B shall pay up all the rentals occurred in the term of the lease and all the other fees and expenses arising from this agreement and shall pay liquidated damages in the amount of three months rentals to Party A; in case Party B fails to notify Party A in writing three (3) months in advance, Party B shall be deemed to breach this agreement and shall pay liquidated damages in the amount of three months rentals to Party A as extra compensation.2 未经甲方同意,乙方不得私自转让本合同或将租赁房屋转租给第三方,但下列情形除外。否则,甲方有权提前终止本协议,并由乙方支付甲方三个月租金作为赔偿金。Party B shall not transfer this agreement or sublet the Premises to third parties without Party As consent unless the circumstances mentioned below. Otherwise, Party A has the right to terminate this agreement immediately and Party B shall pay a penalty in the amount of three months rentals to Party A.(1)在租赁期间, 如果乙方进行结构改组, 需要将本合同全部转让给其指定的另一法律实体, 需经甲方书面同意,否则不能转租。(1) During the Lease Term, in case that Party B needs to transfer this agreement to another entity designated by it due to restructure of itself, Party B shall get approval from Party A in writing.(2)如果乙方在租赁期间, 需要将该房屋全部或部分转租给其关联公司或关联公司下的分支机构,需经甲方书面同意。(2) During the Lease Term, in case that Party B needs to sublet all or parts of the Premises to any of its affiliated companies or any branches of such affiliated companies, Party A shall agree to such sublet and cooperate to complete relevant formalities.3 如乙方在租赁期内在承租房进行非法活动,损害甲方利益的,甲方可以随时终止合同收回房屋。乙方必须赔偿甲方由此造成的损失,且水电押金不予退回。Where there is any illegal activity made by Party B against Party As interests in the Premises during the Lease Term, Party A may terminate this agreement immediately and repossess the Premises. Party B shall compensate Party A for any losses arising thereof. 4 若因不符合政府有关租赁行为的法律法规或因政府整体规划调整,导致甲方无法继续履行本合同时,甲方应提前4个月书面通知乙方,未能提前4个月通知乙方,应向乙方支付相当于1个月租金作为赔偿金;因甲方对整体经营作统一调整要收回房屋时,甲方需提前3个月书面通知乙方,并支付给乙方3个月租金的违约金。未提前3个月书面通知甲方,按违约处理,并再向乙方支付相等于3个月租金作为赔偿。(甲、乙双方同等条件执行)Where Party A is unable to perform this agreement because the adjustment of policy from government makes the buildings illegal or not suitable for rent or confiscation and demolition by the local government makes the buildings not available for rent any more, Party A shall notify Party B in writing four (4) months in advance, if Party A fails to notify Party B in writing tfour(4) months in advance, Party A shall be deemed to breach this agreement and shall pay one (1) month rental to Party B as compensation; When Party A has to take back the premises due to its business adjustment, Party A shall notify Party B in writing three(3) months in advance and pay Party B three(3) months rental as compensation. In case Party A fails to notify Party B in writing three(3) months in advance, Party A shall be deemed to breach this agreement and shall pay liquidated damages in the amount of another three(3) months rentals to Party B as extra compensation.5 有下列情形之一的,乙方有权书面通知甲方解除本合同。甲方应向乙方按月租金的 3 倍支付违约金;如支付的违约金不足补偿乙方实际损失的,还应赔偿损失与违约金的差额部分:When one of the following situation(s) occurs, Party B has the right to terminate this agreement by notifying Party A in writing and Party A shall pay Party B a sum of 300% of the monthly rental as penalty. Where any loss incurred to Party B is not fully covered by the penalty paid, Party A shall pay the difference between the loss and the penalty.(1) 甲方交付的该房屋不能实现租赁目的的;或甲方交付的房屋存在缺陷,危及乙方安全的;The Premises delivered by Party A is not able to meet the purpose of lease, or have defects that may threaten the safety of Party B.(2) 甲方未履行本合同约定和法律规定由甲方承担的义务,严重影响乙方经营使用的.Party A fails to perform its obligation under this agreement or stipulated by the laws, so that the operation and usage of Party B is strictly undermined;(3) 甲方未按时交付该租赁房屋,经乙方催告后15日内仍未交付的;Party A fails to deliver the Premises on time and cannot deliver the Premises within 15 days after receiving the demand of performance from Party B;第九条:部分租赁房间的退回Article 9: Return of Part of the Rented Rooms如乙方因人员变动等原因需要提前退回部分租赁房间的,则乙方应提前一个月书面通知甲方,在此前提下乙方不被视为违约,且乙方所需支付的总租金应自次月起根据其实际租赁的房间数相应下调。Where Party B needs to return part of the rented rooms due to the change of its staffs, Party B shall notify Party A in writing one (1) month in advance, in which case Party B shall not be deemed as breach of this agreement, and the total rentals Party B needs to pay shall be reduced accordingly on the basis of the actual number of rented rooms from the following mont
