ofSZ Address_乙方JG国际教育集团Party BJGInternational EducationGroup地址GG省GG市GG区GG大道GG号Address_鉴于Whereas1.甲乙双方为丰富HD市SZ区教育的层次,HD市SZ区教育局与JG国际教育集团就HD市SZ区JG国际学校项目合作达成以下协议。 1.In orderto enrichthe educationlevels,Education Bureauof HZ District ofSZ andJG国际教育集团make and enter into the following agreement on the JGInternational SchoolProject in HZ District.2.乙方具备经营国际学校专业知识及丰富经验,建立和运作成熟及优质的大学前的国际学校模式,涵盖幼儿园到高中。 该公司在HK及Macao建立的加国国际学校,在区内学校中拥有领导地位。 2.Party Bis equippedwith theprofessional knowledgeand richexperience in running international school,and withinternationalschoolmodel toestablish andrun themature andsuperior pre-university,covering kindergarten to senior high school.The CanadianInternational Schoolsestablished bothin Hongkong andin Macaoby theCompany boastthe leadershipposition amongthe schools in thedistrict.3.乙方所办为国际学校采用加国阿省教育厅认证的课程结合中国中文课程,培养学生可报考全世界优质大学。 本校将致力将加国、美国、英国等先进的教育理念引进GG并在本校成立国际文化交流站,为GG乃至GG所有教师、学生做到海外留学,游学及教育交流,交换学生及加国、美国教育信息资源交流。 同时本校愿为GG教师提供国外教育理念、教育方法等培训交流,并为教师与学生提供到加国参观交流的机会。 本校可每年带加国学生到GG重点中学进行交流,推进HD市SZ区学校与加国阿学校成为姐妹学校,促进GG与加国教育文化的交流。 3.The InternationalSchool operatedby Party B adoptsthe coursesauthenticated byAlbert ProvincialMinistry ofEducation ofCanada integratedwith Chinesecourses,and thecultivated studentsmay apply for superioruniversities in the worldwide.The School will bededicated tointroducing theadvanced education philosophy ofCanada,the USA,and Britainto GG,and establishinginternational culturemunication station,which offersthe opportunitiesof overseastudy,study tourand educationmunication toall teachersand students in GGeven in GG,exchanges students and makesmunication of education informationwith Canadaand theUSA.Meanwhile,the School is willingto provide the teachersinGGwith foreigneducationphilosophy,education approachand othertraining andmunications,and providethe teachersand studentswith theopportunity tovisit andmunicate inCanada.In eachyear,the Schoolwill bring the Canadastudents tokey high schoolsinGG formunication,promote the school inHZ Districtto bethe sisterschools ofCanada AlbertSchool,and boostthe educationaland culturalmunication betweenGG andCanada.4.甲方同意将位于HD市SZ区GGG,占地面积约GGGGG平方米的教育用地提供给乙方兴建由幼儿园至高中的学校项目。 乙方拟建GGGGG平方米建筑面积的优质学校,为中国和外国护照持有学生提供非学历教育幼儿园、小学至高中级学历教育。 4.Party Aagrees to providethe education useland withan area of SZGGsquare meterslocated atthe JG,HZ Districtto Party B for the establishmentof SchoolProject rangingfrom kindergarten to senior high school.Party Bproposes tobuild asuperior schoolwith thefloor areaof SZGGGsquare meters,offering non-diploma educationto Chinesestudentsand the studentswith foreignpassport fromkindergarten,primary schoolto seniorhigh school.计划办学规模幼儿园共4个年级,每年级4个班,每班25人,每年级100名学生,共400人。 小学共6个年级,每年级4个班,每班25人,共600名学生。 初中、高中即7至12年级共6个年级,每年级4个班,每班25人,共600名学生。 由幼儿园到高中学生共1600人,教师94人,教职员工87人,以及其他管理人员(含后勤人员)共185人。 (不含校巴司机及跟车人员)Planning scale of school-running the kindergarten has4grades,each gradeconsists of4classes,each classaommodates25students,thus each grade has100students,and thekindergarten has400students intotal.The primaryschool has6grades,each gradeconsists of4classes,each classaommodates25students,and thusthe primaryschool has600students intotal.The juniorand seniorhighschool,namely,6grades fromGrade7to Grade12,eachgradeconsists of4classes,each classaommodates25students,and thereare600students intotal.There are1600studentsintotal fromkindergartentoseniorhighschool,94teachers,87faculty andstaff,and185other administrativepersonnel(including logisticpersonnel).(Excluding the school busdrivers andlevermen)5.乙方负责兴建上述学校的全部资金投入,包括学校的建筑、装修、办学设备及筹办运营学校,共约投入资金为GGG亿元。 其中基建约GGGG万元,包括基建工程、设备工程、装修工程、户外活动场地工程;办学设备共约GGGG万元;启动资金约800万元。 5.Party B shall beresponsible for all capitalinvestment forbuilding the foresaid School,including school buildings,decoration,school equipment,and makingpreparation forrunning school,approximately investingcapital ofRMB118million intotal.Of which the infrastructureis approximately RMB70million,including infrastructureengineering,equipment engineering,decoration engineering,and outdoorvenues engineering;the schoolequipment is approximatelyRMB40million;and theinitial capitalisapproximatelyRMB8million.6.产权归属上述学校由HD市SZ区教育局即甲方提供教育用地,以甲方名义建设,由乙方投资建设学校及办学。 该校的产权归属甲方即HD市SZ区教育局,乙方拥有该校GG年的使用权。 6.Property ownershipthe landof foresaidSchool isprovided foreducation useby Party A,namely the Education Bureauof HZ District,and the Schoolisbuilt in the nameof Party A,and invested,built andrun by Party B.The propertyof the School belongsto Party A,namely,theEducation Bureauof HZDistrict,and Party B owns the useright of the Schoolfor35years.7.上述学校分两期建设,第一期为X000-X1000平方米,于20GG年X月完成,并于20GG年X月X日开学。 第二期为X000-X1000平方米。 7.The foresaidSchoolwill be builtin twophases.The firstphase covers8,000to11,000square meters,which shall be pletedprior toMay20GG,and willstart schoolon September1,20GG.The secondphase covers8,000to11,000square meters.8.乙方会致力发展为一所以独特模式和优质的学校,成为HD市SZ区内及中国其它城市的领导者。 8.Party Bwillbededicated todeveloping asuperior schoolwith uniquemodel,and makingthe schoolto bethe leaderinHZDistrict and other citiesin China.为促进教育事业的发展,提高人民的教育素质,确保HD市SZ区周边中外籍适龄儿童能准时入学,并提供良好的学习环境,在平等、自愿、协商一致的基础上,甲、乙双方就下列房产的合作办学达成如下协议To promotethe developmentofeducationcause,improve theeducation qualityof people,ensure on-time admissionof agechildren withChinese andforeign nationalityfrom surroundingareaofSZ,and providea soundstudying environment,on thebasis ofequality,voluntariness andconsensus,Both Partieshereto make andenterinto the followingagreementon cooperativelyrunning schoolonthefollowing Property合作模式Cooperation Model第一条、甲方提供办学用地给乙方建设办学,前GG年(即20GG年9月至20GG年8月30日)为免收乙方一切费用(包括但不限于租金、管理费及国有资产占用费等),第26年至35年(即20GG年9月至20GG年8月)有偿使用,每年的国有资产占用费为当年学费的5%。 【Article】1.Party A shall providethe landto Party B forbuilding andrunning School.For thefirst25years,(namely fromSeptember20GG toAugust30,20GG),Party Bis freefrom anyexpenses(including butnot limitedto rental,management overhead,oupancy expense of state-owned asset,and etc.).From the26th to35th year,(namely fromSeptember20GGto August20GG),the landis for the non-gratuitous use,and the oupancy expense of state-owned assetfor eachyear aountsfor5%of tuitionfor currentyear.第二条、有偿使用期间,乙方在每月的GG日至GG日前支付上述国有资产占用费给甲方。 【Article】2.During theperiod ofnon-gratuitous use,Party B shall paytheforesaidoupancy expenseof state-owned assetto Party A priorto10th to15th ofeach month.第三条、乙方在兴建学校时须交付X00万元给甲方作为押金,一旦学校完成主体建设通过相关部门验收时,甲方须在GG个工作日内无息退还给乙方。 【Article】3.Party B shall payRMB3million to Party Aas depositwhen buildingtheSchool,and Party A shallreturn theinterest-free depositto Party B within15working daysafter theprincipal partis pletedand passesthe aeptance and checkof petentdepartment.第四条、合同期内,乙方自负盈亏,承担办学所产生的水电费及日常费用。 承担因教学所产生的责任。 【Article】4.During the Contract Term,Party Bshall takefull responsibilityfor his(her)own profitsand losses,and bearall utilitiesand currentexpenses arising out ofrunning school.And bearall responsibilityarising out of teaching.第五条、乙方必须把该物业用于开办由幼儿园至高中的国际学校,该国际学校由国内部和国际部组成,不得作其他用途。 计划办学规模由乙方根据实际进度逐步完善。 【Article】5.Party Bshall utilizethe Propertyinrunningthe InternationalSchool fromkindergartentoseniorhighschool.The InternationalSchool consistsof thedomestic departmentand theinternational department,and shall not beused forother purpose.The planningscaleof school-running willbe graduallyimproved by Party Bin lightof thepractical progress.合作期限Cooperation Term第六条、双方约定的合作期限为GG年(即20GG年X月X日至20GG年X月X日),GG年后乙方有相同条款续约的优先权。 【Article】6.Both Partieshereto agreethat thecooperation termis35years,(namely fromSeptember1,20GGto August30,20GG,)and Party Bshall have the preemptive right to renewthe Contractwith the same terms and conditionsafter35years.用地交付及物业验收Land Deliveryand PropertyAeptance andCheck第七条、甲方交付给乙方建设学校用地的产权及相关手续等须符合教育用地要求。 【Article】7.The Propertyright andrelevant formalitiesof school land deliveredto Party B by Party Ashall be in linewith therequirement ofeducation useland.第八条、乙方须按甲方同意的设计方案建设学校。 【Article】8.Party Bshall buildtheSchoolaording to the designproposal agreedby Party A.第九条、甲方须协助乙方办理兴建学校的相关手续及物业验收的相关手续如报建、规划、消防验收、合格验收等。 【Article】9.Party Ashall assistParty Bin goingthrough relevantformalities withrespect toschoolbuildingand Propertyaeptance and check,such asapplication forbuilding,planning,fire protection aeptanceand check,qualified aeptanceand check,etc.甲方的权利义务Rights andObligations of Party A第十条、为办妥学校办学许可证等牌照事宜,甲方协助办理建设手续及办学建筑物的规划审批,消防合格证,卫生合格证,建筑合格验收,环保验收等办学所需的合格验收交付乙方作为申办办学许可证的资料,并配合乙方办理办学许可证。 【Article】10.In orderto deal with the schools operatinglicense and other licensesconsummately,Party Ashall assistParty B to deal with constructionprocedures and the aeptanceandcheckcertificates foroperating aschool such as theplans ofschool buildingsfor approval,fire safetycertificate,hygiene conformance certificate,building aeptanceandcheckand environmentconformancecertificate.Then Party A turns over thesedocuments to Party B as thematerials toapplyforschool-running,and cooperateswith Party Bto dealwith the school-running license.第十一条、甲方应当按以下条件向乙方提供合作之用的办学用地【Article】.11Party Ashall provideschool landfor cooperationto Party Basthefollowingconditions.A.甲方所提供的办学场地必须在双方认可的合适的发展位置(在B.1项所指,备注对于该地址建议细化,附带用地图、规划许可等文件)。 A.The schoolland providedby Party Ashall beinthe rightposition recognizedby both parties(as stipulatedin itemB.1.Remarks bettertoprovidethe details of theaddress,with themap,planning permissionand otherdocuments.)B.甲方自签本合同后三个月内须交付办学场地给乙方使用。 B.Party Ashall turnover theschoollandto Party B withinthree monthsmencing fromsigning this Contract.第十二条、甲方有权依据本合同的约定收取国有资产占有费。 【Article】12.Party Ashall beentitled tocharge oupancyexpenseofstate-owned assetas per the Contract.第十三条、甲方有权对乙方使用该物业的情况进行监督检查,并对乙方的运作,包括每年一次财务情况进行督审。 【Article】13.Party Ashall beentitled tosupervise andcheck theconditions of the useof theproperty and the operationsofParty B,including thesupervision of the annualapproval offinancial situations.第十四条、甲方有权审核乙方对该用地的建设进度及物业的装饰、办公及教学设备的布置,对于违反安全规范、消防规范的装饰及布置有权要求进行整改,以确保该物业的安全。 【Article】14.Party Ashall beentitled toapprove theprogress ofconstruction of the landand thedecorations of the Property,arrangements of the officeand teaching facilities.For thedecorations andarrangements whichviolate the safety standards,fire standards,Party Ashall havethe rightto askfor rectificationto ensurethesafetyof the Property.第十五条、甲方有权对乙方的建设物业的品质合格及材料审批。 【Article】15.Party Ashall beentitled toapprove thequality certificationsand materialsof theproperty builtbyParty B.乙方的权利义务Rights andObligations ofParty B第十六条、乙方有权指定建筑师和其它开发人员规划和设计校园,包括以下主要特点【Article】16.Party Bshall beentitled toappoint architectsandotherdevelopers oncampus planningand design,including thefollowing mainfeatures A.在质量和外观上,符合发展项目的高标准;A.The qualityand appearanceshall bein linewith thehigh standardsof thedevelopment project;B.建造工程分阶段进行,以降低初段的投放的资金,并平衡营销目的,政府建设要求,施工效率等因素;B.The constructionis phasedto reducethe capitalin earlyphase andbalance themarketing purposes,the governments buildingrequirements,construction efficiencyandotherfactors.C.争取把国际最新技术投入教育;分布实施教学计划和规模。 C.Try tobringthelatest Internationaltechnology into theeducation;gradually implementteaching plansand scales.D.优化使用多用途的功能,以降低成本。 D.Optimize usingthe multi-usage functionsto reducecosts.乙方向甲方上报的建设方案,除非有违反相关法律法规之处,否则甲方原则上应当同意及批准。 As for the constructionplan providedtoParty A byParty B,Party Ashall agreeand approvein principle,unless otherwiseviolates relevant laws and regulations.第十七条、乙方在合同期限内有权使用该物业,使用期间,乙方应妥善保护该物业。 【Article】17.Party Bshallhavethe rightto usethis Propertywithin the Term,and properlyprotect theProperty during theTerm.第十八条、乙方负责学校建设工作及资金投入,并自行负责筹备各项办学工作,包括办学申请、办学章程与各项规章制度的制定、教职员工的聘请、办学所需的各类办公、教学设备和图书、资料等的购置。 【Article】18.Party Bshall beresponsible forschool constructionand capitalinvestment,and beresponsible for the preparationof theschool,including schoolapplications,the setof theschool rulesand regulations,the employof staffand thepurchase ofteachingfacilities,books,materials andso on.第十九条、乙方自行负责与加国教育局申请课程使用及认证。 【Article】19.Party Bshall beresponsible forapplying to the CanadianEducation Bureauforthecurriculum useand certification.第二十条、乙方必须按法律法规的规定向政府相关部门办理办学手续及缴交所需的费用,且办学过程应遵循法律、法规及教育主管部门的规章和规范。 【Article】20.Party Bshall applyto thegovernment departmenttodealwith theprocedures ofschool-running and pay schoolcosts as per the relevant laws and regulations.The process ofschool-running shallfollow the laws,regulations andthe lawsand regulationsof petentdepartment ofeducation.第二十一条、乙方须在甲方交付场地X月内开始进场建设学校,并于20GG年GG月GG日准时开学【Article】21.PartyBshall beginschool constructionin_month sinceParty Aturnsovertheschoolland.And PartyBshallopen schoolon timeat_.第二十二条、乙方保证在法律法规规定的范围内独立管理幼儿园的日常工作及进行教学活动。 学校经营过程的全部税金、费用均由乙方负责并向政府部门缴纳,甲方不承担任何费用。 乙方应当实行自主办学、独立核算,自负盈亏。 【Article22.PartyBshall ensureto managethekindergartenroutine worksand teachingactivities independentlyas pertherelevantlawsand regulations.All thetaxes andcosts risingoutofduringtheprocesses ofschool-running shall be bornebyPartyB,PartyAshall not bear anyexpenses.PartyBshall operateschool anddealwithbusiness aountingindependently andown theprofit andloss responsibilities.违约条款Breach Clause第二十三条、在合作过程中,合同满前,如甲方中途须收回该学校建筑物作为其他办学用途时,须提前3年书面通知乙方以便乙方安排学生就读,并支付乙方所投入剩余合同年限的建校成本和乙方最后一年总收入的总额。 甲方未提早通知的,还应支付造成学生或者第三方的实际损失。 如乙方办学中途单方解约,自行清算所有费用及安排学生就读,甲方不须支付任何费用给乙方并拥有该建筑物,并须提前2年书面通知甲方。 任何一方解约或其他因素须结束该学校办学,双方须共同协助妥善安排好学生就读,不得造成负面影响。 【Article】23.In theprocessof cooperation,before theexpiration ofcontract term,if PartyA wants to recovertheschoolbuildings inthe middleof theterm asother educationalpurposes,PartyAshall inform PartyBin writingthree years in advanceso thatPartyBwould beable toarrange studentsandpaythe costsof theremaining timeofthe contract andthe totalgross ineinthelast yearfor PartyB.If PartyA failsto informPartyBin advance,PartyAshall payforthe loss ofthe studentsorthethird Party.If PartyB wantsto unilateralterminate thecontract halfway,PartyBshall beresponsible forall thecosts andarrangements ofstudents independentlyand shall informPartyA twoyearsinadvance.PartyAshall payno expensestoPartyB andownsthebuilding.Either Partyterminates ormust finishtheschool-running due to otherfactors,both parties shall jointlyhelp studentswith properarrangements toavoid anynegative impact.第二十四条、乙方迟延支付国有资产占用费的,承担违约责任。 【Article】24.PartyBshall beresponsible forthe liabilityfor breachofthecontract,provided thatPartyBdelays inpayment oftheoupancyexpenseofstate-owned asset.第二十五条、任何一方违反其他约定的,支付约定一方GGGG元的违约金。 【Article】25.Either Partyviolating otheragreements shallpay penaltyof$GG to the otherparty.其他约定Other Agreements第二十六条、在校园设施上,双方在未来携手合作研究其扩充的需要,当甲方发觉设施不足时,会提交详细的财务可行性研究,双方再确定是否增加资金投放。 【Article】26.As forthe campusfacilities,both partiescould worktogether inthe futureto studythe expansionneeds.When PartyA findsinadequate facilities,PartyAwill submita detailedfinancial feasibilitystudy,then both parties willmake thedetermination whether to increasethe capitalinvestment.第二十七条、双方签订本合同的合作精神应当有利于HD市SZ区社会利益和双方商业的统一。 在此基础上,双方同意尽最大努力,以解决任何问题或可能出现的争端。 【Article】27.The spiritofcooperationwhichthe two partiessign the Contract shall be benefitto theHZDistricts societyandtheunity ofboth partiesbusiness.On thisbasis,both partiesshall beonabest effortto resolveany problemsor disputesthat mayarise.第二十八条、直至双方同意此合同中有任何更改,本合同的精神及条款将继续有效。 即使双方同意更改任何条款,都不会令其它条款及条件失效或不可执行。 【Article】28.The spiritand termsof this Contract willremain inforce,until both parties agree to make any changeinthe Contract.Even ifboth parties agreetomakeanychange ofthe terms,all othertermsandconditions willnot beinvalid orunenforceable.第二十九条、此合同适用中华人民共和国的法律,双方同意将合同争议提交GG仲裁委员会仲裁,适用该会仲裁规则。 【Article】29.This Contractshall begoverned by the lawsofthePeoples Republicof China,thetwopartiesagreeto submitthecontractdispute toGG ArbitrationCommission forarbitration,andthearbitration rulesshall applyto thedisputes hereunder.第三十条、守约方为追究违约方违约责任而支付的所有合理(包括但不限于仲裁费、律师费等)均由违约方承担。 【Article】30.The reasonablecosts(including butnot limitedtothearbitration fees,lawyer fees,etc.)paid byobservant Partyto calltotheaount ofthe default Party shall be bornebythedefaultParty.第三十一条、本合同自双方签字盖章后生效。 甲乙双方当各执壹份【Article】31.This Contractshall einto forceafter thesignature andseal ofboth parties,withthebothpartiesholding one.第三十二条、在合作期限内,若遇甲方转让该物业的部分或全部产权,甲方有义务告知该第三方有关本合同的合作事宜及全部详细情况,本合同对房产产权的继受者继续有效。 【Article】32.During theterm period,provided thatPartyAwantstotransfer someoralloftheproperty ownership,PartyAshall beobliged to inform thethird Partyon mattersrelating tothis contract and alldetails.This contractremains the force tothe suessorwho ownsthe realestate property.第三十三条、在同等受让条件下,乙方对该物业享有优先购买权。 乙方须在甲方书面通知日起10日内书面答复,否则视为乙方放弃优先购买权。 【Article】33.In theacquisition ofthe samecondition,PartyBshall enjoythepreemptiverighttobuy theproperty.PartyBshall responsein writing10days sincethe dateof writtennotice providedbyPartyA,or PartyBshallbe deemedto waivethe right.免责条件Exception Conditions第三十四条、因不可抗力原因致使本合同不能继续履行或造成的损失,甲、乙双方互不承担责任。 【Article】34.The Contractcan not be continuallyperformed orany otherloss risingout duetothe force majeureevent,bothpartiesshallnot bear anyresponsibilities.第三十五条、因国家政策需要征收、拆除、改造该物业,使甲、乙双方造成损失的,互不承担责任。 【Article】35The twopartiesshallbear noresponsibilities forthelossrisingoutof dueto imposition,dismantlement,renovation ofthePropertyas perthe nationalpolicies.第三十六条、因上述原因而终止合同的,租金按照实际使用时间计算。 【Article】36.The rentshallbecalculated
