1.2RelevantBuilding&DesignCodesandRegulationsoftheStateandoftheShanghaiMunicipalitP.1.3建设工程的相关批准文件。 1.3Theapprovaldocumentsthatarerequiredforthisconstructionproject.第二条本合同（新版）工程设计项目的名称、地点、规模、投资、内容及标准Article2.Thename,location,size,investmentsum,function,designcontentsandstandards:2.1工程项目的名称PP项目（一期）2.1Projectname:2.2工程项目的地点2.2Projectlocation:2.3工程项目的规模总建筑面积约平方米（其中地下面积约平方米），高度米。 2.3Projectsize:Thetotalfloorareais approPimatelP(ofwhichthefloorareaoftheundergroundareais),thetotalheightis.2.4工程特征及附注说明商业办公综合楼2.4Projectfeatures&remarks:AmercialcumofficebuildingpleP2.5工程项目的投资总额控制在亿元人民币以下2.5Projectinvestmentintotal:ControlledWithinmillionPuanRMB2.6工程项目的设计内容及标准红线内的建筑、结构、机电、总体设计（包括3000人防设计，不包括精装修设计、园艺设计和艺术泛光照明等专业设计），施工图设计约为70000（不包括五层到七层的SOHO区域）。 Regulationsondetailrequirementsofdesigndocumentsforconstructionproject(issuedbPMinistrPofconstructiondatedinApril,20PP).第五条设计费用及支付方法Article5.DesignfeeandthemodeofpaPment:5.1甲方应支付本合同（新版）项目的设计费为。 甲方提交上述资料及文件超过规定期限15天以内，乙方按本合同（新版）第四条规定交付设计文件时间顺延；超过规定期限15天以上时，乙方有权重新确定提交设计文件的时间。 6.1.1AordingtothecontentsstatedinArticle3ofthisContract,PartPAshallsubmitmaterialsanddocumentstoPartPBwithinthestipulatedtimeasdescribedandshallberesponsibleforthepleteness,correctnessandvaliditPofsuchmaterialsanddocuments.IntheeventthatPartPAhasdelaPedtheissuanceofsuchmaterialsanddocuments,butnotePceeding15daPsfromthestipulatedtime,PartPBcouldconsequentlPpostpohesubmittalofthedesigndocumentsasstipulatedinArticle4ofthisContract.IncasethatPartPAhasdelaPedtheissuanceofmaterialsanddocumentsformorethan15daPsePceedingthestipulatedtimelimit,PartPBshallhavetherighttodetermihenewdateforsubmittingthedesigndocuments.6.1.2甲方变更委托设计项目、规模、条件，或对提交资料作重大修改，以致造成乙方设计需返工时，双方除需另行协商签订补充合同（新版）、重新明确有关条款外，甲方应按乙方所耗工作量向乙方支付返工费。 6.1.2IfPartPAalters greatlPthedesignproject,scale,conditionswhichthePh avealreadPentrustedtoPartPB,orthematerialsprovidedbPPartPAiswrong/inpleteorPartPAmakesmajoralterationstotheapproveddesignandtheinformationgiven,asaresultofwhich,hascausedPartPBtoredothedesignwork,orhasgeneratedun-necessarPabortiveworks,bothpartiesshallenterintonegotiationandtodrawupasupplementarPcontract.PartPAshallpensatePartPBfortheadditionalworkloadinaordancetothenewagreement.6.1.3在合同（新版）履行期间，甲方单方提出解除合同（新版）的，乙方已开始设计工作的，甲方应根据乙方已进行的实际工作量支付设计费。 6.1.3ShouldPartPAterminatetheContractduringthecontractualperiod,PartPAshallpaPPartPBaordingtotheactualworkdone.6.1.4甲方在收到乙方付款通知书后30天内，按本合同（新版）第五条规定的金额和时间向乙方支付设计费用；在收到付款通知书的60天仍未支付，每逾期支付一天，应承担应支付金额千分之一的逾期违约金。 逾期超过30天以上时，乙方有权暂停履行下阶段工作，并书面通知甲方。 甲方上级对设计文件部审批或本合同（新版）项目停缓建，甲方均应支付应付的设计费。 6.1.4PartPAshallpaPthedesignfeetoPartPBwithinThirtP (30)daPsuponreceivingtheNoticeofPaPmentfromPartPAaordingtotheamountandthetimestipulatedinArticle5.IncasethatsuchpaPmentisdelaPedforSiPtP (60)daPsuponreceivingtheNoticeofPaPment,thenapenaltPof0.1%ofthedueamountofpaPmentonadailPbasisshallbepaidbPPartPA.IncasethatsuchpaPmentisdelaPedforaperiodover30daPs,PartPBshallhavetherighttosuspendtheirdesignworkforthenePtphaseandshallinformPartPAinwriting.IncasethatthemanagementofPartPAdoesnotapprovethedesigndocumentsortheconstructionoftheprojectofthisContractisstoppedor.postponed,PartPAshallneverthelesspaPtheduedesignfee.6.1.5甲方要求乙方比合同（新版）规定时间提前提交设计文件时，甲方应支付赶工费。 6.1.5IfPartPArequestsPartPBtosubmitthedesigndocumentsaheadofthestipulatedtimeasmentionedintheContract,PartPAshallmakeadditionalpaPmentforfastandimmediateservice.6.1.6为一方派往现场的工作人员提供工作方便条件。 6.1.6PartPAshallprovidesiteofficeandallrelevantofficestationarPforPartPBspersonnelwhoarebeingsenttoworksiteduringtheconstructionstage.6.1.7甲方应保护乙方的设计版权，未经乙方同意，甲方对乙方交付的设计文件不得复制或向第三方转让或用于本合同（新版）外的项目，如发生以上情况，乙方有权索赔。 6.1.7PartPAshallprotectthedesigncopPrightofPartPB.WithoutPartPBsconsent,PartPAshallnotduplicateoftransfertoathirdpartPorusethedesigndocumentsforotherprojects.Iftheabove-mentionedishappened,PartPBshallhavetherighttoclaim.6.2乙方责任6.2ResponsibilitiesofPartPB:6.2.1乙方按本合同（新版）第四条规定的内容、时间及份数向甲方交付设计文件。 6.2.1PartPBshallsubmittoPartPAtherequireddesigndocumentsinrightcontent,timeandcopiesaordingtotheclauseofArticle乙方对设计文件出现的遗漏或错误应在施工前负责修改或补充。 由于乙方设计错误造成工程质量事故损失，乙方除负责采取补救措施外，应免收损失部分的设计费，并根据损失程度向甲方偿付赔偿金，赔偿金额根据乙方与保险公司签订的设计责任保险合同（新版）计算。 6.2.2PartPBshallberesponsibleforcorrectinganPomissionormistakeintheirdesigndocumentsbeforetheconstruction.IfthedesignmistakemadebPPartPBhascausedlossestoPartPA,PartPBshallnotonlPberesponsiblefortakingtheremedialmeasures,butalsoshallremitthedesignfeeforthepartofsuchlossesandshallpaPpensationtoPartPAaordingtothedegreeofsuchloss.TheamountofthepensationshallbedeterminedbPpartPBandhisinsurancepanPandtobeinaordancetotheprofessionalindemnitPinsurancecoverage.6.2.3由于乙方自身原因，延误了按本合同（新版）第四条规定的设计文件交付时间，每延误一天，应减收该项目应收设计费的千分之一。 6.2.3IfitisPartPBsownfaulttohavedelaPedthesubmissionofthedesigndocu mentsaordingtothestipulatedtimeasdescribedinArticle4,PartPBshalldeduct0.1%ofthedueamountofthedesignfeeonadailPbasisforthedelaPperiod.6.2.4合同（新版）生效后，乙方单方提出解除合同（新版）的，乙方应当按照有关规定赔偿甲方损失。 6.2.4AftertheContractesintoforces,ifPartPBproposestoterminatetheContract,PartPBshallpensatePartPAslossesaordingtotherelevantregulations.6.2.5乙方交付设计文件后，应参加甲方及相关职能部门的设计审查会议及根据审查结论负责不超出原定计划任务书范围内的必要调整补充；负责向甲方及施工各单位进行设计交底，处理有关的设计问题和参加竣工验收。 乙方应派相关人员参加施工期间的例会。 乙方应优化设计以帮助业主将造价控制在预算内。 6.2.5Afterthedesigndocumentshasbeensubmitted,PartPBshallalsoattendtheapprovalmeetingsheldbPPartPAandtherelevantpetentauthoritiesandshallberesponsibleformakingthenecessarPadjustments,revisionsandsupplementswhichdoesnotePceedthescopeofthedocumentsofdesignrequirementsasoriginallPdefinedbasedonthementsofsuchmeetings.PartPBshallberesponsibleforePplainingdesigndetailstoPartPAandthemaincontractor;andshallberesponsibleforsolvingalltherelevantdesignproblemsandtoattendthehandingovermeeting.PartPBshallsendtherelevantpersonneltoparticipateintheregularsitemeetingssuringtheconstruction.PartPBshouldoptimizethedesigntoassistPartPAinmeetingtheprojectbudget.6.2.6乙方不得向第三方扩散、泄露、转让甲方提交的产品图纸、技术经济资料。 如发生以上情况，甲方有权向乙方索赔。 6.2.6PartPBisnotallowedtodiscloseandtransfertoathirdpartPanPproductdrawing,technicalandeconomicdataetc.whichareprovidedbPPartPA.Incasethattheabove-mentionedishappened,PartPAshallhavetherighttoclaim.6.2.7未经甲方同意乙方不得将本项目的设计工作全部或部分转包给第三者。 6.2.7PartPBisnotallowedtosubcontractthedesignworkpletelPorpartiallPtoanPthirdpartPwithoutthepermissionofPartPA.第七条其他约定Article7.Otherprovisions7.1甲方要求乙方派专人长期驻施工现场进行配合与解决有关问题时，双方应另行签订技术咨询服务合同（新版）。 7.1WhenPartPArequiresPartPBtosendsitepersonneltotheconstructionsiteforalongperiod,thetwopartiesshallnegotiatefortheseadditionalworkandsignasupplementarPserviceContract.7.2乙方为本合同（新版）项目所采用的国家或地方标准图，由甲方自费向有关出版部门购买。 7.2PartPAshallpaPforalltherelevantpublicationsandstandardcollectionsofdrawingsissuedbPthestateandlocalgovernmentwhichareneededbPPartPBforthepurposeofdesigningtheproject.7.3本合同（新版）第四条规定乙方交付的设计文件份数超过本合同（新版）第四条规定的份数，乙方另收工本费。 7.3IfPartPBisrequestedtosubmitdesigndocuments,ofwhich,thenumberofcopiesaremorethanthosestipulatedinArticle4ofthisContract,PartPAshallpaPforthoseadditionalcopies.7.4本工程项目中，建筑材料、设备的加工订货，甲方需要乙方设计人员配合时，所需费用由甲方承担。 7.4IfPartPArequiresPartPBtoprovidepersonneltoassistthemforprocurementpurposes,suchastheprocurementofbuildingmaterial,equipments,etc.;theePpensesneededshallbebornebPPartPA.7.5甲方委托乙方承担本合同（新版）内容之外的工作服务，另行支付费用。 7.5IfPartPAentrustsPartPBtoundertakethoseworkandserviceswhicharebePondthisContract,PartPAshallpaPadditionalfee.7.6由于不可抗拒因素致使合同（新版）无法履行时，双方应及时协商解决。 7.6WhenthisContractcannotbeePecutedbecauseoftheunforeseeablenaturalforces,thetwoparitiesshalltimelPnegotiatetosolvetheproblem.7.7本建设工程设计合同（新版）在履行过程中发生纠纷，双方应及时协商解决。 协商不成时，双方同意由上海市仲裁委员会仲裁。 7.7BothpartiesshalltimelPdiscusseachotherforthesettlementofanPdisputearisingduringtheePecutionofthisContract.Incasethatsuchdiscussionfails,bothpartieshaveagreedappealingtoShanghaiMunicipalArbitrationCommissioncanbeaepted.7.8甲方聘请为甲方的顾问，协助甲方进行设计管理和建筑设计咨询。 费用由甲方另行支付。 7.8PartPAhasengagedtoactasPartPAsconsultantstoassistPartPAtoprovidethemanagementanddesignconsultationservices.ThefeewillbepaidbPPartPAdirectlPandseparatelP.7.9本合同（新版）未尽事宜，双方可签订补充协议，补充协议与本合同（新版）具有同等效力。 7.9SupplementarPagreementcouldbemadebetweenthetwopartiesincasethatanPadditionalclauseshallbeadded.ThesupplementarPagreementshallhavethesameeffectandpowerasthisContract.7.10本合同（新版）一式八份，甲执四份，乙执三份，政府部门一份。 7.10ThisContractshallbemadein8copies.PartPAshallhold4copies.PartPBshallhold3copies.ThegovernmentauthoritPdepartmentshallholdonecopP.7.
