SFJVC.2第五条.合营目的在广东省广州市荔湾区海南赤岗西约458号自编冻品区A206-216铺（以下简称该项目场地），设立海鲜经销中心暨加工厂，以加强经济合作，采用先进而适用的技术和科学的经营管理方法，发展具有国际、国内市场上竞争能力的活、冻海鲜产品，使投资各方获得满意收益,并为整个社区带来利益。 该项目场地:该项目场地目前是租赁的，为期10年，可再延长租赁期，有十间店铺的面积，每层450m?总共900m?。 Article5The Purposeof JointVenture:to strengtheneconomic cooperation,and touse appropriateadvanced technologyand scientificmanagement methods,for the development ofa SeafoodDistribution Centrecum ProcessingFactory A206-216Store,Self-edit FrozenArea,No.458Hainan ChigangXiyue,Li WanDistrict,GuangzhouCity,Guangdong Province(“the ProjectSite”),for liveand frozen seafood productsfor theinternational anddomestic markets,so as to enablethe partiesto gaineconomic benefitsas wellastogenerate socialbenefits to the munitiesas awhole.The ProjectSite:The ProjectSite iscurrently beingleased for a period of10years with the priorright forrenewal.It hasan area of10shops of900m?,made upof450m?on eachfloor.第六条.项目开发范围Article6Scope of the Development:第1阶段Stage1:1.建造和装配三个制冷机组;一座不低于500立方米的深度冷冻制冷机，一座不低于100立方米的冷藏室，及一座不小于每小时2吨的快速制冷机。 To construct and fitout threerefrigeration units;a deepfreezer ofcapacity measuringat no less than500m?,a coldroom withcapacity of no less than100m?and ablast freezerof efficiencyofno lessthan2tons perhour(fast frozenability).32.翻新及装配面积不小于80平方米的冷冻海鲜批发店。 To renovateand fitout afrozenseafoodwholesaling shopon anarea ofnolessthan80m?.3.建造和装配一座面积约220平方米，能处理增值海鲜，包括加工和重新包装虾、鱼和其他海洋产品等的加工厂。 To constructand fitout aprocessing factoryon anareaof about220m?that willhave thecapacity toprocess valueadded seafood,including processingand repackagingof shrimpsand fishand othermarine productsetc.第二阶段Stage2:建造和装配面积约100平方米,每一次能容纳不低于25吨活鱼的活海鲜批发店。 To constructand fitout alive seafoodwholesale shopat areaofabout100m?with holdingcapacity ofnolessthan25metric tonsof livefish ata time.第三阶段Stage3:1.翻新和装配约200平方米的办公室。 To renovateand fitout anadministration officeon about200m?area2.翻新和装配能容纳多达15名工人的员工宿舍。 To renovateand fitour staffquarters forup to15workers.3.构建干存储室。 To constructdry storedrooms.4.所有其他相关的项目与发展。 All otherrelated itemsof developments.第七条.项目开发前期在项目开发前期，双方同意设立一间和合营公司同名，并以甲方为法定代表人的中国公司（以下简称该中国公司），以便着手以下和前期动员和开发工作4（一）以该中国公司的名义在广州市开个银行帐户。 （二）以该中国公司的名义向有关当局申请进、出口准证。 （三）向有关当局申请海鲜加工准证。 （四）向有关当局申请设立进、出口冷库准证。 （五）向有关当局申请营业牌照。 （六）进行项目开发工作。 （七）向有关当局申请，将该中国公司转换成中外合作经营企业。 Article7Pre-Development The parties heretoagreetoset upa Chinesepany,at thepre developmentstage with the samename as the SFJVC,with Party A to be namedas the legal representative(“the ChineseCompany”),in orderto undertakethe followingpre-mobilization anddevelopment:1.To apply for abank aountunder thename of the ChineseCompany;2.To applyfor animport andexport permitunder thename of the ChineseCompany;3.To applyfor aseafood processinglicense;4.To applyfor acold storagepermit forimport andexport seafood;5.To applyfor businessregistration;6.To carry out thedevelopment workof the Project;and7.To convertthe ChineseCompany to,and toapplyfor the incorporationof the SFJVC.5第八条.合营公司的期限为为永久性的。 合营公司成立日为合营公司营业执照签发之日。 经一方提议，董事会一致通过，可以在合营期满六个月前向中国商务部(或其委托的审批机构)申请延长合营期限。 Article8The tenure of the SFJVC shall be inperpetuity.The SFJVCs Board of Directorsmay decideto extendthe tenureof the SFJVC byapplying to the ChinaBusiness RegistrationDepartment(or itsrelated authorizedapproving authority)within6months fromday ofexpiry thereof.第九条.合营公司5年内投资总额为三千万美元，注册资本为第一年一百万美元,并依据合营公司的董事会当时之决定逐步增加至第五年的三千万美元。 Article9The totalinvestment capitalof the SFJVC shall be US$30million tobe investedover aperiodof5years,whereas the Registered Capital of the SFJVC shall be US$1million for the first year and be increasedgradually to US$30million by the fifthyear subject to thedecision madeby the Board of Directors of the SFJVCat thetime.第十条.甲、乙双方五年内出资具体方式Article10The partiesrespectively capital contribution 从第三年起,甲乙双方按照合营公司董事会在必要时设定的时间表,并依据上述股权变更方法,出资增加合营公司的注册资本。 Article11Schedule ofPayment by the Partiesof the Registered Capital:In thefirstyear,the Parties hereto shall pay for the US$1million Registered Capital of the SFJVC in aordance with theirrespective shareofequityinterest in the SFJVCwithin6months fromdate ofissuance of the businesslicense of the SFJVC.From the3rd yearonward,the Partiesshall paytheirrespectiveshareofcontributionof theRegisteredcapital inthe manneras mentionedabove andin aordancewith thetime scheduleas setforth by the Board of Directorsof the SFJVCasand whenit shall be necessary.第十二条.甲、乙任何一方如向本合同以外第三人转让其全部或部分出资额，须经另一方同意，另一方在同等条件下有优先购买权Article12If eitherof thePartieshereto shall decideto sellall or partof its equityinthe SFJVC toany thirdparty,the sellingparty heretoshall obtainthe priorconsent of the other party heretobefore suchsale,and shallgrant thefirst rightof refusalto the other party hereto on the liketerms for the intendedsale.8第十三条.甲方履行下列义务1.按时足额缴纳注册资本；2.办理向中国有关主管部门申请所需的批准、登记注册、领取营业执照等事宜3.负责该项目的融资；4.组织合营公司厂房和其他工程设施的设计、施工；5.协助合营公司在中国境内购置或租赁设备、材料、原料、办公用具、交通工具、通讯设施等；6.办理进口机械设备报关手续和在中国境内的运输；7.协助合营公司联系落实水、电、交通等基础设施；8.协助合营公司招聘当地的中国籍的经营管理人员、技术人员、工人和所需的其他人员；9.协助外籍工作人员办理所需的入境签证、工作许可证和旅行手续等；10.负责办理合营公司委托的其他事宜。 11.同意让乙方或其指定的人士或公司，在合营公司设立的三年内，以该项目开发成本为基础，收购或增加于合营公司的股权份额至百分之七十五。 Article13The responsibilitiesof Party A:1.To payits shareof theRegistered Capitalon atimely manner.2.To applyto relevantChinese Authoritiesfor allrequisite officialapprovals,registration andbusiness licensesunder thisjoint venture.3.To be responsible for the financingof theProject.4.To introduceand to organize all local sub-contractors andcontractors tocarry outconstruction workrelating to the scopesof civilengineering,designs,building and all otherrelated mattersfor the SFJVC for the purpose of developingthe Farm.5.To introduceto and to organizeall localsuppliers andmanufacturers forthe SFJVCsuch thatthe SFJVCwill beable toobtain suppliesand manufacturingof plants and equipment forthe Farm.96.To applyto thecustoms authoritiesand toobtain importclearance forall imported plants andequipment of the Farmand toarrange localtransportation forthe deliveryof theimported plants andequipmentto the project site.7.To introduceto and toorganizealllocalcontractors andsub-contractors forthe SFJVCsuch thatthe SFJVCwill beable toconstructand to connectall basicinfrastructure andutility servicesneeded attheprojectsite of the Farm.8.To assistthe SFJVCin recruitingChinese management personnel,technical personnel,workers and other workersneeded forthe Farm.9.To assistforeign workers and staffsof the SFJVCintheir applicationsfor entryvisas,work permitsandotherassociated localtraveling arrangements.10.To co-ordinate othergeneral necessitiesrequested bythe SFJVCfrom timeto timeduring thedevelopment periodof the SFJVC.11.To grantParty Aor itsnominee the right toacquire theshareholding inthe SFJVC,within3years of its incorporation,up to75%thereof basedon thecost of thedevelopmentof theProject.第十四条.乙方履行下列义务1.按时足额缴纳注册资本；2.办理合营公司委托在中国境外选购机械设备、材料等有关事宜；3.将机械设备等实物运至中国港口；4.提供设备安装、调试以及试生产技术人员、检验人员；5.培训合营公司的技术人员和工人；6.乙方同时是该项目的技术咨询服务的承包方；7.负责办理合营公司委托的其他事宜。 8.在15个月内提供高达一百五十万美元的融资予甲方，作该项目之用途。 Article14The responsibilitiesof Party B1.To payits shareof theRegisteredCapitalon atimely manner.2.To organizeandtoarrange supplies,purchases,delivery andrelated matters of allimportedplantsandequipmentneeded bythe Farm.3.To organizeandtoarrange alltransportation andrelated logisticsneeded forthe importationof importedplantsandequipmentfordelivery to the appropriatesea portin China.104.To providequalified technicalsupervisors,personnel andinspectors forthe installationand missioningof allplantsandequipment of theFarm.5.To providetraining to the personneland workersneeded forthe operation of theFarm.6.Party Bshall actastheconsulting andservices contractorof theProject.7.To assistthe SFJVCin othermatters relatedto theFarms developmentworks asand whenrequested bythe SFJVC.8.To advanceto Party A uptoUS$1.5million within15months hereofforthepurposeof theProject.第十五条.合营公司注册登记之日，为合营公司董事会成立之日。 Article15The date of registrationof the SFJVC tenureof the Chairperson and the DeputyChairperson shall be3years,renewable atthe discretionof theappointing party.第十七条.董事会是合营公司最高权力机构，决定合营公司一切重大事宜。 下列重大事项须由董事会全体董事100%通过方可作出决议（一）合营公司章程的修改；（二）合营公司的终止和解散；（三）合营公司注册资本的增加、转让；（四）合营公司与其他经济组织的合并11Article17The highestauthority of the SFJVCpany shall be itsBoard of Directors.The followingmatters shall require unanimousapproval of the Boardof Directors: (1)Amendments made to theArticles ofAssociation of the SFJVC; (2)The terminationand dissolutionof the SFJVC; (3)Any ChangesmadetotheRegisteredCapitalof the SFJVCand theassignment orsales of the equitystakes inthe SFJVCby anyone of the parties. (4)Merger of the SFJVCwith otherbusiness entity.第十八条.除第十七条以外的其他事项应由出席董事会会议的一半以上董事同意，方可作出决定。 出席董事会的董事不足董事会成员的三分之二时，其通过的决议无效。 Article18Save andexcept forthe mattersas statedin Article17,all othermattersof theSFJVC shall onlyrequire themajority decisionof the Boardof Directors.The quorumfor anymeeting shall be twothird of the membersof the board.第十九条.董事长是合营公司法定代表人。 董事长因故不能行其职责时，可临时授权副董事长或其他董事为代表。 Article19The Chairperson of the board isthelegalrepresentativeof theSFJVC.If theChairperson forany reasonis notable tocarryouthis duties,the DeputyChairperson orany otherdirector maybe empoweredto representtheSFJVC.第二十条.董事会会议每年至少召开二次，由董事长召集并主持会议。 董事长因故不能召集时，由董事长委托其他董事负责召开并主持董事会会议。 经三分之一以上的董事提议，董事长可召开董事会临时会议。 会议记录应归档保存。 12Article20The Boardof Directorsshall conveneat leasttwice everyyear,and meetings shall becalled bytheChairpersonof the Boardof Directors orsuch otherdirector asdirected bytheChairperson.The Chairpersonmay conveneshort noticemeeting uponhis receiptof suchrequisition fromone thirdor moreof thedirectors.All correspondingminutes ofthe boardmeetingsshall be recordedon today administrationand operationofthepany.The managementshall consistof1General Manager tobe nominated byPartyA,1Deputy General Managertobenominated byPartyB,the employmentof sameshall be decided bythe board of directors,foratenureof3years renewableif theboard of directorsshallso decide.第二十三条条.总经理的职责是执行董事会决议，组织领导公司日常经营管理工作。 副总经理协助总经理工作，当总经理不在时，代理行使总经理的职责。 合营公司的其他高级职员和部门经理由总经理聘任。 Article23The generalmanager oftheSFJVCwillberesponsible totheBoardofDirectorsoftheSJVC andto manageall daily affairs oftheSFJVC;the Deputy General Managerwill assistthe General Manager inmanaging thedailyaffairsoftheSFJVC,and be the actingGeneralManager intheabsence ofthe GeneralManager.All othermanagementpersonneland workerswillbeappointed bythe GeneralManger.13第二十四条条.若总经理或副总经理故意、疏忽或有严重过失，而损害公司利益的，经董事会决议可随时撤换。 Article24The BoardofDirectorsoftheSFJVC shall have theright to terminate theappointment ofthe GeneralManager and/ortheDeputyGeneralManagerinthe eventif eitheror bothof themshall actintentionally ornegligently causingtheSFJVCto sufferloss ordamage.第二十五条条.合营公司设监事会，成员3名，甲方委派2名，乙方委派1名，监事会主席由乙方委派，任期三年,可连派连任。 Article25The SFJVC shall havean AuditCommittee consistsof3members,of whomPartyAshall nominate2persons andPartyBshall nominateone person.One ofthe membersnominatedbyPartyAshallbemadetheChairpersonofthe AuditCommittee.Members ofthe AuditCommittee shallbe formallyappointedbytheBoardofDirectorsoftheSFJVC fora minimumterm of3years.第二十六条条.合营公司职工的招收、招聘、辞退、工资、劳动保险、残疾人基金、防洪基金、生活福利和奖惩等事项，一律按照中华人民共和国劳动法及相关劳动法规及其实施办法，经董事会研究制定方案，由合营公司与合营公司的工会组织或个人订立劳动合同加以规定。 劳动合同订立后，报当地劳动管理部门备案。 Article26All mattersoftheSFJVC concerningrecruitment,dismissal,wages,workersinsurance,Disabled Fund,Flood ControlFund,welfare ofworkersandrewards andpenalties shallbe implementedin aordancewith theRegulations ofthe Peoples Republicof Chinaon LaborManagement andits ImplementingRules,and thepolicies thereofformulated bytheBoardofDirectorsoftheSFJVC,and incorporatedinto theemployment contracts.第二十七条条.合营公司按照中国法律法规纳税。 14Article27The SFJVC shallpay all taxesin aordancewith theChinas taxationlaw andregulations.第二十八条条.合营公司职工依中国税法缴纳税。 Article28The staffsand workersoftheSFJVCshallpayalltaxes aordancewiththeine taxlaw of China.第二十九条条.合营公司按照中华人民共和国中外合资经营企业法的规定提取储备基金、企业发展基金及职工福利奖励基金，每年提取的比例由董事会根据公司经营情况讨论决定。 Article29The SFJVCshall makeprovision inReserved Fund,Expansion Fundand EmployeesWelfare Fundin aordancewiththe provisions ofthe SinoForeignJointVenture Lawof China,the quantumof whichshallbedecided bytheboardof directorsoftheSFJVC aording totheprevailing financialcapacity oftheSFJVCfrom timeto time.第三十条.合营公司的会计年度从公历每年1月_1_日起至_12_月_31_日止，一切记账凭证、单据、报表、账簿，用中文书写，也可同时用英文写。 Article30The fiscal year oftheSFJVCshallbefrom1st Januaryoftheyear to31st Decemberofthe same year.All theaounting vouchers,aounting booksand recordsshallbewritten inChinese andin English.第三十一条条.合营企业的财务审计聘请中国注册会计师审查、稽核，并将结果报告董事会和总经理。 Article31The SFJVCshall engagea Chineseauditor forauditing ofaounts,and suchaudited aountsshallbesubmitted totheboardofdirectorsand theGeneralManager.第三十二条条.每一营业年度初始三个月，由总经理组织编制上一年度的资产负债表、损益表和利润分配方案，提交董事会审查通过。 15Article32The GeneralManager oftheSFJVCshall submitthe annualfinancial reportforthepreceding fiscalyear toitsBoardofDirectorswithin firstthree monthsof eachfiscalyear.第三十三条条.合营公司的各项保险由合营公司董事会讨论决定。 Article33All theinsurance coverageoftheSFJVCshallbedecidedbytheboardofdirectors.第三十四条条.合营期满或提前终止合营，合营公司应依法进行清算，清算后的财产，根据甲乙各方投资比例进行分配。 Article34Upon expirationor earlytermination oftheSFJVC,theSFJVCshallbeliquidated
