Payment Adjustment 价格调整3.1 Total Moisture: If the actual TM (total moisture) as determined by testing agent at Discharge Port is in excess of 28% (ARB), then the following penalty on price will be applied, above30% is rejected.总含水量 ：以卖方装货港口检测报告为依据，如果水份含量超过28%，则按以下的公式计算罚金，如果水份超过30%，则买方有权拒收。Adjusted weightB/L weight1（Actual Total Moisture 28%) 调整后的重量等=船运提单重量1（实际全水份 28%) 3.2Sulphur: In the event sulphur percentage exceeds 1% on air dried basis as determined by testing agent at Discharge Port, the Price shall be reduced by US$0.20 per metric tons for each 0.1% up to a maximum of 1%. The Buyer shall have the right to reject if sulphur percentage is above 1.2 % 硫：以卖方装货港口检测报告为依据，如果硫含量超过1%的，每超过0.1%含量, 单价相应减USD$0.2/MT，以超过1%为上限，如果含硫量超过1.2%买方有权拒收。3.3 Ash: In the event Ash percentage exceeds 12% on air dried basis as determined by testing agent at Discharge Port, the Price shall be reduced by US$0.20 per metric tons for each 1% up to a maximum of 15%. The Buyer shall have the right to reject if ash percentage is above 15%.灰份：以卖方装货港口检测报告为依据，如果灰份含量超过12%的，每超过1%含量单价相应减USD$0.2/MT，以超过15%为上限，如果超过15%买方有权拒收。3.4 Calorie：heat at the port of loading by the CCIC inspection, dry-state based on （GCV）ADB 5800 kcal(NCV ARB 4800), for each additional 100 kcal / kg, additional 0.5 U.S dollars per ton pro-rata, less than ADB 5600kcal/kg), the buyer the right to refuse.大卡：发热量在装货港由CCIC检验，空干基高位发热量5800大卡(NCV ARB 4800)为基准，每增减100 kcal/kg，每吨增减0.5美元，小于空干基高位发热量5600kcal/kg），买方有权拒收。4 Sampling, Analysis and Weighting采样、分析和称重An independent ISO accredited survey company shall be appointed for purposes of conducting quality and quantity analysis and testing. Charges for said analysis and testing at the Load Port shall be for Sellers account whilst all charges incurred at Discharge Port shall be for Buyers account. In the event of claims in relation to the quality of the Coal, the results from testing the sealed umpire sample, which shall be retained for thirty (30) days at Load Port, shall be conclusive.分析和测试：为了确保公正，数量和质量的检测应指定具有先进水平的独立检测机构进行。以上在装货港的分析和检测的费用由卖家承担，在目的港口的分析和检测费用则由买家承担。基于证据的目的，检测样品应该在提单日期后在装货港口保存一个月.5. Seller shall appoint an independent ISO accredited Survey Company as testing agents for the purposes of issuance of Certification of Quality and Weight at Load Port and Buyer may appoint an independent ISO accredited Survey Company as testing agents for the purposes of issuance of Certification of Quality and Weight at Discharge Port. 卖方在装运港将委托相应的独立机构检测品质, 数量和重量。在卸货港,买方也有权将委托一个检验机构来检测品质、数量和重量。 5.1 All costs incurred at the Loading Port shall be for the Sellers account and all costs incurred at the Discharge Port shall be for the Buyers account. Such costs shall include but not limited to taxes, demurrage/dispatch, loading/discharging expenses and import/export duties, where applicable. 所有在装货港发生的费用由卖方负责,在卸货港发生的费用由买方负责,这些费用将包括，但不限于税收、滞期/速遣费、装货或者卸货费和进口或者出口税在各自的当地方负责.5.2 The Buyer shall appoint a cargo agent at Discharge Port who will be responsible for customs clearance, including and not limited to securing government import permits or government permission to import the goods into the country of Discharge Port, and the appointment of testing agents for the purposes of issuance of Certificate of Quality and Weight at Discharge Port. The nominated cargo agent shall send the original Certificate of Quality and Weight to the Seller and a copy to the Buyer. Certificate issued at Discharge Port shall be used for price adjustment and invoice. Cargo agents fee at Discharge Port shall be for Buyers account.买方须指定一个代理在目的港负责办理清关手续，包括但不限于确保政府进口许可至目的港。代理须收到货物检验的品质报告和数量报告的正本后把正本交给卖方,副本交给买方。,在卸货港进行的检测报告将用于调整货物价格和卖方开出最终结算发票的依据,在卸货港发生的费用由买方支付5.3Buyer shall reserve the right at his own cost to observe during sampling, analysis and weighing at loading port. 买方有权自担费用在发运港口监督取样、分析和称重。6. Quantity & Price:The Seller shall sell and Buyer shall buy Indonesia Steam Coal as follows:合同的标的物为印度尼西亚动力用煤。6.1Quantity:100,000/MT per month +/-5%, the contract period of 12 months. Total 1,200,000/MT. 50.000 MT/shipment数量：每月10万吨5%，合同期为12个月。總計120万吨5% 50.000 MT/Shipment6.2 Unit Price 价格: CIF north Port China: USD82.00/MT. CIF 82.00美元/公吨，中国南方港口Total amount：USD4,100,000.00/shipment x 2 shipment 5%.總計：肆佰壹拾萬美元正 USD4,100,000.00/shipment。6.3 Adjustment to Unit Price调整单价Prices are to be adjusted every three months and should have the consent from both parties concerned.每三个月调整一次价格, 并且获得双方的同意。. 6.4 Payment Procedures:付款程序6.4.1 Seller shall through a prime bank, issue an non-operative 2% Performance Bond of the contract value for the first trial of 50,000MT to buyer, in favor of buyer upon receipt of signed final contract within 5 banking days. The Performance Bond shall keep active, valid and irrevocable and shall be void and null upon Bill of lading date and others shipping document is presented to buyer bank. Once buyers bank receives the non-operative Performance Bond, within 5 banking days buyer shall open an 100% irrevocable,non-transferable at sight Documentary letter of credit for an amount in US Dollar sufficient to cover 100% of the shipment value through a prime bank that is acceptable to the seller with all terms in conformity with this contract. 卖方需在合同签订后5个银行工作日内开具以买方为受益人的非生效的履约保函，金额为货物总值的2%。履约保函必须始终有效直至提单等运输檔提交给买方的银行。买方应在收到卖方的非生效履约保函后5个工作日内按照此确认的合同条款通过卖方可接受的银行给卖方开出不可撤销不可转让的即期信用证。开证金额为装船货物的总值。6.5 Documents for 95% payment 支付95%货款议付文件:a) 3/3 set of original “Clean on Board” ocean Bill of Loading issued to order, blank endorsed, submitted to the bank.3份正本3份副本空白背书洁净海运提单。b)Certificate of Quality in one original and four copies issued by CCIC at loading port.装货港CCIC提供的1正本4副本的品质证书。c) Certificate of Weight in one original and four copies issued by CCIC at loading port.装货港CCIC提供的1正本4副本的重量证书。d) Certificate of Origin in one original and three copies issued by local chamber of commerce in Indonesia or SKAP in one original and three copies 印尼商会或SKAP发出的1份正本和3份副本的原产地证书。e) One copy of facsimile or email advising shipment by the seller.由卖方传真或邮件发出的装船通知复印件。6.6The Buyer or Buyers appointed cargo agent shall provide copies of the following to issuing bank and originals to the Seller within 12 working days after completion of discharging of the cargo for the remaining 5% of the purchase price to settle:买方或代理应在卸货完毕后的12个工作日内通过传真方式向开证行和卖方提交以下文件支付其余5%货款:(1) Certificate of Quality in One original Two Photocopies issued by CIQ at discharging port.卸货港CIQ提供的品质证明正本一份副本二份。(2) Certificate of Weight in One original Two Photocopies issued by CIQ at discharging port.卸货港CIQ提供的重量证明正本一份副本二份。6.7 Should the buyer within 12 working days of discharge fail to provide documents as prescribed in paragraph (6.6), the buyer have to wire transfer the remaining 5% of purchase price based on loading port documents, to the seller by the 14th day from the date of discharge of the cargo.如果买方在卸货2天内不能提供6.6 的（1）和（2）文件，买方必须在卸货的第14个工作日内按装货港的议付文件电汇剩余的5%给卖方。7.Loading Port and Discharge Port: 装货港和卸货港7.1Loading Port：Banjarmasin Open Sea, South Kalimantan of Indonesia.装货港: 印尼東加里曼丹馬辰港海上定點.7.2 Discharge Destination Port: lianyun Port, China卸货港: 中国连云港8.Shipment/Delivery Terms 船运条款:8.1 The receiving port must be capable of unloading: 12,000MT per day PWWD SHINC卸货港必须保证每日不低于12000吨的卸货率.周日和节假日包括在内8.2 Suspension bar. Can lift 50,000 MT.船舶规范: 卖方将租用50,000吨的船.8.3 Lay time: Lay time shall be 36 hours+ SHINC (Lay time for a 50,000MT ship，Note: Lay time will be adjusted according to the tonnage) to commence 12 hours after NOR (Notice of Readiness) or when vessel has berthed, whichever is earlier. Buyer shall make allowance to be charged to Buyers account by invoicing for any demurrage incurred and shall within 24 hours of incurring said demurrage be notified the Buyer via facsimile/E-mail. 卸货时间: 卸货时间是36小时从( 卸率是以50000吨船为准,注:卸率将按实际吨位调整) 签发准备就绪通知书或抵达泊位加12小时开始计算, 以先开始的时间为准, 买方支付在卸货港口的任何延误将被处罚滞期费用,并在24小时内通过传真或邮件通知卖方。8.4Load and deliver the cargo within 35 working days of receipt of L/C.收到信用证35个工作日内发运。9. Insurance保险9.1Buyer is responsible for the insurance of cargo after goods are loaded on MOTHER VESSEL. Insurance policy covering all risks and war risk for 110% of contract value.买方负责投保,从大船装货完成起, 按货物价值的110%投保一切险和战争险.9.2Loading information will be given to the Buyer twelve (12) days before scheduled loading date. 卖方将在装运前12天给买方发出装运通知.10. Demurrage/Dispatch Claim shall be as per governing charter party.滞期和速遣费将依据船舶合约约定的最高值执行。Demurrage/Dispatch Claim is to be finalised on basis statement signed by the ships master and/or chief officer. The buyer is responsible to obtain such signed statement and send to the seller by DHL courier service within 10 days after completion of discharging of the cargo. If the Buyer fails to send statement to the seller within 10 days as per above demurrage/dispatch claim, the buyer shall be bound by this statement to pay the demurrage cost.滞期和速遣费将依据船东或船长签发的装卸时间事实记录（经收货人确定的）来判定，买方有义务在完成卸货后10天内将此事实记录通过DHL发给卖方，如果买方在10天内没有发送文件，卖方将直接联系船东获取装卸时间事实记录判定滞期和速遣，买方应当受该事实记录的约束。10.1 The Buyer or his agent at destination port shall obtain the discharging record with the signature of vessel owner or his representative from the relevant parties at the place of discharge for computation of demurrage/dispatch Claim.买方或代理在卸货港将拿到船东或他们的代理签发的卸货信息资料，这是判定滞期和速遣的依据。10.2 Demurrage and dispatch Claim to be settled within ten (10) days after claim statement date. Buyer will dispatch following documents to Seller for demurrage/dispatch settlement: NOR, time sheet, and statement duly signed shipmaster and vessel agent at discharge port.发生的滞期费和速遣费应在买方取得卸货资料后的10天内解决。买方须提供准备就绪通知书、装卸时间表、装卸事实记录等由船长或船代签发的文件给卖方，以便核算和解决滞期费和速遣费。11. Force Majeure: 不可抗力In the event a partys performance of their obligations under this Contract is affected by a force majeure event which causes a delay or disruption in the performance of any obligations imposed hereunder, neither party shall be responsible for its non-performance thereof. Subject to the foregoing and a force majeure event shall include:(1) Natural Disasters;(2) Wars, strikes, boycott, riots or the like; (3) Accidents or stoppages, mechanical or electrical breakdowns, whether total or partial at mines, ports, railways, roadways, waterways, ropeways or other means of transport; (4) Unavailability, obstruction or blockage of the loading or discharging port; (5) Any unforeseen increase in costs and/or other adverse economic consequences which may adversely affect the Sellers ability to continue to supply Coal to the Buyers; and(6) Any event of force majeure declared between Sellers and the coal producer，Any party affected by Force Majeure shall inform the other party immediately by telegram, telex or fax and shall provide details of such Force Majeure and valid evidence documents within seven (7) days to support its non-performance, partial performance or delay performance of the Contract由于签约双方在签约时不能预见、不能避免并不能克服的事件造成的不能交货或迟延，双方可以免责。不可抗力包括但不限于：（1）自然灾害（2）战争、罢工、暴乱等社会事件; (3)任何的全部或部分发生在矿场，港口，火车轨，马路，架 空索道或其他交通工具的意外或障碍，器械或电子故障，(4) 没有可用的，被堵塞或阻塞的装货港或卸货港，(5) 任何不可预见对卖家继续供应煤于买家造成负面影 响的成本突涨和或其他的不利经济环境； 和(6) 任何卖家和煤生产方宣布的不可抗力。如发生不可抗力事件，发生一方应尽快通知另一方，并在事件发生后7 天内将相关证明书面通知另一方。12. Claim:赔偿The Buyer shall notify the Seller and provide the Seller with documentary evidence of any claims in relation to the quality and/or quantity of the Coal within seven (7) days from completion of discharge. The Sellers shall respond to Buyers assertions vis-vis quality claims within ten (10) days and quantity claims within seven (7) days. 在卸货港因货物杂质、数量和质量不符等引起的赔偿，买方应该在卸货完毕后的7天之内向卖方提供相关文件。在收到买方的索赔以后，针对品质的索赔卖方应该在10天内做出回应, 关于数量的索赔应在7天之内做出回应。 13.Other conditions: 其它条款13.1 Shipment of Coal shall be deemed to have been sold and delivered to the Buyer after loading. Risk of or damage to goods shall pass to the Buyer from the time they have passed the ships rail at load port. Seller shall retain title to goods until full payment is received. 货物在装运后就出售给买方了,货物风险或损坏将过船舷传给买方,但货权仍然是卖方的直到卖方收到全额货款为止.13.2 Any amendments and/or additional clause to the terms and conditions of this contract shall be in force only if mutually agreed and made in writing and duly approved by the contracting parties.任何合同条款的修改和增加，须得到买卖双方的同意并书面确认才能生效。13.3 All days stated in this contract are considered as calendar days unless otherwise specified.合同规定的天数都是根据阳历日计算，除了特别规定以外。13.4 A valid license or documents of certificate of both the parties and their representative shall be attached to the contract to serve as a reference.买卖双方将提供有效的法律文件或许可证做为本合同附件。13.5 When inspection of coal is deemed necessary by the Buyer, Seller should provide transport for the inspector to inspect the coal at the time. Food, lodging, flight and road transport from airport to the mine area will be at the inspectors own expenses.如果买方认为有检验的必要，卖方应当为买方在货源国验煤的行程安排交通，但是吃住、航班和从机场到煤矿的陆路交通费用应当由检验员自付。13.6 Information of the appointed shipping agent will be provided by the Buyer to the Seller before the vessel arrives at the Discharge port.买方在船到达卸货港前提前通知卖方相关的卸货港货运代理的信息。13.7 This Contract is made out in two originals together in English & Chinese; each party will keep an original after signing the contract.
