RECUTALSa. All parties desire to join together for the pursuit of common business goals in Kingdom of Cambodia, including but not limited to railway transit, port development, mining, power system, real estates, etc.b. All parties have considered various forms of joint business enterprises for their business.c. All parties desire to enter into a co-operation agreement as the most advantageous business form for their mutual purpose.一 事实陈述a. 合作各方欲联合起来追求共同在柬埔寨所需的商业目标，包括但不限于铁路交通，港口开发， 矿业，电力系统，房地产等。b. 合作各方已经就其经营业务考虑了各种形式的合作方式。c. 合作各方欲就其互利目标达成一项合伙协议作为其最佳商业形式。2. COMMUNICATION STRUCTUREFor a better future business development, Party A and Party B shall establish a regular meeting schedule for the business assessment, business flow and information exchange.二 业务沟通交流机制为了将来更佳的业务拓展，甲、乙双方须定时展开会议，进行业务发展的评估、流程及信息交流。3. CONVENANT AGAINST REVEALING TRADE SECRETSNo party shall, during the continuance of the co-operation relationship or for 5 years after its termination by any means, divulge to any person not a member of both firms any trade secret or special information employed in or conductive to the co-operation business and which may come to the both partys knowledge in the course of the co-operation relationship, without the consent in writing of the other party, or of the other partys heirs, administrators, or assigns.三 保守商业秘密的承诺在各方展开合作业务的存续期间或无论以何种方式终止合作业务后5年内，如果没有其他合伙人或其继承人、管理者或受让人的书面同意，任何合伙人不得向非公司成员泄漏任何商业秘密或有官合作业务采用或有助于合作业务的信息，在合作业务的运营过程中，该信息可能会成为合作双方的专有知识。4. DURATION OF AGREEMENTThe term of this agreement shall be for 5 years, commencing on DATE, and terminating on DATE, unless sooner terminated by mutual consent of the parties or by operation of the provisions of this agreement.四 协议期限本协议期限为5年，从2016年x月x日开始到2021年x月x日结束，除非三方同意或本协议条款规定可终止该协议。5. GOVERNING LAWThe enforcement and interpretation of this agreement shall be governed by the laws of THE PEOPLES REPUBLIC OF CHINA.五 法律适用 本协议的实施和解释适用于中华人民共和国法律。6. RESOLUTION OF DISPUTESAny dispute arising out if or in connection with this Agreement, shall be governed and construed by the laws of the PEOPLES REPUBLIC OF CHINA in CHINA INTERNATIONAL ECONOMIC AND TRADE ARBITRATION COMMISSION, and shall be referred to and finally resolved by China Guangzhou District Court, P.R.C.六 争议的解决方案及管辖所有因履行本协议引起的，与之相关的或不能够通过协商解决的争议及纠纷，任何一方均可将争议提交中国国际经济贸易仲裁委员会，并且依照中华人民共和国规定，在广州通过仲裁的方式进行解决。7. PREVAIL OF LANGUAGE VERSIONAny contradiction between Chinese and English version, Chinese version shall prevail.七 中文及英文版本间的效力所有因中、英文版本引起的矛盾及争议，以中文版本为准。8. OTHER PROVISIONAll parties will be based on actual needs of the business co-operation to sign the specific business contracts and execute accordingly. If there are inconsistencies between the contract and this agreement, the contract shall prevail.八
