the plan hereto annexed and marked as Annexure B hereinafter referred to as the said Property 1AZB Comment We understand that this agreement is proposed to be executed in and governed by the laws of Developer they have agreed to develop on the said Property a project comprising of an urban complex in Nairobi and a new general office building integrating hotels offices and apartments 2 on the said Property together with such amenities and facilities as are commensurate to a project of this nature and as more particularly set out in Annexure C hereto Project for the consideration and in the thereto including but not limited to the Project described herein 业务业务 应指开发和建设项目及所有其它附带的活动 包括但不限于本文件内所述的项目 1 1 3 Construction Schedule shall have the meaning as ascribed to it under Clause 8 2 below 施工进度施工进度 应具有下文第 8 2 条所赋予之涵义 1 1 4 Development Rights shall have the meaning as ascribed to it under Clause 2 below 开发权开发权 应具有下文第 2 条所赋予之涵义 1 1 5 Force Majeure shall have the meaning as ascribed to it under Clause 9 below 不可抗力不可抗力 应具有下文第 9 条所赋予之涵义 1 1 6 FSI shall stand for Floor Space Index FSI 指建筑面积指标 1 1 7 Gross Sale Proceeds 3 shall mean and refer to the total sum agreed by the Developer under any contract for the sale of any unit premises in the Project to a third party but shall not include the following 销售总额销售总额 应指开发商在将项目中任何单位 房屋出售予第三方的任何合同中约定的总额 但不包 括下列内容 i All deposits collected from the prospective purchasers for payments to be made to the concerned government quasi government bodies and local authorities 从准买家收到的用于向有关政府 半政府机构和地方当局付款的所有存款 ii Any deposit collected from the purchasers for payment to the relevant authority for availing electricity 从买家收到的用于就援用电力向相关当局付款的任何存款 iii All deposits collected from the prospective purchasers for payment to be made in respect of society formation legal expense towards share money corpus fund maintenance deposit and or monthly maintenance charges 从准买家收到的用于就社会形态 份额资金法律费用 本金 维护存款和 或每月维护收费付 款的所有存款 iv Funds collected from the prospective purchasers towards various facilities such as gas pipeline solar system cable TV broadband facilities security systems club house membership charges charges for extra work facilities if provided in the unit etc which may be provided in the Project v 从准买家收到的与项目中可能提供的各种设施 如天然气管道 太阳能系统 有线电视 宽 带设施 安全系统 会所会籍费 单位内提供的额外工程 设施的收费等 有关的资金 vi The amount collected from the purchasers for payment of stamp duty registration fees and other incidental and other allied costs and expenses payable on agreements deeds documents and instruments writings which are collected and recovered from the 1 2 3 the words hereof herein and hereunder and words of similar import when used generally in this Agreement refer to this Agreement as a whole and not to any particular provision of this Agreement Proceeds arising out of the Project 项目产生销售总额的 30 For the purposes of this Clause 4 1 c ii the payment of the Gross Sale Proceeds to the Owner shall be made on a collection basis within days of the end of each quarter of every calendar year during the subsistence of this Agreement 就此第 4 1 c ii 款而言 向业主支付的销售总额应在本协议存续期间各日历年的各季度末的 天内收取 5 Refundable Security Deposit8 可退保证金可退保证金 8 In addition to the above the Developer shall deposit and keep deposited with the Owner a sum of as interest free refundable security deposit which will be refunded by the Owner to the Developer in terms of the Agreement at the time of delivery of the Owner s Area to it completion of the Project in accordance with the Construction Schedule unless forfeited in accordance with Clause 19 4 below 除以上所述外 开发商应向业主缴存及保持缴存 Developer a license to enter and remain upon the said Property for enabling them to construct and develop the Project subject to the terms and conditions set out herein 签署本协议后 the cost consultant 项目成本超出造价咨询师编制预算的变更 v Defining of quality standards sign off on final rates for execution approvals for purchase of materials product mix finalization sign off on project branding 界定质量标准 确定执行最终费用 批准购买材料 最终确定产品结构 确定项目品牌与传播策略 确定项目定位策略和最终确定项目的便利设施 vi Selection appointment removal and approval of work of contractors 选拔 委任 罢免承包商和批准承包商的工作 vii Incurring of indebtedness in respect of the Project and 承担项目债务 及 viii Entry into modification assignment or termination of material contracts including but not limited to construction contracts with various contractors and sales and marketing agreements with various marketers 订立 修改 转让或终止重大合同 包括但不限于与各承包商订立的各种建设合同及与各种市场商人 订立的销售和营销协议 12 Inspection and Information 12 AZB Comment Client to confirm if any additional items are required to be added AZB 评论评论 客户确认是否需添加任何其它项目 AZB 其占有及持有或以其它方式有权作为绝对所有人享有上述物业 ii the title of the Owner to the said Property is clear and marketable 业主对上述物业之业权清晰且适销 iii The Owner has good right full power and absolute authority to grant Development Rights of the said Property as contemplated herein and that the Owner does not require any consent confirmation permission or otherwise from any third party and or local body and or any government authorities for the same 业主具有授予本文件内上述物业开发权的充分权利 全部权力及绝对权限 及业务无需就此获得任何第 三方及 或本地机构及 或任何政府机关的任何同意 确认许可或其它 iv the Owner has not entered into any agreements or arrangement or transactions oral or written or otherwise entered into or concluded any negotiations concerning the said Property which might in jeopardize or affect the terms of this Agreement or the rights of the Developer herein 业主并未订立任何可能危害或影响本协议的条款或开发商于本协议内权利的口头或书面协议或安排或交 易 或以其它方式订立或签订任何与上述物业有关的协商 13AZB Comment To be retained only if the Owner s Area forms part of the consideration under this Agreement AZB 评论 评论 仅当业主的面积构成本协议项下代价的一部分时才保留 14AZB Comment To be finalized based on client s confirmation comments AZB 评论 评论 根据客户的确认 评论最终确定 AZB 业主还未收到任何法律规定的限制或影响或可能以任何方式限制或影响本协议实施或开发商于本协议内 权利的与上述物业或其任何部分有关的通知 vi the said Property or any part or portion thereof is not subject to any suit proceedings attachment either before or after judgment or any claim demand or encumbrance or any process issued by any court or authority and 上述物业或其任何部分未遭受任何诉讼 程序 判决前后查封或任何索赔 索求或产权负担或任何法院 或主管当局发出的任何程序 及 vii All outgoings in respect of the said Property including all statutory taxes charges duties by whatsoever name called and levied by any body or authority in respect of the said Property have been fully paid by the Owner prior to the date of execution of this Agreement 上述物业的所有开支包括所有法定税费 收费 关税 由任何机构或机关命名的及征收的 已于本协议 签署当日之前由业主全额支付 15 2 Representations and warranties of the Developer 开发商的陈述及保证 The Developer hereby represents and warrants to the Owner that 开发商特此向业主陈述及保证 i The Developer has full power and absolute authority to enter into this Agreement and all other related documents applications 开发商具有订立本协议及所有其它相关文件 申请的全部权力和绝对权限 ii The Developer is not under any disability restriction or prohibition whether legal or contractual which shall prevent it from performing or adhering to any of their obligations under this Agreement and has not entered into and shall not enter into any agreement that may violate this Development Agreement 开发商未受到阻碍其履行及坚持其于本协议项下任何义务任何法律或合同障碍 限制或禁止 并无订立 且不得订立任何可能违反本开发协议的协议 iii No litigation arbitration or administrative proceedings are threatened or pending which call into question the validity or performance of the Developer s obligations under this Agreement 无任何质疑本协议项下开发商义务有效性或履行的可能或未决诉讼 仲裁或行政程序 iv The Developer shall be absolutely bound by the undertakings and guarantees executed by it on behalf of the Owner and 开发商应受其代表业主签署承诺及担保的绝对约束 及 v Till the subsistence of this Agreement there shall be no change in control of the Developer except with the prior consent in writing of the Owner 在本协议存续期间内 除非经业主提前书面同意 开发商的控制权不得改变 AZB 根据上文第 8 4 条的规定 通过向开发商提供 个月通知告知开发商土地业主希望终止协议的意向 18 1 2if the Developer is declared bankrupt or becomes insolvent or has a liquidator administrator or receiver appointed for all its assets by court of competent jurisdiction the Owner shall be entitled to terminate this Agreement with immediate effect 如果开发商被宣告破产或无力偿债或具有管辖权的法庭已就其所有资产委任一名清盘人 管理人或接 收人 则业主应有权立即终止本协议 18 1 3any dilution in the shareholding or the powers of the present management of the Developer without the prior written consent of the Owner shall entitle the Owner to terminate this Agreement with immediate effect or 17 AZB Comment Client to confirm if any additional grounds are contemplated AZB 评论 评论 客户确认是否订立任何额外理由 AZB and ii it shall have no objection to completion of the development of the said Property by a third party at cost of the Developer and iii it shall lose all rights over the said Property as prescribed under this thereof to any person or circumstance shall be invalid or unenforceable to any extent under any present or future law the remainder of this Agreement and the application of such provisions to persons or circumstances other than those as to which are invalid or unenforceable shall not be affected thereby and each provision of this Agreement shall be valid and enforceable to the fullest extent permitted by law and shall not be affected by the invalid or unenforceable provision or by its severance here from The Parties shall replace the unenforceable provision with another valid provision hereby undertakes at the request of the other to execute or procure the execution of such documents and do or procure the doing of such acts and
