常年法律服务协议Long-term Legal Service Agreement本协议由甲乙双方于年月日签订:This agreement is signed by Party A and Party B on the date of甲方:Party A:地址:address:乙方:Party B:地址:Address:甲、乙双方在平等、自愿基础上,经友好协商就甲方委托乙方,乙方接受甲方委托,为甲方提供常年法律服务的有关问题达成以下协议(以下简称“本协议”:After friendly negotiations and in the faith of fairness and kindness, Party A authorizes Party B as Party As long-term legal service provider and Party B has accepted the authorization. Both parties have agreed on the content below and would like to sign a long-term legal service agreement (hereinafter the Agreement.第一条:服务范围Chapter One Content of the Service根据本协议,甲方委托乙方,乙方接受甲方的委托,为甲方提供如下法律服务:According to the Agreement, Party A authorizes Party B and Party B have agreed to provide the following services:1.起草、修改或审查甲方对外签署的法律文件;1.Drafting, modifying or reviewing all legal or related documents signed by Party A;2.提供甲方所需的法律咨询;2.Providing legal consultation according to Party As requirements;3.办理甲方委托的一般非讼法律事务;3.Dealing with Party As non-litigation problems;4.代理甲方委托的诉讼和仲裁案件;4.Acting as Party As agency if Party A get involved in litigations or arbitrations;5.办理甲方委托的大型融资项目(包括但不限于上市、发债、基金、增发、配股及大型改制重组项目法律服务;5.Financing Projects consigned by Party A, (include but not limited to IPOs, Bonds Issuing, Fundings, Additional Shares Issuing, Allotments and so forth and Corporate system reform & reunion solution services;6.根据相关事务的要求,为甲方出具法律意见书(依据法定及国家有关部门规定出具;6. Issuing legal opinion documents according to Party As requirements (based on laws and other regulations;7.协助甲方进行工作人员的法律培训;7. Assisting Party A to carry on employees trainings;8.办理甲方委托的其他事项。8. Others.第二条:服务的时间与场所Chapter Two Time and Places of the Service1.乙方同意指派律师到甲方的办公场所或乙方的办公场所或双方约定的市内其它场所提供本协议第一条所规定的各项法律服务。双方可根据需要对前述人员安排、服务时间及服务方式进行确认或调整;1.Normally, working places will bea.Party As office, orb.Party Bs office, orc.Other places within Tianjin.Detailed working time and places could be set depending on each cases situation.2.如果甲方需要乙方在前款所指地点之外提供第一条所规定的各项法律服务,原则上甲方应提前三个工作日通知乙方,并向乙方提供相应的资料和便利。2.In case Party A needs Party B to work at other places rather than above, Party A should inform Party B 3 days in advance and provide Party B necessary working conditions.第三条:服务费用Chapter Three Fees1.服务费用的组成。服务费用由律师费和律师活动费组成。1.Fees consists of a payments for lawyers and b activity fees1.1律师费1.1 Payments for lawyers律师费是对律师办理委托事宜所支付的劳动报酬。本协议项下的律师费由常年律师费和专项律师费构成,其计费的方式如下:Payments for lawyers is the fee that would be paid according to lawyers work. Within this range, it is divided into annual fee and specific fees.1.1.1 甲方按照本协议的规定应向乙方交纳常年律师费共计/万元/年,乙方根据本协议向甲方提供本协议第一条第1、2、3、7、8项服务时将不再另取收取律师费;如果甲方服务需求量很大,以致乙方实际发生的工作量很大,超出本常年法律服务预估的工作量(以300个工作小时计,则甲乙双方应本着互谅互惠的原则,甲方需相应增加常年法律服务付费。超出工作小时部分按每工作小时元计算付费。为此,乙方应置备为甲方提供本协议项下常年法律服务的工作清单。1.1.1 According to this Agreement, Party A would pay Party B / as an annual fee. Party B will not charge extra fees if Party B provides services as described by Chapter One, item 1, 2, 3, 7 and 8;If Party A has an extremely big requirement and it makes Party B provide much more work than expectation (i.e. 300 working hours per year, Party A shall pay extra fees rather than annual fee for the sake of fairness and kindness. Charge criterion for the extra part will be / per hour, and Party B will prepare a clear list of detailed working hours as a proof.1.1.2 乙方为甲方提供本协议第一条第4、5、6项服务时,甲方与乙方应另行签订专项服务协议,并按天津市律师服务收费有关规定的收费标准确定具体的收费金额。乙方可在其收费标准的基础上给予甲方一定的优惠。1.1.2 When Party B works on Chapter One Item 4,5 and 6, Party A and Party B need to sign extra contract on the specific project. Those fees would be charge based on related guidance from Tianjin Municipal Government, and Party B will give Party A an extra discount.1.2律师活动费1.2Activity Fees律师活动费是指律师因办理委托事宜而实际发生的必要交通费、餐费、住宿费、及其他费用(该类费用事先征得甲方认可。律师活动费应由甲方完全负担。Activity fees include all possible fees caused directly by activities during the course of Party Bs service. Usually activity fees cover necessary traffic fees, meals, lodgings and other possible fees. Party A shall bear all activity fees but Party B will ask for Party As approval before each fee occurs.2.费用的交付2.The payment2. 1 甲方在本协议签订并收到乙方的合规发票后30个工作日内以转账支票形式向乙方支付常年律师费的50%。甲方在下一个半年度开始并收到乙方的合规发票后30个工作日内以转账支票形式向乙方支付剩余的50%常年律师费。如有应追加付费的部分,则甲方在收到乙方发出的付费通知及合规发票并经甲方审核无误后30个工作日内向乙方付清。2.1 The Annual FeeParty A will pay 50% annual service fee by check within 30 working days after the Agreement is signed and Party A received the proper tax invoice. Party A shall pay the other 50% annual service fee for the next 6-month period service by check within 30 working days after Party A received the proper tax invoice. If extra fees occur, Party A shall make a payment within 30 working daysafter verifying the payment request notice and proper tax invoice that are provided by Party B2. 2 对于乙方为甲方提供本协议第一条第4、5、6项服务时,乙方应根据该专项服务协议的规定支付该专项律师费。2.2 Specific FeesSpecific fees shall be paid accordin g to each contract if Party Bs service is Chapter One Item 4, 5 and 6.2.3 律师活动费采取随时发生随时支付的方式付费。2.3 Activity FeesActivity fees shall be paid when they have occurred.第四条:甲乙双方的权利与义务Chapter Four Rights and Liabilities1.甲方的权利与义务1. Party As rights and liabilities1.1 甲方的权利1.1 Party As rights1.1.1 根据本协议获得乙方提供的法律服务;1.1.1 Party A has the right to have all Party Bs service based on the Agreement.1.1.2本协议规定的其他权利。1.1.2 Other possible rights based on the Agreement.1.2甲方的义务1.2 Party As liabilities1.2.1按时足额支付服务费用;1.2.1 Party A shall pay full amounts of all possible fees punctually.1.2.2根据本协议,乙方需要到甲方办公场所或其他非乙方办公场所提供法律服务时,甲方应尽力向乙方提供一间固定和独立使用的办公用房和必要的办公设备;1.2.2 Party A shall Party B possible working conditions (a separate room and other officeappliances when Party Bs lawyer work at Party As places or other non-Party Bs places.1.2.3甲方对乙方的工作应予以充分的配合,包括但不限于甲方主动或应乙方的要求为乙方提供尽可能充分的与乙方所承办法律事务相关的资料和证据;1.2.3 Party A shall give Party B utmost cooperation, including but not limited to provide Party Ball related documents, certificates and all possible materials which could be applied asevidence.1.2.4甲方应保证其向乙方提供的与乙方涉及的案件或项目的全部资料和所做一切陈述的真实性、准确性及完整性,并对因甲方提供资料或陈述失实所导致的任何后果承担法律责任。如因甲方的虚假陈述或重大遗漏给乙方造成损失的,甲方应承担相应的赔偿责任;1.2.4 Party A shall promise that all materials authenticity, accuracy, and integrality when PartyA provides to Party B. Party A shall bear all legal liabilities for any false statements or fatal omissions. If Party As false statements or fatal omission causes Party Bs loss, Party A shall compensate for those loss.1.2.5本协议规定的其他义务。1.2.5 Other possible liabilities based on the Agreement.2.乙方的权利与义务2.Party Bs rights and liabilities2.1乙方的权利2.1 Party Bs rights2.1.1收取服务费用;2.1.1Charge all occurred fees.2.1.2获得甲方提供有关委托事宜的真实、详尽、最新的资料;2.1.2 Obtain related true, complete and latest materials from Party A.2.1.3获得甲方提供与乙方服务有关的合理配合和必要协助;2.1.3 Obtain Party As reasonable cooperation and necessary assistance.2.1.4在甲方有下列行为之一时,可以拒绝接受或随时终止委托:2.1.4Terminate service if:(a甲方委托的事项属于违法活动;(a Party As activities have broken laws.(b甲方利用或欲利用乙方提供的服务从事违法活动;(b Party A has the behavior or intention to take the advantage of Party Bs service to do illegalconducts.(c甲方提供虚假材料或对乙方隐瞒事实;(c Party A provides false materials or omits important facts.(d甲方拒绝向乙方提供合理的配合和协助,致使乙方无法提供本协议项下的法律服务;(d Party A refuses to provide Party B necessary assistance and it causes Party B unable to proceed the services.(e甲方未按期支付本协议项下的服务费用,经乙方催告后,在五日内仍未支付该笔费用。(eParty A fails to pay all possible fees, and, does no t make payments 5 days after Party Bsnotice or reminder.2.1.5本协议规定的其他权利。2.1.5 Other possible rights based on the Agreement.2.2乙方的义务2.2 Party Bs liabilities2.2.1忠于职守。乙方接受委托后应委派一至两名有经验的律师担任甲方的常年法律顾问。乙方应保证该律师根据甲方的要求,对甲方委托的事务认真负责的办理,为甲方提供优质高效的法律服务;2.2.1Party B shall devote to the duty as a legal consultant provider. Party B will arrange 1 to 2experienced lawyers to work with Party A as year-long service providers; and Party B has the responsibility to ensure that lawyers offer best-quality service with high efficiency.2.2.2不得中途拒绝委托。乙方接受甲方的委托后,无正当理由,不得中途拒绝继续为甲方服务,除非:2.2.2Party B shall not refuse Party As authorization during the Agreements effective period,unless:(a甲方委托的事项属于违法活动;(a Party As activities have broken laws.(b甲方利用或欲利用乙方提供的服务从事违法活动;(b Party A has the behavior or intention to take the advantage of Party Bs service to do illegalconducts(c甲方提供虚假材料或对乙方隐瞒事实;(c Party A provides false materials or omits important facts.(d甲方拒绝向乙方提供合理的配合和协助,致使乙方无法提供本协议项下的法律服务;(d Party A refuses to provide Party B necessary assistance and it causes Party B unable to proceed the services.(e甲方未按期支付本协议项下的服务费用,经乙方催告后,在五日内仍未支付该笔费用。(e Party A fails to pay all possible fees, and, doesnt make payments 5 days after Party Bs notice or reminder.2.2.3保密义务。乙方对在完成甲方委托事宜过程中所知悉的国家秘密、甲方的商业秘密和个人隐私、及甲方声明要求乙方为其保密的其他事宜,应当予以保密;2.2.3 Confidentiality. Party B shall keep all materials or information confidential if Party Blearns any official secrets, Party As business secrets or employees privacy.2.2.4亲自完成。乙方接受甲方的委托后,应亲自完成该项工作,除非甲方同意,不得擅自转委托他人;2.2.4 Party Bs lawyers shall finish all works in person. Without Party As consent, Party B shall not transfer any or any part of Party As works.2.2.5避免利益冲突。乙方所委派的律师在接受甲方的委托后于同一案件中,不得再接受相对立的对方当事人的委托;乙方所指派的律师在担任甲方的常年法律顾问过程中,甲方要求该律师提供的服务涉及第三方利益,而该第三方也已委托该律师为法律顾问的,该律师应向甲方说明情况,由乙方再指派其他律师针对该事项为甲方提供服务;2.2.5 Party B shall avoid unnecessary conflicts or interests. Party Bs lawyer shall not accept Party As counterparts legal service authorization. If the circumstance that Party Bs lawyer also bears any legal service work of a counterpart or other relative parties occurs, Party B will inform Party A in advance and will replace a lawyer to ensure Party As interests.2.2.6不得越权代理。乙方不得超越委托权限,不得利用委托关系从事与委托代理法律事务无关的活动;2.2.6 Party B shall have no ultra vires behaviors or take advantage of Party As authorization todo any irrelevant conducts.2.2.7不得谋利。乙方不得利用为甲方提供法律服务而知悉的信息、所处的地位、及其他便利条件,为自身谋取本协议规定之应得利益以外的利益;2.2.7 Party Bs lawyers shall not seek for any personal interests with the knowledge of Party Asinformation during the course of work.2.2.8赔偿责任。若乙方律师违法执业或者因过错给甲方造成损失的,乙方将依法承担赔偿责任。但无论如何,乙方在本协议项下所应承担的赔偿责任不应超出其所实际收取的律师费的范围;2.2.8 If Party Bs lawyers failed to comply the above requirements and cause loss to Party A,Party Bs lawyers must compensate Party As loss. However, Party Bs compensation will never exceed the fees that have been charged from Party A.2.2.9本协议规定的其他义务。2.2.9 Other possible liabilities based on the Agreement.第五条:协议的解除Chapter Five Termination of the Agreement1.协商解除经双方协商同意,可以解除本协议。1.The Agreement can be terminated on the basis of bilateral consent.2.单方面解除协议2.Unilateral Termination2.1甲方决定单方面解除协议的必须:2.1 Party A must fulfill the following responsibilities if it intends to terminate the Agreement(a于解除协议前十五天书面通知乙方;(a Inform Party B 15 days in advance;(b向乙方支付整个年度的律师费及应追加支付的律师费;(b Pay the Annual Fee and all fees that have occurred; and(c赔偿由于其单方面终止协议给乙方造成的实际损失。(c Compensate Party Bs losses caused by the unilateral termination.2.2乙方不得单方面解除协议,除非:2.2 Party B shall not terminate the Agreement unless:(a甲方委托的事项属于违法活动;(a Party As activities have broken laws;(b甲方利用或欲利用乙方提供的服务从事违法活动;(b Party A has the behavior or intention to take the advantage of Party Bs service to do i llegalconducts.(c甲方提供虚假材料或对乙方隐瞒事实;(c Party A provides false materials or omits important facts.(d甲方拒绝向乙方提供合理的配合和协助,致使乙方无法提供本协议项下的法律服务;(d Party A refuses to provide Party B necessary assistance and it causes Party B unable toproceed the services.(e甲方未按期支付本协议项下的服务费用,经乙方催告后,在五日内仍未支付该笔费用。(e Party A fails to pay all possible fees, and, doesnt make payments 5 days after Party Bsnotice or reminder.2.3乙方因上述原因单方面解除协议的,不承担任何赔偿责任,但应妥善处理委托事宜。甲方应向乙方支付该整个年度的律师费及应追加支付的律师费。2.3 If Party B terminates the Agreement because of reasons mentioned above, Party B will not compensate Party A but have to arrange all commenced works. In this circumstance, Party A shall pay Party A the Annual Fee.3.本协议的解除不影响协议双方依本协议向对方提出支付或赔偿请求的权利。3. Both parties rights to claim compensations will not be eliminated when the Agreement isterminated.第六条:协议的变更Chapter Six Modification本协议生效后,非经双方协商同意,不得变更。The Agreement shall not be modified unless both parties have consented to do so.第七条:法律适用Chapter Seven Application of Law本协议的订立、解释、履行、及争议的解决仅适用中华人民共和国法律、法规、及其他有效法律文件。The establishment, explanation, implementation and dispute resolutions of the Agreement are MEREL Y judged by China (P.R. s laws, regulations and other active legal docu ments.第八条:仅承担协议责任条款Chapter Eight Contractual Liability Only Clause乙方仅为依据本协议,接受甲方委托,在委托权限内完成委托事宜的受托一方,其责任仅限于根据本协议的约定,在遵守有关法律、法规的前提下为甲方提供法律服务,而与甲方运用该项法律服务时所产生的所有其他责任无任何关系,上述责任应完全由甲方或相关责任方负责。Party Bs liability is strictly limited to the work that has been finished legally and reaonably by Party B under suitable authorization of Party A. Party B is excluded to any possible liabilities caused by Party As usage of Party Bs services and Party A or other related parties shall bear all possible liabilities.第九条:通知Chapter Nine Notice1.通知的方式1.Ways of notices1.1本合同的一方对另一方的书面通知,应采用专人送达或邮寄或传真的方式送达。1.1 Notices should be made in written and delivered by a specific
