Undertaking organization (Party B): Shandong Taian DaiZong Limited Liability Certified Public Accountant Firms Party A hereby entrusts Party B with undertaking the assets evaluation, and by negotiations of the two parties, the agreements are reached as follows:First, Purpose of Evaluation: corporate restructuringSecond, Reference Date of Evaluation: 31/5/2001Third, Evaluation Area: total assets and liabilitiesFourth, Starting and Finishing Time:1 Party A is required to offer total materials before June 10th，2001, comprising:(1), the basis of property rights in corporate restructuring;(2), Certificate of ownership of related assets;(3), report forms of reference date of evaluation;(4), business license of the entrusting organization;(5), account-book and certificate;(6), 2, The evaluation report is required to be effected within 20 days after Party As offer of total materials, and submitted to Party A.3, To draw a clear distinction between the responsibilities of the two parties, the documentary evidence is required to be given to the two parties when the aforesaid work is effected.Fifth, Responsibilities and Obligations of Party A: Responsibilities of Party A: Confirm the truthfulness, legality and completeness of the submitted and reported materials.Obligations of Party A: 1, offer the total materials needed in the work of evaluation timely.2, offer necessary working conditions and cooperation for Party B.3, the evaluation prices are required to be timely paid in full in accordance with this written report.Sixth, Responsibilities and Obligations of Party B: Responsibilities of Party B: issue the evaluation report and guarantee the rationality, reliability and fairness of the evaluation results according to the requirements of the Suggestions on Operation Regulations in Assets Evaluation (for Trial Implementation) transmitted by National Asset Management Agency (NAMA). Obligations of Party B: 1, effect the evaluation and issue the evaluation report by the agreed time. 2, keep the commercial secrets of Party A in doing business. 3, report and deliver the Asset Evaluation Instructions and keep responsibility for answering the questions raised by the administrative department when investigating and verifying the asset evaluation report.Seventh, Party As special note on property rights confinements such as mortgage, guarantee and sealing up of the total evaluated properties.1,2, 3,Eighth, Evaluation Charges:Party B, according to the national regulations, charges the evaluation prices, totaled yuan, and will charge 50 in advance and get the balance when submitting the working report after effecting evaluation.Ninth, Application Responsibility of the Evaluation ReportParty B is required to issue to Party A the evaluation report and attachments in triplicate and these reports should be distributed and used by Party A according to national regulations and the application range proclaimed by Party B, which takes no responsibility if these reports are improperly used; and the default party is required to compensate for his rights infringement.Tenth, Default Responsibilities: 1, Party B can terminate this present agreement and timely notify Party A of it; and Party As prepaid charges can not be returned in the following conditions: (1), in the evaluation process, when finding that the related materials offered by Party A are not true so as to influence the rationality, reliability and fairness of the evaluation results. (2), when Party A is not cooperative with the evaluation work and even set obstacles so as to influence Party Bs implementation in checking necessary evaluation process. (3), when Party A expresses explicitly or implicitly to Party B for asking the latter to issue unfair evaluation results.2, If Party B can not submit the evaluation report on time for its own reason, a delay of one day promises a charge of 5 of the evaluation prices as a penal sum to Party A(except the reasons and influences out of Party Bs prediction and control).
