Klong Nueng, Klong Luang.Pathumthani 12120 ,ThailandThis Contract is made by and between the Buyers and the Sellers whereby the Buyers agree to buy and the Sellers agree to sell the under-mentioned commodity according to the terms and conditions stipulated below:兹经买卖双方同意按下列条款由买方购进，由卖方售出下列货物，订立本合同：1. 货物预计数量和价格：Estimated quantities and prices：Item No.序号Commodity, specification品名及规格Qty.数量Unit Price单价（USD）Total Amount总价（USD11批详见设备配置清单 Total: FOB BANGKOK USDThe customer guarantees the order flexibility of maximum +/-20% of the estimated annual volume.买方保证年订货量在20%上下浮动。The customers shall provide official Standard Requirement for the products (Compound name ) It shall be a plus for supplier to have requirements of end customers for ( Customer name ) , regions, continents.买方应提供产品的官方标准，这有利于卖方掌握买方的需求。2. 货物原产地及制造商：泰国 /Origin and Manufacture: Thailand / 3.包装：PACKING: 货物应采用适合于长距离航空或海运的坚固包装，能适应天气变化并防潮湿及振动。To be packed in strong in cartons, suitable for long distance air freight/ocean transportation and to change of climate, well protected against moisture and shocks.若货物的包装为纸箱，则需要用包装带将其绑紧。If the commodity is packaged by paper, please bind the carton tightly by packing belts.若货物的包装为木箱，则木箱的八个顶点均需用螺丝、螺母固定。If the commodity is packaged by wood, please fix the four angles of the box by screws and screw nuts.由于卖方采用包装的保护措施不当或不适宜而导致货物生锈，以及由于采用不适宜的包装而导致货物发生损失，卖方应对所发生的损失及相关费用负责。The Sellers shall be liable for any damage of the commodity and expenses incurred on account of improper packing and for any rust attributable to inadequate or improper protective measures taken by the Sellers in regard to the packing.4.唛头 SHIPPING MARK: 卖方应在每一包装箱外注明箱号、毛重、净重及包装尺寸，并有如下字样：“远离潮湿”“小心轻放”“此面向上”等。The Seller shall mark on each package with fadeless paint the package number, gross weight, net weight, measurement and give clear indication of “FAR AWAY FROM MOISTURE”, “HANDLE WITH CARE”, “THIS SIDE UP” etc. And the shipping mark: CONTRACT NO., GUANGZHOU, CHINA5. 装运期： TIME OF DELIVERY: 6. 装运地：曼谷 PLACE OF DELIVERY： BANGKOK 7. 目的地：广州滘心港 PLACE OF DESTINATION: GUANGZHOU JIAOXIN SEAPORT8. 保险：由买方负责。 INSURANCE: To be covered by the buyer.9. 付款：装船后15天电汇付清。 PAYMENT: T/T 15 days net after B/L.10.文件： DOCUMENTS： （1）海运时： In case of sea freight: 以买方为通知人的全套洁净“已装船”海运提单，注明 “运费已付” “运费到付”。Full set of Clean On Board Ocean Bills of Lading marked “freight prepaid” / “freight to collect” and notify Applicant. (2) 签字的商业发票原件一式伍份，注明合同号、唛头、成交方式。 Manually signed Commercial Invoice in five originals indicating contract number， shipping mark and the term. (3) 签字的装箱单原件一式伍份。须列明箱数，每箱的毛重、净重、体积以及所装物品明细。 Packing List signed in five originals, including the number of cartons, each cartons net weight, gross weight, cubage and detailed contents. （4）由制造厂家盖章签发的无木质包装声明书一式两份。(如用木箱包装，应当由输出国家或地区植物检疫机构认可的企业，按中国确认的检疫除害处理方法处理 ，并加施IPPC专用标识，且出具熏蒸证明）。 Declaration of No-wood Packing Materials with the Manufactures stamp issued by the Manufacture in two originals. (If the wood packaging materials used in the imported goods must be treated and inspected by the exporting country and government related plant quarantine agency that have Chinese governments consents ,with bearing IPPC symbol . The standard measures to quarantine and treat pests will be posted in other place in the nations quality control bureau. And certification of fumigation is issued by the the exporting country and government related plant quarantine agency in two originals )(5) 发货后将装运的详细情况传真通知买方的副本。 Send Email to the Buyer advising particulars of shipment immediately upon its completion.(6) 制造厂家签发的质量证明书，一份原件。 Certificate of quality issued by the Manufacturer in one original.（7）制造厂家签发的产地证，一份原件。 Certificate of Origin in one original issued by the Government（8）已包装待发运货物的照片。Photos of the packing cargoes should be sent to the buyer before shipping. (9) 若中国出入境检验检疫局需要提交，则卖方提供中国强制性产品认证证书复印件一份。 If Entry & Exit Inspection and Quarantine Bureau of The Peoples Republic of China requested，a copy of the China Compulsory Certification should be sent to the buyer.11. 质量范围： SCOPE OF QUALITY: (1)The supplier shall supply products and Existing stock of ( Compound Name ) in Semi - Finished compounding ( Compound A ) with Chemicals package called “ Cure package” with the out-going quality report “ Mooney Viscosity Report” that meet customer requirement 卖方提供产品和现有库存半成品以及所用化学物质包装必须符合买方要求，并出具“门尼粘度报告”。 Customer shall take this data as in coming quality check on arrival. 买方根据卖方报告中的数据作为货到后的质量检查依据。 Any rejection or concern shall be monitored in this step. 对于任何有关质量范围的拒绝或要求都止于此。2.Customer has responsibility for all processes after receiving the in-bound compound such as Storage, preservations, final mixing, preforming, moulding , chlorination and all surface treatment process after molding. 买方负责货物入境后的所有工序，如存储,保存,混合,压片,成型,氯化及成型后所有表面处理。12. RELEASE PERIODS: 发布周期 Production release (calendar days): 20 生产周期 20天 Material release (calendar days): 20 原料周期 20天 Material requirements beyond production release and material release are non-application to another suppliers product process. 超出生产周期和原料周期之外原料需求不适用到另一个供应商的产品加工中。If customer cancels an order within the production release period without having placed further release orders during the planning zone, Supplier will consider the acceptance of the products or the payment of the agreed purchase price within an appropriate time frame.如果买方在产品产生期间取消订单，且在计划内没有再下单，在一个适当的时间内，卖方将考虑要求买方对产品的验收或按先前的采购价格付款。If customer cancels an order within the material release period without having placed further release orders during the planning zone, Supplier shall reimburse the customer the cost for the materials.如果买方在原料生期间取消订单，且在计划内没有再下单，卖方将赔偿买方的原料成本。12.索赔：CLAIMS：自买方在收货后6个月内，如发现货物在质量、规格、数量与合同的规定不符，除由于保险公司或运输代理公司所应承担的赔偿责任外，买方有权凭中国进出口商品检验局出具的商检报告向卖方提出用新的货物进行更换或赔偿，由此发生的一切费用（例如商检费，退运货物运费及保险费，仓储费及装卸费等）应由卖方承担。Within six months after after received compound A, should the quality, specification, or quantity be found not in conformity with the stipulations of the Contract except those claims for which the issuance company or the forwarding agent are liable, the Buyer shall, on strength of the Inspection Certificate issued by the China Commodity Inspection Bureau for change or compensation, and all the expenses (such as inspection charge, freight for returning the goods and for sending the replacement, insurance premium, storage and loading etc.) shall be borne by the Seller.13迟交货罚款：Penalty of late delivery:除遇不可抗拒的自然灾害外，如卖方不能按合同规定的时间交货，买方应同意在卖方付罚款的条件下延期交货。罚款可由支付银行在议付货款时扣除，罚款率按每逾期一天收0.5%，但罚款不得超过货物总价的5%。如卖方延期交货超过合同规定十周时，买方有权撤销合同。此时，卖方仍应立即按上述规定向买方支付罚款。 Should the Seller fail to make delivery on time as stipulated in the Contract, with exception of Force Majeure Natural Disasters causes, the Buyers shall agree to postpone the delivery on the condition that the Seller agree to pay a penalty which shall be deducted by the paying bank from the payment under negotiation. The rate of penalty is charged at 0.5% for every day. But the total penalty shall not exceed 5% of the total value of the goods involved in the late delivery. In case the seller fail to make delivery ten weeks later than the time of shipment stipulated in the Contract, the Buyers shall have the right to cancel the Contract and the Sellers, in spite of the cancell
