LOANCONTRACTContractNumber_BORROWER_Address_LENDER_Address_InaccordancewithprovisionsofContractLawofthePeoplesRepublicofChinaandBankofChinaLOANCONTRACTContractNumber_BORROWER_Address_LENDER_Address_InaccordancewithprovisionsofContractLawofthePeoplesRepublicofChinaandBankofChina,afterreviewingthestatusandtherequestoftheBorrower,theLenderagreestogranttheBorroweralineofcrediton.TheBorrower,LenderandGuarantor,throughfriendlynegotiation,haveexecutedthisContractasfollowsARTICLE1CURRENCY,AMOUNTANDTERMOFTHELOAN1.TheCurrencyunderthisloanisReiminbi.2.TheLineoftheloanisyuan.3.Theperiodofthisloanis12monthsfromthedateofeffectivenessofthiscontract.ARTICLE2THEPURPOSEOFTHELOAN1.Thepurposeofthisloanisusedforworkingcapitalturnover.2.WithoutwrittenapprovaloftheLender,theBorrowercouldnotusetheloanoutofthescopeofthepurpose.ARTICLE3INTERESTRATEANDCALCULATIONOFINTEREST1.InterestrateTheinterestrateshallbe*Duringtheloanterm,ifthecountrysrelatedauthorityadjustedtheinterestrateorthemannerofcalculationofinterest,theinterestofthiscontractshallbeadjustedaccordinglyafteroneyearfromthedateofexecutionofthiscontract.Theadjustmentshallbeconductedwhentheinterestrateareexecutedoneyear.ItisnotobligedtoinformtheBorrowerwhentheadjustmentofinterest.2.Theinterestshallbecalculatedfromthedateoffirstdrawdownandtheactualdaystheborroweruse.Oneyearshallbecalculatedas360days.3.ThepaymentofinterestsTheBorrowershallpaytheinterestsperquarter.Thepaymentdateshallbe,and.Ifthepaymentforthelastinstallmentisnotonthepaymentdate,theinterestsshalldeducttheinterestfromthebankaccountoftheBorrower.IntheeventthattheBorrowerfailstopaytheinterestsontimeandthebalanceoftheaccountoftheBorrowerisnotenoughforthepaymentofinterest,theLendershallhaverightstocollectapenaltybeing*oftheoutstandingamountperdayfortheBorrowersbreachofcontract.ARTICLE4OVERDUEINTERESTSANDMISUSINGINTERESTS1.IftheBorrowerfailstorepaytheloanandcannotreachaagreementwiththeLenderregardingtheextension,theLendershallcollectanoverduepenaltyfor*oftheoverdueamountperday.2.IftheBorrowerfailstousestheloaninaccordancewiththeprovisionssetforthinthiscontract,theLendershallhaverighttochargeainterestsforthemisusingpartatarateof*perday.ARTICLE5ACCOUNTTheBorrowershallopenReiminbibasicaccountand/orforeigncurrencyaccountattheLenderorLendersbranchfortheuseofdraw-down,repayment,paymentofinterestsandfees.ARTICLE6DRAW-DOWN1.Theloanunderthiscontractisrevolving,thebalanceofthiscontractshallnotmorethanthelineofcredit.2.TheBorrowershallsendadraw-downapplicationastheformhereinattachedinthiscontract7daysbeforethedateofdraw-down.3.TheBorrowershallnotdrawtheloanlessthan1million.ARTICLE7CONDITIONSFORDRAW-DOWNThefollowingconditionsshallbesatisfiedinadvanceofthedraw-downdate1.TheBorrowerhasopenedforeignaccountandReiminbiaccountattheofficeoftheLenderorthebranchoftheLender;2.Thiscontractandtheappendiceshavebeeneffective;3.TheBorrowerhasprovidedtherecognitionoftheinvestmentorcertificateoftheinvestmenttotheLender;4.TheBorrowerhasprovidedtheboardresolutionandpowerofattorneyregardingthisloancontract;5.TheBorrowerhasprovidedthelistandthesignaturesampleoftheauthorizedpersonwhoempowertosignthiscontractanddocuments;6.TheGuarantyunderthiscontracthasbeeneffective;7.TheBorrowerhasbeensatisfiedthewarrantsunderArticle11ofthiscontract;8.Theotherrequirementforthedraw-downhavebeensatisfied.ARTICLE8REPAYMENTPLANANDPREPAYMENT1.TheBorrowershallrepaytheloaninaccordancewiththestatusofitscash.TheBorrowershallinformtheLenderthepaymentamountanddate*priortomakethepayment.TheBorrowershallbeobligedtorepaytheprincipalandrelatedinterestsonduedatewithoutanycondition.2.ThepaymentmadebytheBorrowerandthedeductionfromtheaccountoftheBorrowershallbeusedforrepayingtheinterestatfirstandthenforrepayingtheprincipal.3.IntheeventtheBorrowerfailstorepaytheloan,theLendershallhaverightstodeductthedebtfromthebankaccountoftheBorrowerattheLenderorempowerthebranchesoftheLendertodeductthedebtfromthebankaccountoftheBorrowerattheLendersbranches;4.Theinstallmentofrepaymentshallnotlessthan1million.ARTICLE9DEBTCERTIFICATETheLendershallkeeprecordintheLendersaccountfortheprincipal,interestsandfeesandotherfeesoftheBorrowerunderthiscontract;Theabovementionedrecordandthedocumentationforthedraw-down,repaymentandpaymentofinterestisthecertificatesofthedebtsbetweentheBorrowerandtheLender.ARTICLE10GUARANTY1.(theGuarantor)shallbetheguarantorfortheloanunderthiscontractandtakejointlyliabilities.2.Duringthetermofthiscontract,iftheguarantorsfinancialstatusbecomedeterioratedortheliabilitiesforrepaymentofdebtsbecomeweak,theLendershallhaverighttorequesttheBorrowerchangesguarantororprovidemortgageandpawnsecuredforthisloanunderthiscontract.ARTICLE11REPRESENTATIONSANDWARRANTIESI.TheBorrowersrepresentsandwarrantsasfollows1.TheBorrowerisacompanydulyorganizedandvalidlyexistingunderthelawofthePeoplesRepublicofChinaandhasthepowerandauthoritytoownitspropertytoconsummatethetransactionscontemplatedinthiscontractandjointhelitigation.TheBorrowerhasthepowertohandleitassetsusedinoperation.2.TheBorrowerisatitsoptiontosignandperformthiscontract.ItistheBorrowerstruemeaningandhasthepowertosignthiscontractanditisnotbreachitarticleofassociationorregulationsorcontracts.Theprocedureforsignatureandperformanceofthiscontracthasbeengonethroughandfullyeffectiveness.3.Thealldocuments,materials,reportsandcertificatesprovidedtotheLenderbytheborrowerforconsummationofthiscontractistrue,real,competeandeffective4.TheBorrowershallnotconcealthefollowingeventswhichisbeinghappenedorhavebeenhappenedwhichwillcausetheLenderrefusetoextendtheloan(1)TheBorrowerortheprincipalexecutivesoftheBorrowerinvolveinmaterialeventswhichbreachregulations,lawsorcompensationtoothers;(2)Pendingactionsandarbitration;(3)TheBorrowersdebtsorproposeddebtsorliensandotherencumbrances;(4)Theothermatterswillimpactthefinancialstatusorabilitiesofrepaymentforthedebts;(5)TheBorrowerbreachedcontractwhichisbetweentheBorrowerandothercreditors.II.TheBorrowerherebywarrantsasfollows1.Usingthecapitaloftheloanasusagesetforthinthiscontract,theBorrowerwillnotusetheloanasEquityinvestment;TheBorrowerwillnotusethecapitaloftheloaninvestinsecurity,future,realestateetc.TheBorrowerwillnotlendtotheothersprivatelyorinvolvingothermaterswhichisprohibitedbythecountry.TheBorrowerwillnotmisusingorappropriationoftheloan.2.Makingpaymentandrelatedexpensesinaccordancewiththeprovisionssetforthinthiscontract;3.Providingupdatedfinancialstatementorfinancialbulletineveryquarter;Providingtheauditedfinancialreportatthefirstquartofeachyear;Providingoperationreport,financialreportorotherfilesandmaterialsandshallwarrantthereality,correctandeffectivenessforthefilesandmaterials;4.Anyanti-guarantyorothersimilardocumentswillnotmakeanyimpactontherightsandbenefitsoftheLenders;5.AcceptingthesupervisionoftheLender,providesassistanceandcooperationfortheLenderssupervisions;6.Willnotreducetheregistrationcapital;PriorapprovalfromthelendershallberequiredwhentheBorrowerchangesofshareholdersandoperationmanner(includingbutnotlimitedtojointventure,cooperation,jointlycooperation;dissolution,closedown,liquidation,transformation;merger;changetosharecompany,usethehousing,machineryorotherrealassetsortrademark,intellectualproperty,Knowhow,landingusingrightsorotherintangibleassetstoinvestinsharecompanyorinvestmentcompany,tradingofoperationrightorownrightbycontracting,jointoperation,trusteeship)7.TheBorrowershallinformtheLenderandwarrantstheliabilityunderitssecuritywillnotmorethannetassetsoftheBorrowerwhentheBorrowerguaranteeforotherpartyormortgageitsassets.TheBorrowerwarrantsthatwillnotdisposetheassetswhichwillmakeadverseimpactonitsabilityofpayingdebts.8.TheBorrowerwillnotpaytheothersimilarloanspriortotheLender;9.TheBorrowerwarrantstoinformtheLenderimmediatelywhenthefollowingeventsoccurred(1)TheeventofbreachofcontractunderthiscontractorotherloanorguarantycontractsbetweentheBorrowerandanybranchesofBankofChinaorotherbanks,non-bankfinancialorganization;(2)TheBorrowerchangesshareholdersorrevisethearticleofassociation;(3)TheBorrowersufferdifficultiesandbadresultinfinancialandoperation;(4)TheBorrowerinvolvesinmaterialactionsorarbitration;10.TheBorrowershallkeepsufficientbalanceforrepaymentprior*totheduedate.11.TheBorrowershallkeepitsbanktransactionsregardingincomecollection,sellforeigncurrencyorbuyforeigncurrencyect.ShallbeconductedattheLenderorotherbranchesoftheLender.Theturn-overforthecapitalshallsatisfythedemandoftheLender;III.TheBorrowersrepresentationsandwarrantshereunderthiscontractshallbeeffectiveeventhoughanymendment,supplementsorrevisedtobemadetothiscontract.ARTICLE12REPRESENTATIONSANDWARRANTSOFTHELENDERI.TheLenderrepresentsandwarrantsasfollows1.TheLenderisastate-ownedcommercialbankorbranchdulyorganizedandvalidlyexistingunderthelawofP.R.CandapprovedbytheIndustryandCommercialAdministrationandholdsthefinancialinstitutionslegalpersonlicensesandfinancialinstitutionsoperationlicensetobequalifiedtooperatefinancialbusiness.2.TheLenderhastakenallnecessaryactiontoauthorizetheexecutionofthiscontractandperformanceofitsobligationsunderthiscontract.TheLenderisdulyauthorizedtoextendthisloan.II.TheLenderwarrantsasfollows1.TheLendershallextendtheloaninaccordancewiththeprovisionssetforthinthisContract.2.CollectinterestsinaccordancewiththeregulationsofthePeoplesBank.ARTICLE13EVENTSOFBREACHCONTRACTANDSETTLEMENTI.SettlementoftheBorrowerbreachofcontract1.Eventofbreachofcontract(1)TheBorrowerfailstousetheloaninaccordancewiththeagreedusageoftheLoan;(2)TheBorrowerfailstorepaythedueprincipalandpaytheinterests,expensesorotherpayableinaccordancewiththeagreedtermofthiscontract;(3)TheBorrowerbreachestherepresentationandwarrantssetforthinArticle11.(4)TheBorrowerbreachesotherloanagreementsorguarantyagreementsortheGuarantorbreachtheguarantyagreementwhichmaymakeimpacttheBorrowertoperformtheobligationsunderthiscontract.(5)ConclusiveevidencetoshowthattheBorrowerlosethecapacityofcreditorduringperformanceoftheobligationunderthiscontract,thefinancialconditionsoftheGuarantorareseriouslydeterioratingorotherreasonscausedtheGuarantorthecapacityofcreditdecline.(6)TheBorrowerbreachestheotherobligationsunderthiscontract.2.Undertheabovecircumstances,theLendershallhaverightto(1)RequesttheBorrowertorectifywithintheperioddesignedbytheLender;(2)Ceaseinextendingtheloanorcancelthecredit;(3)DeclaretheloanunderthiscontractisdueandtheLendershallhaverighttodeducttheoutstandingamountfromtheaccountoftheBorrower.TheBorrowershallnotappealagainsttheLender.(4)DeclaretheloanisdueunderotherloanagreementsbetweentheLenderandtheBorrower,requesttheBorrowertorepaytheloanprincipals,interests,andotherexpenses.II.ThesettlementfortheLenderbreachofthecontract1.TheLenderfailstoextendtheloanasagreedinthiscontractwithoutanyreasons;2.TheLenderbreachestheagreedinterestrateandcollectionaddinterestsorotherfees;3.TheLenderbreachestheprovisionssetforthinArticle12;4.Undertheabovecircumstances,theBorrowershallhaverightto(1)RequesttheLendertorectify;(2)Repaytheloanaheadoftimeandrefusetopayanycompensationforprepayment.ARTICLE14DEDUCTIONTheBorrowershallpayinfullforthepaymentwithoutanycounteractionoranycondition.ARTICLE15ASSIGNMENTOFTHEDEBTANDCREDIT1.TheBorrowershallnotassignitsrightandliabilityunderthiscontracttootherthirdpartywithoutanywrittenapprovaloftheLender;2.IntheeventtheBorrowerassignitsrightandliabilityunderthiscontracttootherthirdpartyunderthewrittenconsentoftheLender,thethirdpartyshallabidethiscontractwithoutanycondition.ARTICLE16PERFORMANCEOFOBLIGATIONANDWAIVEROFRIGHTS1.TheBorrowerisindependentcontractorunderthiscontract,itwillnotimpactbyanyotherrelationsbetweentheBorrowerwithotherpartyexcepttheotherprovisionssetforthinthiscontract.2.TheLendergiveanyextension,toleration,favortotheBorrowerorpermittheBorrowertodelayofperformanceanyobligationunderthiscontractshallnotimpairanyrightsoftheLenderinaccordancewiththiscontractandlaws,regulation,itshallbedeemedtohavewaiveditsrightsunderthiscontractandtheobligationshallbeperformedbytheBorrowerunderthiscontract.ARTICLE17AMENDMENT,SUPPLEMENTANDINTERPRETATIONOFTHECONTRACT1.Thiscontractcouldbeamendedandsupplementeduponthewrittenagreementsconcludebytheparties.Anyaamendmentandsupplementshallbeintegralpartyofthiscontract.2.Intheeventchangeoflaws,regulationsorlegalpracticewhichwillcauseanytermscontainedinthisContractbecomeillegal,invalidorlossofpractice,theotherpartofthiscontractshallnotbeimpairedbyit.Thebothpartiesshallmakeeffortstochangetheillegal,invalidorlossofpracticepart.3.ForthemattersnotreferredinthiscontractshallbeconstruedinaccordancewiththeprovisionsofthePeoplesBankofChina.ARTICLE18DISPUTERESOLUTION,GOVERNINGLAWANDWAIVEROFEXEMPTION1.Theconclusion,interpretationanddisputeresolutionshallbesubjecttotheLawsofthePeoplesRepublicofChin.Thedisputesarisingfromtheexecutionofthiscontractshallbesettledthroughfriendlyconsultationbybothparties.Incasenosettlementcanbereached,thedisputesshallbesubmittedtothePeoplesCourtofthelocationoftheLenderforjudgment.2.TheBorrowershallnotrejectanyobligationduringthesettlementofdisputes.3.Theexecutionandperformanceofthiscontractandtherelatedtransactioniscivilbehavior.TheBorrowershallnotappealtotakeactiontoexemptfromtheobligationunderthiscontract.(ifbothpartiesagreetoapplyarbitration,theabovetermshallbe)1.Theconclusion,interpretationanddisputeresolutionshallbesubjecttotheLawsofthePeoplesRepublicofChin.Thedisputearisingfromtheexecutionofthiscontractshallbesettledthroughfriendlyconsultationbybothparties.Incasenosettlementcanbereached,thedisputesshallbesubmittedtoChinaInternationalEconomicandtradearbitrationcommissionforarbitration.2.ThearbitrationshallbeconductedinaccordancewiththeArbitrationLawofPeoplesRepublicofChinaandProvisionalRulesofProcedureofChinainternationaleconomicandtradearbitrationcommission.3.DuringtheArbitration,thiscontractshallbeeffectiveandtheBorrowershallnotdisclaimtheanyobligations
