Long-term Legal Counseling Agreement(2012) Consigner: Altium Limited liability Company (Hereinafter referred to as “Party A”)Consignee: Shanghai Huarong Law Firm (Hereinafter referred to as “Party B”) UnderArticle25oftheLawofLawyersofthePeoplesRepublicof China, Party A and Party B specially conclude this agreement on the employment of long-term legal counsel through negotiation. Specific provisions are as follows:Article 1: Party B accept the employment of Party A, appointing senior partner lawyer Shi peijie, Zhou jing, Jin yuqian to be the long-term legal counsels (hereinafter called legal counsels) (details in the list of lawyer service)Article 2: Obligations of the legal counsels: The legal counsels shall providelegalservicestoandtoprotectthelegalrightsofPartyA. The range of the services provided is asfollows:(1) To provide legal advices on production, operation, management of Party As material legal issues or to demonstrate Party As deciding affairs on law and to provide legal training service according to Party As requirements. (2) To draft, modify, examine, verify and translate Party As contracts, agreements and other legal documents and papers concerned.(3) To assist in drafting, modifying, examining, verifying and translating Party As internal constitution, resolution, application materials, rules and regulations and other documents and to assist Party A in establishing risk prevention and control system in companys operation.(4) To participate in projects and business negotiations, providing legal consultancy services, examining and verifying the legal documents prepared for negotiation.(5) To make an early cooperations credit investigation for Party As business partners and other cooperative partners. (Limited to industry and commerce materials) (6) To make authorization statements in the name of Party As legal counsel, as required by Party A, or to accept commissions, sending lawyer letter.(7) To assist in dealing with Party As potential economic, debt or other material disputes. (8) To participate in the proxy litigations, arbitrations, dispute mediations, reconsiderations, appeals and other legal procedures.(9) To accept Party As commissions, dealing with purchase, merger, reform, asset deal, equity transfer and other non-litigation projects.Party Bs work involved in paragraph 1,2,3,4,5,6,7 of this article is free of charge in principle, except for the fee of legal counseling paid by Party A in accordance with article 9. The work involved in paragraph 8,9 is charged extra through mutual negotiation on Shanghai city attorney services management implementation approach and Shanghai lawyers service charges government guidance price standard and Party B has priority in accepting and entrusting formalities.Article 3: Party B shall provide legal service regularly or irregularly, or by other methods as agreed upon by both parties.Article 4: For the sake of legal counsels performing official duties on law and providing legal service better, Party A shall notify the legal counsels of detailed real situation, supply the copies or photocopies of documents and materials concerned. Party A shall notify Party B in advance and supply the concerning materials to give the legal counsels sufficient time for preparation when the legal counsels are required to attend concerning meetings or negotiations, or research agreements. Article 5: If the attorneys appointed by Party B as legal counsels fail to perform official duties by virtue of job change or transfer, Party B shall take charge of appointing another attorney for taking over and ensure defending the legalrightsof Party A. Article 6: The attorneys appointed by Party B as legal counsels shall undertake the legal affairs concerned entrusted by Party A in time and perform lawyer duties seriously on law under guaranteed quality and efficiency. Article 7: The legal counsels are obligated to keep Party As business secrets secret.Article 8: Both Parties confirm through negotiation that Party A shall pay Party B RMB 300,000 per year as the fee of long-term legal counseling. Type of payment: Be completely paid within 3 days from the date on which the agreement hereof is concluded. Article 9: As required by Party A, the expenses for traveling arising from the legal counsels project negotiations, investigations, non-litigation (including arbitration) or proceedings shall be borne by Party A.
