Post code: 鉴于甲方为保证 公司生产，拟把合同所列零部件委托给乙方进行存储配送物流服务，乙方愿意承担合同所列零部件物流服务工作。根据中华人民共和国合同法和仓储保管合同实施细则的有关规定，经甲乙双方一致同意签订本合同。To guarantee Cs production, company A will entrust B to take spare parts logistics service and B will take responsibility for logistics service of all spare parts listed in the contract. Both sides sign this contract in accordance with pertinent law terms in “Contract Law” of PRC and the detailed rules in “storage contract actualizing rules”. 一、 合同所列零部件属性(该表格信息甲方必须详实提供)Details of spare parts listed in the contract编号Number 型号 Type车型Type of vehicle产品价值（元）Value (Yuan) 中储价格（元）Price of storage (Yuan)1234二、 物流服务的范围Logistics service area 乙方的中转库将负责实施把合同所列零部件从中转库卸货平台起的卸货、接收、记录、再包装、存储然后配送到 公司生产工厂门口的指定接货区，以满足 公司汽车的生产。 Warehouse of B will take responsibility for the unloading, receiving, recording, repacking, storage of spare parts and transporting them to the area beside the factory appointed by CFMA.1、 接收与录入Receiving and recording 在中转库的卸货平台将装有合同所列零部件的包装箱从运输卡车中卸下到接收区，根据甲方送货单仔细核对、逐一入库。 To unload containers with unloading platform in Warehouse and send them to receiving area. Then check them carefully according to ASN and send them into storehouse.2、 储存Storage 甲方在中转库的存储量最低为 天，最长不得超过 公司 天汽车生产计划所需零部件的量，超出部分，按 月计收，不足一月，按一月计费。 The inventory of company A in Warehouse shall be days at least and not exceed the demand of Bs production plan of days. The excess is paid by y Yuan/m2.month.If the storage date is less than a month, it will charged for one month.3、 再包装Repacking 需再包装的零部件在接收后将由中转库操作人员按要求将包装箱从接收区放置于包装区然后注入于指定的标准容器或物料周转箱内，根据生产计划要求运往工厂或将标准料箱填补在矮料架上，等待下一次的拉动。 After be received, spare parts will be sent from receiving area to packing area and then put into standardized cases or material boxes. They will be sent to factory or laid on the shelves for further plan. 4、 配送Distribution根据甲方的定单（ASN），按定单拉动空料箱运回中转库然后将正确的零部件注入空料箱内，用拖车运往 汽车生产工厂指定的接货区。 According to ASN, empty boxes will be returned to Warehouse and accurate spare parts will be put in. Trailers will carry them to receiving area appointed by B. 5、 紧急拉动Emergent move中转库将及时配合 紧急拉动生产的要求。 Warehouse will cooperate with B for its requirements.6、 乙方将为甲方提供场地隔离存放不合格品。CMAL will offer a field for rejects storage. 三、服务收费及结算Charge and balance of service1、 服务费Service charge(1)、.仓储服务费：按零件个数的 计收，数量按当月入库总数计算（含废旧产品的入库）。 Storage service charge: to be paid by spare parts (including tax) and the amount of spare parts will be calculated according to the amount of spare parts which has been sent into storehouse at that month（including old and worn parts）.(2)、若在合同年度内，甲方有新车型的配套零件，将按本合同的仓储费标准收取：按零件个数的 计收，数量按当月入库总数计算（含废旧产品的入库）。 When party A puts out new parts within the contract duration, all parts will be charged following the storage fee terms: of the parts price (including tax) will be charged, and the quantity will be decided in accordance with the amount of inbound parts（including old and worn parts）. (3)、售后服务件若为总成件则按零件个数的 计收，数量按当月入库总数计算（含废旧产品的入库）。If after service parts are assembling parts of the parts price (including tax) will be charged, and the quantity will be decided in accordance with the amount of inbound parts（including old and worn parts）. 发票和付款Invoice and payment乙方每月根据当月入库数量给甲方开具当月的服务费发票。甲方在30天以内支付乙方所给予的物流服务费。Every month B will send invoice to Company A for service charge according to the amount of spare parts, which has been sent into storehouse at that month. 2、 乙方银行帐户Account of CMAL 单 位： Name: 开户行： Bank: 帐 号： Number of account: 四、 双方的责任Responsibilities of both sides甲方责任：Responsibilities of Company A:1、 甲方应采用方便乙方卸货和堆存的运输工具和包装将合同所列零部件送至乙方库房。甲方在中转库交货时应提供完整的货物装箱清单。Company A will use conveyance and packing for Bs convenience to send spare parts to warehouse. And meanwhile Company A will packing list to Warehouse.2、 甲方在包装箱侧面贴上印刷体的统一标识。保证包装箱内零部件品种及数量与箱外标识相符。Company A will stick unified sign on the side of boxes and guarantee the number and type of spare parts in the boxes fit the sign.3、 甲方在发货前应通知乙方所发零部件的品种、数量及预计到货时间，以便乙方及时做好接货准备。Company A shall inform B about the type and amount of spare parts before prior to sending goods so that B will make good preparation. 4、 甲方应配合中转库对在途零部件的追踪和对零部件有关问题的质疑。Company A shall cooperate with 中储 for the tracking and questions of spare parts.5、 甲方应承担因其零部件装箱数量与包装不一致，出现短缺或质损而影响 公司生产的所有责任。Company A shall take responsibilities for the loss of because of disaccord of spare parts between actual number and sign and quality problem.6、 甲方零部件发现质损需要返修的，由甲方承担返回甲方或由甲方派员到中转库返修的所有费用。When there are some spare parts which need to be repaired, Company A will pay all expense.7、 盛具的购买及维修由甲方负责。 Company A will pay the charge the apparatuss purchasing and maintaining.8、 甲方必须及时清理废旧零件。在接到乙方通知 工作日内仍未及时处理的，将加收 当月 %的仓储费。Party A must clear all old and worn parts. % expense of storage fee per month will be surcharged, whenever party A does not make any disposal after receiving notice from party B within workdays.乙方责任：Responsibilities of B1、 乙方不仅要承担由仓储和配送过程中出现的质量和数量方面的损失。同时乙方必须承担由于乙方过失造成甲方产品流向外部市场而向第三方（例如 ）所负的一切法律上的责任。B not only shall take responsibility for the loss of quality and quantity during storage and distribution of spare parts. At the same time B is liable for the third side (for example ) because of the products are flowing out of the Market.2、 乙方必须有甲方零件的进出台帐，并在每月底提供结存报表。B must have the account book for the entry and exit of spare parts and will offer a inventory report form at the end of each month.3、 乙方保证按照零部件入库日期，对库内零部件实施先进先出。B must assure spare parts first entry and first out according to their date of entry. 4、 乙方应配合甲方对库内零部件进行盘点清查。B shall cooperate with Company A to check inventory in storehouse. 5、 乙方必须及时（一个工作日内）把供货过程中发生的问题及时反馈给甲方，甲方及时将处理意见反馈给乙方。If there is any problem during distribution B must make report to Company A on time (within one workday). And Company A must send its opinion and disposal to B on time.五、 合同的有效期、变更和终止Period of validity, modification and Termination1、本合同将从甲、乙双方签字开始生效。合同期限从 年 月 日至 年 月 日，甲乙双方的任何一方对本合同有意向的做出任何的修改或放弃，须提前30天以书面通知对方，具体事项由双方协商。不然合同继续有效，到期合同将自动延长，延长期为一年。The contract shall become effective since the date when both parties thereof sign and stamp on it. If both parties cannot reach an agreement, submit to Arbitration Committee or local court for adjudication.六、 其 他Others1、 不可抗力：Force majeure合同一方因不可抗力未能履行本合同，对于不可抗力的影响存续期间不履行其义务。不可抗力事件造成的损失可以通过协商进行解决。遭受不可抗力的一方应在5日内立即将不可抗力事故原因、事故持续时间以及事故的影响通知给另一方，并且提供充分的证据。If the force majeure occurs beyond rational control of both sides so that no one can perform the obligations under this contract and either side shall not assume responsibilities for the delay or being unable to perform the obligations in the contract.
